2 P a g e Application form with terms and conditions TERMS AND CONDITIONS Application should be submitted in a sealed cover superscribing, Application for prequalification for sale of salvaged steel and other metal scrap arising out of fire accident at State Bank of India, 84 Rajaji Salai, Chennai-600001 on as is where is basis addressed to The AGM (Premises & Estate), State Bank of India, Local Head Office, 16, College Lane, Chennai 600006. The pre-qualified prospective buyers are required to participate in e-auction process for bidding. The highest bidder in the e-auction process shall be the successful bidder. The business rules with respect to e-auction will be provided to the pre-qualified prospective buyers. The scrap materials can be inspected at the site of State Bank of India, Chennai Main Branch, 84 Rajaji Salai, Chennai 600001 from 15-10-2014 to 24-10-2014 between 11 A.M and 4 P.M., excluding public holidays. The tenderer shall bear all taxes leviable, if any, i.e. sale tax/ VAT etc. at prevailing rates as on the date of delivery. 1. After the tender is accepted, the amount shall be deposited within 7 (Seven) days of acceptance by way of demand draft. EMD shall be adjusted at the end. 2. The scrap materials are for sale on as in where is basis. 3. The right to accept or reject any and / or all tenders is reserved with the State Bank of India (hereinafter called The Bank ), where the bids received are below the expected minimum price in the opinion of the Bank for the scrap, the Bank reserves the right to summarily reject all tenders without assigning any reasons thereof. Professional Insurance Surveyors & Loss Assessors Pvt. Ltd., (hereinafter called The Surveyors ) shall be handling & overseeing the disposal of the materials under auction. 4. DESCRIPTION OF MATERIALS, QUALITY AND QUANTITY APPARENT AND / OR INHERENT a. All materials under auction are sold strictly on as is where is basis with all apparent and /or inherent defects. All materials under auction are sold on the express condition that bidders have inspected the same and know what they are
3 P a g e buying, whether they have actually inspected the same or not. Neither Bank nor Surveyors appointed by the concerned Insurers give any guarantee or warranty or undertake any responsibilities for the make, measurement, manufacture, description, quality, condition, size, weight, grade, accuracy, soundness, completeness etc. of the materials or their suitability for any particular purpose. b. Damaged materials offered for sale on as is where is basis are steel and other metal scrap arising from fire accident. c. The bidder has to bid for all the scrap materials. The bidder shall bid in terms of rate per Kilogram, net of all taxes. d. The general condition of all the materials under e-auction shall be treated as scrap. 5. PAYMENT TERMS a. The bidder shall pay earnest money (EMD) Rs.2,00,000/- (Rupees two lakhs only) along with the application. No interest will be payable on the earnest money deposited by the bidders. The refund of EMD will be made to the unsuccessful bidders within 7 days of e-auction, except to the successful bidder, which shall be adjusted finally, if any. EMD Demand draft details Any application not accompanied by EMD shall be summarily rejected. The EMD should be sent along with the application form upon all pages duly signed accompanied by an A/c payee Demand Draft drawn on any scheduled Bank in favour of State Bank of India, payable at Chennai in a sealed envelope. b. An amount of Rs.25,00,000/- (Rupees twenty five lakhs only) shall be deposited by the successful bidder by DD drawn on any scheduled Bank in the name of State Bank of India, payable at Chennai against taking delivery of the material within seven calendar days from the date of acceptance of the bid by the Bank. The balance amount, if any, shall be paid on or before taking delivery of the last consignment. The EMD will be adjusted against payment due from the successful bidder. c. In case, the above amount is not deposited within the specified period, the EMD paid by the successful bidder shall stand forfeited and all their rights in materials for which they have the bid and paid their earnest money shall be forfeited.
4 P a g e 9, TAXES AND DUTIES Local taxes, Municipal taxes, Sale tax / VAT etc., if any and/or any other taxes, duties, cess levies etc., applicable on this scrap material, will be charged from the purchaser at the rates in force at the time of delivery. 10 ISSUE OF SALE ORDER AND DELIVERY OF MATERIALS: a. After issue of Sale Order, the successful bidder shall lift the materials under auction within a period of 7 days from the date of receipt of Sale Order by him. Delivery beyond 7 days shall be subject to payment of storage charges at the rate of Rs.10,000/- per day, which shall be deducted from the deposit amount. Such extended period shall only be for 7 days. b. If the successful bidder fails to lift the quantity as per contract within stipulated delivery period as stated in Para 10.a above, then the EMD and sale amount paid to the Bank shall stand forfeited and all their rights for the remaining materials under auction for which their bid has been accepted by the Bank shall also stand forfeited. c. The Purchaser will make their own arrangement for loading and transportation of items from the premises. They will not be entitled to claim any facilities or assistance in this regard. Loading will be done by their own men at successful bidder s cost under the supervision of a Bank &/or Surveyors representative. d. The Purchaser shall make arrangement to weigh the tare weight of every lorry/vehicle and also to weigh the laden/loaded weight of every lorry/vehicle in the presence of designated officials. The weighing charges shall be borne by the Purchaser. 11. GENERAL a. The last date for submission of application at the office of the Assistant General Manager (Premises & Estate), State Bank of India, Local Head Office, 16 College Lane, Chennai 600006 shall be before 4 PM on 24.10.2014. 5 P a g e b. The prequalified prospective buyers are required to participate in e-auction process for bidding. The highest bidder in the e-auction process shall be the successful bidder. The business rules with respect to e-auction will be provided to the prequalified prospective buyers. Applicants are required to give their correct name, address, State & Central Sales Tax / VAT registration No. and date, telephone Nos. in the bid form. The name once given shall not be changed on any account. The delivery order (Sale Order) shall be given to the Purchaser or their representative on production of necessary authority from the original purchaser who signed the Tender Form. c. The successful bidders are warned that any attempt; to misuse the gate pass, challans, authorizing delivery or any other documents will be liable for serious penalty or such other action against them. They are requested to ensure that important documents, relating to sale are in the custody or trustworthy, responsible and authorized persons. d. All the applicants deemed to have read and acquainted with these conditions of the process/sale and have submitted their applications, subject to these conditions. e. The Bank reserves the right to reject any bid without assigning any reason. f. The Bank and/or the Surveyors shall not be liable for non-performance of any contract either wholly or in part nor for any delay in performance resulting from or due to any cause, beyond their control including fire, strikes, go slow, lock out, closure, dispute with workmen, uncertain and unstable labour situations, war, riots, civil commotion, pestilent epidemic, floods, accident, damage or accident to machinery, shortage of wagons, shortage of labour Government or Railway restrictions or any circumstances beyond their control. g. All notices and the letters when posted to the successful bidders shall be deemed to have been received by him/them, if the same are sent at the address given by the bidder. h. Successful execution of the contract work means complete clearance of the damaged material from the specified location and removal of the same outside the premises wherein the damaged materials are stored, as per the directions from time to time. i. The Bank and/or the Surveyors shall not be liable for or be bound in any manner for any representation or statement which are not contained in these terms and conditions of sale or are contrary and inconsistent there with purported to have been made by the Bank and /or the Surveyors. j. If any irregularities are observed during the entire process of tender (committed by the bidder) then vendors/ surveyors will have sole right and
6 P a g e discretion to amend / alter/ replace /add any condition which they find suitable. k. Any dispute regarding tender for disposal is subject to Chennai Jurisdiction only. 12. TERMINATION OF CONTRACT a. The Bank reserves the right at its sole discretion to terminate the contract at any time and also reserves the right to keep the salvage with them only. b. Applicants to note that the items listed as damaged being offered for sale have been damaged during fire accident. c. The Bank makes no representation or warranty, express or implied, including of fitness of the materials or for its use for any particular purpose. Under no circumstances shall the Bank be liable for incidental, direct or indirect damages for alleged negligence, breach of warranty, strict liability, tort, contract or for any reason whatsoever arising in connection with the materials. d. Applicants may inspect the materials for its intended conditions of use. e. Please note that the validity of this disclaimer shall be a continuing one. Any seller of these materials or any part thereof shall always be bound to disclose the same to any subsequent purchaser. f. All warranties, quality assurances on the damaged materials have ceased and same is no more enforceable on any further usage / sale / conversion of the damaged material. g. Any statement, quality assurance, warranties either expressed orally or in writing by the successful bidder in the market whilst disposal of such damaged material will not be binding upon to the vendors. h. The successful bidder will not use the Bank s name, goodwill logo, brand name or any such identification mark / print for the further sale or conversion of the damaged material.
