General Descriptin f Online Banking and Transfers Outside Bank f America Service Agreement A. What This Agreement Cvers This Agreement between yu and Bank f America, N.A (Bank f America) gverns the use f Online Banking services and the Transfers Outside Bank f America service. These services permit U.S.-based Bank f America custmers (cnsumers and business custmers wh are accunt wners) t perfrm a number f banking functins thrugh the use f a persnal cmputer r, fr sme functins, a mbile device (e.g., tablet r Smartphne), n accunts linked t the service, including sme with ur affiliates, Merrill Lynch, Pierce, Fenner & Smith Incrprated ("MLPF&S"). Unless indicated therwise by the cntext, "linked Bank f America accunts" r "linked accunts" refers t all f yur U.S.-based accunts with Bank f America that yu have linked t Online Banking r Transfers Outside Bank f America. When used in this agreement, the term business includes sle prprietrs, nn-cnsumer business entities, and individual wners f the business, unless the cntext indicates therwise. B. Accepting the Agreement When yu use any f the Online Banking services described in this Agreement r Transfers Outside Bank f America, r authrize thers t use them, yu agree t the terms and cnditins f the entire Agreement.

C. Relatin t Other Agreements Yur use f Online Banking services r Transfers Outside Bank f America may als be affected by a depsit r ther agreement between us fr yur linked Bank f America accunts. When yu link an accunt t Online Banking services r Transfers Outside Bank f America, yu d nt change the agreements yu already have with us fr that accunt. Fr example, if yu link a MLPF&S investment accunt t Online Banking, the terms and cnditins f yur MLPF&S custmer agreement(s) and/r user agreement(s) d nt change. Similarly, when yu use Online Banking services t access a credit accunt, yu d s under the terms and cnditins we gave yu in the agreement and disclsure fr the credit accunt. Yu shuld review thse and ther Bank f America accuntrelated agreements and fee schedules fr any applicable fees, fr limitatins n the number f transactins yu can make, liability rules fr electrnic fund transfers, and fr ther restrictins that might impact yur use f an accunt with Online Banking services r Transfers Outside Bank f America. 2. Online Banking Services Nte: If yu access Online Banking r Transfers Outside Bank f America thrugh Bank f America's Dwnladable Mbile Banking Applicatins ("Mbile Banking Apps"), the mbile-ptimized versin f the Bank f America website ("Mbile Web"), Persnal Financial Management (PFM) sftware, r thrugh an indirect service, all f the features f Online Banking r Transfers Outside Bank f America may nt be available, including, but nt limited t, bill presentment. T access all f the features and services ffered by Online Banking and Transfers Outside Bank f America, sign in directly thrugh ur web site at www.bankfamerica.cm frm a persnal cmputer. Within Online Banking, yu can als access ptinal services such as Bill Payment. Please refer t this Agreement, yur applicable accunt agreement r fee schedule fr infrmatin n fees fr ptinal services. A. Online Banking fr Cnsumers and Businesses Yu may use Online Banking t: Transfer funds between yur linked Bank f America accunts n either a ne -time r recurring basis, including as a payment t a linked installment lan r mrtgage. Transfer funds between linked Bank f America business accunts and linked persnal accun ts. Transfer funds frm yur linked Bank f America persnal r small business accunts t mst Bank f America persnal r small business depsit accunts. Transfer funds between yur linked MLPF&S investment accunts and yur linked Bank f America accunts n either a ne-time r recurring basis. View current balance infrmatin fr yur linked Bank f America accunts. Review available transactins fr yur linked accunts. Perfrm self-service accunt maintenance such as re-rdering checks, rdering cpies f paid checks, requesting cpies f mnthly checking (including SafeBalance Banking TM ) r saving statements, stpping payment n checks, changing address and phne, and changing yur Online ID and Online passcde. Send us secure nline mail messages and questins regarding yur Online Banking service. Sme f the abve services may nt be available fr certain accunts r custmers, r if yu access Online Banking thrugh Mbile Banking Apps r Mbile Web. B. Bill Payment Services In additin t the Online Banking features listed abve, Bank f America custmers with eligible depsit accunts may als use the ptinal Bill Payment service. If yu are a Bank f America custmer with a depsit accunt, yu may use the Bill Payment service t: Make ne-time r recurring payments nline frm yur linked checking accunt(s) (including SafeBalance Banking TM ), and mney market depsit accunt(s) t cmpanies r individuals (Payees) yu select. Make ne-time r recurring payments nline frm yur linked Hme Equity Line f Credit (HELOC) accunt(s) t a limited grup f merchants (des nt apply t HELOC accunts pened in the state f

Texas). Add persnal checking r mney market accunt(s) that yu maintain at anther financial institutin thrugh the Add an Accunt frm Anther Bank feature in the bill payment service. Make ne-time r recurring payments nline frm such accunts t a limited grup f merchants r Bank f America lan, credit card, charge card and/r line f credit accunts. Use the e-bills feature t: Receive bills frm participating Payees View Payee bill summary and bill detail infrmatin If yu are a custmer with a Bank f America credit card-nly r charge card-nly relatinship, r with a business line f credit-nly r vehicle lan-nly relatinship (autmtive, recreatinal vehicle, bat r aircraft), yu may: Make ne time r autmatic payments nline frm a depsit r mney market depsit accunt maintained at anther financial institutin t yur Bank f America credit card(s), charge card(s), business line f credit(s) and/r vehicle lan accunt(s). Receive credit card, charge card, business line f credit and/r vehicle lan e-bills frm Bank f America and view bill summary and detail infrmatin. C. Email/Mbile Transfer Netwrk Service In additin t the Transfer services listed in 2.A abve, Email/Mbile Transfers allws yu t send mney frm yur Bank f America persnal checking r savings accunt t anther Bank f America custmer r a custmer f anther U.S based bank by using a recipient's email address r mbile phne number. Anther Bank f America custmer r a custmer f a different U.S. based bank may als send mney t yur persnal r small business accunt using yur email address r mbile phne number. Please nte that there are dllar amunt and ther limits fr these transfers that may differ frm the ther Transfers services, as prvided in Sectin 3.D belw. D. Additinal Services Intended fr Businesses We ffer businesses the ability t create multiple Online IDs each with the access level yu designate. In sme circumstances, we als permit yu t link the accunts f ther businesses yu wn r cntrl. See Sectin 7 belw fr special registratin prcedures and applicable terms. E. Online Banking Alerts We prvide three types f Online Banking Alerts: 1. General & Security Alerts are sent t yu fllwing imprtant accunt activities r when certain changes are made nline t yur Online Banking accunt, such as a change in yur email r hme address, telephne number, Online ID r passcde, insufficient funds, r irregular card activity. Yu d nt need t activate these alerts. We autmatically activate them fr yu. Althugh yu have the ptin t suppress these General & Security Alerts, we strngly recmmend that yu d nt d s since they prvide imprtant infrmatin related t yur nline security r accunt activities. 2. Accunt Alerts, which must be activated by yu. Accunt Alerts allw yu t chse ptinal alert messages fr yur accunts. Each Accunt Alert has different ptins available, and yu will be asked t select frm amng these ptins upn activatin f an Accunt Alert. 3. Autmatic Alerts are sent t yur primary email address nly and prvide yu with imprtant accunt ntificatins, such as infrmatin abut a mney transfer r availability f an estatement.

Yu d nt have the ptin t suppress these Autmatic Alerts. Alerts are subject t the fllwing: We may add new Alerts frm time t time, r cancel ld alerts. We usually ntify yu when we cancel alerts, but are nt bligated t d s. Alerts will be sent t the email address yu have prvided as yur primary email address fr Online Banking. Fr General & Security and Accunt Alerts yu can als chse t have these sent t a secndary email address, a mbile device that accepts text messages, r a mbile device that can receive ur Mbile App Alerts thrugh a push ntificatin system. If yur email address r yur mbile device's number changes, yu are respnsible fr infrming us f that change. While Bank f Amer ica des nt charge fr the delivery f the alerts, please be advised that text r data charges r rates may be impsed by yur carrier. Yur alerts will be updated t reflect the changes that yu cmmunicate t us with regard t yur primary and secndary email addresses r mbile device number. We d ur best t prvide alerts in a timely manner with accurate infrmatin, but alerts may be delayed r prevented by a variety f factrs beynd ur cntrl (such as system failures r misdirected delivery). We dn't guarantee the delivery r accuracy f alerts. The cntents f an alert may be utdated by the time an alert is sent r received, due t ther activity n yur accunt r t delays in sending data amng varius systems. Yu agree that we are nt liable fr any delays, failure t deliver, r misdirected delivery f any alert; fr any errrs in the cntent f an alert r fr any actins taken r nt taken by yu r a third party as the result f an alert. Because alerts are nt encrypted, we will never include yur passcde r full accunt number. Hwever, alerts may include yur name and sme infrmatin abut yur accunts. Depending upn the type f alert, infrmatin such as yur accunt balance, transactin infrmatin r the due date fr yur credit card, charge card and/r business line f credit payment may be included. Anyne with access t yur alerts will be able t view the cntents f these messages. F. Mbile Text Alerts 1. Online Banking Alerts via Text Message Yu have the ptin f adding a mbile phne number t yur Online Banking prfile. By adding a mbile phne number t yur Online Banking prfile, yu are certifying that yu are the accunt hlder fr the mbile phne accunt r have the accunt hlder's permissin t use the mbile phne number fr Online Banking. Yu are als cnsenting t receive Online Banking Alerts via text messages as further described in Sectin 2.E. Text message fees may apply. Text messages may be transmitted autmatically. Message frequency varies by accunt and preferences. Message and Data Rates may apply. Yu can text STOP t MyBfA (692632) at any time t stp the mbile alerts that yu activate n the Alerts page in Online Banking desktp. Alerts sent t yur primary email address will be unaffected by this actin. T restre Alerts n yur mbile phne, just visit the Alerts tab in Online Banking and click the bx next t yur mbile number fr the alerts yu d like t receive again. Fr help with SMS text alerts, send the wrd HELP t 692632 r call us at 800.604.9961. Supprted Carriers: AT&T, Sprint, Verizn Wireless, T-Mbile, Cricket, and MetrPCS 2. Fraud Alerts via Text Message We may als send yu credit card, charge card, business line f credit and/r debit card fraud text alerts t yur mbile phne number in yur Online Banking prfile when applicable. Credit fraud alerts cm ing frm 322632 will be a Free t End User (FTEU) campaign. Hwever, data rates may apply depending f yur mbile carrier plan. G. ShpSafe We prvide the ShpSafe service t allw yu t create a unique, temprary credit card accunt number fr nline purchases at a specified merchant. The number links t the real credit card number, but keeps that number private and prtected. The 16-digit ShpSafe number is used just like any ther credit card accunt number. ShpSafe allws yu t set a dllar limit fr purchases at a specified merchant. When we cnsider it apprpriate, we may permit charges in additin t yur preset dllar limit t allw fr shipping, handling and taxes, which may nt have been taken int cnsideratin at the time f purchase. 3. Descriptin f Online Banking Services (des nt apply t Transfers Outside Bank f America) A. Transfers (des nt apply t Email/Mbile Transfers r Transfers Outside Bank f America, except as therwise prvided) Prcessing f Transfer Requests Transfers can be made in 2 ways, n a 1-time r recurring basis. One-time transfers may be immediate r scheduled fr a future date. The recurring transfer feature may be used when a set amunt is transferred at regular intervals. Fr example a $100 transfer frm a checking t a savings accunt which ccurs every 2 weeks. One-time immediate transfers can be made frm a linked Bank f America checking, savings, mney market, line f credit, credit card, charge card, business line f credit r brkerage accunt t mst linked Bank f America accunts. Scheduled and recurring transfers can be made frm a linked Bank f America checking, savings, mney market, credit card, charge card r business line f credit accunt t a linked checking r savings accunt. Scheduled and recurring transfers can be made between a linked MLPF&S investment accunt and a linked Bank f America checking, savings r mney market accunt. Transfers can be made frm a linked Bank f America persnal r small business checking, savings, mney market r line f credit accunt t mst persnal r small business checking, savings, r mney market accunts f ther Bank f America custmers. Sme accunt types including thse with freign addresses, cannt be set up t receive funds. Transfers frm a depsit accunt (excluding investment accunts) are immediately reflected in the accunt s available balance. Transfers frm a credit card, charge card, business line f credit r a line f credit accunt are immediately reflected in the accunt s available credit amunt. Transfers frm a MLPF&S investment accunt are immediately reflected in the accunt's available balance. Recipients f yur mney transfers must als register with Bank f America r anther bank participating in the Email/Mbile Transfer Netwrk r with ClearXchange TM, a cmpany that arranges electrnic mney transfers. Once registered, yu may send a mney transfer using Online Banking r Mbile Banking by entering the email address r mbile phne number f the recipient. In additin, mney sent t yur email address r mbile number will be depsited int the persnal r small business accunt yu designated when yu registered fr the service. By participating in the Email/Mbile Transfer Netwrk Service, yu are representing t us that yu are the wner r yu have the authrity t act n behalf f the wner f the mbile phne number r email address yu are using t send r receive messages regarding mney transfers. In additin, yu are cnsenting t the receipt f emails r autmated text messages frm Bank f America, r its agent, regarding the transfers and represent t us that yu have btained the cnsent f the recipients f yur intended transfers t the receipt f such emails r autmated text messages. 2. Scheduling Transfers Once registered, yu may make ne-time transfers at any time using Online Banking r Mbile Banking by entering the email address r mbile phne number f the recipient. An unregistered recipient must register within 14 days and set up the same email address r mbile phne number that yu entered t send them mney. If the recipient des nt register, set up an email address r mbile number and accept the transfer within 14 days, the transactin will be cancelled. During this perid, a hld will be placed n the sender's accunt fr the amunt f the transfer. Once the recipient has successfully enrlled in the Email/Mbile Transfer Netwrk, transfers will autmatically be debited frm the sender's accunt and depsited in the recipient's accunt. If the sender and recipient are bth Bank f America custmers enrlled in the Email/Mbile Transfer Netwrk, transfers will be immediately debited frm the sender's accunt and reflected in the recipient's accunt in accrdance with the time frames indicated in Transfers t Depsit Accunts in Sectin 3.A. If bth parties are enrlled in the Email/Mbile Transfer Netwrk but yu are sending mney t a custmer f a different bank, the transfer will be immediately debited frm yur accunt and, if cmpleted by 9:00 p.m. ET, will be delivered t the recipient's bank within three business days. Bank f America is nt respnsible fr any failure f anther bank t timely credit its custmer's accunt. The transfer prcess fr funds sent t yu using yur email address r mbile number generally takes apprximately fur business days, subject t the terms f the sender's agreement with its bank. Bank f America will depsit the funds int yur designated accunt when the transfer has settled and the funds are available. Yu acknwledge and agree that payment transfers will be cmpleted using nly the email address r mbile phne number yu enter even if it identifies a persn different frm yur intended recipient. The name yu enter will help yu identify yur intended recipient in the drp dwn menu and yur transactin histry but will nt be used t prcess payments. Please make sure yu accurately enter the recipient's email address r mbile phne number since yur bligatin t pay fr the transfer will nt be excused by an errr in the infrmatin yu enter. Transfer Instructins relating t external accunts and the transmissin and issuance f data related t such Instructins shall be received pursuant t the terms f this Agreement and the rules f the Natinal Autmated Clearing Huse Assciatin ("NACHA") and the applicable autmated clearing huse ("Reginal ACH") (cllectively, the "Rules") and yu and we agree t be bund by such Rules as in effect frm time t time. In accrdance with such Rules, any credit t an accunt shall be prvisinal until such credit has been finally settled by us r the third party institutin which hlds the accunt. 3. Fees There is n fee fr sending r receiving a transfer under the Email/Mbile Transfer Service. Please nte that yur mbile carrier may charge yu fr text messaging. Please check yur mbile service agreement fr details n applicable fees. Yu may als make payments withut a transactin fee by using Bill Pay (described in Sectin 3.B abve). Bill Pay allws yu t transfer mney t individuals, regardless f whether they are Bank f America custmers, usually within 4 business days. Yu may als make transfers withut charge t ther Bank f America custmers thrugh nline banking if yu knw the recipient's accunt number.

Transfer/Payment Authrizatin and Sufficient Available Funds Yu authrize Bank f America t withdraw, debit r charge the necessary funds frm yur designated accunt in rder t cmplete all f yur designated transfers and payments. Yu agree that yu will instruct us t make a withdrawal nly when a sufficient balance is r will be available in yur accunts at the time f the withdrawal. The cmpletin f a transfer r payment is subject t the availability f sufficient funds (including any verdraft prtectin plans) at the time the transactin is psted. If enugh funds t cmplete the transfer r payment are nt available, we may either (i) cmplete the transactin and verdraw the accunt r (ii) refuse t cmplete the transactin. In either case, we may charge a nn-sufficient funds (NSF), returned item, verdraft, r similar fee. Transfers r payments frm SafeBalance Banking TM accunts will nt be cmpleted if there are nt sufficient funds n the date f the scheduled transfer r payment. Fr payments scheduled frm ther accunts, future-dated payments can be cancelled prir t 5 p.m. ET n the third bank business day prir t the scheduled delivery date. Transfers Alternative Methd A 1-time immediate transfer t anther Bank f America custmer using the recipient's accunt number cannt be cancelled after it has been submitted in Online Banking. A transfer submitted thrugh the Email/Mbile Transfer Netwrk Service may nt be cancelled nce the recipient has registered. Future-dated and recurring transfers can be canceled prir t midnight ET n the bank business day prir t the date the transfer is scheduled t be made. If the transfer's status is In Prcess r Prcessed, yu can n lnger cancel it. After yu cancel a future-dated transfer, the status changes t Canceled. Canceled transfers remain under Review Transfers. Nte: The easiest and mst cnvenient way t cancel a payment r transfer is thrugh the methd described abve. Hwever, yu may request t cancel a scheduled r recurring payment r a future-dated transfer by calling us at 1.800.933.6262 fr cnsumer accunts and 1.866.758.5972 fr small business accunts. If yu call r write t cancel a payment r transfer that is Pending, yu will be charged fr a stp payment in accrdance with the agreement fr the apprpriate linked accunt.

Our Liability fr Failure t Cancel r Stp the Transfer r Payment If yu attempt t cancel a payment r transfer in accrdance with the abve instructins and we d nt d s, we will be liable fr yur lsses r damages. H. E-Bills E-Bills is a feature f the Bill Pay service that enables yu t receive bills electrnically frm participating Payees. Apprval f e-bills Participating Payees establish their wn criteria fr reviewing requests t receive e -Bills and have sle discretin t accept r decline yur request. We d nt participate in this decisin. Participating Payees generally take up t five (5) bank business days t apprve an e-bill set-up request. Accessing e-bills frm a Third Party In sme cases we btain the e-bill frm the web site f the Payee. T d s, we will ask yu fr infrmatin needed fr this purpse, such as any required passwrd. When yu prvide this infrmatin, yu authrize us t access the third party web site t retrieve the accunt infrmatin n yur beh alf, and yu appint us yur agent fr this limited purpse. Timely Delivery f e-bills We take n respnsibility if a Payee des nt prvide the necessary data t frward an e -Bill in a timely manner. If yu d nt receive a bill, it is yur respnsibility t cntact the Payee directly. We are nt respnsible fr any late charges r ther adverse cnsequences. Intrductry e-bill Opprtunity Yu understand and agree that selected Payees may prvide e-bills t yu thrugh Bill Pay fr up t three mnths in rder t intrduce yu t the cnvenience f nline bill payment. We will ntify yu in advance f such intrductry pprtunities. Bank f America des nt have access t and des nt stre detailed billing infrmatin cntained in the e-bill. Only yu will have access t the detailed bill infrmatin. If at any time yu chse nt t participate in this intrductry e-bill pprtunity, yu have the fllwing ptins: Yu can discntinue a specific e-bill by signing int Online Banking and chsing t edit it. Activity Levels fr Linked Accunts Currently there are 3 activity levels that can be assigned t yur linked accunts: View - This level allws yu t btain current accunt balance and transactin infrmatin. Hwever, fr linked investment accunts, yu may be able t perfrm investment activities (including trading) by linking directly t the investment site. Inquiry - This level allws yu t btain current accunt balance and transactin infrmatin. This level des nt allw transfers f funds frm this accunt t any linked accunts. Financial - This level allws yu t btain accunt infrmatin and transfer funds between linked accunts, as well as t add Bill Pay services, and certain ther banking services. When yu first use Online Banking, all f yur linked accunts are assigned the activity level f "financial." If any additinal accunts are linked t Online Banking, it will autmatically be assigned t the activity level f "financial." Nte: Fr Persnal Financial Management prgrams (such as QuickBks ) using Online Banking with Bill Pay service thrugh QuickBks Direct Cnnect - There is a $15.00 charge fr Business custmers wh have the Online Business Suite Accunt Management prduct. The fee is waived fr business custmers if yu are a Business Advantage checking custmer. B. Other Charges In additin t the fees already described in this Agreement, yu shuld nte that depending n hw yu access Online Banking r Transfers Outside Bank f America, yu might incur charges fr: Nrmal accunt fees and service charges. Any Internet service prvider fees. Any wireless carrier fees. Purchase f cmputer prgrams such as Persnal Financial Management (PFM) sftware. Payments r transfers made thrugh Online Banking services frm a savings r mney market accunt may result in an excess transactin fee. See yur savings r mney market accunt fr details. Additinally, fees may be assessed fr added self-service features available thrugh Online Banking Help & Supprt, such as stp payment requests, check cpy rders and accunt statement cpy rders.
