Cross-Border Mergers and Acquisitions Getting them right Overview For many companies, mergers and acquisitions are a key element for growth, maximizing shareholder value and creating a sustainable competitive advantage. The complexity and risks involved are however high and the failure rate, a matter of major concern. A lack of understanding of the acquired business, the failure to cover all issues during the negotiation process, and differing cultures, corporate governance and management styles are just a few of the numerous challenges awaiting M&A executives. Cross-Border Mergers and Acquisitions is a three-day international executive program that examines all of the major components of M&As: successful target selection, financial valuation, and effective deal negotiation. Participants will moreover benefit from global best practices, interactive discussions, case studies and practical workshops on M&A, which are an integral part of the sessions. Objectives Participants will be able to: Understand the key success factors in a merger and acquisition activity Assess and select the most appropriate M&A targets to maximize shareholder value Analyze and choose the right strategic approach in each M&A process Effectively use financial valuation tools to measure the gains from corporate restructuring Negotiate successfully in a M&A setting and gain the cooperation of the parties involved Design and implement a winning post-acquisition integration process

Cross-Border Mergers and Acquisitions Getting them right Content Key topics include: Mergers and acquisitions as a corporate strategy Strategic motives for growth via M&As Factors of success (and failure) in M&A activity Effective assessment and selection of M&A targets The importance of the post-m&a integration phase Case examples of best practices in successful global M&As Firm valuation in a mergers and acquisitions process The most effective financial valuation tools in M&As The impact of M&As on reported performance Practical exercises and case discussions Mergers and acquisitions negotiation workshop Effective negotiation strategies for dealing with stakeholders The dilemma between creating and distributing value during the negotiation process Managing complex negotiations: multilateral and multi-issue PARTICIPANTS The program is designed for executives who are about to be or are already involved in a M&A transaction (buy-side, sell-side or advisory).
