1 EXHIBIT B COMPENSATION Microsoft Exchange Messaging Services Fee Schedule All fees are based on Contracts for Services having a minimum two-year Initial Term. Fees for Contracts for Services having a minimum one-year Initial Term will be 15 % greater for all Services offered below. Authorized Purchasers Administrators have ability to mix/match users across mailbox tiers and Enhanced Services as needed on a monthly basis. Section I: BASIC SERVICES AND FEES (1) Monthly Seat Fees: The monthly Seat fees include all licenses required by Microsoft for you to use Microsoft Exchange, exclusive of Outlook messaging client licenses. 2 Add $1.00/user/month for Outlook Client licenses for those Authorized Purchasers Platinum tier Seats that require USA.NET to provide such client licenses to Authorized Purchaser as part of the ordered Services. Outlook Client licenses are not available for Silver tier Seats. USA.NET will reduce the current pricing paid by the Current Contract Holders on the following scale as progressively larger User counts are reached, up to 5000 users. Current Contract Holders means the following agencies: Oregon Watershed Enhancement Board, Oregon Water Resources Department, Oregon Department of Energy, Oregon Business Development Department, and Oregon Department of Revenue. Tier 1. Target: 2000 Users 20% discount to Current Contract Holders Tier 2. Target: 2750 Users - 40% discount to Current Contract Holders Tier 3. Target: 3500 Users - 60% discount to Current Contract Holders Tier 4. Target: 4250 Users 80% discount to Current Contract Holders Tier 5. Target: 5000 Users Current Contract Holders revert to pricing listed within this Exhibit B. Discounts will be calculated on the difference between Current Contract Holder pricing and the pricing levels set forth herein. For example only (example pricing rounded up to nearest dollar amount): Current Contract Holder Monthly Seat Fee: 1 GB Platinum $10.00 Master Agreement Fee Schedule Pricing Monthly Seat Fee: 1 GB Platinum $5.00 $ $5.00 = $5.00 (Difference between Current Contract Holder Monthly Seat Fee and Master Agreement Monthly Seat Fee) 20% of $5.00 = $1.00 Tier 1 Monthly Seat Fee for Current Contract Holder 1 GB Platinum Seat with 20% discount applied is $9.00 ($ $1.00 = $9.00) Each discounted pricing Tier will become effective with the first invoice issued following the Effective Date of an Authorized Purchaser Contract for Services under the Master Agreement which increases the aggregate number of Users to or above the applicable Tier. As the current Term of each respective Current Contract Holder contract with USA.NET expires, the pricing for each renewing Current Contract Holder will be that set forth for Authorized Purchasers herein.

In the event the aggregate total number of Users added after the Effective Date of the Master Agreement meets or exceeds ten thousand (10,000) prior to the first anniversary of the Master Agreement Effective Date, USA.NET agrees to refund any migration fees paid by Current Contract Holders by providing credits on the next invoice. Set-up Fees include migrations from all platforms (Exchange, GroupWise, Notes, POP, etc). Migration fees include a full migration of up to 2GB/user of server based data on an Authorized Purchaser aggregated basis, automated tools to assist in the deployment process (i.e., desktop client reconfigurations eliminating the need for agency IT engineers to touch each desktop), full project management, training, provisioning, and directory sync set-up).

In addition, USA.NET can provide client side / user based encrypted services for $1/user/month (See pricing above). This service encrypts select , as decided by end user or by content of , and ensures a secure delivery to the selected recipient. Authorized Purchasers may purchase Enhanced Services on an ala carte basis, even if they do not purchase Platinum or Silver tier Exchange Services listed above. Section III: INFRASTRUCTURE AND FEES. Environment. USA.NET will provide the components itemized below in an Exchange and BlackBerry environment dedicated to State of Oregon ( Environment ). 7 Software Licenses Provided by USA.NET Microsoft Windows Enterprise Server 2003 Microsoft Exchange Enterprise Server 2007 Microsoft Exchange Client Access License Microsoft SQL Server 2005 Microsoft Office Sharepoint Server 2007 (WSS 3.0) BlackBerry Enterprise Server BlackBerry Client Access License Trend Micro Anti-Virus Server License Symantec Brightmail Anti-Spam Cloudmark Anti-Spam Veritas NetBackup Microsoft MOM HP VantagePoint Operations (ITO) Infrastructure Fees. $45, for installation of a Environment for the State of Oregon (which will be available to state of Oregon agencies and all other Authorized Purchasers under this agreement). The State of Oregon will pay $45,000 for the initial build-out; USA.NET will waive any/all additional dedicated MS Exchange environment set up fees over the life of the term of this agreement. Infrastructure Fees cover the design, procurement and deployment of the MS Exchange / BES environment outlined above. Upon written agreement between USA.NET and a Current Contract Holder, if such Current Contract Holder so elects, USA.NET will migrate the Current Contract Holder s mailboxes to the Oregon MS Exchange 2010 environment upon the later of (a) completion of the build-out, or (b) based on each Current Contract Holder s expressed timeline to migrate). USA.NET will also upgrade each Current Contract Holder s Users Outlook Clients upon request as they move to the dedicated MS Exchange 2010 environment. There will be no fees associated with such migrations and upgrades. Upon written agreement between USA.NET and a Current Contract Holder, if such Current Contract Holder so elects, USA.NET will reduce Dir Sync fees for each Current Contract Holder who so requests to $100/month beginning with the first invoice sent following the Master Agreement effective Date and USA.NET s receipt of such requested reduction of Dir Sync fees. The first five (5) Authorized Purchasers to execute a Contract for Services under the Master Agreement will be charged $100/month for Dir Sync Fees. Upon Contract execution by the sixth (6 th ) Authorized Purchaser, USA.NET will waive Dir Sync Fees for all Authorized Purchasers and the Current Contract Holders.
