21 Terms and Condtons. Offers and Orders Prepared offers are always not bndng. If the offer has been accepted by the orderer, the terms of sale shall be consdered as accepted n ther entrety. AHN Botechnologe GmbH shall mmedately respond to receved offers. If the AHN Botechnologe GmbH does not mmedately oppose receved offers, the offer wll be seen as accepted. Therefore, devatng terms of sale and delvery ssued by the orderer shall not be bndng for the AHN Botechnologe GmbH. Orders as well as any verbal sde agreements requre wrtten confrmaton. The exceptons to ths are subsequently made verbal agreements Prces The fnal calculaton wll be carred out on the bass of the prces applcable on the date of the delvery plus VAT. In ths respect, the quotatons, provded n the offer and the confrmaton, are not bndng. Prce changes are allowed when more than four months are between the concluson of the contract and the agreed date of delvery. In case, wages, materal costs, or the marketrelated cost prces ncrease after that perod and before the completon date of the delvery, the AHN Botechnologe GmbH shall be enttled to reasonably ncrease the prce owng to the ncrease n costs. The orderer s only enttled to wthdraw when the ncrease of the prce does not only nsgnfcantly exceed the ncrease of the general lvng costs wthn the perod of order and delvery. If the orderer s a busnessman, a corporate body under publc law, or a specal fund under publc law, the prce changes wll be possble accordng to the before mentoned regulatons provded that more than sx weeks are between the concluson of the contract and the agreed date of delvery. The prces shall apply, unless otherwse agreed, exworks, excludng freght, custom dutes, nsurance and packagng. In case of delvery values below euros, a processng charge of 5.00 euros wll be charged. If unexpected changes of the goods and/or of the ncdental expenses of the goods occur after the acceptance of a contract that make the fulflment of the contract unacceptable, the contract shall be adapted to the changed condtons. The contract adaptaton and the Vendor's possblty of cancellaton must be reasonable for the Buyer. If no agreement wll be acheved thereby, the AHN Botechnologe GmbH wll be released from the contractual oblgaton wthout the Buyer's possblty to make compensaton or lablty clams. The exceptons to ths are compensaton or lablty clams due to njury to lfe, body, or health wth ntent and gross fault. 4. Delvery and Shpment The delvery s exworks. In case of contracts and wth delveres to entrepreneurs, the goods are generally delvered on account and at the Buyer's rsk. The Buyer also bears the rsk f the freght s prepad. If requested, we are wllng to cover transport nsurances only by nvocng the nsurance rate and do not accept assume the oblgaton to obtan nsurance. The AHN Botechnologe GmbH s enttled to name tself as benefcary. The vendor shall not be responsble for delays n delvery or servces due to force majeure and due to events whch consderably complcate the delvery or ndeed render t mpossble ths ncludes n partcular strkes, lockouts, offcal drectves etc. also when these events occur at the stes of the vendor's supplers or ther subcontractors even n case the vendor s bound by agreed terms and dates. They shall enttle the vendor to defer the delveres or servces for the perod of hndrance plus an approprate startup tme, and completely or n part, to wthdraw from the contract due to unfulflled terms of contract. The user wll be enttled to wthdraw f the performance s not avalable. The user explctly undertakes to nform the contractual party mmedately about the nonavalablty and to remburse the counterperformance. Immedately after the completon or f the goods are ready for delvery, the orderer shall take over the goods. In case of default n takng delvery, the costs and the rsk of storage shall pass to the orderer. The same apples to closng of ralway lnes and other transport possbltes that make the shpment mpossble. 5. Date of delvery The delvery tme stated n the order confrmaton s an approxmate date and s determned under consderaton of the known facts. If these facts change untl the end of delvery perod through no fault of our own, or other events whch cannot be accounted for by us obstruct the delvery n due tme, the delvery deadlne wll be extended reasonably. Delvery delays due to operatng dsruptons, regulatory actons or force majeure cause a reasonable extenson of the delvery deadlne. Force majeure s also to be understood to nclude ndustral acton ncludng strkes and legtmate lockouts at the AHN Botechnologe GmbH or our subcontractors' stes. In ths case, our customers' rght to clam for damages shall be excluded. Wth ths, partal delveres shall be elgble provded that the reasonable mnmum quantty s not undercut. 6. Payment The purchase prce s payable net (for entrepreneurs) or gross (for consumers) on delvery of goods f not otherwse agreed. If the perod of payment s exceeded, the AHN Botechnologe GmbH shall be enttled to charge nterest counted from the due date whch refers to the value of the rate that we had to pay for the used bank loan, at least, however, of 5 % above the current bank rate of the Deutschen Bundesbank and to refuse the further fulflment of the contract. Expenses for debt recovery and remndng shall be on the buyer's account. Wth ths, payments shall be pad drectly. The buyer s not allowed to set off any payments, nsofar not undsputed or legally effectve clams, or counterclams whch are ready for a decson and counterclams arsng from the synallagmatc relaton are affected. 7. Reservaton of ownershp Untl the full payment of the delvery and the regulaton of all accounts payable from the busness relaton ncludng nterest, expenses as well as untl the coverage of possble current account balance, AHN Botechnologe GmbH reserves the property rght for the delvered goods as well as n the commercal legal relatons for the goods that have been manufactured usng our goods. In ths case, the goods wll be reclamed from the buyer wthout settng a fnal deadlne or a letter of resgnaton f the Buyer does not meet ts oblgatons despte of dunnng notce. In the commercal legal relatons, wth ths, the property ncludes the products that are produced by processng of the goods subject to retenton of ttle or ther mxtures to ther full value. If the property rght of thrd partes n the goods that are processed or mxed remans n force, we shall acqure coproperty ( 947, 948 BGB) proportonal to the nvoce values of the goods to be processed. The buyer s oblged to keep the goods that are subject to retenton of ttle safe and free of charge. As long as the buyer duly fulfls ts labltes aganst the AHN Botechnologe GmbH, t shall be revocably enttled to have the goods that are subject to retenton of ttle at ts dsposal n an ordnary busness routne. It shall not be authorzed to pledgng and assgnment as securty or other encumbrances. If the buyer s an entrepreneur, wth ths, t already assgns ts clams from the resale of the goods owned or partally owned by the AHN Botechnologe GmbH ( 947 subparagraph 1, 948 BGB) to the AHN Botechnologe GmbH as a precauton. If the settlement of the clams s at rsk, the buyer has to nform ts customers about the assgnment on request and has to pass all requred nformaton and documents to the AHN Botechnologe GmbH. The buyer must mmedately report about thrd partes' access to the goods that are subject to retenton of ttle and assgned clams. goods. In case the subsequent delvery fals agan, the buyer shall be enttled to have the legal rghts to wthdraw from the contract. The abovementoned paragraphs fnally nclude the warranty for the product and exclude other warranty clams of any knd. Complants on latent/not obvous defects have to be brought to notce mmedately after they have become recognzable, however, n commercal legal relatons, ths has to be wthn 6 months after the recept of the goods and n case of contracts wth consumers, ths has to be wthn the statutory warranty perod. Warranty servces are only possble under the correspondng condtons of the ndvdual supplers. 9. Applcable law, place of jursdcton, partal nullty The Law of the Federal Republc of Germany shall be applcable for these terms of busness and the entre legal relatonshp between the vendor and the buyer excludng the Unted Natons Conventon on Contracts for the Internatonal Sale of Goods (CISG) as well as possble ntergovernmental agreements. Ths also apples f the Buyer's place of busness s abroad or the delvery shall be sent from or to abroad. If the buyer s a merchant wthn the meanng of the Commercal Code, a legal entty under publc law, or publc/statutory specal funds, the place of busness of the AHN Botechnologe GmbH shall be the exclusve place of jursdcton for all dsputes arsng drectly or ndrectly from ths contractual relaton. Should any provson of these terms of busness or a provson wthn the scope of any other agreements be or become neffectve, ths shall not affect the valdty of any other provsons or agreements. Nordhausen, 30/11/01 Terms and Condtons 1. General All delveres and servces are based on the followng Terms and Condtons. Devatng condtons ssued by the buyer are not bndng, even f they are not explctly contradcted. The buyer accepts the General Terms and Condtons of the AHN Botechnologe GmbH as legally bndng by order placement or/and acceptance of the goods. In case of entrepreneurs, ths also apples to pendng and all further delveres and servces. The current ssue of the General Terms and Condtons of the AHN Botechnologe GmbH shall be vald as from 01 January Notfcatons of defects, guarantee The buyer s explctly responsble for applcaton, use, and processng of the ordered goods. In the commercal legal relatons, the buyer s oblged to check the goods mmedately when delvered and to confrm the delvery note. Is ths examnaton neglected, t wll not be possble to clam for defectve goods or the delvery of goods whch do not refer to the ordered goods afterwards. Complants concernng obvous defects can only be consdered when they are made wthn 5 days after the goods arrved at the place of destnaton. If the goods are sold per FOB, complants shall be made n a tmely manner so that the shpment of obvously wrong or defectve goods can be avoded. If the goods are sold per CIF or C&F, the lmtaton perod for flng a complant wll be 14 days after the arrval of the goods n the port of entry. A notce of defects does not release from the oblgaton to pay. In case the goods have been delvered on tme and the supplers have accepted the complants, the orderer shall only be enttled for rescsson of sale but not for prce changes.
