1 Florida Regional Meeting 20 September 2011, W Hotel, South Beach, Miami SPEAKERS BIOGRAPHIES Pedro Amaral Dinkhuysen is the managing partner for the Latin America region at Laurence Simons. He is a law graduate and one of the pioneer recruiters in the legal, tax & compliance sectors in Latin America. After working for several years in international recruitment firms, he was responsible for bringing Laurence Simons's brand to Latin America in 2009 and since this Laurence Simons has become the biggest legal recruitment company in the region with offices in São Paulo and Rio de Janeiro. Next year LSI will open offices in Mexico and Miami. With LSI will have local presence in the 4 major markets in the LATAM region. Having worked in São Paulo, Rio de Janeiro, London and New York, Pedro has extensive recruitment experience within the private practice sector, placing partners and associates into both local and international law firms and sometimes have worked as a advisor in possible mergers of law firms (international and local), and also the in-house market where he has placed numerous Brazilian and Latin American managers and directors for some of the world s largest multinationals. At the moment Pedro is focused in providing assistance to all international law firms that want to be in the region, not only in recruitment but also in all aspects of the start up of those branches. Raymond E. Bayley is the chief executive officer and a co-founder of Novus Law LLC, a global professional services firm that focuses exclusively on providing corporations and law firms with document review, management and analysis services for litigation, investigations, due diligence and other document intensive matters. He is the lead architect of the Novus Process, which is the legal profession s only award-winning and independently certified work process and quality control program for document review, management and analysis. Ray is the former managing partner of PricewaterhouseCoopers North American Business Process Outsourcing organization and a member of the firm s fifteen member management committee, responsible for overseeing the US$9 billion, 70,000 person, operations of the U.S. firm. He is a member of the advisory boards of the Corporate Counsel Institute at Georgetown University Law Center, the Legal Transformation Study: Your 2020 Vision of the Future, and the Kellogg School of Management at Northwestern University. Ray received a Bachelor of Science degree from the University of Illinois and Master of Business Administration degree with Beta Gamma Sigma honors from the Kellogg School of Management at Northwestern University.

2 Clare Bolton is the executive coordinator of the Latin American Corporate Counsel Association (LACCA) and the executive editor of Latin Lawyer, the business law resource for Latin America. She joined Latin Lawyer in 2005, since helping to overseeing the expansion of the magazine into a daily news service as well as a successful conferencing arm. She has also helped launch LACCA, a multijurisdictional networking and best practices association designed to help in-house counsel meet and learn from each other, through a range of meetings and events, as well as dedicated content designed for their needs. Before joining Latin Lawyer she worked for a municipal government agency in London, building training and development programmes for trainee teachers and teaching assistants. Juan Pablo Cappello is a shareholder at Greenberg Traurig LLP, based in the Miami office. He has wide-ranging capital markets experience in cross-border corporate finance, mergers and acquisitions, and joint ventures. Mr. Cappello is a pragmatic legal adviser respected throughout Latin America and Europe. He was a partner, the EVP, Corporate Secretary, and General Counsel of Patagon, a financial institution with retail brokerage and banking operations in Spain, Germany, Brazil, Mexico, Argentina, Chile, Venezuela, and the United States. While at Patagon, Mr. Cappello was responsible for all legal and compliance matters. He structured acquisitions of financial institutions in six countries and the sale of a controlling interest in Patagon to Banco Santander for more than US$750 million. Earlier in his career, Mr. Cappello was the general counsel and SVP of SKY Latin America, a more than US$1 billion joint venture of News Corp, Televisa, Globo and Liberty Media. Mr. Cappello also established The Private Advising Group, a unique and successful international private equity and strategic consulting firm. Mr. Cappello, a Chilean native, has law firm experience both on Wall Street and in Chile. Earlier in his career, he worked at Cleary, Gottlieb, Steen and Hamilton (New York) and Philippi, Yrarrazaval (Santiago) where he focused on international financings, securities offerings, and joint ventures. Mr. Cappello is a frequent lecturer at international conferences, speaking often on the structurings of international business transactions and cross-border investments. Rafael Mendes Gomes, general counsel, Wal-mart Brasil. Seasoned corporate counsel with substantial experience as both in-house and outside counsel in the information technology and retail sectors, anti-bribery/fcpa, compliance, consumer, labour, competition and distribution laws, M&A, real estate, and international transactions. Acted as head of the Legal Department of U.S. based companies in many jurisdictions in Latin America and held worldwide legal manager roles for over 2 years, based in California. Head of Wal-Mart Brasil's Legal Department since August, Graduated in 1997 from the Law School of the University of the São Paulo - USP. Holds a Postgraduate Degree in Business Law from the Catholic University of São Paulo PUC-SP (1998) and concluded the post-graduate course Business in the Digital Era at the Business School of the Fundação Getúlio Vargas São Paulo FGV/SP in Completed the Advanced Management Program AMP of the IESE Business School of the University of Navarra in Certified

Jed Hepworth is Vice President and Latin America General Counsel in the law department at Cargill. He gained his BA/JD at Stanford in 1976 and has been at Cargill for his career since. He was appointed Latin America General Counsel in 1995, and now leads a team of 49 lawyers and 73 total staff spread across the region, in Argentina, Brazil, Venezuela, Costa Rica, Honduras, Nicaragua, Paraguay and Mexico ; only 3 lawyers are based in the USA and the rest are nationals working in their own countries. Professional experience & areas of expertise: M&A, Joint Ventures, Compliance, Investigations, US Laws, and trade law. Languages: Spanish. Samuel Libnic has been the General Counsel and Managing Director for Citigroup's operations in Central and South America and the Caribbean since In April 2010 he also became a member of Citigroup's Legal Management Committee. Most recently, Samuel expanded upon his responsibilities when he became the Head of the Legal Department for Citi Brazil in November Samuel's responsibilities include overseeing legal coverage for all products and businesses in the region, as well as managing Citi Brazil's day-to-day legal matters. Prior to becoming General Counsel, he held a number of positions of increasing responsibility since joining the company in 1996, including General Counsel of the Global Corporate and Investment Bank for Citibank Mexico. Before joining Citi, Samuel worked for three years at Shearman & Sterling in New York and for seven years with Basham, Ringe and Correa, one of the most prestigious law firms in Mexico. He holds a Juris Doctor with honors from the Anahuac University in Mexico, as well as an LLM from Georgetown Law School and is licensed to practice law both in Mexico and New York. Eduardo Nogueira graduated in economics from Unicamp (Universidade Estadual de Campinas) and in Law from PUC (Pontificia Universidade Católica de Campinas). He also has a post graduation in Tax Law, also issued by PUC in Campinas and a Fraud Investigation Certification issued by Webster University. He started his career as a trainee at the former Brazilian division of DaimlerChrysler Rail Systems, worked as a Consultant at Deloitte and in private practicing at local law firm. Eduardo joined the Deutsche Post DHL group in 2004 at the former Exel Logistics Brazilian operation. In 2006 he became responsible for the legal department integration after the Exel acquisition and subsequently led the legal department in Brazil. Since the beginning of 2010 Eduardo has been leading the Latam Legal Department of DHL Supply Chain division holding a position of legal director and assistant general counsel. His areas of focus are tax compliance, corporate compliance, corporate governance and commercial contracts. He leads a team of 10 people in Brazil, Argentina, Chile and Mexico, besides the work with external counsel in Bolivia, Peru, Venezuela and Colombia. Eduardo also works as a professor for Business Law at Anhanguera University.

4 He is fluent in Portuguese, Spanish and English. Sebastian O'Meara is the Editor-in-chief and founder of Latin Lawyer and has been closely involved in analysing the Latin American legal marketplace for fifteen years. Prior to founding Latin Lawyer he worked as a journalist at the British Broadcasting Corporation and has contributed regularly to publications including the Financial Times, the Guardian and the Sunday Telegraph. José Sariego is the Senior Vice President, Business and Legal Affairs and Secretary for HBO Latin America Group. He is an international corporate and securities lawyer with more than 25 years' experience with law firms and as in-house general counsel. Mr Sariego is currently Senior Vice President Business & Legal Affairs and Secretary for the HBO Latin America Group, a group of companies that distributes HBO and Cinemax premium pay television programming as well as basic pay television programming provided by A&E; AXN; E! Entertainment; Sony Entertainment Television; SonySpin; The Biography Channel; The History Channel; and Warner Channel throughout Latin America, Brazil and the Caribbean. Prior to joining HBO Latin America Group in February 2003, Mr Sariego was Senior Vice President General Counsel and Secretary of MasTec, Inc, a publicly traded international telecommunications contractor, for more than seven years. Mr Sariego was also Senior Corporate Counsel and Secretary for Telemundo Networks, Inc, a publicly traded Spanish language television broadcaster, for one year. He was a partner at the international law firm Kelley Drye & Warren for four years prior to Telemundo, and practiced as an associate with Kelley Drye & Warren and the international Chicago law firm of Jenner & Block for nine years. Mr. Sariego was a professional journalist with The Miami Herald prior to becoming a lawyer. Born in Camaguey, Cuba, Mr Sariego is fluent in English and Spanish, and proficient in Portuguese. He holds licenses to practice law in Florida and Illinois. He is married with two children. Gonzalo Smith. Attorney at Law, Chile (1995) and North Carolina (2010). Licenciado en Derecho, Pontificia Universidad Católica de Chile (1994); LL.M., Harvard Law School (2000). Mr. Smith began his professional career with Carey y Cía., Chile's largest law firm, specializing in corporate law, M&A and intellectual property. Between 2000 and 2001 he was a foreign associate with Davis Polk & Wardwell in New York City, where he worked mainly on securities, M&A and financing. In 2001 he returned to Chile to Carey y Cía. and joined its banking and financing practice. In 2002 he was relocated to Madrid, Spain, where he joined Cuatrecasas Abogados as a foreign associate, focusing his practice on M&A and financing. In 2004 he returned to Chile and remained with Carey y Cía. until later that year, in which he moved in-house to assume as General Counsel of Distribuión y Servicio D&S S.A., Chile's largest supermarket operator and currently Walmart Chile. In 2009 he returned to the United States as Walmart's VP & Ethics & Compliance Officer for Latin America and in 2010 he was appointed Walmart's VP & General Counsel and Ethics Officer for the Latin America region. Mr. Smith has been a Fulbright grantee ( ) and a Law Professor of Commercial Law at Pontificia Universidad Católica de Chile.

5 Simon Strong is a senior managing director and Miami Office Head of FTI Forensic and Litigation Consulting segment. He was formerly with Holder International, Inc, which was acquired by FTI Consulting in January Before joining Holder in 2006, Mr. Strong was Head of Operations for the Andean and Central American Region in the Consulting Services Group of Kroll. Mr. Strong has conducted major, complex and highly sensitive corporate and financial investigations primarily in Peru, Colombia, Ecuador, Venezuela and Panama, obtaining outstanding results for his clients. He has performed work on matters ranging from competitive intelligence to internal investigations, anti-corruption /FCPA compliance and risk assessment reviews, financial fraud, asset searches, homicide and money laundering. Prior to joining Kroll in Miami in 1999, Mr. Strong resided in London where he established his own business intelligence and investigations company, Condor Associates Ltd, focused primarily on the Latin America market but also active in other emerging market regions. His main clients were banks and corporations in the energy and mining sectors. Mr. Strong s professional experience includes a career as an author and investigative journalist. Between 1987 and 1995, while living in Quito, Lima and Bogota, he wrote two renowned books about political violence and corruption: Shining Path (1992) and Whitewash, Pablo Escobar and the Cocaine Wars (1995), which were published in several countries, including the United States and Great Britain. Mr. Strong is a frequent media commentator on Latin American affairs and is fluent in Spanish, English and French. Antonio Vazquez joined Kraft Foods in 1992 as Director of Legal Affairs for Kraft General Foods Spain. In 1994, upon the integration of the Kraft General Foods, Jacobs Suchard, El Almendro and El Caserio businesses in Spain and Portugal, he was promoted to the position of Director of Legal & Corporate Affairs for Kraft Jacobs Suchard Iberia. In January 2000, Antonio was appointed Deputy Chief Legal Counsel for Kraft Foods International, with worldwide responsibilities in the functional legal area, and relocated to New York. Since the acquisition of Nabisco in 2000, Antonio holds the position of Vice President & Chief Counsel of the Kraft Foods Latin America Region, based in Miami. He was confirmed in this same position following the acquisition of Cadbury Adams in Antonio holds a Law Degree from CEU - San Pablo University in Madrid, a Master of Laws from IE- Madrid, and a Master in International Commerce from EAP-Paris. Before joining the company, he was Senior Manager at the Coopers & Lybrand-Spain Law Department. Pamela Woldow is the general counsel for Edge International. Her diverse career has included roles as a practicing attorney, senior in-house counsel, and consultant to major law firms and legal departments worldwide. Over the last several years, she has earned widespread recognition for her pioneering work in transforming law firm-client relationships, including Legal Project Management, Alternative Fee Arrangements, RFPs and law firm selection and convergence programs. The ABA has designated her as a "Legal Rebel" - a change catalyst leading innovation in the practice of law.

6 Pam also specialises in providing advice to General Counsel and Chief Legal Officers on law department operations, cost management, litigation management and management of outside counsel, as well as advising law firms on business development and all aspects of counsel-client relationships. She is a Certified Master Coach with deep experience in individual lawyer coaching and in designing law department leadership development programs. Pam's career has included positions as Principal and General Counsel of Altman Weil, Inc., Chief Counsel of the Pennsylvania Department of Insurance/Deputy General Counsel of Pennsylvania, and Director of Litigation Management for a $2 billion public financial services company operating throughout the U.S. Her earlier legal practice experience included complex commercial and environmental litigation with Sidley & Austin, Duane Morris & Heckscher and a respected environmental litigation boutique. Pam speaks often on trends in the international legal marketplace for such groups as the SuperConference, the Forum for Legal Executives, the Latin American Corporate Counsel Association, the Center for Competitive Management, Institutional Investors Forum, ACC, and the Defense Research Institute. She has been featured in The Australian Corporate Lawyer, the Canadian Corporate Counsel Association Magazine, Latin Lawyer, and The In-House Perspective, and her articles have been widely published in the US and abroad. Pam received her B.A. from Temple University and her J.D. from the Chicago-Kent School of Law. She has been designated a Certified Master Coach by the Behavioral Coaching Institute, and she sits on the Board of the Corporate Counsel Forum (an arm of the International Bar Association).
