Kusy, C.M., C.A.E., Executive Director Re: Airport and Terminal Use Agreement Frontier Airlines, Inc. Date: August 27, 2012 Proposed Motion: Approve Resolution No authorizing an Airport and Terminal Use Agreement with Frontier Airlines, Inc. to provide daily, scheduled passenger service. Narrative: Frontier Airlines is a wholly owned subsidiary of the Indianapolis-based Republic Airways Holding Inc. They are a low cost carrier that currently provides service to approximately 80 destinations, operating more than 350 daily flights, with a base of operations at Denver International Airport. Frontier flies the Airbus A318, A319, and A320, as well as the Embraer 190. Frontier currently serves the Phoenix/Mesa metropolitan area with four daily flights from Phoenix Sky Harbor to Denver. In addition to those flights, Frontier desires to add the Phoenix-Mesa Gateway Airport to their network, with daily service to Denver, beginning November 15, The connection to Denver will allow for additional connecting flights on the Frontier network. The service is expected to generate 80,000 to 90,000 annual passengers, an increase of approximately 7 percent over current levels. Terms Summary: Term: Through December 2016; Carrier may cancel with 90 days advance notice. Service Level: Daily scheduled service. Landing Fee: Waived for one year, then per adopted Rates & Charges. Increases limited to 3% per year. Terminal Use Fee: Waived for one year, then $50 per departure capped at $9,125 per gate per month. Exclusive Use Fee: Waived for one year, then at $17 or $32 per sf per yr, depending on the space. Fueling: Storage fee of $.06/gallon; Into Plane fee of $49 per service. Additional: To promote continue growth and revenue from other sources, a waiver for Terminal Use fees and the original Exclusive Use area may be extended on an annual basis if Frontier grows to 19, 38, and 64 weekly departures. Revenue Estimate: Over the term and based upon no growth, this agreement is expected to generate approximately $375,000 in airport revenue (including fueling) and $900,000 in other revenues (parking, rental cars, concessions). Another $1.3 million is expected in new capital funds from passenger and customer facility charges.
3 RESOLUTION NO WHEREAS, the Phoenix-Mesa Gateway Airport Authority ( Authority ), a joint powers airport authority, was formed pursuant to Arizona Revised Statutes et seq. for the purpose of, among other things, redeveloping portions of the former Williams Air Force Base as a civilian airport known as the Phoenix- Mesa Gateway Airport ( Airport ); and WHEREAS, the Airport Authority desires to enter into an agreement for scheduled passenger service; NOW, THEREFORE, BE IT RESOLVED by the Board of Directors of Phoenix-Mesa Gateway Airport Authority as follows: The Phoenix-Mesa Gateway Airport Authority Board of Directors hereby authorizes an Airport and Terminal Use Agreement with Frontier Airlines, Inc. to provide daily, scheduled passenger service. This Resolution also authorizes the Chair or Executive Director to execute such contract, with such insertions, deletions, and changes as may be approved by the Chair or Executive Director, necessary to carry out the purposes and intent of this Resolution. Date: August 27, 2012 Proposed Motion: Approve Resolution No authorizing a contract with Centennial Contractors Enterprises, Inc. for the fabrication and installation of ticket counters at a cost not to exceed $188, Narrative: To keep pace with existing demand, the Airport has undertaken several remodel/expansion projects in the last five years. The next phase of our terminal expansion consists of relocating the TSA security checkpoint into the Phase I building, remodeling the former checkpoint into additional common use ticket counters, and the addition of an outbound baggage conveyor belt to the TSA baggage make-up area. As a governmental entity, the Airport is able to purchase required materials, construction services, and professional services through the Mohave Educational Cooperative Purchasing contracts. Under a job order contract delivery method, Centennial Contractors Enterprises, Inc. will provide construction services for the Ticketing Terminal remodel project, including the fabrication and installation of ten new ticket counters and the refurbishment of six existing counters. Centennial Contractors will procure the construction services to meet all FAA and federal contracting requirements. The lead time on the ticket counter fabrication requires us to procure these services in advance of other remodel activities to meet a delivery date that synchronizes with the baggage conveyor installation and remodel project. The FAA has approved the use of this procurement method for this portion of the ticketing building remodel project. Fiscal Impact: Pending FAA and ADOT approval of the proposed scope of work and pricing, this project is authorized in the FY12 capital budget and is funded with $178, in FAA grant funds (95 percent), ADOT grant match $4, (2.5 percent), and Airport Authority grant match $4, (2.5 percent) as Project No. 780.

Invitation for Bids No IFB for a baggage conveyor system was issued on July 25, The solicitation was posted on the Phoenix-Mesa Gateway Airport web site and advertised in the East Valley Tribune on July 29, August 1, 5, and 8, 2012, as well as the AZ Business Gazette on August 2 and 9, It was also sent out to eight known providers. No pre-bid meeting was conducted. The bid opening was August 15, 2012, and three bids were received: Contractor Total Bid 1. G&S Mechanical, USA, Inc. $568, Automatic Systems, Inc. $689, The Horsley Company $718, It is recommended that a contract be awarded to the lowest responsive and responsible bidder, G & S Mechanical, USA, Inc., for a total amount not to exceed $568, Fiscal Impact: Pending FAA and ADOT approval of the proposed scope of work and pricing, this project is authorized in the FY12 capital budget and is funded with FAA grant funds (95 percent), ADOT grant match (2.5 percent), and Airport Authority grant match (2.5 percent) as Project No. 780.

The next phase of our terminal expansion consists of relocating the TSA security checkpoint into the Phase I building, remodeling the former checkpoint into additional common use ticket counters, and the addition of an outbound baggage conveyor belt to the TSA baggage make-up area. In support of large capital projects such as this, the Airport Authority utilizes professional construction administration services. These services are needed to ensure that the Airport Authority manages the project in accordance with the project specifications, and to ensure compliance with federal and state grant requirements. As the architect of the improvements, DWL will provide construction administration, inspection, and testing services during the renovation of the Terminal Ticketing Building and relocation of the TSA security checkpoint. In 2007, a request for qualifications for Architectural and Planning Services was issued; DWL Architects was selected as the most qualified firm. DWL has since completed a terminal planning study, Terminal Expansion Phase I and Phase II designs, and Ticketing Terminal Renovation design. In accordance with the terms of our agreement, DWL worked with Airport staff to refine a scope of work for the construction administration services. The cost for these services was negotiated based upon the contract fee schedule at a cost not to exceed $183,103.00, which has been verified via an independent fee estimate by another firm. Fiscal Impact: Pending FAA and ADOT approval of the proposed scope of work and pricing, this project is authorized in the FY12 capital budget and is funded with $173, in FAA grant funds (95 percent), ADOT grant match $4, (2.5 percent), and Airport Authority grant match $4, (2.5 percent) as Project No. 780.
