2 The Company Avistone, LLC is a California-based real estate investment management firm engaged in opportunistic and yield-oriented investments, which involve commercial, residential, and hospitality real estate properties across the country. Through its affiliate, Avistone Capital Corporation, the firm provides a full range of capital options consisting of senior debt, mezzanine financing, preferred and joint venture equity, participating mortgages and construction financing to property owners and developers. The firm acts as both a direct lender and a loan correspondent for commercial banks, life companies, Wall Street firms, credit corporations, private lenders, high net worth individuals and pension advisers. 8 Proven Investment Strategy Our strategy is designed to create value within opportunities and maximize returns for our investors. We currently focus on obtaining the highest possible risk-adjusted returns through the purchase (either directly or through joint ventures with other sophisticated sponsors) of office, industrial, retail and multifamily properties at or below replacement cost. Avistone will create and implement a business plan intended to increase cash flow and/or base asset value that, in turn, optimizes yield, equity multiple and IRR. Investments are made primarily in markets located within the Western U.S., specifically on assets valued between $5 and $25 million, where ownership is fragmented and where market inefficiencies are present. To ensure the foundation of this strategy, Avistone has assembled a top-level team of experienced investment professionals known for its extensive reach for acquisition opportunities, unsurpassed analytical skills and market monitoring expertise. The final selection of investments is supported by a rigorous underwriting and comprehensive due diligence process, as well as a collaborative decision-making procedure spearheaded by Avistone s investment professionals.

11 Principals Richard M. Kent, Managing Principal As Co-Founder and Managing Principal of Avistone, Richard brings more than 30 years of valuable experience in financial services, real estate investment, and mortgage banking to the company. Having completed transactions in multifamily, commercial and hospitality and mortgage valued at more than $2 billion, Richard also served as senior executive at Auction.com Commercial prior to founding Avistone. As senior executive, his primary responsibilities had involved the procurement and management of auctioned multifamily, commercial and hospitality properties valued over $600 million. Over the course of his career, Richard has held senior positions in the multifamily and commercial real estate departments of Wall Street firms, commercial banks and real estate brokerage firms, including Salomon Smith Barney, Commercial Capital Bank (now JP Morgan Chase), Deutsche Bank Berkshire Mortgage and Wedge Capital Partners. His career in the institutional financial markets began at Drexel Burnham Lambert, where he developed an expertise in trading mortgage-backed securities and hedging interest rate risk in the financial futures markets. With his relevant experience and exceptional performance in real estate management, Richard has been a speaker and panelist at numerous commercial real estate conferences over the years, most recently discussing distressed assets and the auction process at NAIOP and Special Asset Management Association events. A licensed California real estate broker, he earned his B.A. degree in Economics at San Diego State University. Richard currently resides in Orange County, California. 12 Principals Daniel P. Culler, Managing Principal Daniel is Co-Founder and Managing Principal of Avistone, where he is primarily responsible for property acquisitions and asset management. Having acquired more than 20 years of experience in the private equity investment, asset management and commercial real estate brokerage industries, Daniel has successfully completed more than $2 billion worth of property transactions. Prior to founding Avistone, Daniel served as the Chief Operating Officer of Auction.com Commercial, where he formed the commercial auction division and developed strategic partnerships with global multifamily and commercial real estate services firms, special servicers and banks. Daniel also served as Vice President of Asset Management and Dispositions at CT Realty Corporation (now CTR Investors based in Newport Beach, California) prior to his chief officer role at Auction.com Commercial. As VP he played an integral function in the acquisition, management and disposition of opportunistic, value-added real estate investments, which included multifamily, industrial, R&D, office and retail properties. During his tenure at CT, the firm acquired 153 properties, including 5,450 apartment units and 9.5 million square feet of commercial space valued at more than $1.5 billion. Daniel began his career with Lee & Associates Commercial Real Estate Services, where he leased and/or sold over 3 million square feet of industrial and office space in Southern California. He is an alumnus of California Polytechnic University, where he received both his BS in Finance and MBA degrees. An active member of the NAIOP, ICSC, BIA and NAREIT organizations and a licensed California real estate broker, Daniel resides in Orange County, California.
