The Connetion Applint requires onnetion to Essentil Energy s trnsmission nd distriution network for the purposes of the Projet nd hs een supplied with nd onsidered the Guidelines nd Negotiting Frmework. On [Dte] the Connetion Applint mde Connetion Enquiry to Essentil Energy in reltion to the Projet. Essentil Energy provided Connetion Enquiry Response on [Dte]. This Agreement sets out Essentil Energy nd the Connetion Applint s rights, oligtions nd responsiilities in reltion to investigting the proposed onnetion nd pyment of the Costs in reltion to the Projet. The provision of network servies (s defined in the Rules) will e the sujet of seprte negotited Connetion Agreement. 9 Commeril-in-Confidene Connetion Investigtion Servies Agreement 3 LAND ACCESS INVESTIGATION AGREEMENT 1 If the Projet requires the onstrution of n ETL, the Connetion Applint must lso enter into n LAIA with Essentil Energy. 4 ENGAGING CONSULTANTS 1 Before the Connetion Applint engges Consultnt in reltion to the Projet, the Connetion Applint must: ensure tht the Consultnt hs pproprite qulifitions nd expertise to perform the work required; nd notify Essentil Energy in writing of the proposed ppointment. 2 The Connetion Applint is responsile for mnging Consultnts whih it hs engged sujet to Essentil Energy s requirements nd instrutions relting to the Projet. 3 The Connetion Applint must provide to Essentil Energy ll douments nd informtion in reltion to work undertken y the Consultnt s my e resonly requested y Essentil Energy. 4 The Connetion Applint, in engging nd mnging its Consultnt or su onsultnt, must ensure tht the Consultnt or su onsultnt: d e omplies with ll Lws; keeps ll informtion relting to the Projet onfidentil; sumits, on request, list of ll key personnel engged in the Projet nd their expertise; grnts to the Connetion Applint nd to Essentil Energy non-exlusive liene to use ny Intelletul Property in ny mteril provided to the Connetion Applint for the purposes of the Projet or ny lter modifition to the Projet; in the performne of its servies on the Projet: i ii iii iv v ensures tht ll work is exeuted with the highest stndrds of re, skill, ompetene nd diligene nd shll e suitle for their intended purpose; provides resons for eh opinion expressed nd provides detils of ny exmintions, tests or other investigtions on whih the Consultnt hs relied nd, if the opinion expressed y the Consultnt is not onluded opinion euse of insuffiient reserh or dt, expresses this lerly in ny report provided; does not use dislimers or limittion sttements to ompromise the Consultnt s responsiility to provide urte informtion; ensures tht ll work is rendered with due diligene nd integrity in good nd workmnlike mnner nd in ordne with the highest professionl nd ethil stndrds; nd performs them in sound nd ommerilly resonle mnner with the stndrd of due diligene nd re normlly employed y duly qulified persons in the performne of omprle work nd in ordne with generlly epted prties pproprite to the tivities undertken. 5 The Connetion Applint is lile for nd must py the osts of ny Consultnt or su onsultnt ppointed y it nd ny dditionl Aredited Servie Providers ppointed. 10 Commeril-in-Confidene Connetion Investigtion Servies Agreement 6 In rrying out work in reltion to the Projet, ny Consultnt ts in its pity s onsultnt nd under the diretion nd ontrol of the Connetion Applint unless ppointed y Essentil Energy in ordne with Cluse 4(7). 7 Essentil Energy my engge onsultnts to ssist, undertke or perform work pertining to the Projet on its ehlf nd in its resonle disretion. 5 CONNECTION APPLICANT TO CONSULT, ATTEND MEETINGS AND PROVIDE PROGRESS REPORTS 1 The Connetion Applint must provide Essentil Energy with progress reports in reltion to the Projet (Reports). 2 The Reports re to inlude: the results of ll investigtions nd environmentl ssessment if required; opies of ll reports, studies nd surveys; nd opies of ll pprovls with uthorities in reltion to the Projet, ville from time to time during the Investigtion. 3 The Reports must e provided to the person notified y Essentil Energy. 4 Essentil Energy my diret the Connetion Applint to provide Reports s frequently s required y the Projet. 5 The Connetion Applint must ttend nd prtiipte in ny meetings or teleonferenes resonly proposed y Essentil Energy to ssist in the mngement of the Investigtion. 6 Sujet to this luse 5, the Connetion Applint must use ny pro form douments provided y Essentil Energy for use in reltion to the Projet nd must not vry, mend, lter or tmper with the pro form douments without the express prior onsent in writing of Essentil Energy. 7 Sujet to luse 6 ove, the Connetion Applint must onsult with nd otin the express written onsent of Essentil Energy efore it enters into ny ommunition with lnd holders, government genies, regultors or ny other stkeholders in reltion to the Projet where tht ommunition refers to Essentil Energy s role or rights in reltion to the Projet. 6 PRE-CONDITIONS, APPROVALS AND PERMITS 1 The Connetion Applint must stisfy Essentil Energy tht ll neessry Preonditions, pprovls nd permits under the Lw re in ple efore the ommenement of the Projet. 2 The prties knowledge tht further greement for onnetion will e required to e entered into one the Investigtion hs progressed. 11 Commeril-in-Confidene Connetion Investigtion Servies Agreement 7 CONNECTION APPLICANT S ACKNOWLEDGEMENTS AND COSTS 1 The Connetion Applint knowledges tht Essentil Energy will inur Costs ssoited with the Investigtion inluding, without limittion, Costs in onnetion with the following: d e f undertking informtion exhnge with the Connetion Applint nd negotitions with respet to: i ii iii iv v ess stndrds; plnt stndrds, prtiulrly in respet of the position, design nd opertion of ny Susttion; network detils nd onstrution issues; onnetion requirements; tehnil requirements nd design speifitions; reviewing nd onsidering informtion supplied y the Connetion Applint inluding: i ii onstrution progrms; nd onnetion ssets (eletriity works) to e trnsferred to Essentil Energy; responding to enquiries of the Connetion Applint; onsulting with relevnt third prties, inluding those required to e onsulted under Chpter 5 of the Rules (inluding pyment of their fees s levied); otining legl dvie on the doumenttion diretly relted to the Projet whih inludes: i ii review of doumenttion ssessing the Projet; nd otining the neessry pprovls for the Projet; nd otherwise omplying with the onnetion pplition proesses set out in Chpter 5 of the Rules. 2 The Connetion Applint: d e knowledges Essentil Energy hs provided or mde ville to the Connetion Applint the Guidelines nd the Negotiting Frmework; knowledges it hs red the Guidelines nd the Negotiting Frmework nd is wre of the omplexity of the proesses nd their ost; must omply with the proesses set out in the Guidelines nd the Negotiting Frmework to the extent nd in the mnner required to do so y the Rules; must omplete Timeline nd sumit it to Essentil Energy for review nd omment within 7 dys of the dte of this Agreement; nd knowledges the Timeline my e vried y greement in writing y the prties, eh prty ting resonly. 12 Commeril-in-Confidene Connetion Investigtion Servies Agreement 8 ESTIMATES 1 The Connetion Applint knowledges tht the Estimtes re estimtes only nd re sed upon: Essentil Energy s resonle estimte mde from time to time of the Costs of providing servies under this Agreement; nd informtion provided y the Connetion Applint, the Consultnts nd the Aredited Servies Providers to Essentil Energy inluding ut not limited to the: i ii iii iv v lotion where the Connetion Applint requires onnetion of eletriity; required eletril pity; distnes involved; essiility of the Projet; nd design pln of the proposed eletriity distriution system. 2 The Connetion Applint grees tht Essentil Energy my t ny time vry the Estimtes if: d e ny Estimte previously provided is likely to inrese; the Connetion Applint provides informtion whih is susequently hnged or is found to e inorret; the Connetion Applint requests informtion or ssistne not detiled in the Connetion Enquiry or Connetion Applition; the Investigtion nd/or Projet hnges or modifies in ny wy; or the Investigtion identifies tht dditionl work nd/or pprovls re required. 3 The Connetion Applint must notify Essentil Energy in writing if the Connetion Applint is wre of ny fts, mtters or irumstnes whih my hnge or modify the Projet in ny wy, whih my result in n inrese of the Costs or revision of the Estimtes. 4 The Connetion Applint my mke written request to Essentil Energy for revised Estimte in reltion to the Projet t ny time. If suh request is reeived y Essentil Energy, then Essentil Energy must use resonle endevours to provide revised Estimte to the Connetion Applint in writing within resonle time sujet to the Connetion Applint produing to Essentil Energy ny neessry dditionl informtion to revise the Estimte. 9 PAYMENT 1 Upon the exeution of this Agreement, the Connetion Applint must py to Essentil Energy the mount speified in Item 2 of Shedule 1 (Upfront Amount) whih will e pplied y Essentil Energy in prt or full (s the se my e) towrds pyment of the Costs. 2 If upon termintion of this Agreement the Costs re less thn the Upfront Amount, then, provided the Connetion Applint is not otherwise in defult of this Agreement, Essentil Energy will refund to the Connetion Applint the lne of the Amount not expended within 21 dys of the termintion of this Agreement. 13 Commeril-in-Confidene Connetion Investigtion Servies Agreement 3 Depending on the sope of the Investigtion, the Connetion Applint my e required to py further mounts to Essentil Energy suh s those set out in luse 7 nd Item 3 of Shedule 1 (Further Amounts) whih will e pplied y Essentil Energy towrds pyment of the Costs. 4 The Connetion Applint must py to Essentil Energy ny Further Amounts provided tht: Essentil Energy hs provided n Invoie to the Connetion Applint under luse 10(1); nd the Costs were ssoited with the Projet nd resonly inurred in onnetion with the Investigtion. 10 INVOICES 1 Essentil Energy will issue Invoies to the Connetion Applint for the Costs whih exeed the Upfront Amount from time to time. 2 The Connetion Applint must py the mount of ny Invoie issued within 21 dys of the dte of the Invoie. 3 All pyments under this Agreement must e mde y heque drwn y n uthorised deposit-tking institution s defined in the Bnking At 1959, y funds trnsfer or y other mehnism greed etween Essentil Energy nd the Connetion Applint. 4 Essentil Energy my hrge dily interest to the Connetion Applint t the Defult Rte, if the Connetion Applint does not py ny Invoie y the due dte referred to in luse INVOICE DISPUTES 1 If the Connetion Applint disputes n Invoie or prt of it, it must within 10 Business Dys of reeipt of the Invoie notify Essentil Energy in writing of: the mount in dispute; nd the resons for the dispute. 2 If there is ny dispute under luse 11.1 of this Agreement, the prties will meet within 5 Business Dys of Essentil Energy reeiving written notie of the dispute from the Connetion Applint nd ttempt in good fith to resolve the dispute. 3 If the prties re unle to resolve the dispute within further period of 10 Business Dys fter the meeting referred to in luse 11.2, then the dispute must e resolved under luse 19 of this Agreement. 4 If ny dispute under luse 11.1 of this Agreement is not resolved y the time for pyment of n Invoie under luse 10.2, the Connetion Applint must still mke ll pyments in full. If, fter the resolution of the dispute, the Connetion Applint is found to hve een overhrged, Essentil Energy will mke n djustment of ounts. 5 If the Connetion Applint does not py ny Invoie within the period referred to nd speified in luse 10.2 of this Agreement, Essentil Energy is entitled to ommene proeedings or tke other steps it onsiders pproprite to reover the Costs due under the Invoie. The prties grees tht nothing in this Agreement grnts the other prty ny Intelletul Property in ny douments or informtion owned or ontrolled y n owner nd/or Intelletul Property in ny informtion or douments used y prty for the Projet remins in the ownership of the owner. 2 The Connetion Applint grnts to Essentil Energy non-exlusive liene for it to use ny Intelletul Property in ny mteril provided to it y the Connetion Applint for the purposes of the Projet or ny lter modifition to the Projet. If requested y Essentil Energy, the Connetion Applint must ooperte fully with Essentil Energy in stopping ny infringement. 4 The Connetion Applint must give to Essentil Energy, t Essentil Energy s expense, ll ssistne in reltion to ny Infringement Proeedings inluding eoming prty to them if requested y Essentil Energy. The expenses of ny proeedings tht my e instituted y Essentil Energy for ny infringement or lleged infringement must e pid for entirely y Essentil Energy. Any reovery from Infringement Proeedings is the property of Essentil Energy. 5 The Connetion Applint my not t ny time ring legl proeedings for nd on ehlf of Essentil Energy with respet to ny infringement of Essentil Energy s intelletul property without the prior onsent in writing of Essentil Energy. If Essentil Energy does onsent, the expenses of ny litigtion tht my e instituted y the Connetion Applint must e pid for entirely y Essentil Energy. Any reovery from these Infringement Proeedings is the sole property of Essentil Energy. 18 CONFIDENTIALITY 1 Eh prty knowledges tht informtion dislosed to it y the other prty under this Agreement is proprietry nd/or onfidentil (Confidentil Informtion). 2 Exept s stted in this Agreement, either prty must not nd must not permit ny of its offiers, employees, gents, ontrtors or relted ompnies to use or to dislose to ny person ny Confidentil Informtion dislosed to it y the other prty under this Agreement without the prior written onsent of the other prty. 3 This luse 18 does not pply to ny informtion whih is: d required to e dislosed under, or for the purpose of implementing the terms of this Agreement; dislosed to ny legl or other professionl dvisers of the Prty tht undertkes not to dislose the informtion to ny other person or entity; generlly ville to the puli (other thn s result of the wrongful dislosure y eh prty); or required to e dislosed y ny Lw. 4 Eh prty knowledges tht: d the Confidentil Informtion is t ll times the property of the other prty; reh of this luse 18 would e hrmful to the usiness interests of the other prty; monetry dmges lone would not e suffiient remedy for reh of this luse 18; nd in ddition to ny other remedy whih my e ville in lw or equity, the owner of the Confidentil Informtion is entitled to interim, interloutory nd permnent injuntions or ny of them to prevent reh of this luse 18 nd to ompel speifi performne of it.
