1 Workshop Agenda REPORTING ON CORPORATE GOVERNANCE An interactive media workshop & Global Launch of the Media Guide on Corporate Governance for Journalists April 16-18, 2012 Ruposhi Bangla Hotel

2 Background The IFC Global Corporate Governance Forum and the International Center for Journalists (ICJF) is organizing this media workshop designed to build capacities among journalist in reporting on issues related to corporate governance. Based on the view that better companies make better societies the overall objective of this event is to draw on journalists unique ability to disseminate information on corporate governance to the business community and to the wider public, and to make both readers and viewers aware of company activities that have significant impact on society. The Global Corporate Governance Forum ( the Forum ) has been providing training for journalists on corporate governance for over six years; similar programs have been organized in Almaty, Belgrade, Cairo, Delhi, Mumbai, Santiago, Sao Paulo, Vietnam, Jordan, and Zambia. Based on the Forum s global expertise a Media Guide has been developed which can serve as a reference for journalists to further their skills on Corporate Governance Reporting. This event serves as the landmark for the Forum s media work as it will host the Global Launch of the Media Guide by Phil Armstrong.. Specific objectives of the workshop are to: Explain and illustrate what corporate governance is Help journalists develop skills in recognizing corporate governance stories Examine major issues in corporations, Family Owned Enterprises and State Owned Enterprises in the region Improve journalists skills in reporting and writing stories that contain corporate governance elements Improve journalists abilities to understand and interpret financial information and present it clearly to the audience After the workshop participants will be able to: Have a better understanding of Corporate Governance principles and concepts as they relate to building a company s reputation Improve their skills on investigative journalism Improve their writing skills as they relate to company reporting Enhance their understanding of financial reporting Enhance their networking skills for better relationship building Workshop Structure Margie Freaney of ICFJ will facilitate the workshop, reporting and discussion session. In additional Aniek Paul, Kolkata bureau chief of Mint will provide regional expertise and examples. Workshop will be conducted mainly in English, local speakers may use a mix of English and Bangla in their presentation Sessions will include presentations and Q&A Speakers will be asked to speak on record or indicate otherwise 2

Corporate governance requires a watch dog the role of media Why is good corporate governance reporting important for emerging markets? How prominent is corporate governance on the list of priorities for an investor local or foreign? How sensitive are investors to adverse developments on corporate governance? Need for media training on CG Presentation and orientation to the media guide Margie Freaney 11:30-12:00 Interactive session on Corporate Governance key concepts and issues 12:00-12:15 Implications for Journalists in South Asia What are the leading/key corporate governance issues, what role can media play in bringing out the key issues with responsible reporting? Discussion led by Aniek Paul, Head of Kolkata Bureau,, MINT In interactive format, the presenters will briefly introduce the concepts underlying corporate governance, and discuss the current issues (followed by Q&A). To make this more interactive, we could ask participants for any examples of their own work in writing about CG, or ask them what difficulties they have in writing about such topics. Moderator: Margaret Freaney Discussants will touch upon the key issues relating to real life issues faced with media accountability, transparency and why that is important impact of favorable and unfavorable media reporting on businesses responsible journalism Q and A Possible role-playing exercise? Why investigating and reporting on corporate governance issues? Examples of how and when it s valuable to use this approach? Which sources we should dig? Which tools can help us? How do we handle push-back or resistance? 5 Day Three (April 18, 2012) 10:00 11:30 Case Study: The Story behind the Numbers: Case Studies from Media Guide Discussion chaired by Adeeb Khan, Partner, KPMG Bangladesh Part 1: General presentation on the basic terms, concepts and presentation of financial accounting that are contained in company annual reports, introducing journalists to the science of investigating and revealing the real story behind the numbers as well as non-financial reporting (followed by Q&A) Part 2: Interactive discussion examining specific annual reports and tying the governance issues to the annual reports presentation and contents. An annual report will have been provided as homework reading for the previous evening. 11:30-11:45 Coffee Break 11:45-12:30 How Journalists can improve Reporting on Corporate Governance Presentation and discussion led by Margie Freaney and Aniek Paul To make this more interactive, we could lead off by asking our participants what ideas they have come up with during the sessions to write their own CG stories, and what difficulties they envision. What can journalists do to increase and improve coverage of corporate governance issues? Tips on what are the red flags, warning signs and interesting angles to look out for?
