3 GOVERNANCE SYMPOSIUM 2016 John Ralston Chairman, AISNSW Board Friday, 22 nd April 2016 Sydney Cricket Ground, Driver Ave, Moore Park, Sydney The introduction of governance standards for the registration of non-government schools has redirected attention to the composition, conduct, competence and decision-making of independent school boards. The NSW Board of Studies, Teaching and Educational Standards (BOSTES) requirement that directors of independent schools undertake professional learning is raising new levels of awareness in the areas of: fiduciary duty conflicts of interest risk strategic thinking and planning financial management transactions with related parties, and executive supervision board dynamics legal liability Following the success of the inaugural symposium last year, the 2016 Governance Symposium will assemble leading scholars, public administrators and business leaders to share their research, experience, insights and contemporary thinking about the practice and purpose of governance in independent schools. Beyond the essential and important tasks of compliance to satisfy regulatory demands, the Symposium will renew attention to the deeper and more engaging role of governance to further the mission of the school. Heads, Chairs, Business Managers and Board Members are encouraged to attend as school teams. Symposium participation will contribute six hours of professional learning towards the BOSTES requirement that all members of school boards undertake twelve hours of professional learning in a three-year cycle.

6 SPEAKERS Chris Jordan AO Chris Jordan was appointed Commissioner of Taxation at the ATO on 1 st January He has extensive tax experience in public and private sector roles and has been an advisor to both sides of government on tax policy and implementation issues. Chris was Chairman of Partners for KPMG NSW until his retirement in 2012 and has previously held the roles of Chair of the Board of Taxation and the Business Tax Working Group, Chairman of the Committee for Sydney, and Board Member of the Bell Shakespeare Company and the Sydney Children s Hospital Foundation. Chris is a Chartered Tax Advisor with the Tax Institute and a Fellow of the Institute of Chartered Accountants. He has a Master of Laws (Sydney University) and Bachelor of Commerce and Law (UNSW). Kate Carnell AO Kate Carnell has recently been appointed as the inaugural Australian Small Business and Family Enterprise Ombudsman, taking up this appointment on 11 th March Kate is currently the CEO of the Australian Chamber of Commerce and Industry (ACCI), Australia s largest and most representative business organisation. ACCI is the leading voice of business in Australia advocating for over 300,000 businesses across all industries. Kate is well known and respected in the not-for-profit and business communities, having served two years as CEO of Beyondblue and four years as CEO of the Australian Food and Grocery Council. Kate served as Chief Minister of the ACT from 1995 to 2000, and was appointed an Officer of the Order of Australia in 2006 for her services to the community through contributions to economic development and support for the business sector, knowledge industries and the medical sector. Kate brings extensive experience and knowledge as an advocate for enterprise and the role of education and skills in the development of people, innovation and business.

7 Dr Judith MacCormick Dr Judith MacCormick is the Principal Partner at BoardFocus Advisory, advising leading company Boards on board effectiveness. Judith has worked in Australia, Europe and Asia in senior management positions in banking and global consulting firms, consulting to multinational companies and the not-for-profit sectors. She was a partner of the global executive search and leadership firm Heidrick & Struggles, with responsibility for Board search and advisory. She has been a director on a number of boards in Australia and overseas, including the British School, Jakarta, and is currently the Chair of Queenwood School. Judith taught MBA programs at the Australian Graduate School of Management (AGSM) here and in Asia, in addition to facilitating programs for the Australian Institute of Company Directors. Judith has a PhD in organisational behaviour and an MBA from AGSM, UNSW. She is a Fellow of the Australian Institute of Company Directors, Visiting Fellow at the Business School at UNSW and a Sasakawa Scholar, publishing papers and articles on the factors influencing organisational performance, leadership and governance. Professor Geoffrey Kiel Professor Geoffrey Kiel is an experienced director, management consultant, manager, academic researcher, entrepreneur and author. He has been a professor of management at two universities, head of two business schools, Senior Deputy Vice-Chancellor at the University of Notre Dame Australia, and a management consultant to over 500 organisations in marketing, management, strategy and corporate governance. He has founded two successful consulting companies and has been a company director on a number of boards in both the for-profit and not-for-profit arenas. He is a widely published management author having authored or co-authored eight books and over 100 papers in marketing, strategy and corporate governance. He is an Emeritus Professor of the University of Queensland and an Honorary Professor of the Australian Catholic University.
