9 19-H NHIDA P&D/JGL 10/16/91 EXTRACT FROM THE MINUTES OF THE MEETING OF THE GOVERNOR AND COUNCIL HELD OCTOBER 30, 1991 IN THE COUNCIL CHAMBER, STATE HOUSE, CONCORD * * * * * * * At 2:00 p.m. The Goveno announced that the next matte to be consideed would be the financing of an industial facility poject by the Industial Development Authoity fo Ameican Bush Company, Inc. in Claemont and declaed that the public heaing on the SUbject had commenced. He said that he and the membes of the Council had eceived the witten ecommendation of the Authoity and othe documentation and infomation with espect to the poject. The Goveno said that the meeting would then hea anyone wishing to speak on the subject.. Clake R. Chandle, Executive Diecto of the Authoity, biefly explained the poject, emphasized that the cedit of the State was not involved and intoduced Gay S. Fust, Pesident of Ameican Bush Company, Inc. The Goveno then epeated that the poceedings wee a public heaing and asked whethe any othe peson wished to speak; thee being none, Councilo Buton intoduced a esolution entitled "A RESOLUTION UNDER RSA 162-I:9 WITH RESPECT TO THE FINANCING OF AN INDUSTRIAL FACILITY BY THE INDUSTRIAL DEVELOPMENT AUTHORITY FOR AMERICAN BRUSH COMPANY, INC. IN CLAREMONT" and moved its adoption, which was seconded by Councilo Steete Afte discussion of the esolution, the Goveno called fo a vote on the motion. 10 19-1 NElDA P&D/JGL 10/16/91 A RESOLUTION UNDER RSA 162-I:9 WITH RESPECT TO THE FINANCING OF AN INDUSTRIAL FACILITY BY THE INDUSTRIAL DEVELOPMENT AUTHORITY FOR AMERICAN BRUSH COMPANY, INC. IN CLAREMONT WHEREAS, the Goveno and Council have eceived fom the Industial Development Authoity (the "Authoity") its witten ecommendation that the Goveno and Council make cetain findings and a detemination pusuant to RSA 162-I:9 with espect to the financing of an industial facility fo Ameican Bush Company, Inc. (the "Boowe") in the City of Claemont by the Authoity's issue of up to $2,180,000 Industial Facility Revenue Bonds unde RSA (the "Act"); WHEREAS, the Goveno and Council have eceived all the documentation and infomation with espect to the tansaction which they have equested; and ('"' WHEREAS, futhe action by the Authoity with espect to the tansaction is subject to the passage of this esolution and cannot be taken until afte its passage; IT IS HEREBY RESOLVED THAT: Section 1. Findings. On the basis of the Authoity'S ecommendation and the documentation and infomation eceived by the Goveno and Council, and afte a public heaing, the Goveno and Council find: (a) Special findings: (1) The Poject consists of the efunding of the outstanding pincipal amount of the $2,150,000 The Industial Development Authoity of the State of New Hampshie Industial Facility Revenue Bond (Ameican Bush Company, Inc Claemont Building Seies), and the $450,000 The Industial Development Authoity of the State of New Hampshie Industial Facility Revenue Bond (Ameican Bush Company, Inc Claemont Equipment Seies) (collectively, the "Pio Bonds"). The Pio Bonds wee oiginally issued to finance the enovation and equipping of an appoximately 116,000 squae foot building located at Industial Boulevad in the City of Claemont which the Boowe leases fom Claemont Aipot Popeties Associates, Limited Patneship fo the manufactue, stoage and distibution of paint applicatos, hadwae and elated poducts (the "Facility"). The Facility is within the

(2) The opeation of the Facility will ceate and peseve employment oppotunities diectly and indiectly within the State of New Hampshie. (b) Geneal findings: (1) The Poject is feasible; (2) The Boowe has the skills and financial esouces necessay to opeate the Facility successfully;,. (3) The LOAN AND TRUST AGREEMENT (which is a combined financing document and secuity document, heeinafte called the "Ageement") contains povisions so that unde no cicumstances will the Authoity be obligated diectly o indiectly to pay poject costs, debt sevice o expenses of opeation, maintenance and upkeep of the Facility except fom Bond poceeds o fom funds eceived unde the Ageement, exclusive of funds eceived theeunde by the Authoity fo its own use; (4) The Ageement does not pupot to ceate any debt of the State with espect to the Facility, othe than a special obligation of the Authoity acting on behalf of the State unde the Act; and (5) The poposed financing of the Poject by the Authoity and the poposed opeation and use of the Facility will seve one o moe needs and implement one o moe puposes set foth in RSA 162-I:1, will peseve o incease the social o economic pospeity of the State and one o moe of its political subdivisions, and will pomote the geneal welfae of the State's citizens. Section 2. Ultimate Finding and Detemination. The Goveno and Council find that the poposed efinancing, opeation and use of the industial Facility seve a public use and povide a public benefit; and the Goveno and Council detemine that the Authoity's financing of the Poject will be within the policy of, and the authoity confeed by, the Act. Section 3. Appoval. The Goveno and Council appove the Authoity's taking such futhe action unde the Act with espect to the tansaction as may be equied.,...
