Banner Restrictins: Because f the structure f the Mrial Cnventin Center, the tp f the hanging banner can be hung as high as 25 frm the flr. In crss-aisle bths, banners ver the aisle may nt be less than 15 frm the flr. Peninsula / Island Bths: All peninsula and island cnfiguratins require apprval by Jan. 26, Detailed plans f the bth MUST be submitted t Shw Management fr apprval t avid prblems during set-up. Slid walls in an island cnfiguratin are prhibited. A sufficient see-thrugh r walk-thrugh area, 5 frm each end f any large displays must be visible s as nt t blck the view f adjacent exhibit bths. Flr Cvering: Bare flrs are prhibited in display areas. Flrs must be cvered in exhibit spaces. Flr cvering must be installed by 4:00 PM n Sunday, March 8, 2015 r Shw Management at its discretin will have the flr cvered and the exhibitr will incur the expense. General Infrmatin and Requirements Abbreviatins: (GES) Glbal Experience Specialist, (BSA) Bth Space Agreement Bth Height Restrictins: Bth height is restricted t a 20 maximum n the entire exp flr. N Shw Plicy: Any bth unccupied by 8 AM n Mnday, March 9, 2015 will be regarded as a n-shw. There is n refund. All freight will be remved frm the exhibitr s bth and returned t the lading dck at the exhibitr s expense. An unmanned bth is a n-shw and will result in a 20% reductin f senirity. Children n the Exp Flr: N ne under the age f 16 is permitted n the expsitin flr during set-up and tear-dwn. N strllers, backpacks, carriages, r similar devices fr transprting children are permitted at any time. Children under the age f 16 must register in the Registratin Office in rder t be admitted t the expsitin flr and must be accmpanied by a registered adult. Overhead Lighting: Overhead lighting and lighting trusses require apprval by the Pittcn Expsitin Management. All submissins fr apprvals must be received by January 26, Exhibitrs shall adhere t the fllwing minimum guidelines: Lighting must be directed t the inner cnfines f the bth space and shall nt prject nt ther exhibits r expsitin aisles. Any lighting truss must be ffset frm the bundaries f the bth by 5 (1.5 m) n all sides. The csts fr rigging and wiring are the exhibitrs respnsibility. Specialized Lighting: Specialized lighting requires apprval by the Pittcn Expsitin Management and is subject t nsite inspectin prir t use at Pittcn All submissins fr apprvals must be received by January 26, Lighting that spins, rtates r pulsates and ther specialized lighting effects shall nt interfere with neighbring exhibitrs r therwise detract frm the general atmsphere f the event. Hanging Banners: are ONLY permitted ver island, peninsula and crss-aisle bths and seminar rms. Because f the structure f the Mrial Cnventin Center, the tp f the hanging banner can be hung as high as 25 frm the flr. There is n height limit fr the bttm f the banner, unless yu are placing it ver a crss aisle. The bttm f the banner fr a crss-aisle shall nt be lwer than 15 frm the flr. Hanging Banners require apprval by the Pittcn Expsitin Management. Only thse exhibitrs n the apprved list will receive rigging services frm GES. The deadline fr submissin f banner requests with detailed drawings and payment is January 26, Banners fr in-line cnfiguratins are permitted as lng as the banners are suspended frm the bth structure and d nt vilate height restrictins fr the bth. These banners may nt be suspended frm the ceiling. Text and graphics must face int the bth and the back f the sign must be finished. N part f the graphic can be visible frm the back f the bth. This includes any see-thrugh panels where text / 4

5 graphics are visible frm the back side. The csts and prductin f banners, as well as any rigging, are the exhibitrs respnsibility. Island Bths: are blcks f space with aisles n fur sides and at least ne interir crss aisle purchased by the exhibiting cmpany with a minimum ttal space f 1,500 square feet. An Island Bth may als have ne r mre 10 x 10 duble-decker bths. Within Island Bths, full use f the flr space t the maximum height fr the area (20 ) is permitted, hwever, sufficient see-thrugh r walk-thrugh area must be prvided s as nt t blck the view f adjacent exhibits. The Pittcn Expsitin Management MUST be ntified f any slid structure n any side such as a wall r built in strage, prir t bth space assignment. Bth Appearance: Areas next t adjining bths r visible frm the aisles Bare flrs are prhibited in display areas. Flrs must be cvered in exhibit spaces. Flr cvering must be installed by 4:00 PM n Sunday, March 8, 2015 r Shw Management at its discretin will have the flr cvered and the exhibitr will incur the expense. Any prtin f the exhibit brdering anther Exhibitr s bth must have the back side f that prtin finished and must nt carry any identificatin signs r ther cpy that wuld detract frm the adjining exhibit. Text and graphics must face int the bth and the back f the sign must be finished. N part f the graphic can be visible frm the back f the bth. This includes any see-thrugh panels where text / graphics are visible frm the back side. Expsed, unfinished backgrunds must be draped t present an attractive appearance as determined by the Expsitin Management. If such draping is nt rdered by the Exhibitr, GES, with the apprval f the Pittcn Expsitin Management, will install it and charge the Exhibitr. If yu are assigned a linear bth n a crner, yu must be prepared t drape the area next t the aisle (which shws the back f yur bth space) at the Exhibitr s expense. Clearances: Exhibitrs must allw sufficient space fr electrical, plumbing and ther cnnectins in the rear f their alltted 10' x 10' spaces. Exhibit structures must be limited t 10 x 9.5 t allw sufficient clearances at the rear f the bth fr such services. The Exhibitr shall restrict exhibit t the established bundaries f their bth(s). Unless therwise stated, all aisles are 10' wide with 9' aisle carpet. Expsitin Hurs: The Expsitin will be pen t all prperly badged attendees during the fllwing hurs: Mnday, March 9, 2015 t Wednesday, March 11, 2015 frm 9:00 AM t 5:00 PM; and Thursday, March 12, 2015 frm 9:00 AM t 3:00 PM, subject t change n ntice. Exhibitrs will be given access t the Expsitin Area frm 7:00 AM every day until 7:00 PM each day. Exhibitr admittance t the Expsitin Area at times ther than thse listed will be by pass nly and will require an accmpanying security guard; the cst f said guard will be paid by the exhibiting cmpany. During set-up and tear-dwn, all prperly badged exhibitr persnnel will have access t the Expsitin Area. On Sunday, March 8, 2015 Exhibitrs may wrk as late as needed. Please nte that all bth flr cvering must be installed by 4:00 PM. Shipping Instructins: Direct shipments t the Mrial Cnventin Center shuld nt be scheduled t arrive befre 8:00 AM n Wednesday, March 9, Shipments t arrive earlier than Wednesday, March 9, 2015 shuld be shipped t the GES Advance Warehuse. See the shipping sectin f the exhibitr s n-line service manual fr addresses. Bth Identificatin and Equipment: N exhibitr identificatin signs r materials will be permitted utside the Exhibitr's bth area with the exceptin f apprved Pittcn Prmtinal Opprtunities. Displays n Seminar Rms: Exhibitrs may display cmpany and prduct related signage and infrmatin n the utside f seminar rms. Hwever, the infrmatin cannt distract frm the appearance f that r nearby seminar rms r cause a disruptin in the area. Exhibiting utside f the seminar rms (e.g., hailing ptential custmers, stpping passers-by) is frbidden. 5

6 Display Installatin: Display installatin in the Mrial Cnventin Center will be permitted beginning Wednesday, March 4, Installatin must be cmpleted by Mnday, March 9, 2015 at 8:00 AM. N labr will be available n Sunday unless prearranged. All crates and large bxes must be ut f the aisle and cntained in yur space by 12:00 Nn, Sunday, March 8, Any exhibit nt unpacked by this time will be placed in the bth space. N exhibitr is allwed t transprt r install expsitin equipment during exhibit hurs withut the apprval f Shw Management. The Pittsburgh Cnference is nt respnsible fr any lss r damage frm any cause t Exhibitr's crates, bxes and shipping material. Display Dismantling: After the exhibit pens n Mnday mrning, March 9, 2015, n part f the exhibitrs display may be remved until the exhibit is fficially clsed unless apprved by Shw Management. Dismantling will begin n sner than 3:01 PM, Thursday, March 12, All display equipment and material must be packed, ready fr shipping by 12:00 Nn, Saturday, March 14, All material handling frms must shw the desired carrier. Glbal Experience Specialists - GES shall have the authrity withut further clearance frm the Exhibitr t change carriers if designated carriers d nt pick up shipments n time. Husekeeping: General maintenance f an exhibit is the sle respnsibility f that Exhibitr. Pressure sensitive tape(s) may nt be used n painted surfaces. All carpet tape must be remved frm the hall flr and residue scraped by the Exhibitr r their Exhibitr Appinted Cntractr (EAC) prir t the end f the last day f mve-ut. Any tape r residue left by Exhibitrs r their EAC will be remved by GES beginning Saturday, March 14, 2015, and the Exhibitr charged fr the service at the published vertime hurly rate. Flrs must be prtected against dripping il r ther substances. If the premises are damaged in any way by act f negligence n the part f any Exhibitr, its agents, servants, r guests, the Exhibitr will pay restitutin fr such damages t the Mrial Cnventin Center. Music, Phtgraphs and Other Cpyrighted Materials: Each Exhibitr is respnsible fr btaining all necessary licenses and permits t use music, phtgraphs r ther cpyrighted material in Exhibitr's bth r display. This prvisin shall nt be deemed a waiver r mdificatin f Paragraph 14 f the Terms and Cnditins f the 2015 Bth Space Agreement and Exhibitr shall remain liable fr and shall indemnify and hld the Cnference and the Authrity, their agents and emplyees, harmless frm all lss, cst, claims, causes f actin, suits, damages, liability, expenses and csts, including reasnable attrney's fees, arising frm r ut f any vilatin r infringement (r claimed vilatin r infringement) by Exhibitr, Exhibitr's agents r emplyees f any patent, cpyright r trade secrets r privileges. Insurance: Each Exhibitr shall prvide The Pittcn Expsitin Management with a certificate f insurance evidencing that during the setup and exhibitin dates f Pittcn 2015, Exhibitr will have in full frce and effect a cmprehensive general liability insurance plicy als cntaining cntractual liability insurance and cvering claims f bdily injury, death and prperty liability arising ut f Exhibitr's peratins, assumed liability fr use f Space and Cnventin Center, with a cmbined single limit f at least $1,000, Exhibitr's insurance must prvide that it is primary cverage fr all risks. On the certificate please be certain that the cmpany name under which yu are exhibiting is specifically stated. This will assist us in the event that yur insurance is carried under the name f a parent cmpany. If the Exhibitr is unable t btain this cverage, the Exhibitr must sign and return the "WAIVER AND RELEASE". By signing this waiver, the exhibitr assumes all respnsibility and releases The Pittsburgh Cnference frm all claims arising frm the Exhibitr's participatin in Pittcn The Cnference highly recmmends that Exhibitrs make every effrt t btain the general liability insurance. Canpies: Canpies r false ceilings may be used in displays but are limited t a maximum height f 20. Canpies may nt verhang the aisles in any cnfiguratin. Canpies are NOT permitted in a standard 10 x 10 bth since they are ver 4 in height and are within 9 f the neighbring bth. Identificatin signs and ther cpy are nt permitted n the back and/r sides f extended height canpies which are within 9' f and face an adjining exhibit. Bth appearance rules als apply t canpies Twers: Twers may be used in displays but are limited t a maximum height f 20. Twers may nt be placed in the part f any bth that is 5 frm the frnt AND within 9 f a neighbring bth. Identificatin signs and ther cpy are nt permitted n the back and/r sides f extended height twers which are within 9' f and face an adjining exhibit. Bth appearance rules als apply t twers. Raised Flrs: Raised flrs r platfrms are permitted as lng as the cmbined height f the platfrm, display material, equipment and peple standing n the platfrm cnfrms t the height restrictins f the specific bth cnfiguratin. Raised flrs ver 1 (0.30 m) in height will require a safety railing and drawings must be available fr inspectin by the Pittcn Expsitin Management, GES and the Mrial Cnventin Center fficials during the time the platfrm is being erected, in use and dismantled. The drawings must include the signature r stamp f a structural engineer. REGULATIONS GOVERNING FLAMMABLES, COMPRESSED GASES, AND HAZARDOUS MATERIALS: (a) Exhibitrs, service cntractrs and event prmters must cmply with all Federal, State and lcal fire and building cdes that apply t places f public assembly. All curtains, bunting, draping, etc., must be made f flame retardant materials. Fabrics must pass the NFPA-701 Cde, and all ther cnstructin and decratin materials must pass the NFPA-703, Chapter 2 Cde. (b) Firefighting and emergency equipment may nt be hidden r bstructed, including fire extinguishers, strbes, fire hse cabinets and standpipes. All emergency exits, hallways and aisles leading frm the Mrial Cnventin Center must be kept clear and unbstructed. Fire lanes must be maintained at all times n the lading dck. (c) FLAMMABLE fluids, substances r materials f any nature may nt be used in any bth. All decrative materials must be flame-prfed befre being taken int exhibit area. All materials and installatin must cmply with the requirements f all inspectin authrities wh have jurisdictin. (d) Shredded paper, excelsir, fams and ther flammable plastic materials used in packing must be remved frm the building. By rder f the Fire Bureau, n flammable material is t be scattered in r behind the bth. (e) Yu may nt stre empty cartns in r behind yur bth back wall. All empty bxes, crates and cartns used t ship r stre equipment r supplies must be placed in strage areas designated by Expsitin Management and the Fire Bureau. (f) The City f New Orleans fire regulatins state that nly a ne-day supply f peratinal and advertising material, 7

8 prduct r literature may be stred within the bth, but nt behind yur bth back wall. (g) The Exhibitr shall nt bring upn the premises any exhibit, equipment r vehicle that, in the judgment f the Mrial Cnventin Center, wuld be r might be dangerus t persns r prperty r therwise incmpatible with the structure, systems and furnishings. Hazardus chemicals and materials, including but nt limited t, pesticides, herbicides, pisns, flammable and cmbustible liquids, hazardus gases, pressure cylinders and tanks, and hazardus chemicals (including xidizers) are prhibited inside the Mrial Cnventin Center. (h) When designing yur demnstratins and displays, please nte that the fllwing devices require pre-apprval by the Mrial Cnventin Center: 1. Lasers - All Exhibitrs planning t demnstrate r display lasers shuld be familiar with the cntents f the American Natinal Standard Z136.1, the Safe Use f Lasers. Particular attentin shuld be fcused n sectin relating t laser demnstratins and displays. Any ptentially dangerus laser beams must be enclsed r therwise made inaccessible t visitrs. All laser beams must terminate in a beam blck substantial enugh and suitable fr the energy and wavelength. Precautins must be taken t minimize all expsure t stray laser beams, spurius reflectins, and any intense nn-laser light surces (e.g., UV arc lamps, flash lamps, dye flurescence) that can pse a serius eye hazard. 2. Heating appliances 3. Gasline, kersene r ther flammable, txic liquid, slid r gas - a limited supply f these fuels may be stred in the demnstratin device, but cannt be stred vernight. All fuel transfers must utilize safety cans during nn-exhibit hurs. 4. Cmpressed gas r cmpressed liquid cylinders - Excess fuel/cylinders must be prperly stred utside. Cmpressed gas cylinders used in the bth must be securely anchred t prevent tppling. It is the exhibitrs respnsibility t ensure that all cmpressed gas cylinders are prperly secured at all times. If they are nt prperly secured, the Pittsburgh Cnference Expsitin Management will have them secured and the exhibitr will be charged accrdingly. Regulatins gverning the use f flammables, cmpressed gases, and hazardus materials are included in the Mrial Cnventin Center Exhibitr Plicies. Any chemical, substance r material deemed hazardus by O.S.H.A. requires preapprval and must be accmpanied with the apprpriate M.S.D.S. The Mrial Cnventin Center Fire Safety Office will need cpies f the M.S.D.S. befre the materials arrive. (i) All L.P. Gases are fire-hazardus and prhibited in the Mrial Cnventin Center. Cmpressed inert gases may be used prvided the vessels are stred in a safe manner. Demnstratins invlving inert gases must cmply with all Federal and lcal regulatins. (j) The Exhibitr is respnsible fr remval f hazardus waste and must cmply with all applicable Federal, State and lcal regulatins. Hazardus waste includes materials that are ignitable, crrsive, reactive, txic r bihazards (as defined under 40 CFR 261 subpart C and D). If materials are questinable, cntact the Mrial Cnventin Center Event Crdinatin. Csts r applicable administrative expenses incurred by the Mrial Cnventin Center fr the remval f hazardus waste left in r abut will be assessed t the Exhibitr. (k) Exhibitrs shuld be aware that a Fire Safety Officer (FSO) will cnduct inspectins f all exhibits. Any exhibits judged t be unsafe, fr any reasn, will be summarily shut dwn until sufficient crrective mdificatins have been made. Hwever, acceptance f the exhibit by the FSO des nt cnstitute a guarantee that the exhibit meets all safety standards r is safe under all cnditins. (l) Exhibitrs must infrm the Pittsburgh Cnference Expsitin Management at the time f bking space if the exhibit has a ceiling. (m) All exhibits must cmply with the Americans with Disabilities Act. Fr mre infrmatin n cmpliance, cntact the Mrial Cnventin Center Assistant Directr f Fire Safety. (n) Nthing can blck AED bxes and /r fire hse cabinets. 8

9 Seminar Rms (20' x 20' Units) Optin 1- Withut Ceiling ($7,000/unit): This rm is cnstructed f sund-absrbing Velcr panels and will include the fllwing: expsitin-clr carpeting, 2 draped tables, 6 side chairs, 2 wastebaskets and 2 lckable drs. Furniture and additinal items fr the rm can be rented frm GES. Optin 2- With Ceiling ($8,500/unit): This rm is cnstructed f sund-absrbing Velcr panels and will include the fllwing: expsitin-clr carpeting, 2 draped tables, 6 side chairs, 2 wastebaskets, 2 lckable drs, ceiling, lighting, air cnditining and a graphic header. Furniture and additinal items fr the rm can be rented frm GES. Electrical service is a separate cst and must be rdered thrugh GES using their frm which is lcated n the exhibitr services sectin f the website. The Exhibitr Service Manual will be available nline in late Octber. Hanging Banners are permitted ver Seminar Rms. See Page 4 fr mre infrmatin. Bth Cnfiguratins The fllwing infrmatin is based n material endrsed by the Internatinal Assciatin f Exhibitins and Events (IAEE). An Island Bth may als have ne r mre 10 x 10 duble-decker bths. Restrictins: All display material (including but nt limited t bth structure, prduct, instruments, fliage, bk racks and related items) is restricted t 20 in height. Because an island is autmatically separated by the width f an aisle frm all neighbring exhibits, full use f the flr space t the maximum height is permitted; hwever, slid walls in an island cnfiguratin are prhibited. A sufficient seethrugh r walk-thrugh area must be visible s as nt t blck the view f adjacent exhibit bths. Detailed plans f the bth MUST be submitted t The Pittsburgh Cnference Expsitin Management fr apprval t avid prblems during set-up. At least ne crss aisle must be purchased by the exhibiting cmpany. This crss aisle can be used as part f the expsitin area. T assure prper and apprpriate placement n the flr plan, Pittcn Expsitin Management MUST be ntified prir t the bth space assignment f any slid structure n any side f the Island Bth, such as a wall r a built in strage unit. DOUBLE DECKER BOOTHS: All duble-decker bths must adhere t the 20 height maximum, which runs frm the grund flr t the tp f the upper level bth. This includes persns, equipment, and signage. Access t the upper level bth(s) must be included in the flr space f the grund level bths. Three cpies f the detailed plans f the structure fr Duble Decker Bth(s) must be submitted t Pittcn Expsitin Management fr apprval by January 26, Max. Ht. (Metric Cnversins n Page 9) 14 Nte: Smetimes the physical lay-ut f a particular exhibit hall creates small islands which are smaller than 1,500 square feet and/r d nt cntain an interir crss aisle. These islands can be treated as if they were legitimate island bths if the entire island is purchased by ne exhibitr. These islands are unique t specific exhibit halls and their existence cannt be guaranteed.

15 DEMONSTRATIONS Restrictins: Intent Demnstratins are nt permitted n the aisle line f the exhibit. Sufficient area must be designed int the bth space t absrb any crwds. The Expsitin Management will restrict r eliminate any demnstratins that interfere with nrmal traffic flw r that attract crwds which verflw int aisles r neighbring exhibits. These restrictins are applicable t all bth cnfiguratins, including Crss Aisle Bths. The vlume f live r recrded audi demnstratins shall be n luder than 85 decibels at the bth line. Expsitin Management will restrict r eliminate any demnstratins which exceed this limit. The Expsitin Management als reserves the right t restrict r eliminate any demnstratin determined t be interfering with neighbring displays, n matter the vlume. The aisles are t remain pen as public space. Therefre, each exhibitr has the respnsibility t assure prper flw f traffic thrugh the entire exhibit. Large crwds gathering t watch a demnstratin and, thereby interfering with traffic flw and crwding neighbring bths are an infringement n the rights f ther exhibitrs. Aisles must nt be bstructed at any time. Excessively lud audi displays interfere with the ability f neighbring exhibitrs t cmmunicate with their custmers. Aisles are nt bth space and must be kept clear f all display material, exhibitr persnnel, canpies and signs. 15

16 2015 BOOTH SPACE AGREEMENT TERMS AND CONDITIONS 1. DEFINITIONS. The fllwing terms shall have the meanings given belw: i. Agreement shall mean the Exhibitr Bth Space Agreement tgether with (i) these 2015 Bth Space Agreement Terms and Cnditins and (ii) the 2015 Display Rules and Regulatins, all f which tgether shall frm a single integrated cntract. ii. Authrity - shall mean the Mrial Cnventin Center, a plitical subdivisin f the State f Luisiana. iii. Center - thse prtins f the Mrial Cnventin Center licensed by the Authrity t the Cnference. iv. Cnference - The Pittsburgh Cnference n Analytical Chemistry and Applied Spectrscpy, a Pennsylvania nn-prfit crpratin. v. Cnference Week March 8, 2015 thrugh and including March 12, vi. Event - The Pittcn 2015, expsitin f analytical and spectrscpic equipment and materials spnsred by the Cnference, scheduled t take place at the Center, March 9 March 12, 2015 during Cnference Week. vii. Event Hurs - 9:00 AM t 5:00 PM, Mnday, March 9, 2015, t Wednesday, March 11, 2015; and 9:00 AM t 3:00 PM, Thursday March 12, 2015 inclusive, daily, during Cnference Week, subject t change n ntice. viii. Exhibitr - the entity, its parent crpratin, r any subsidiaries n whse behalf the Agreement was executed. ix. Expsitin Chairman - the persn s appinted and designated by the Cnference. x. Space - the bths and/r seminar rms assigned t the Exhibitr by the Cnference. Seminar rms are available fr rental nly t exhibitrs renting bth space. xi. Term March 4, 2015 thrugh and including March 14, LICENSE. Subject t the terms f the Agreement, the Cnference licenses and will make available t the Exhibitr at the Center, the Space fr the Event, Subject t Exhibitr cmplying with the terms f the Agreement, the Exhibitr is entitled t and shall be able t enjy quiet pssessin and use f the Space withut interference by the Cnference r any ther persn. The license hereby granted t Exhibitr is subject t the terms f the Cnference's License frm the Authrity. 3. RESERVATION/CANCELLATION. T reserve the Space, the Agreement payment as specified n the Bth Space Agreement must be returned t the Cnference by August 1, If nt received by this date, the Cnference reserves the right t cancel the Agreement. If Exhibitr's ttal payment is in excess f $15,000, ttal payment must be received by Nvember 17, 2014 r Exhibitr will be deemed t have canceled the Agreement. BOTH THE EXHIBITOR AND THE CONFERENCE SPECIFICALLY RECOGNIZE AND ACKNOWLEDGE THAT THE CONFERENCE WILL SUSTAIN CERTAIN LOSSES IF THE EXHIBITOR CANCELS THE AGREEMENT AFTER ITS EXECUTION. EVEN THOUGH THE CONFERENCE WILL EXERCISE ITS BEST EFFORTS TO RESELL EXHIBITOR'S SPACE, THE PARTIES AGREE THAT THE CONFERENCE WILL INCUR SUBSTANTIAL LOSSES THAT CANNOT BE PRECISELY DETERMINED DUE TO THE DIFFICULTY IF NOT IMPOSSIBILITY OF DETERMINING SUCH LOSSES. ACCORDINGLY, EXHIBITOR AGREES TO THE REFUND POLICY SET FORTH ON THE 2015 BOOTH SPACE AGREEMENT. 4. CONDITION OF CENTER. Exhibitr understands and agrees that the Cnference has nly license t use the Center. The Cnference is nt in any way respnsible fr the cnditin r maintenance f the Center. Exhibitr understands and agrees that all f the Exhibitr's persnal prperty f every kind r descriptin which may at any time be in the Center shall be at the Exhibitr's sle risk, r the risk f thse claiming under Exhibitr. The Cnference and the Authrity shall nt be liable fr any damage t Exhibitr's prperty r lss suffered by any cause whatsever including but nt limited t water frm any surce whatsever r frm the bursting, verflwing r leaking f sewers r steam pipes r frm heating r plumbing fixtures r frm electrical wires r frm gas r drs r caused in any ther manner whatsever. 5. CANCELLATION OF EVENT. Subject nly t the cnditins fr refund set frth in the Agreement, the Cnference shall nt be liable in any way fr any lss, damage r injury resulting frm the cancellatin f Event r frm temprary r permanent clsing fr any reasn f all r any prtin f the Center, unless such cancellatin is caused by the willful act f the Cnference. The Cnference reserves the right t change the lcatin f the Event t ther lcalities r premises. In such event, reasnable prir written ntice will be given t Exhibitr. If reasnable prir written ntice is given t Exhibitr, Exhibitr waives its right t all damages, expenses, lsses r claims f any nature arising ut f such change f lcatin. 6. USE OF SPACE. During the Event, Exhibitr shall use the Space nly fr the exhibit r display f equipment and/r materials manufactured, licensed, distributed and/r sld by Exhibitr. Exhibitr shall nt sublet r share the space with any ther persn r party, except with the prir written cnsent f the Cnference. In n event shall Exhibitr cnduct exhibitins, seminars r distribute literature either utside the Center r in any nn-rented space within the Center at any time during Cnference Week. N exhibitr-spnsred functins shuld be held utside f the leased expsitin space during expsitin hurs withut the written permissin f the Pittsburgh Cnference. Slicitatin r advertisement f any type in r utside f the Center (utside f the exhibitr s rented space) by either exhibitr r exhibitr s cntractr(s) is strictly prhibited with the exceptin f apprved Pittcn Prmtinal Opprtunities. If the Exhibitr vilates this agreement, the Cnference may, at its ptin, remve frm the Center Exhibitr's exhibit, including all equipment and/ r materials belnging t Exhibitr. Exhibitr shall pay the reasnable csts f remval withut liability n the part f the Cnference fr any damage, lss r expense f any srt whatsever. 16

17 7. PERMITS. The Exhibitr at Exhibitr's sle cst and expense shall btain all permits required t be btained frm public authrities in cnnectin with the exhibit r ther activities f the Exhibitr. The Exhibitr shall duly and punctually bserve and cmply with all currently effective laws, rules and requirements, rders, directins, rdinances, and regulatins f (a) the United States f America, the State f Luisiana, the Parish f Orleans, the City f New Orleans and the Authrity; (b) any department bureau, r agency theref; (c) the Bard f Fire Underwriters; (d) any ther bard r rganizatin exercising similar functins r pwers cncerning the exhibit r the activities f the Exhibitr; r (e) any unin cntracts gverning the perfrmance f services with respect t the Center. Exhibitr shall als cmply with all requests f the Authrity and the Cnference with respect t the installatin, cnduct and disassembly f its exhibit. It is the respnsibility f the exhibitr t ntify the apprpriate state agency when NRC-gverned radiatin surces are being transprted acrss state brders. 8. NO CONFERENCE ENDORSEMENT. The Exhibitr shall nt in any way represent that any equipment r material is endrsed r apprved in any way by the Cnference. Exhibitr shall nt use the Cnference letterhead, seal r any ther trademark r service mark f the Cnference in any way fr advertising r crprate use, r in any ther fashin whatsever, except with the prir written cnsent f the Cnference. 9. ASSIGNMENT OF SPACE. The Cnference reserves the right t assign the Space and t regulate the use f the Space r the design and appearance f any bth r seminar rm. This assignment designatin and regulatin shall be at the sle discretin f the Cnference. 10. PROHIBITED CONDUCT. A. The fllwing practices are nt permitted: 1. Distributin f prmtinal material, samples, catalgs, pamphlets, r advertising, utside f the Exhibitr s Bth Space with the exceptin f thse materials included in the purchase f apprved fficial Pittcn Prmtinal Opprtunities. All Materials fr distributin via Prmtinal Opprtunities must be pre-apprved by Pittcn marketing persnnel. 2. Use f disruptive audi equipment; 3. Use f "glf carts" r ther vehicles t transprt cnferees frm bths t seminar rms; 4. Use f nisy electrical r mechanical equipment; 5. Wearing f unfficial badges, cmpany name plates, etc. except in additin t fficial Event badge; 6. Entry int anther Exhibitr's bth withut permissin f that Exhibitr; 7. Phtgraphing r examining anther Exhibitr's bth withut permissin f that Exhibitr; 8. Use f ballns; 9. Demnstratins which create an interference with neighbring exhibits r with the nrmal traffic flw in the aisles; 10. Demnstratins r activities which create a fire, safety r health hazard r which vilate the terms f Paragraph 7 abve; 11. Any actin, practice, r activity, which vilates any f the Pittcn 2015 Display Rules and Regulatins. 12. The dispensing f ppcrn n the expsitin flr. 13. Live animals. B. Any display r cnduct by Exhibitr which unnecessarily bstructs neighbring bths r interferes with free passage in the aisles will nt be permitted. The Cnference reserves the right t frce re-arrangement r remval f any exhibit which, in the Expsitin Chairman's pinin, des nt cmply with this requirement r t remve any persnnel r exhibit fr cnduct which vilates this requirement. C. Unethical cnduct r infractin f rules by the Exhibitr will subject the Exhibitr t dismissal frm the Center. This determinatin shall be at the sle discretin f the Cnference. In this event it is agreed that n refund shall be made and further that n demand fr redress will be made by the Exhibitr. The Cnference agrees t enfrce fr the benefit f Exhibitr all use and similar restrictins placed upn ther exhibitrs and shall assign and transfer t Exhibitr all such rights shuld the Cnference fail t enfrce them in the event Exhibitr seeks t enfrce such rights against any ther Exhibitr. Exhibitr agrees t indemnify and hld the Cnference harmless with respect t any and all claims, demands, damages, lss r expense, including reasnable attrney's fees, arising r resulting frm Exhibitr's enfrcement f such claims. 11. BADGES AND STAFFING OF BOOTH. All representatives f Exhibitr must prminently wear the fficial Event badge at all times while in the Center and cmply with all ther badging and security requirements mandated by the Cnference. During Event Hurs, Exhibitr's bth must at all times be staffed by a representative r emplyee f Exhibitr. Emplyees f an Exhibitr Appinted Independent Labr Cntractr are nt permitted t wear exhibitr badges. Exhibitr may nly badge their wn emplyees, representatives f the cmpany and/r distributrs. Exhibitrs will be held respnsible fr the behavir f anyne wh registers as ne f these categries. 12. INDEMNIFICATION AND HOLD HARMLESS. Exhibitr cvenants and agrees that it will prtect, save and keep the Cnference and the Authrity frever harmless and indemnified against and frm (i) any penalty, damage r charges including reasnable attrney's fees impsed fr vilatin f any law r rdinance ccasined by the act r neglect f Exhibitr r thse hlding under Exhibitr, (ii) all claims, lss, liability, judgment, cst, damage r expense including all reasnable attrney's fees arising ut f r frm any accident r ther ccurrence causing injury r death t any persn r damage t any prperty n r abut the Center ccasined by any act, missin r negligence f Exhibitr, its emplyees, representatives, agents and thse persns attending the Event at the specific request r invitatin f Exhibitr, and (iii) all claims, lsses, liability, judgment, cst, damage r expense including reasnable attrney's fees, arising ut f r ccasined by any failure f Exhibitr in any respect t cmply with and perfrm all the requirements and prvisins f this Cntract. 13. EXHIBITOR'S OWN RISK. Please refer t Item #4 abve. Exhibitr agrees t place and maintain at Exhibitr's wn expense adequate insurance t cver all persnal prperty placed by Exhibitr in the Center. Exhibitr cvenants and agrees t indemnity and hld the Cnference and the Authrity harmless frm any injury t r death f Exhibitr, Exhibitr's agents, emplyees r thse persns attending the Event at the specific request r invitatin f Exhibitr resulting frm r arising ut f Exhibitr's use f the Center except 17

18 that attributable t the negligence r willful miscnduct f the Cnference. 14. PATENT, COPYRIGHT, TRADEMARK OR TRADE SECRET. Exhibitr agrees t hld the Cnference and the Authrity, their agents and emplyees, harmless frm all lss, cst claims, causes f actin, bligatins, suits, damages, liability, expenses and csts including reasnable attrney's fees arising frm r ut f any vilatin r infringement (r claimed vilatin r infringement) by Exhibitr, Exhibitr's agents r emplyees f any patent, trademark, cpyright r trade secret rights r privileges. 15. DAMAGE TO CENTER. The Exhibitr shall be respnsible fr any and all reasnable csts t be paid t the Authrity t restre any damage t the Space r the Center caused by the Exhibitr's persnnel and emplyees. The Exhibitr is als respnsible fr any damages r expense if, because f the act r neglect f Exhibitr's agents r emplyees, Exhibitr fails t vacate the Center by 8:00 PM n March 14, MAILING LIST. The Exhibitr agrees t use the Cnference mailing list nly fr Exhibitr's crprate use. 17. SECURITY. The Cnference des nt warrant nr guarantee the presence f guards at any particular time r place in the Center. The Cnference shall have n duty r bligatin t safeguard r insure Exhibitr's prperty r persnnel and by its executin f the Agreement, Exhibitr understands and agrees that Exhibitr is slely respnsible fr prtecting and securing its prperty and persnnel. Exhibitr must btain a blanket rider (prtal-t-prtal r ther "extraterritrial" insurance) t prtect its prperty, persnnel and visitrs, bth during the Event and in transit t and frm the Event against lss f any kind including, but nt limited t, fire, damage r theft. Neither the Authrity's nr the Cnference's liability insurance cvers Exhibitr's prperty, persnnel r visitrs against lss, damage r injury and the Cnference is nt liable r respnsible fr any such lss r damage. Small equipment r supplies shuld be safeguarded against theft befre, during and after the Event by tamper-prf attachment displays, lcked strage r ther apprpriate means. Exhibitrs are respnsible fr their wn material. If cnstant surveillance f exhibit equipment r supplies is necessary, Exhibitrs must make their wn arrangements fr security. 18. INSURANCE. Each Exhibitr shall prvide the Cnference with a certificate f insurance evidencing that during the Term, Exhibitr will have in full frce and effect a cmprehensive general liability insurance plicy als cntaining cntractual liability insurance and cvering claims f bdily injury, death and prperty damage arising ut f Exhibitr's peratins, assumed liability r use f the Space and Center, with a cmbined single limit f at least $1,000, Exhibitr s insurance must prvide that it is primary cverage fr all risks. If Exhibitr cannt btain this insurance, Exhibitr must sign and return the "WAIVER AND RELEASE." Exhibitr will nt be permitted t enter the Center r use the Space unless the certificate r waiver is delivered t the Cnference. 19. CONTRACTORS. The Cnference will designate varius fficial cntractrs fr such services as installatin and dismantling, drayage, decratins and phtgraphy. Exhibitr is free t cntract with nn-fficial cntractrs, hwever, n nn-fficial cntractr will be permitted access t the Center r the Space until such nn-fficial cntractr has delivered t the Cnference a certificate f insurance naming the Cnference as additinal insured and evidencing that such nn-fficial cntractr has in place a cmprehensive general liability insurance plicy cvering claims f bdily injury, death and prperty damage arising ut f the nn-fficial cntractr's peratins at the Center r in the Space and having a cmbined single limit f at least $1,000, N slicitatin f business by any nn-fficial cntractr will be permitted in the Center. 20. MISCELLANEOUS. A. Agreement shall nt becme effective until executed fr the Cnference by the Expsitin Chairman and shall be deemed made in the City f Pittsburgh, Pennsylvania. N mdificatins f amendments t Agreement are binding n the Cnference unless specially accepted in writing by the Expsitin Chairman. The laws f the State f Pennsylvania shall cntrl the interpretatin f the Agreement. The persn executing Agreement n behalf f Exhibitr hereby warrants that he/she has authrity t d s and that the Exhibitr is bund hereby. B. The Cnference reserves the right t reject any Agreement frm any Exhibitr wh the Cnference determines, in its sle and unreviewable discretin, will nt be exhibiting equipment r materials relevant t the Event, r wh the Cnference determines spnsrs r prduces a trade shw r expsitin in cmpetitin with the Event. 18
