2 OVERVIEW PREMIER MID-RISE APARTMENTS Project Summary The project will consist of 336 units in a 12-story building. The plan comprises 5 floors of parking with 7 floors of residential units above. This mid-rise urban complex will have 270,018 sq. ft. of restaurant space; 22,926 sq. ft. of retail space; and 22,925 sq. ft. will be dedicated to luxury apartments. City View Terrace is being developed in partnership with Premier Houston Developers, a Houston based multifamily developer founded in Property Location The site is located in downtown Houston near the northeast intersection I-45 & Hwy 59. The site is within close proximity to the Toyota Center, BBVA Compass Stadium, Minute Maid Park, Theater District and all of the downtown entertainment and hospitality venues. With over 800 million dollars in commercial development to be completed by 2017, the current residential unit capacity in downtown will fall short of satisfying the ever-growing demand. For this reason the City of Houston is welcoming needed residential projects like City View Terrace. Pending approval, investor receives the Confidential Private Placement Memorandum. Investor signs and returns all documentation, including subscription agreement. Investor submits investment of $500,000, plus $50,000 administrative fee, to Premier Regional Center escrow account. Investor meets with Immigration attorney on I-526 application. Investor files I-526 visa application with The United States Citizenship & Immigration Services (USCIS). The USCIS provides Premier Regional Center with a receipt for investor s I-526 application. Upon receipt from USCIS, the $500,000 investment will be transferred to partnership account. United States Citizenship and Immigration Services grants approval of investor I-526 application. Upon approval investor will receive conditional green card. Investor files I-829 application to remove conditional status and receive a permanent green card. Regional center must prove job creation on investor s behalf. Once approved, conditional status of green card is removed and green card becomes permanent. Investor can apply for citizenship 5 years after receiving permanent green card. 7 8

9 IMPORTANT PAPERS Limited Partnership Agreement Escrow Agreement IMMIGRATION CITY OF HOUSTON AGREEMENT OF LIMITED PARTNERSHIP OF PRC FUND I, LP ESCROW AGREEMENT THIS AGREEMENT OF LIMITED PARTNERSHIP of PRC FUND I, LP (the Agreement ) dated as of March 31, 2014 (the Effective Date ), is entered into by and between PRCHOU LLC, a Texas limited liability company, as general partner ( General Partner ), Abdul R. Dawood, a natural person, as the original limited partner of the Partnership(the Original Limited Partner ), and each Person (as defined herein) admitted to the Partnership as a limited partner from time to time pursuant to this Agreement who (a) executes and delivers a counterpart signature page of this Agreement which counterpart signature page is accepted by the Partnership and (b) is identified in the records of the Partnership as a limited partner of the Partnership (each such Person, a Limited Partner ). The General Partner and the Limited Partners are hereinafter sometimes referred to collectively as the Partners and each of them individually as a Partner. WITNESSED WHEREAS, the General Partner and the Limited Partners wish to form a limited partnership pursuant to the Texas Limited Partnership Law, as amended from time to time, by having filed a Certificate of Limited Partnership with the office of the Secretary of State of the State of Texas and entering into the Agreement; NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, and intending to be legally bound hereby, the parties hereto do hereby agree as follows: ARTICLE I DEFINITIONS 1.1 Definitions. The following terms used in this Agreement shall (unless otherwise expressly provided herein or unless the context otherwise requires) have the following respective meanings: Act means The Texas Limited Partnership Law, Tex. Bus. Org. Code. Chapters 151, 153, and 154 and the provisions of Title 1 and Chapter 152 to the extent applicable to limited partnerships as it may be amended from time to time, and any successor act. Adjusted Capital Account Deficit means, with respect to any Limited Partner, the deficit balance, if any, in such Limited Partner s Capital Account as of the end of the relevant fiscal year, after giving effect to the following adjustments: This Escrow Agreement (the Agreement ) is made this 22nd day of January, 2015, by and between PRC Fund I, L.P., a Texas limited partnership (hereinafter called the Company ), and Post Oak Bank, N.A. a national banking association (hereinafter called the Escrow Agent ). WHEREAS, pursuant to the terms of the subscription agreement between the Company and each investor in the Company (each, an Investor ), the Investor is required to deposit a capital contribution in the amount of $500,000 (the Capital Contribution ) into an escrow account held by the Escrow Agent (the Escrow Account ). WHEREAS, the Company and each Investor has requested Escrow Agent to be engaged as an escrow agent to receive, hold and disburse the Capital Contribution in accordance with the terms and conditions hereof, and Escrow Agent has so agreed; WHEREAS, the Escrow Agent and the Company now desire to enter into an agreement governing the terms and conditions of the escrow of the Capital Contributions; NOW THEREFORE it is agreed: 1. Definitions All capitalized terms used herein and not otherwise defined shall have meanings ascribed thereto in the subscription Agreement. 2. Currency All dollar amounts expressed herein are in the lawful currency of the United States of America. 3. Appointment of Escrow Agent; Escrow Agent Fee The Escrow Agent is hereby appointed to act, and the Escrow Agent to act, as escrow agent in accordance with the terms and conditions of this Agreement. The Escrow Agent shall be entitled to compensation for its services as stated in the fee schedule attached hereto as Exhibit A (the Escrow Agent Fee ), which shall be paid by the Company. 4. Capital Contribution The Company shall deliver each Investor s Capital Contribution in the amount of $500,000 to the Escrow Agent by certified or cashier s check or by wire transfer of funds with directions to deposit said funds in the Escrow Account. The Escrow Agent hereby agrees to hold the funds deposited in the Escrow Account in a non-interest bearing account, which shall be designated as the PRC Fund I, L.P. Account.
