4 The Initial Project Tri-Cities Investment District Regional Center is providing EB-5 investment into Tri-Cities Lenders, LLC which will make loan(s) to the initial Economic Growth development. The Project is fully documented with business plan, including economic analysis, and loan documents to be provided in each EB-5 investor s I-526 petition. The loan(s) will be secured on all four developments for added security to investors. The start dates for each development within the project as shown on the construction schedule/ timeline provided in engineering, architectural, approvals and construction section of the Appendix, will be staggered according to the quantity and timing of funds that are raised from EB-5 investors, loans and private capital. The first development will begin upon the successful achievement of the Minimum Condition as outlined in the security documents. Jobs created by the four projects will be allocated on a first in (immigrated), first allocation (to investor) according to the Tri-Cities Lender Operating Agreement and reflected in the private placement memorandum and various documents accompanying this application. The four developments that comprise the initial Project are as follows: Development 1: will feature an Embassy Suites by Hilton, Inc. TCID has been granted franchise approval for the development of this hotel by Embassy Suites. The cost for this development will be $35 million. Development 2: will feature a Homewood Suites Hotel, by Hilton, Inc., or similar nationally recognized hotel franchises. The cost for the development of this project will be $17.5 million Development 3: will be a 318 unit apartment complex to be called, Apartments at Horn Rapids, which will be built to address some of the housing shortages in the Tri-Cities community. The cost for this development will be $37 million. Development 4: will be named Paragon Corporate Villas, which is to be 135 corporate stay lodging units for scientists and engineers visiting the national laboratory and the large number of business travelers working in the community. 5 The Tri-Cities Investment District, LLC The Tri-Cities Investment District, LLC (the company) is approved with the United States Citizenship and Immigration Service (USCIS) for the creation of an EB-5 Regional Center located in the Tri-Cities MSA which encompasses Pasco, Richland and Kennewick, Washington. The Regional Center also is located within a certified Targeted employment area consisting of south west and south central Washington. An EB-5 Regional Center allows TCID to transfer foreign capital into the U.S. to be used for the development of different types of companies, while creating much needed jobs in the U.S. Our company s goal is providing investment for growth in a manner to assist foreign nationals in the immigration process and to provide positive economic growth. A brief overview of the EB-5 program: In 1990, Congress created the fifth employment-based preference (EB-5) immigrant visa category for foreigners, with a high net worth, seeking to invest in a business that would benefit the U.S. economy by creating or saving at least 10 full-time jobs for U.S. workers. The basic amount required to invest is $1 million, although that amount has been reduced to $500,000 if the investment is made in a rural or high unemployment area (TEA). To encourage foreign investment in the U.S. economy through the EB-5 category, Congress permitted the U.S. immigration agency to designate qualified applicants as Regional Centers, which is precisely what our Tri-Cities Investment District, LLC is doing. A Regional Center is a private enterprise, a corporation, or a regional governmental agency with a targeted investment program within a defined geographic region. The U.S. s Regional Center program in many ways mirrors long active and successful investment-employment based programs in the United Kingdom, Canada, Australia, and other foreign nations. This program creates a win-win situation for both the local U.S. Company and the high net worth foreign individual. The U.S. gets foreign investment directed towards creating jobs and the high net worth foreign individual gets a green card or EB-5 visa. The Tri-Cities Community The rational for locating our EB-5 Regional Center in the Tri-Cities area is due to the billions of dollars currently being spent on some of the largest construction projects in the U.S., namely at the Hanford Nuclear Reserve and the Pacific Northwest National Laboratory. Hanford, along with its strategic partners; the Pacific Northwest National Laboratory, Washington State University, and their joint economic development, coordination, and integration of all the local cities, utility companies, and the multitude of companies currently developing technology are in the renewable energy science s sector. 6 They are all working very closely with our strategic partners, the Tri-Cities Research District, which is The Pacific Northwest s center for technology invention and advancement and Mid-Columbia Energy Initiative, a large group of companies seeking to establish an energy park on 20 square miles of reclaimed land on the Hanford site. With such tremendous economic activity, and the close proximity to one of the largest nationally recognized laboratories in the U.S., the Tri-Cities is becoming the Nation's "hub" of energy science and production. We are extremely excited about the following facts about Tri-Cities: WSU Tri-Cities Bioproducts, Sciences and Engineering Laboratory (BSEL), located in the Tri-Cities, is developing new biofuels along with high-value bioproducts for a sustainable future. The only operating nuclear power plant in Washington State is located in Tri-Cities and produces 1,157 Mega-Watts of power. There are over 14 companies and 10 utilities located in the Tri-Cities who are focusing on renewable energy technologies. The Tri-Cities is home to highly skilled craftsmen and among the highest ratio of scientists/engineers per capita in the country. Battelle is the world s largest, independent research and development organization and is leading a $180 million Smart Grid Regional effort. Tri-Cities researchers have developed a smart charger to minimize cost and peak power demand while charging electric vehicles. InnovaTek s, a Tri-Cities company, fuel cell energy system generates clean power, recycles energy and turns waste into an asset. Pacific Northwest National Laboratory (PNNL), located in the Tri-Cities, is the nation s leader in Grid Smart technology and is at the forefront of thought leadership and collaboration.
