2014 BUSINESS & STRATEGY REVIEW, TIM GRIFFITHS, CEO, CPA GLOBAL Our 2013/14 financial year was a year of transition, transformation and growth. It saw the introduction of a new senior leadership team, a top-to-bottom strategic review of the business, a number of key acquisitions, and the further expansion of our worldwide network. At the same time, we were able to maintain our track record of consistent year-onyear growth. Our turnover grew 12.5% to over 1bn for the first time in our history. I took over as Chief Executive Officer on 31 March, succeeding Peter Sewell, who became Chairman. Alasdair Marnoch joined CPA Global as Chief Financial Officer in December 2013, following the retirement of Bill Fagan. In June, Simon Webster, main board director and Chief Operations Officer, assumed responsibility for our global sales and marketing organisation as Chief Business Development Officer, with Gordon Samson stepping into the operations role. Also in June, Toni Nijm was appointed Chief Technology Officer to lead our Software business. Subsequently, we introduced a new structure for our IP Services business, with Marc Daleiden taking overall responsibility for our on-shore and off-shore teams. The new team is now fully embedded in the organisation, providing the business with a strong management group to lead our growth strategy. www.cpaglobal.com 7

However, the new leadership team provides us with an opportunity to take stock of where we are, where we need to be and how we plan to get there. As a result, we have set about refining and, where necessary, reshaping the business with the aim of bringing us closer to our clients, enhancing service delivery, increasing our effectiveness in developing new business and accelerating growth. We now have three clearly defined business units covering IP Renewals, IP Software, and IP Services, and new leadership in each. Our comprehensive strategic review is now complete, and implementation of a series of business improvement measures is in progress. We are working to capitalise on these opportunities in order to further accelerate growth for the Company. Our strategy is focused on three core objectives: Strengthen our leadership in the IP Renewals business We will achieve this by: Delivering further efficiency gains to our clients through ongoing process improvements and an integrated technology platform Tailoring our approach for different market segments, while providing clients with a consistent, high-quality and simple renewals service Further increase our share in IP software We will achieve this by: Working closely with our clients to develop customised solutions that meet their specific needs and are integrated with their IP management processes Continuing to invest in software development to ensure we have a broad range of efficiency-enhancing software products that facilitate collaborative working and improved service delivery Maximise the potential of the growing demand for IP services We will achieve this by: Expanding the range of IP support services we provide to our corporate and law firm clients, allowing them to increase efficiencies and reduce costs Developing a solutions-based approach to align our clients IP activities with their business strategy, leveraging our established strengths in both onshore and off-shore delivery. 2014 BUSINESS & STRATEGY REVIEW, TIM GRIFFITHS, CEO, CPA GLOBAL Strategy for growth CONTINUED We made great strides in this area during the year, significantly strengthening our presence in the important Nordic region with our January 2014 acquisition of leading IP services provider Patrafee. The acquisition included Patrafee s patent renewals business, including long-term contracts with the Nordic IP law firms that were previously Patrafee s shareholders; its Patrawin IP management software; and the market-leading budgeting software tool, IP Forecaster. The integration of Patrafee is progressing well. Patrafee s Chief Executive Officer, Mats Polkander, has taken on the role of General Manager, Nordic Region, for CPA Global responsible for our growing business and client base across the region. Meanwhile, IP Forecaster, which enables users to forecast the costs of patent portfolios quickly and accurately, is proving an excellent addition to our software product range and is increasingly in demand from corporations and law firms around the world. In August, shortly after the end of our financial year, we completed the acquisition of Landon IP, the world-leading provider of patent search and analytics. Landon IP s key services include patent searches for corporations, law firms, universities, patent offices, and inventors providing them with a more informed view on such issues as patentability, potential infringement, and freedom to operate and complex patent analytics, such as patent landscape studies, patent mapping, and portfolio reviews. The Landon IP acquisition complements our existing services in this area and offers exciting growth opportunities. As companies across the world seek to align the management of their IP assets with their broader business objectives, we are seeing greater demand for patent search and analytics to help inform strategic decisionmaking in such areas as patent strategy, research and development, and the licensing or sale of patents. 2 01 4 B U S I N E S S & ST RAT E GY R E V I E W, T I M G R I F F I T H S, C E O, C PA G LO B A L Expanding our network We have a strong and established presence in the large IP markets of Europe and the US and it is these two regions that currently have the greatest and most immediate impact on our business. However, Asia, although still a relatively small IP market in comparison, is growing three times faster than other regions and represents an important future growth opportunity. Recognising this, we are continuing to scale up our operations in the region, particularly in Greater China. The acquisition of Landon IP added an office in Shanghai to our existing offices in Hong Kong and Shenzhen. With the opening of our office in the Taiwanese capital, Taipei, in October and plans to open in Beijing in 2015, we will have broad coverage across this hugely significant IP market. Following the management and business transition that took place during the second half of 2013/14, we have started our 2014/15 financial year on a strong footing. Our new management team is in place, we have a clear strategy to accelerate growth, and our refocused businesses are performing well. We are excited about the prospects for the global IP industry and for CPA Global in particular and know that we have the full support of Cinven as we seek to take advantage of the market opportunities that lie ahead. MAJOR MILESTONES AND ACHIEVEMENTS 1969 Computer Patent Annuities (CPA) founded in Jersey, Channel Islands, by UK patent attorneys to handle patent renewals. From the outset, CPA Global s story has been one of growth and international expansion as the Company has evolved from a start-up IP services business, focused on patent renewals, to the world s leading provider of IP management software and services, employing some 2,000 people in offices across Europe, North America and Asia Pacific. Here are some of the Company s key milestones and achievements. 1974 Forms strategic alliance with NGB Corporation in Japan. 1979 Opens first office in the United States. 1986 Acquires majority share of Trade Marks Directory Service (TMDS). 1994 Enters South Korean market in partnership with a local agent. 1999 Peter Sewell joins company as Chief Executive Officer. www.cpaglobal.com 13

Secures a controlling stake in Intellevate, an IP outsourcing company with operations in Minneapolis and India. 2006 Acquires a major stake in Lacasse and Associates, LLC, one of the leading patent research firms in the United States. 2007 Opens state-of-the-art IP and legal support services delivery centre in New Delhi, India. www.cpaglobal.com 14

Opens office in Hong Kong to spearhead expansion in China and Asia. 2010 Intermediate Capital Group (ICG) acquires a significant minority stake in CPA Global, investing alongside senior management and founding shareholders. 2011 Establishes a direct presence in South Korea with opening of Seoul office. Acquires Ipendo, a leading international IP management software and service provider with a strong position in the Nordic region. MAJOR MILESTONES AND ACHIEVEMENTS 2012 Cinven completes acquisition of CPA Global from previous shareholders, including ICG and founder shareholders, on 26 March. New regional headquarters opened in Munich (Central Europe) and Hong Kong (Asia Pacific). 2013 Acquires First To File, a Silicon Valley-based developer of market-leading electronic document management systems, specifically tailored for the IP industry. Opens new offices in Shenzhen the Company s first in Mainland China and Silicon Valley. 2014 Acquires leading Nordic IP services provider Patrafee, a business that includes patent renewals; Patrawin IP management software; and IP Forecaster, the IP budgeting software. The acquisition further strengthens CPA Global s presence in the Nordic region, particularly in the SME (small and medium-sized enterprises) patent renewals market. Peter Sewell takes on the role of Chairman from 31 March, and is succeeded as Chief Executive Officer by Tim Griffiths. Acquires international patent services provider Landon IP. The acquisition further strengthens CPA Global s patent search and analytics capabilities, while providing Landon IP access to a larger worldwide network. BOARD OF DIRECTORS & MANAGEMENT TEAM Peter Sewell Chairman Peter Sewell took on the role of Chairman on 31 March 2014, after more than 14 years as Chief Executive Officer. Joining CPA Global in 1999, Peter spearheaded the Company s transformation into a global leader in IP management software and services, overseeing key acquisitions as well as expansion in the product/service range and the international network. He was instrumental in attracting new investment to help fund further business growth and pioneered CPA Global s business development in Asia. Prior to joining CPA Global, Peter led the development of a number of businesses in the financial services sector. Tim Griffiths Chief Executive Officer Tim Griffiths joined CPA Global at the beginning of February 2014 and succeeded Peter Sewell as Chief Executive Officer on 31 March. Tim was formerly Chief Executive Officer and Executive Chairman of the Williams Lea Group, a world-leading Business Process Outsourcing (BPO) company specialising in marketing services. He established Williams Lea as a BPO provider in 1993 and subsequently led the development of the Company into a $2 billion global services business, employing 12,500 people in 40 countries. Like CPA Global, Williams Lea established key operating centres in EMEA, the Americas and Asia Pacific, and built a market-leading service delivery centre in India. www.cpaglobal.com 18

BOARD OF DIRECTORS & MANAGEMENT TEAM Alasdair Marnoch Chief Financial Officer Alasdair Marnoch was appointed Chief Financial Officer in December 2013, bringing more than 20 years experience as a senior financial professional to the Company. Before joining CPA Global, he was Chief Financial Officer at Iris Software Group, one of the UK s leading accountancy and payroll software companies. Previously, he held senior roles at Equiniti, Xafinity Group, Jarvis plc, Dunlop Slazenger Group (DSG), and Thames Water plc. Alasdair is also a Non- Executive Director and Chairman of the Audit Committee for the UK Post Office. Simon Webster Chief Business Development Officer In June 2014, Simon Webster took on responsibility for CPA Global s worldwide sales and marketing organisation as Chief Business Development Officer. Simon has been with the Company for 14 years and has a detailed understanding of the business, its operations and clients. Prior to joining CPA Global, Simon spent the majority of his career in financial services. He was at the heart of the industry s client service revolution in the 1990s, where he managed programmes that delivered value to customers, staff and shareholders alike. www.cpaglobal.com 19

BOARD OF DIRECTORS & MANAGEMENT TEAM David Barker Partner, Cinven David Barker joined Cinven in 1996 and is a member of the Industrials and TMT (Technology, Media and Telecommunications) sector teams. He has since been involved in numerous transactions including Aprovia, CPA Global, Eutelsat, HEG, MediMedia, Springer, Ufinet, Visma and Ziggo. David has a BA in Natural Sciences from Cambridge University and is a Chartered Accountant. Stuart McAlpine Partner, Cinven Stuart McAlpine joined Cinven in 1996 and is a member of the Business Services and Healthcare sector teams. He has been involved in a number of transactions including Amadeus, AMCo, CPA Global, Fitness First, Foseco, Medpace, Phadia, Sebia, Truvo and Unique Pub Company. Stuart was previously with the Royal Bank of Scotland in its Leveraged Finance Group, having moved there from Ernst & Young, where he worked in Boston and London. Stuart has a BAcc in Accountancy from Glasgow University. www.cpaglobal.com 20

BOARD OF DIRECTORS & MANAGEMENT TEAM Global Management Committee The Global Management Committee generally meets on a monthly basis. In addition to Tim Griffiths, Chief Executive Officer; Alasdair Marnoch, Chief Financial Officer; and Simon Webster, Chief Business Development Officer who all sit on the Board the Committee comprises the following individuals and roles: Julie Cormack Global Head of HR As Global Head of Human Resources, Julie Cormack leads an international team responsible for all HR matters and activities, including people development, training, recruitment, and compensation and benefits. Julie has extensive experience in managing HR functions within multinational corporations. Previously, she was Global HR Director at Maersk and has also worked at BP and international brewing company SAB Miller on large transformation and change projects. Marc Daleiden Chief Operations Officer, Services Marc Daleiden has overall responsibility for CPA Global s Services business, including IP Support Services, Patent Search & Analytics, IP Portfolio Applications, and Legal Services Outsourcing. Marc has many years experience in selling and delivering complex outsourcing contracts in business services. He was previously with TAG/DHL (formerly Williams Lea), where he worked in a number of senior management roles. Ruth Daniels General Counsel Ruth Daniels has global responsibility for CPA Global s legal function, covering all corporate and commercial matters, transactions, regulatory and compliance issues, and IP Legal Services. Ruth brings a strong legal and commercial management background to the Company, with particular experience in the e-commerce, technology, multimedia and social networking sectors. She began her legal career with DLA Piper in the UK, where she originally qualified as an IP lawyer, before moving in-house. www.cpaglobal.com 21

BOARD OF DIRECTORS & MANAGEMENT TEAM Global Management Committee CONTINUED Toni Nijm Chief Technology Officer As Chief Technology Officer, Toni Nijm is responsible for CPA Global s IP software solutions business, playing a key role in driving further integration of the Company s software and services offerings. A qualified patent attorney, Toni has been involved in software development for many years. In 2004, he co-founded Ipendo, the Sweden-based IP management software and service provider that was acquired by CPA Global in 2011. Mats Polkander General Manager, Nordic Region Mats Polkander joined CPA Global in January 2014, following the Company s acquisition of leading Nordic IP services provider Patrafee. Gordon Samson Director, Operations As Director, Operations, Gordon Samson has operational responsibility for CPA Global s core Renewals business as well as central support services for the Company. We adhere to a strict Code of Business Ethics and Corporate Conduct and have established high standards of corporate governance within the organisation. We also actively encourage our international offices to support their local communities and to identify and implement ways of reducing our environmental footprint. CPA Global s approach to Corporate Social Responsibility (CSR) has been developed over a number of years. During that time, the Company and our employees have done a great deal to reinforce our commitment to being a good corporate citizen; however, we have not previously had a formalised CSR policy in place. That has now changed with the introduction of a CSR policy in the latter part of 2014 that details our responsibilities towards all our stakeholders: our clients, business associates, employees, and the communities and environments where we work. C O R P O R AT E S O C I A L R E S P O N S I B I L I T Y Community support CPA Global is involved in a number of community and charitable fundraising initiatives in various parts of the world. For example, we are providing pro-bono IP services to support Longitude Prize 2014, a major global health challenge that is tackling one of the greatest medical issues of our time preventing the rise of resistance to antibiotics. The challenge is to create a cost-effective, accurate, rapid, and easy-to-use test for bacterial infections that will allow health professionals worldwide to administer the right antibiotics at the right time. CPA Global is supporting the challenge by undertaking a detailed patent landscape study through our specialist patent research subsidiary, Landon IP. The results of the study will help provide a benchmark against which the judging panel can compare submissions, both in terms of originality (versus existing technology and solutions) as well as claimed speed, accuracy, and ease of use. In our Jersey base, we work closely with the Jersey Employment Trust (JET), helping individuals with physical and mental disabilities prepare for employment through work-experience placements. CPA Global has provided a number of such placements, enabling the individuals concerned to adjust to being in a working environment and learn valuable workplace skills. We have also been a key sponsor of Jersey s Battle of Flowers parade since 2009. Although a popular tourist attraction, the Battle of Flowers was in danger of being discontinued until CPA Global stepped in. Throughout Europe, North America and Asia Pacific, CPA Global employees organise and participate in a variety of charitable fundraising events, with the encouragement and support of the Company. CORPORATE SOCIAL RESPONSIBILITY There is a growing demand within the IP community to switch from paper to electronic document storage. To support this, in February 2013, we acquired First To File, a developer of market-leading electronic document management systems specifically tailored for the IP industry. First To File is generating significant interest amongst IP professionals in corporates and law firms around the world, and has a growing client list. CPA Global is working to migrate clients onto systems that use much less paper. In addition, recycling is strongly encouraged at CPA Global, with recycling bins provided in office spaces and kitchen areas around the Group. We also promote the benefits of green commuting through initiatives such as cycle-to-work schemes. Environmental Responsibility CPA Global is committed to reducing our impact on the environment. The legal and IP sectors are still heavily paper based, but CPA Global is striving to substantially decrease the volume of paper used. The Company has invested in ECM (Enterprise Content Management) software to enable this, and we are working with an increasing number of clients to migrate them onto the new system, which will avoid the need to print thousands of sheets of paper every month. During 2014, we also introduced a new service that integrates data verification into the patent renewals process at several key points, thereby reducing risk as well as the number of times we need to query clients regarding missing or incorrect data. We have already signed on more than 450 clients to the service and achieved a number of significant efficiency improvements for them and for CPA Global. A key environmental improvement has been an 18% decrease in the amount of hard copy documents produced, saving around 47,000 pieces of paper. CORPORATE SOCIAL RESPONSIBILITY Governance and Business Conduct We have a dedicated, independent compliance team, which comprises a Chief Compliance Officer; three Regulatory Compliance Officers (RCOs), covering operations in our primary regions of UK/ Europe, North America and Asia Pacific; and a fourth RCO focused on anti-bribery and anticorruption measures. In addition, in April 2014 one of our RCOs (a Certified Data Protection Practitioner) was appointed to a new role of Data Privacy Officer, further strengthening our focus on this important area by working closely with local management teams to help ensure we meet our data privacy obligations and conducting awareness training for employees. Our US operations have certification to the US-EU and US-Swiss Safe Harbor Frameworks, providing assurance to our clients worldwide that we maintain the most stringent data protection safeguards. The compliance team oversees a Code of Business Ethics and Corporate Conduct that applies to all of the Company s directors, officers and employees, contractors, temporary staff, and consultants. The Code underlines our ongoing commitment to upholding the highest levels of ethics and personal integrity in all our global business dealings. In line with best practices in corporate governance, the compliance team is independent of business operations to ensure more effective checks and balances. The compliance team also has oversight of our Regulatory Trade Compliance policy and programme, which is designed to prevent and/or detect bribery and corruption, as well as violations of export control, economic sanctions, boycott laws/regulations, data privacy protection, and Company policy anywhere in the world. In order to further promote good governance, we also have a Whistleblowing Policy and independent hotline with established procedures to report actual or suspected incidents of corporate misconduct. To ensure risk management is effectively embedded within the organisation, we have a dedicated Risk Manager, who is responsible for maintaining and managing the risk register.
