01. Background CADAGUA, S.A. was founded in 1971 as a Limited Liability Company, and counts today with 40 years of experience. Cadagua is well known both in Spain and abroad as a pioneer and leading company in the field of the engineering and construction of Water Treatment and Seawater Desalination Plants. Cadagua S.A. merged with the Grupo FERROVIAL, world's largest private manager of transportation infrastructure and a leading services provider, present in 15 countries, more than 70.000 employees and a and a turnover of Euro 12,169 million, in 2010. Main Activities CADAGUA S.A. designs, builds and operates all types of different water treatment plants, among which are the following: Seawater Desalination Plants and Brackish Water Desalination Plants. Drinking Water Treatment Plants. Municipal Wastewater Treatment Plants and Industrial Wastewater Treatment Plants. Industrial Make-up Water Treatment Plants and Demineralization Plants for Process & Boilers. Cooling Water Treatment Plants in steel mills, including casting and/or rolling machines. Advanced Biosolids Treatments. Advanced Manure Treatments. Sludge Thermal Drying. Advanced Treatments - Tertiary Treatment. CADAGUA has successfully accomplished the design and construction of more than 230 water treatment plants, - drinking, wastewater plants and desalination installations and more than 149 facilities in the industrial field, amounting to a total treatment capacity of over 15,500,000 m 3 /day sufficient to supply drinking water to Mexico DF and London, and to treat the sewage of half of Spain. Regarding Operation and Maintenance, our contracts amount to a total of nearly 20,500,000 equivalent population. These figures lead the company to the head position in the ranking of Spanish enterprises in this field. 06 Main Activities

Services CADAGUA's services include everything from the design to the financing and operation of the water treatment plant, and namely: Characterization study and treatability of water (laboratory/pilot plant). Process selection and adequate technology. Process design. Basic and detail engineering: mechanical, electrical and control engineering based on the most recent computer assisted design (CAD) technologies. Management, follow-up and control of activities in order to meet delivery times and costs. Equipment and material procurement. Quality control and inspections, both at the factory and on site. Mechanical erection and pneumatic, electrical and control field installation. Start-up and Commissioning. Operation and maintenance staff training. Computer control of the operation. Operation and maintenance services. Full financing of the project (BOOT, BOO). 08 Services

06. R&D&i In 1995, we founded our own R&D&i Department, to provide the best measure-made solutions for each of the installations. Our technicians' continuous exploration of new processes and systems, as well as the collaboration with some of the most prestigious research centres in the world, keep CADAGUA in the lead of state-of-the art technology. Outstanding projects such as ''Gasification Process of Biosolids from ''s (European Environmental Prize - Basque Section) have earned Cadagua international acknowledgement in the water and waste treatment field. Achievements in the research field with simulators and pilot installations are directly applied to the design of our plants. The results: marked global efficiency enhancement and lower operation and maintenance costs. Here below, are some of the R&D&i projects currently being developed: Process study to minimize sludge production, nutrients recovery and optimization of the power consumption in sewage treatment (subsidized by the Dirección General de Calidad y Evaluación Ambiental del Ministerio de Medio Ambiente y Medio Rural y Medio Marino, Ministry of Environment and Rural and Marine affairs). Technologies for the reduction, reuse and valorization of waste generated in the gasification process of sludge (subsidized by the Dirección General de Calidad y Evaluación Ambiental del Ministerio de Medio Ambiente y Medio Rural y Medio Marino - Ministry of Environment and Rural and Marine affairs - and by the INNOTEK Program of the Basque Government). Study of advanced Technologies for removal of nutrients and xenobiotics in sewage treatment (subsidized by Subdirección General de Políticas Agroalimentarias, Desarrollo Rural y Agua del Ministerio de Medio Ambiente y Medio Rural y Marino - Ministry of Environment and Rural and Marine affairs) Study of the Technology of sequential tanks and biofilters for the treatment of sewage. 14 R&D&i

07. Policy of Quality & Environment and Policy of Health & Safety Cadagua's activity started in the context of a society with a growing concern about the conservation of the natural resources. Being consistent with this concern we have to demonstrate our capability to obtain a high quality in our activities, a high level of health & safety of our workers as well as a high level of environmental protection within the frame of a sustainable development. Thus, we will be able to respect our environment while satisfying our present needs without diminishing potential future needs. In order to face the above mentioned situation, Cadagua has implemented an Integrated Quality, Health & Safety and Environment System standardized, hereinafter, the System, according to international UNE- EN ISO 9001 and UNE-EN ISO 14001 Standards. The System is based on a systematic control of those of our activities which may affect the quality, health and safety and environment, being the following: Design, Construction, Start-up and Commissioning of Water Treatment Plants Thermal Drying of Biosolids and Urban Solid Waste Operation and Maintenance of Water Treatment Plants and Thermal Drying of Biosolids Water quality Control and Analysis To abide by the Health and Safety Regualtion and implement a documental control in this subject, Cadagua has established a Health and Safety Management System that follows the law in force and the internationally recognized OHSAS 18001:2007 regulation. This System is designed to understand customer's needs and expectations and ensure their satisfaction, optimizing technical and human resources by an efficient well-done job at the first time, as well as to 16 Policy of Quality & Environment and Policy of Health & Safety

Our Experience to the service of the Environment Bens, Spain. 130,000 m 3 /d develop our activities with a minimum impact to our environment and guaranteeing the health and safety of our workers. The principle of the Integrated Quality, Health & Safety and Environment System is based on the Policy of Quality and Environment and Policy of Health & Safety, which describes Cadagua's commitments to a sustainable development. This principle is mainly preventive and is based on the previous identification and planning of activities relevant for the quality or risky for the health and safety of the workers or linked to important environmental aspects, as to undertake their implementation according to the established criteria. These activities are subject to a systematic and documented control to the purpose of contrasting some requirements previously specified with the real results obtained during the performance of the works (inspections and tests). The System has been subject to a certification process by the certifying entity Aenor. Likewise, the said system is internally audited by a team of qualified auditors, not involved in the production process. In the same way, Cadagua compromises to improve the environmental management, by establishing and verifying in some work center this system as per the EMAS regulation, which allows organizations to voluntary adhere to EMAS (European Community Eco-management and Eco-audit system), representing the maximum level of environmental demand in the European communion.

Policy of Quality & Environment and Policy of Health & Safety OUR ACCREDITATIONS The three aspects which form the Quality Management Integrated System are: QUALITY Cadagua obtained the Quality Management System Certification ISO 9001 in 1997. Cadagua, S.A. guarantees the constant, ongoing improvement of the projects and/or services provided to its customers, with the aim of achieving their maximum satisfaction at all times and in all the activities, optimizing the available resources, both our own as well as third party's. A guarantee to achieve our objective of continual improvement and satisfaction for the customers is our quality and environmental policy. HEALTH & SAFETY Cadagua S.A., has its Own Health & Safety Service in the Concurrent Health & Safety Service mode, pursuant to article 21 of Royal Decree 39/1997, on Health & Safety Services. Since November 2002 Cadagua, S.A. is periodically submitting its Health & Safety Service to an External Audit according to the legal requirements established in the Law 31/1995 on Health & Safety and regulations. In November 2009, we obtained the latest Regulatory Audits' certification, successfully meeting the requirements 18 Policy of Quality & Environment and Policy of Health & Safety

established by the current rules. Crossber Audit, accredited by the competent labour authorities issued the corresponding certificate. Likewise, in April 2008, OHSAS 18.001:2007 Certification has been obtained. Valid until 2011, this international standard on Safety & Health Management Systems at Work allows the Organization to control its labour risks and to improve the efficiency in terms of Health & Safety. This certificate has been issued by SGS ICS Ibérica S.A., System & Services Certification, a company accredited by the competent Authority. Cadagua, S.A., has the priority of zero accidents when performing its activity in its corporate labour risk policy, the guarantee to achieving this being our labour risk Health & Safety policy. THE ENVIRONMENT Since 2003 we are in possession of the ISO 14001 certification for the Environmental Management System. Respect for the environment is an essential factor in the activities and objectives of Cadagua, S.A., contributing to conservation of natural resources through environmental integration of our activities. The requirements arising from the System are the best guarantee that we may offer Customers, the Authorities and Society, with regard to our commitment to sustainable evolution. To that end, we provide capacity in engineering activities, operation of infrastructures for management of water and waste and we encourage innovation in development of new applicable technologies. We attempt to prevent generation of waste, providing the ultimate solution from tank to landfill; encouraging, as far as possible, reuse and recycling of these. Waste management must always be performed guaranteeing protection of the environment and to that end the best available, economically appropriate technology is used. A guarantee for our objective of achieving sustainable development and conservation of the environment is our quality and environment policy.
