Dallas Area Rapid Transit Authority Dallas, Texas EHIBIT H STATEMENT OF WORK Technology Consulting Purpose Dallas Area Rapid Transit (DART) is seeking a master service agreement with two qualified Contractors for a number of consulting engagements requiring certain skill sets in the information technology segment. Each engagement will be defined and agreed to in a specific Task Order, which may be for specific deliverables or staff augmentation on a per hour basis. Requirements DART will require Contractors with a broad mix of technical skills at different times and for different projects. The skill levels have been categorized, and the level of experience required within each category of skills has also been determined. The full matrix of skills by category and experience can be found in Appendix A Task Orders Each engagement will be initiated by a task order which will specify the purpose of the task, details of the work to be performed and the skills required (in more detail than the skills matrix), skill level, expected duration and reporting relationship. Please specify any additional information you will require on a task order. See Appendix C for a sample task order. Duration of Task Order Engagements Each task order will have a specified time frame and DART will try to commit to a minimum of a 6 month engagement, but in some cases, that will not be possible. If Contractor intends to charge a premium over the quoted rate for a shorter engagement, as per Exhibit B, Paragraph 7, Section 3a, please specify what constitutes a short-term engagement premium in your proposal and price schedule. Right to Hire DART has the right to hire any consultant after completion of assigned task order. Contractor must submit in their proposal and price schedule, as per Exhibit B, Paragraph 7, Section 3a, how conversion fees will be calculated. DART Form 33.H 1 of 10 Exhibit H

Work Location The work will be performed at DART s headquarters facility in downtown Dallas, at 1401 Pacific Avenue, Dallas, Texas 75202, and at other nearby DART facilities. DART may agree to work at remote locations under some circumstances when agreed to in advance at the task order level. Travel & Living Expenses Travel and living expenses for assigned consulting services will not be authorized. Any such costs will be the sole responsibility of the Contractor. Rates DART wants to limit the number of different hourly rates, so we require that the hourly rate for each skill level is the same within each category. DART has identified 5 different Skill Groups and 4 different Skill levels (Entry Level, Intermediate, Advanced, and Expert). See Appendix B for rate card to be included in submitted proposals. Consultant Selection The Contractor is responsible for obtaining qualified and competent consultants. DART reserves the right to review the resume, references, certifications and any other requirements of any consultant proposed for a task order. DART may elect to conduct reference checks before accepting any consultants. Task orders will specify if DART requires an interview with the consultants. Interview questions will be provided at the time the interviews are scheduled. Some task orders may not specify an interview. On-boarding All consultants must pass Background Check and Drug Screening before DART will accept a candidate for a task order. Contractor shall provide written confirmation that consultant performed required drug screening and background checks and received satisfactory results. The written confirmation shall be furnished to the COTR as soon as available and before consultant begins work on DART Premises. Contractor must use certified laboratory for Drug Screening and certified investigator for Background Checks. These on-boarding costs are the responsibility of the contractor. Lead Times Please indicate how much lead time you will require to present consultants after receipt of a task order or other notification. It is acceptable to submit different lead times for each category. Weekly Timesheets and Status Reporting Contractor shall provide weekly timesheets that identify the name of the consultant, project, hours and rate. Contractor shall also provide a weekly report on progress and status of each task. DART Form 33.H 2 of 10 Exhibit H

Performance Criteria If at any time a consultant is not performing as expected the Contractor will be notified and will be given an opportunity to replace the underperforming consultant within the Lead Time section specified above. DART reserves the right to terminate the task order if the consultant is not performing and the Contractor does not remedy the situation. Use of subcontractors The use of subcontractors is acceptable and must be identified in the response to task orders. Subcontractors are subject to the same Drug Screening and Background Check requirements as stated above in the On-boarding paragraph. Appendix A - Skills Matrix The matrix below indicates, with an, the skill types and experience levels that are likely to be required. Group 1 : Tech Skill Level Entry Level Intermediate Advanced Expert Skill set PC Technician with current A+ certification Technical Support Specialist with an emphasis on mobile technology (i.e. Smart Phones, Tablets) and Google Service Desk Specialist with excellent customer service skills and the ability to monitor servers, reset password, etc. Application Support Specialist able to support ITS software and hardware. Group 2 : Operations Skill Level Entry Level Intermediate Advanced Expert Skill set System Engineers experienced in VMware virtualization with VCP5 Certification and/or experience designing and implementing disaster recovery plans in Site Recovery Manager. Microsoft System Engineer experience managing Windows servers with MCSE 2K8 or higher certification and/or terminal server management experience using Citrix / 2. HP-U System Administrator with current CSA Certification System Engineer with experience in HP EVA/3PAR SAN environments Network Engineers with one or more of the following: Experience managing Enterasys switches and Routers Experience with 4G LTE router implementation Experience managing Cisco network equipment with current Cisco CNA certification DART Form 33.H 5 of 10 Exhibit H

Group 3: DB/Web/App/PM Skill Level Entry Level Intermediate Advanced Expert Skill set SQL Server Database Administrator with experience setting up and configuring a server farm and security. Web Developers with one or more of the following skills and experience: HTML, ASP,.Net, Java, ML, VbScript, Javascript, Visual Basic, MS Access, MS SQL and Oracle SQL. Experience with Google APIs (Apps, Transit, Geo/Maps) skills a plus. Crystal Reports Developer with SAP Business Objects and enterprise data management skills Mobile Application Developer (Android, ios) with understanding and experience using HTML 5.0 MS Project Server 2010/2013 Consultant experienced in the installation, setup, and configuration of the software PMO Consultant with experience implementing standards and supporting processes IT Project Manager with demonstrated ability to lead various sized software and infrastructure implementation projects Business Analyst with strong process analysis and design skills ITSM Consultant with demonstrated ability to implement ITIL best practices and processes. Group 4: Lawson Skill Level Entry Level Intermediate Advanced Expert Skill set Lawson Financials Consultant with detailed understanding of the setup and configuration of the Grants, Budget, and General Ledger modules of Lawson version 9 and/or 10 as well as the data relationships and dependencies between the modules. Lawson HR Consultant with demonstrated ability to manage upgrades, implementations and business process improvement projects for the HR modules of Lawson version 9 and/or 10. Lawson Payroll Consultant with strong business process design and improvement skills in the Payroll modules of Lawson version 9 and/or 10. Lawson Procurement/Supply Chain Consultant with ability to manage upgrade, implementation and business process improvement projects. Detailed understanding of Supplier Portal, Strategic Sourcing, Punchout and Contract Management modules of Lawson version 9 and/or 10. Lawson Development Consultant with development skills in Process Flow Integrator/Business Process Automation, Lawson BI to include Smart Notifications and Dashboards, and other toolsets in Lawson version 9 and/or 10 Lawson Technical Consultant with skills in Lawson version 9 and/or 10 systems administration. Experience with system upgrades, WebSphere configuration and management, and the configuration of Lawson portals (Supplier Portal and Self-service Employee Portal) as end points. Group 5: Trap/Other Skill Level Entry Level Intermediate Advanced Expert Skill set Trapeze System Administrator/Consultant experienced in the setup and configuration of Bus Stop Manager, Info, Plan, F, and OPS with detailed understanding of security and database schema of Trapeze version 12. Strong analytical skills with ability to troubleshoot trip plans and schedule data as well as debug Trapeze logs. Trapeze ITS (Transitmaster) Consultant with detailed understanding of the database schema and functionality of version 27 and/or 29. IBM FileNet Consultant experienced in system design and deployment for multi-revision upgrades and/or migration to other electronic document management systems. Knowledge of Filenet v3.5 and above. IBM Cognos Business Intelligence Developers with Cognos BI v10.2 experience with the following modules: Framework Manager, Data Manager, Query Studio, Report Studio, Analysis Studio GIS Consultant with experience with ESRI and the ability to work in a map network environment ` Oracle Primavera and Contract Manager Consultant with detailed understanding of Oracle Primavera and Contract Manager. Appendix C - Sample Task Order DART requires an intermediate level Crystal Report Developer to analyze existing procurement reports and re-create them to extract data from our new Lawson Procurement system. Types of reports that need to be rewritten include: Contracts listings by different criteria (by Contract Specialist, Cost Center, etc) Contract/Subcontractor Performance Reports Contract Audit Reports (Contract Modifications, etc) Agency/Procurement Dept Performance Reports (Number of Contracts Awarded, Sole Source Contracts, etc) Consultants must have the following qualifications, skills and abilities: Has a minimum of three years experience writing reports using Crystal Reports v10 Has a minimum of three years experience writing SQL queries against relational databases Has working knowledge of Lawson S3 Procurement; prefer at least three years experience, and some experience with Lawson Contract Management and Strategic Sourcing Modules Ability to work with subject matter and systems experts to identify gaps in the data and recommend solutions to capture or link to it Ability to effectively gather requirements from non-technical resources and translate them into clear technical specifications that result in accurate and error free reports Ability to learn quickly and apply past experience to new situations; curious and analytical Pays attention to the details; quickly and easily identifies errors and opportunities for improvement Focuses on quality; delivers reports that meet specifications and are error free (e.g. connect to all data sources without errors and accurately return or calculate the correct data) Able to mentor DART staff on Crystal report development while making progress on generating the needed reports Performance Period: 6 months beginning April 29, 20xx Reports To: Sr. Manager, Business Intelligence DART Form 33.H 10 of 10 Exhibit H
