54 years of the Gauselmann Group of Companies an impressive success story under the Merkur sun Paul Gauselmann It was in 1957 that Paul Gauselmann laid the foundation stone for the Gauselmann Group that has developed in more than 50 years into a very successful enterprise. The logo of the group of companies is the laughing Merkur sun Germany s most popular amusement and gaming symbol that has for decades stood for state-of-the-art leisure entertainment made in Germany both nationally and internationally. The Gauselmann Group currently provides employment for over 6,000 people with a continued rising trend. The largest part with over 5,000 employees is attributed to the core market in Germany. The entire business volume in 2010 of the various sectors of the German market leader was 1.5 billion euros. 3

Michael Gauselmann The starting signal for the Gauselmann Group success story was given back in 1957 when Paul Gauselmann decided to operate juke boxes in his spare time. The first entrepreneurial successes were followed in 1964 by the move into complete self-employment. Paul Gauselmann already had 15 employees at that moment in time. The invention of the modern gaming arcade under the name Merkur-Spielothek was a major milestone in modern arcade development. The first such innovative arcade was opened in 1974 in Delmenhorst in Lower Saxony. There are currently approx. 400 Entertainment Centres in operation throughout Europe. Armin Gauselmann The Gauselmann Group introduced the Merkur B in 1977 to the market as the first self-developed and self-produced amusement with prize machine (AWP) in the company history. Since then more than two million amusement and gaming machines with and without prize have been produced and sold. The Gauselmann Group continues even today to be completely family-owned. The five shareholders (f.l.t.r.) Michael, Karin, Karsten, Paul and Armin Gauselmann discuss vital strategic subjects and issues during the monthly family council meeting. Indeed, Paul Gauselmann has not only dedicated himself to his company and employees. He has been contin - ually striving since 1965 for the concerns of the entire German coin-op industry through the industry associations. In 1966, Paul Gauselmann was elected into the executive board of the industry association Deutscher Automatenverband e.v. (DAV) in North-Rhine Westphalia and became its chairman in 1970. At the same time he accepted the vice presidency of the German operator association ZOA (Zentralorganisation der Automatenunternehmer). Since 1981 he has continuously headed up the industry association Verband der Deutschen Automatenindustrie e.v. (VDAI). Thus, Paul Gauselmann has been involved in responsible and far-sighted dialogue with politics and society on behalf of the industry for 45 years. 5

It was in 1993 that Paul Gauselmann was awarded the Federal Cross of Merit for his social, cultural and sporting commitments on behalf of the amusement and gaming market. A decade later, the entrepreneur received an even more important Federal Cross of Merit namely the 1st Class of the Order of Merit of the Federal Republic of Germany. Paul Gauselmann remains even today at the head of the Gauselmann Group together with his sons Michael and Armin Gauselmann. The activities of the Gauselmann group of companies are structured into three large company divisions: 1. Merkur Division - pan-european development, production and global sales of amusement and gaming machines and moneymanagement systems; 2. Spielothek Division - pan-european Entertainment; 3. New Business Segments - sports betting, internet-based games (online gaming). 7

Merkur Division pan-european development, production and global sales of amusement and gaming machines and money management systems adp Gauselmann GmbH adp Gauselmann GmbH has been the reliable partner of the amusement and gaming machine entrepreneurs in Germany for over 30 years, being the trendsetter and pioneer with corporate vision for innovative products and first-class service made in Germany. The Merkur Division comprises of the pan-european development, production and worldwide sales of amusement and gaming machines as well as money management systems. The activities of adp Gauselmann GmbH, MEGA Spielgeräte and Kaiser Spiele GmbH belong to this company division. Furthermore, the distributor companies Schneider Automaten and Walberer Automaten are included in the category Merkur Division. The activities of Merkur Gaming and Merkur Inspired alongside Blueprint Gaming are included in the Merkur Division as well as the cash and ticketing activities of GeWeTe (Mechernich) and HESS (Magstadt). The entire division of research and development belongs to the Merkur Division as well. 2010 was the most successful business year in the whole of the corporate history. The enterprise was able to assume the position of market leader in the field of multigamers. One of the reasons for this success was the timely conversion of all the new game systems to corre- Merkur Dispenser 100 8 9

spond to state regulations of the Technical Directive 4.1. Thus, both players and operators had enough time to adjust to the altered parameters. The company presented alone in 2010 eleven new games packages, each with up to 60 different individual games. The unique Merkur Roulette was also further developed. MEGA Spielgeräte and Kaiser Spiele MEGA Spielgeräte GmbH develops AWPs and revolutionised the market in 2010 with an innovative jackpot system called Monopoly-Center. It offers players attractive, new winning opportunities in up to four player positions per entity. The company introduced with Monopoly Plus in 2011 a further development of this system and another attractive Fun Centre with its Golden Nugget. MEGA Web GmbH is the market leader in Germany in the field of coin-operated internet terminals with over 10,000 in operation in the market. Kaiser Spiele GmbH is an AWP developer, specialising mainly in the development of classic reel games. Furthermore, Kaiser Spiele implements the proven classic games systems with great success also for the games packages of the Merkur Ideal Family. Renting and Leasing Merkur Freizeit Leasing (MFL) has been a reliable company in the German leisure industry as market leader in financial services and that for almost 25 years. The company portfolio provides a fair alternative to conventional investment loans and in addition offers optimal planning security for modern gaming machine companies. MFL was able to continually expand its order book in 2010 and administered approx. 140,000 contractual objects by the end of the business year. 12 13

Merkur Gaming Merkur Gaming GmbH develops and sells AWPs in the international games and gaming markets. The focus of the company activities is serving target markets in Europe and South America that have been already successfully developed as well as the further thorough coverage of new European and global markets. An important basis for the Merkur Gaming s work as well as the success of adp Gauselmann GmbH is the mutual technology transfer between both companies. The company registered great successes at the important industry exhibitions - the IGE in London and G2E in Las Vegas where notable contacts to European and South American customers were made. The two most important markets for Merkur Gaming remain Italy and Spain. The company successfully established the first video-based multi-gamer Master Games in the Spanish market. Merkur Inspired Merkur Gaming entered into a joint venture with the world s largest provider of server-based gaming terminals the Inspired Gaming Group - to form the brand name Merkur Inspired in 2010 for the Italian video lottery terminal (VLT) market. In the VLT technology the machines are in constant connection with a central server and are operated within the online surveillance of the finance ministry. Here the server technology for the VLT technology is provided by Inspired. The games and cabinets come from both partners. By the end of 2011 Merkur Inspired plans to have 5,000 machines in operation in the Italian VLT market. Blueprint Gaming The Gauselmann Group owns a controlling 50% share in the English company Blueprint Gaming Ltd and has thus once again become active since 2008 in the British market. Blue- print is one of the most upcoming multi-platform developers of digital games in Great Britain and successfully co-operates with the most important manufacturers and operators for the British market and beyond. The Blueprint games can today be played on several thousand networked player terminals around the whole world. An essential point in the co-operation between Blueprint Gaming and the Gauselmann Group is moreover the mutual technology transfer. 16

Cash and Ticketing Activities The activities of the Gauselmann subsidiaries GeWeTe and HESS Cash Systems provide the focus in the field of cash and ticketing. The modern and innovative systems of both companies are developed and produced 100% in Germany. The money changing technology specialist GeWeTe develops and produces change machines and payment systems in its core business. Furthermore, children s amusement machines belong to its company product portfolio. National and international arcades and casinos make up the main customer groups for the change machines. The company is market leader in Germany. Payment systems are also an important field of activity alongside the change machines for GeWeTe. They are put to use for example both in Germany and internationally at airports or stadiums (e.g. where they enable paying entrance fees). HESS Cash Systems GmbH & Co. KG develops, produces and sells self-service systems for banks and financial institutions, payment systems for communal establishments, money-processing systems for the retail market and cash-handling systems for casinos. HESS celebrated 125 years in business in 2010. The core business for HESS is developing and selling coin roll dispensers, currency exchange machines and coin deposit machines. At present over 5,000 such HESS systems are in operation throughout the globe at banks and credit institutions. Furthermore, HESS is the market leader for communal payment systems in Germany. HESS released its gold dispensing machine in 2010 that it developed and produces itself. It enables the automatic sale of gold bars and gold coins. In doing so, HESS could make use of existing know-how in the fields of security and software expertise. HESS products are sold globally in all the continents of the world. The export rate is approaching 50%. In its celebratory year HESS managed to attain the certification for quality and environmental processes according to DIN EN ISO 9001:2008 and 14001:2005 and also renovate the company headquarters including the showroom. Both are further milestones in its corporate history. 18 19

Research and Development 1 The field of research and development bears great importance to the entire amusement and gaming industry. The Gauselmann Group provides the market as technology leader not only with amusement and gaming machines but also with money management systems. The development areas in which the Gauselmann Group is active are diverse. They range from hardware development through to the construction of mechanical components right up to complete cabinets. Furthermore, the development of video and screen graphics, static models, music / sounds and naturally software all belong to the field of development. The important projects in 2010 alongside the many others were the development of the new Vision slant-top cabinet called Himmelsstürmer for both the German and international markets as well as the creation of numerous new games packages for Germany and the development of an online casino system for the subsidiary edict egaming. 2 3 Only the Himmelsstürmer has this: a clear view through the machine thanks to the floating monitor 20 21

Spielothek Division Pan-European Entertainment The pan-european activities within the group of companies in the arcade sector belong to the Spielothek division. The Gauselmann Group enjoys the position of market leader in Germany under the brand presence CASINO made by MERKUR-SPIELOTHEK. Highly trained staff, first-rate customer service, a stylish atmosphere and innovative products mark the success factors of the Gauselmann subsidiaries Merkur- Spielothek and Merkur Casino. The starting signal for the Merkur success story fell in 1974 upon the opening of the first Merkur- Spielothek in Delmenhorst. The 2010 business year saw the company operating over 200 modern Entertainment Centres in Germany and around further 200 arcades in ten European countries Austria, Bulgaria, Croatia, Hungary, Romania, Czech Republic, The Netherlands, Slovakia, Spain and Italy. A qualitatively first-rate atmosphere alongside excellent entertainment is always important for modern Entertainment Centres. In 2010 MERKUR-SPIELOTHEK celebrated the premiere of the furnishing concept called Emotion which stands out with its noble interior decoration, decorative accessories and graceful lighting design. 22 23

All future MERKUR-SPIELOTHEK and Merkur Casino arcades will be furnished according to this concept. Furthermore, the company was awarded the Best Practice Award Light Advertising together with the company Bertelmann GmbH for its excellent corporate design. In addition to this, MERKUR-SPIELOTHEK is championing the cause for the sustainable use of natural resources. Thus, ten Entertainment Centres were fitted with photovoltaic systems in 2010. Further installations are being planned. The stylish leisure activity at MERKUR-SPIELOTHEK arcades is being treasured more and more by female players. The amount of ladies playing in the whole of Germany has doubled to 20 percent in the past years at several locations to even over 30 percent. The reason definitely relates to the bigger gaming diversity with themes and motives that women find more and more attractive. Naturally the proven Gauselmann concept Atmosphere Products Staff is a guarantor for international success in the arcades outside of Germany under the brand name Merkur Casino. In particular the markets in the Czech Republic, Hungary, Slovakia and The Netherlands have developed positively for MERKUR-SPIELOTHEK in 2010. In Italy the diverse portfolio that the company offers its customers was notable that comprises of sports betting, AWPs as well as poker and video lottery terminals. Within the Gauselmann Group, the floor-space and real estate management pursues the search to locate exclusive sites for new arcades in order to be able to present corresponding Merkur locations in the future. In 2005 the Gauselmann Group laid the foundation stone for the entry into international sports betting with its controlling participation in the Austrian company Cashpoint Agentur & IT-Service GmbH. In the meantime several European countries are about to introduce or liberalise sports betting, thus placing even more importance on this area for the group of companies. The company is at present active in Austria, England, Czech Republic and Italy in the field of sports betting. Merkur Interactive GmbH was able to purchase licences in December 2006 in an auction procedure within the framework of the liberalisation of the Italian sports betting market for betting shops (Shops) and betting kiosks (Corners) in Northern Italy as well as a licence for internet-based gaming in the whole of Italy. This enables the operation of both sports betting and AWPs. The sports betting know-how and technical infrastructure for the 233 Italian locations as well as the internet-based betting games were provided from the start by the subsidiary Cashpoint. MERKUR- SPIELOTHEK took on the responsibility for the Shops and Corners in 2010 after a change in the market conditions towards electronic casinos. Player Protection / Responsible Gaming Player protection has been of elementary importance for years for the Gauselmann Group as responsible manufacturer of amusement and gaming machines and arcade operator. Thus, the aim as the pioneer of the amusement and gaming industry has been to meaningfully further spur on responsible gaming and in 2010 the position of prevention representative was created. The experts of Caritas Berlin are also training employees of the group since 2011. Here it is a matter of a uniform, national industry training concept that was created together with the Caritas Association for the Archdiocese Berlin. 28 29

Employees The Gauselmann Group employed 6,300 staff at the end of the 2010 business year all around the world with 5,300 alone being employed in Germany. A major point for the Gauselmann Group is the training of qualified junior staff. The company presently has 198 apprentices in 15 different occupations. As training is always done in a needs-oriented manner, successful trainees thus receive interesting career opportunities upon course completion. state of North Rhine-Westphalia. The BSG sportsmen and women have been able to take part in several successful sporting events thanks to the Gauselmann Group support, such as in football (vice European champion in small field tournament), dragon booting (winner of the Minden regatta) and cycling (German Cycling Cup 2010). The untiring efforts of prestigious interest groups, institutions and companies (first and foremost the Gauselmann Group here) have been crowned with success in creating the industry-specific training courses coin-op specialist and coin-op service technician. The company has already introduced 182 young people to these industry-specific apprenticeships since their introduction in 2008. The company sports association (BSG) Merkur Gauselmann e.v. has for years received particular support from the entrepreneurial Gauselmann family. The company sports association of the Gauselmann Group has approx. 1,000 members and 23 divisions. It is the largest BSG not only in the district of Minden-Lübbecke but much further afield as well and furthermore belongs to the top twelve company sports associations in the whole of the Joint activities and cultivating contacts to former colleagues and the company are the aim of the members of the Merkur Seniors Club. The club was founded on 4th March 1998 by 26 former employees and Paul Gauselmann and today has more than 60 active members. Club members undertake annual social trips together that have proven to be very popular. 30 31

Merkur Advisory Council The Merkur Advisory Council is the central forum for dialogue and an important informal advisory board between the Gauselmann Group and its most important customers in the German amusement and gaming industry. It consists of more than 100 members who are entrepreneurs and have been prolific role models for many years in the industry, bundling important experiences of a constantly changing market. 32 33

Social Involvement Commitment to the region Social commitment in the local region of the company location has been the practised corporate culture of the Gauselmann Group for many years. The company is thus the partner of sports, social and ecological groups in the district of Lübbecke. Paul Gauselmann and his family support initiatives for health prophylaxis in a passionate way. As chairman of the Apoplexy - Neurologic Clinic Minden society ( Schlaganfall Neurologische Klinik Minden e.v. Förderverein), he is both financially and also spiritually a conscientious contact person. The entrepreneurial family Gauselmann Group is strongly committed to the football state league team FC Preußen Espelkamp. Tennis is also within the corporate sponsorship focus. The company supports the local federal league tennis team called TV Espelkamp-Mittwald of which Paul Gauselmann himself is a member and is still active in namely the Mens Age Class 65 (German champion in 2010) and the Age Class 70. Furthermore, Paul Gauselmann donated a further landmark to the city of Espelkamp to beautify the townscape. The cheerful facade work of art The Espelkamps can be seen and admired over an area of 70 square metres on the front side of the Atrium a house directly near to the town centre. In addition to that, the 500 year-old castle Benkhausen in Espelkamp/Fiestel has belonged to the group of companies since 2010 and is currently being elaborately renovated to then serve as a training centre. Gauselmann Foundation also places particular importance on supporting sport in the local region. A central focus is the partnership with the local German handball first division team TuS N-Lübbecke that the Gauselmann Group sponsors. Furthermore, the More than ten years ago, Paul Gauselmann set up the Gauselmann Foundation on his 65th birthday. Today the foundation capital amounts to three million euros. The Gauselmann Collection German Coin-Op Museum The Gauselmann Collection German Coin-Op Museum DAM is one of the largest private collections of German and international historic coin-operated machines with approximately 1,800 exhibits. The DAM presents over 200 m² at the company headquarters in Espelkamp regularly changing exhibits that offer a fascinating insight into the remarkable history of the historic coin-operated machines. Armin Gauselmann It was in 1985 that Michael Gauselmann laid the foundation stone for today s museum with the purchase of historic machines and researching their history. Since 1999 Armin Gauselmann is responsible for the DAM within the entrepreneurial family.
