SENEGAL NOTICE INVITING TENDERS Tender No: AESA ICB 001 (INTERNATIONAL COMPETITIVE BIDDING) For ENGINEERING, PROCUREMENT & CONSTRUCTION (EPC) FOR 3x100/120 MW COAL BASED THERMAL POWER PROJECT AT DAROU KHOUDOSS NEAR MBORO TOWN, THIES REGION, SENEGAL, WEST AFRICA 1.0 INTRODUCTION 1.1 Africa Energy S.A. is inviting under two part bidding system, bids from eligible bidders for complete plant on EPC basis for 3x100/120 MW Project at Darou Khoudoss, near Mboro Town, Thies Region, Senegal. These Bid Documents are prepared considering 3x120 MW units as per the scope of work mentioned herein after. However, Bidders can offer their nearest standard proven units in these range subcritical parameters. 1.2 Sealed bids in four copies (1 original + 3 copies + 1CD) are invited in the prescribed Bid Proforma, for the Scope of Work described in the Bid Documents. 1.3 Scope of Work: - The brief scope of Work is as under: Bids are invited on Total EPC Basis for complete power plant subject to meeting relevant qualifying requirement as under for execution of Work based on best Engineering practices: Design, engineering, manufacturing, procurement, supply, sea transportation to Site, handling, storage, construction, erection, installation, testing, Completion, Commissioning, performance testing, training of Owner s personnel and final completion of Coal Fired Thermal Power generation Station including, supply of 1
mandatory spares and special tools and tackles. The Station shall have a generating capacity of 3x100/120 MW, and shall comprise three Units, located at Darou Khoudoss, near Mboro Town, Thies Region, Senegal. Bidder shall consider the Bidding Documents in their entirety for a complete understanding and interpretation of the Work and shall submit a Bid that meets the complete requirements of the Bid Documents. The intent of Owner is that the selected bidder should execute the complete Project within specified time schedule. Africa Energy S A reserves the right to issue tender documents only to bidders meeting the qualifying requirements mentioned in NIT and select any bidder for the above EPC to meet Project requirements without assigning any reasons or any liability thereof. 1.4 Schedules: The following schedules shall be followed for completion of plant. a) Time for Completion: Bidder to propose shortest Plant Commissioning Schedule subject to a limit of 24 months for first unit, 27 months for second unit and 30 months for third unit, from the date of Notice to Proceed (NTP). b) Bid Fee: The bid fee is non-refundable; the same shall be remitted by way of international pay order from reputed bank in favour of Africa Energy S.A. payable at Senegal. Ltd: Address: Mezzanine Floor, 8-Community Centre, East of Kailash, New Delhi 110065,India Telephone No. : +91-11-26473020/21 Fax No. : +91-11-42654618 E-mail ID : egateway@gmail.com 2.0 BIDDER S QUALIFICATION CRITERIA FOR EPC The Bidder should meet the qualification requirements stipulated hereunder in Clause no. 2.1 and 2.2 as given below: 2.1 Technical Criteria for Qualification: The Bidder shall be individual / consortium / Joint Venture Company who should have executed contracts on engineering, procurement Construction basis and commissioned at least one (1) Thermal Power Project of 100 MW Capacity or above as a single unit, which is in successful operation for a period of at least one (1) year as on the Bid Submission Date. The scope of work of such reference plant should have necessarily included design, engineering, supply, erection and commissioning on turnkey basis. The Qualifying criteria mentioned above should be met by one of the members or jointly by the consortium / JV company. Each member on the basis of whom the consortium or joint venture company gets qualified shall have minimum of 26% stake in the consortium / JV. 3
2.2 Financial Criteria for Qualification: 2.2.1 The net worth of the bidder as on date of bid submission shall not be less than U$100 million. A Bidder who does not satisfy the net worth criteria, stipulated in clause 2.2.1 above on its own would be required to furnish along with the bid, a letter of Undertaking from the holding company pledging unconditional and irrevocable financial support for the execution of the Contract by the Bidder in case of award, provided that the net worth of such holding company as on the last day of the preceding financial year should be at least equal to or more than the paid-up share capital of the holding company. 2.2.2 Bidder should have a minimum average annual turnover in the past three (3) accounting years of not less than One Hundred Fifty Million US Dollars (US$ 150,000,000). 2.2.3 The Qualifying criteria mentioned above should be met by one of the member or jointly by the consortium / JV company. 2.2.4 Preference will be given to the Bidder willing to invest up to 20% of the total equity capital of Africa Energy S.A. which will amount to approximately US$ 38 Million. 3.0 Bidders should submit all necessary documents to establish their claim of meeting the qualifying criteria in order to buy the tender documents. Africa Energy S. A. reserves the right to reject any or all bids cancel / withdraw Notice Inviting Tender ( NIT) without assigning any reason whatsoever and in such case no bidding/intending Bidders shall have any claim arising out of such action. 4.0 The Bidders in their own interest are advised to submit their Bids complete in all respects conforming to all terms and conditions of the Bid Document. 5.0 Performance Security: The successful Bidder shall submit a Bank Guarantee equivalent to 10% of the Contract Price towards Contract Performance Guarantee within 15 days of acceptance of Bid. The Contract Performance Guarantee shall remain valid till taking over of last unit of the plant. 6.0 Bids shall be evaluated based on the information / documents available in the Bid. Hence, Bidders are advised to ensure that they submit appropriate and relevant supporting documents along with their proposal in the first instance itself. Bids not complying significantly with the requirements of bid documents are liable to be rejected without any further opportunity. 7.0 Bidders to ensure that after Award of Contract and during execution, the Contractor shall not seek to alter any agreed Contractual terms, Conditions & Specifications. 8.0 Issuance of the Bid Document does not construe that the Bidder has been short- listed or 4
