These documents constitute the entire agreement between both parties and supersede all prior agreements, understandings and representations whether oral or in writing. Through this Contract Coface will provide the Client with the Services as described in the Specific Conditions. These services are provided subject to the following General Conditions. General Conditions 1. Users of the Credit Opinion and Customised Credit Opinion Services 1.1. Any credit opinions or customised credit opinions ( Opinions ) Coface UK provides are strictly confidential and are for the exclusive use of your company. This usage can be extended to a party added to this contract, in which case you undertake that they will also keep them confidential. You will consequently have no right to communicate them to any other third party, to resell them or to disclose to any other third party the origin of your information. 1.2. You acknowledge that the Opinions will be delivered to you without warranty of their accuracy or adequacy. The Opinions shall be used by you to obtain knowledge about a business or businesses but should not form the sole basis of the assessment of a customer s credit worthiness. You undertake at all times to exercise your own judgement in the use of the Opinions and shall be solely liable for all decisions taken. 1.3. You will have access to the Cofanet website service solely in order to obtain the services specified in the Specific Conditions of this contract. 1.4. You will read the User Guide which will be provided and you will use the services accordingly. You will be given a subscriber number and a personal confidential access code. You undertake to change this access code at the first use of Cofanet. You will ensure that you take all necessary steps to avoid their use by any unauthorised party. You acknowledge that we will not be liable in the event of theft or non-authorised use of an access code and you will be solely liable for damages and charges arising from the use or unauthorised use of the access code. 1.5. We do not guarantee that Cofanet will operate under all circumstances without delay, interruption or dysfunction, nor can we be held liable to you or to any third party for any failure of performance where such failure is caused by conditions beyond our reasonable control. 1.6. We will not be liable for malfunction or interruption of the service due to acts of God, strikes, telecommunications failures or virus infections nor, more generally to any exceptional circumstances affecting us or Coface SA, or to any act or event originating in a third party other than us, you and Coface SA. 1.1. Should we be found liable for any direct damages, you accept that the amount of our liability will not exceed, for all loss or damage: - For the consultation of an Opinion, the amount paid by you for the concerned item. - For any other use of Cofanet, a sum equal to a twelfth of the amount paid by you for the contract period. 2. General 2.1. This contract is valid from the date, and for the Initial Contract Period, stated in the Specific Conditions. This contract will then be renewed automatically for further periods of 12 months unless either party notifies the other of cancellation in writing not less than 30 days before the end of the Initial Contract Period or subsequent renewal period. 2.2. We have the right to suspend your access to the services or terminate the contract immediately if you breach of any of your obligations under this contract. 2.3. In the event of the non-renewal or termination of this contract, all sums paid by you in relation to this contract will be retained by us and any sums due to us will become payable immediately. 2.4. Payment for services within this contract is as per the rates and prices as specified in the Specific Conditions. 2.5. You will not assign this contract or any right arising from it to any third party. 2.6. Both parties undertake to each other that in respect of the provision and use of the Services (as appropriate) they will comply fully with all relevant statutory enactments. These include without limitation the Data Protection Act 1988 (including all re-enactments and amendments) and any regulations or requirements made by governmental authority or equivalent body of competent jurisdiction. 3. Law and Jurisdiction 3.1. This contract shall be governed by and construed in all aspects in accordance with the laws of England and Wales and both parties hereby submit to the exclusive jurisdiction of the courts of England and Wales. 3.2. If any part of this contract is held to be illegal or unenforceable, the validity or enforceability of the remainder of this contract shall not be affected. Specific conditions Description of the Services: We will make the following services available to you: The @rating Credit Opinion Service The @rating Credit Opinion Service is an instant online credit vetting facility. It will help you to trade on credit either traditionally or over the internet. The service offers an immediate evaluation of the risks associated with the non-payment of trade debt by providing you with a credit opinion based on our database of information on over 50 million companies worldwide. You can assess the credit rating of potential new customers, business partners and suppliers from sole traders to blue-chip companies. The service provides an easy to understand credit opinion not a detailed credit report containing information that you may not necessarily want. Its value lies in the fact that it is issued by Coface, a leading, global credit insurance company. This means that if you were insuring your debts with us, this is the rating we would use ourselves to determine credit insurance levels. You will be able to consult the @ratings of businesses. If the @rating is not available, we will search for the company, and if it can be identified, we will advise you of the @rating. We may advise you of an existing @rating we may have on record, and commit to send you an update after review. The @rating Customised Credit Opinion Service The @rating Customised Credit Opinion Service is an instant online credit vetting facility. It will help you to trade on credit either traditionally or over the internet. The service offers an immediate evaluation of the risks associated with the non-payment of trade debt by providing you with a credit opinion based on our database of information on over 50 million companies worldwide. You can assess the credit rating of potential new customers, business partners and suppliers from sole traders to blue-chip companies. The service gives you a decision on the specific amount you request rather than a set figure or a detailed credit report containing information that you may not necessarily want. Its value lies in the fact that it is issued by Coface, a leading, global credit insurance company. This means that if you were insuring your debts with us, this is the rating we would use ourselves to determine the level of credit insurance cover to provide. Other information companies do not provide insurance against their credit ratings. The fact that we do indicates the level of confidence we have in our credit opinion. However, it is important to remember that there is no credit insurance cover with @rating Customised Credit Opinions. It is the level of cover we would provide if you were insured with us. You can submit a limit for a business and we will respond with our recommendation for a non insured limit. Monitoring Service We will inform you of changes in the @rating, but only if we have knowledge leading us to make this change. Opinions are monitored for 12 months. Upon the anniversary unless deleted by the client they will be renewed for a further 12 months at the applicable Credit Opinion/Customised Credit Opinion charges. Date and period of Contract: This Contract comes into effect on and the initial Contract period will run until This Contract will then be renewed by tacit agreement for further periods of 12 months unless either party notifies the other in writing not less than 60 days before the end of the Contract period.
