Introduction The EnGlobe vboard ipad application is a fully integrated mobile solution for corporate governance allowing board members and other principal stakeholders to view information relating to their board duties in a completely secured environment that communicates directly with EnGlobe, a Worldwide Corporate Entity Management and Corporate Governance System. This document provides functional specifications of Corporatek s EnGlobe vboard ipad application. The following information will be covered in this document: Screen descriptions including the navigation structure Major functionalities Obtaining the vboard ios App Once the vboard application has been downloaded from the Apple App Store, the vboard icon will be displayed on the ipad Home Screen. Screen Descriptions Login Page The login page contains 2 fields and a login button: User ID Password If the ipad data and/or Wi-Fi connections are not present, a Go Offline button will be displayed in order to login to the vboard in offline mode. Board Member Dashboard The user will have quick access to open recent documents, view recent events and view upcoming meetings from the Latest Related Activities section. The left side navigation pane allows the user to access specific topics within Feeds, view documents and respond to available surveys. A list of related business entities is displayed in the Boards section allowing the user to preview its recent activities. 8 EnGlobe vboard

Upcoming Events A list of all business entity calendar events created in EnGlobe related to the boards the user has access to will be displayed in this section. A pop up window will appear displaying the following details if the user clicks on an event: Subject Category Start Date End Date All Day Event Corporatek Proprietary and Confidential Information 9

Upcoming Meetings A list of all upcoming board meetings related to all boards will be displayed when the user accesses this feed. Each available upcoming meeting displays the following details in the list view: Meeting name Start Date and time of when the meeting will be held Location of where the meeting will be held The business entity the meeting is concerning Meeting type The user can accept or decline to attend the meeting. 10 EnGlobe vboard

Meeting Details The meeting information section displays information regarding the meeting. As well, the list of attendees including a picture of the individuals is displayed in the meeting information screen. A green checkbox within the photograph is displayed if they have accepted to attend the meeting. Corporatek Proprietary and Confidential Information 11

Meeting Attendees Users have the ability to E-mail, Instant Message or initiate a Facetime call with other board members directly from the meeting attendee list screen. 12 EnGlobe vboard

Meeting Agenda Items A list of the agenda items and their descriptions is displayed. A paperclip icon is displayed against each agenda item if any documents have been uploaded in EnGlobe. Corporatek Proprietary and Confidential Information 13

Meeting Resolutions A list of resolutions are displayed allowing attendees to vote for each one during the meeting. Once the meeting has ended, no more votes are allowed, and users can no longer alter their decisions. The results of the votes are tabulated and managed in EnGlobe. 14 EnGlobe vboard

News and announcements Any non-expired announcements created in EnGlobe will be displayed in this section. Corporatek Proprietary and Confidential Information 15

All Documents A list of folders named by business entity is displayed allowing the user to view and open documents for a particular entity. 16 EnGlobe vboard

Document Classifications A list of document classifications is presented with the number of available documents. Documents must be classified in EnGlobe in order to group documents by classification. Corporatek Proprietary and Confidential Information 17

Documents List Documents are presented in a list view displaying their title, the associated entity, the last modified date and the document file size. 18 EnGlobe vboard

Data Rooms A list of available Data Rooms will be displayed grouped by business entity. The name of the Data Room and its description are displayed in the list. Any authorized user can access a data room to view all documents that have been uploaded in EnGlobe. Corporatek Proprietary and Confidential Information 19

Surveys Surveys created in EnGlobe can be made available to specific vboard users to respond directly from the vboard app. Results are charted in EnGlobe. 20 EnGlobe vboard

Document Preview When previewing documents in the embedded vboard document previewer, users can do the following: Jump to a specific page Switch to thumbnail view Ink sign the document Add public or private comments Chose to: Open the document in Adobe Reader (if installed on the ipad) E-mail Print Copy Bookmark pages Corporatek Proprietary and Confidential Information 21

Freehand Drawing Users have the ability to use a freehand drawing feature allowing them to outline documents using multiple colors. Corporatek Proprietary and Confidential Information 23

Ink-Sign Users have the ability to ink-sign documents. Once a document has been ink-signed, the signature will be permanently part of the document stored in the EnGlobe database. 24 EnGlobe vboard

Board Activities Similarly to the board member dashboard screen, selecting a business entity from the Boards list, will display basic information and its related activities. The user can quickly view recent documents, calendar events and upcoming meetings. The user can also choose to open the entity to view detailed information or can download content regarding the particular entity for offline viewing. Entity Basic Information Basic Information displays the following information about the business entity as well as its location based on its head office address. 26 EnGlobe vboard

Corporate Data Sheet Selecting the Corporate Data Sheet button allows users to view details of the entity in a corporate data sheet document. Users can also select from different corporate data sheets that have been made available in EnGlobe. Corporatek Proprietary and Confidential Information 27

Securities and Holders Securities and Holders present the user with six (6) types of charts related to securities and holders regarding the business entity: Capital Evolution Shares Beneficiary Holders Shares Holders Geographical Capital Holdings Voting Shares Holders Issued and Outstanding Voting Shares A full screen button is also available in the title bar, allowing users to view charts in full screen. 28 EnGlobe vboard
