Australia 7 Key deals A snapshot of some of our recent key deals Arrow On a 50:50 joint venture between Shell and PetroChina to finance its proposed CSG LNG project, comprising up to four processing trains on Curtis Island in Queensland. Commonwealth Bank and National Australia Bank Providing both Australian and English law advice on the establishment of their global covered bond programmes. Emirates The world s largest international air carrier, on its 10 year global aviation commercial cooperation with Qantas. Fortescue Metals Group Limited On a USD5bn senior secured facility with Credit Suisse and JP Morgan as joint lead arrangers and joint bookrunners and ANZ, Bank of America, Deutsche Bank and UBS as co-managers. Inpex Corporation and Total S.A. On the development and complex financing of the integrated USD34bn Ichthys LNG project, involving eight export credit agencies (ECAs) and 24 commercial banks. The project is the largest project financing in history and one of the largest construction projects being undertaken in Australia. Japan Australia LNG (MIMI) Pty Ltd (a 50:50 incorporated joint venture of Mitsui and Mitsubishi) (MIMI) On the acquisition of an approximately 15% interest in the Browse LNG Project from Woodside for USD2bn. KKR In relation to the acquisition of approximately 49.6% of the shares in Genesis Care Pty Limited, one of Australia s leading providers of private oncology and cardiovascular services. Leighton Holdings On its USD600m syndicated lease financing of mining equipment for two operating subsidiaries in Indonesia; PT Leighton Contractors Indonesia and PT Thiess Contractors Indonesia. Liberty Global, Inc. On the AUD1.9bn acquisition by Foxtel, acquiring 100% of Austar United Communications Limited by scheme of arrangement. FinanceAsia Achievement Awards, Australia & NZ, Best M&A Deal, 2012. Lloyds Banking Group On the AUD1.55bn sale of its Australian asset finance business, Capital Finance Australia Ltd (CFAL), and its corporate loan portfolio, BOS International Australia Ltd (BOSI) to Westpac Banking Corporation. This was one of the largest financial services transactions of recent times in the Australian market. Morgan Stanley Real Estate Investing On its acquisition of the funds management business of Orchard Funds Limited (with funds under management of approximately AUD1.2bn) and to commit approximately AUD200m to recapitalise the Orchard Platform. Nexus Energy On its acquisition by Seven Group Holdings. PTTEP On the Maple Floating LNG project that involves the development of a floating LNG project on the Cash and Maple gas fields off the north west coast of Australia. Roy Hill iron ore project Advised the export credit agencies and commercial lenders on the financing of the integrated Roy Hill iron ore project, the world s largest ever project financing in the mining sector. SABMiller On its high-profile AUD12.3bn takeover of one of Australia s largest companies, independent brewer, Foster s Group Limited, by scheme of arrangement.
