A statement from the Chairman Dear Sir or Madam, In 2005, and in line with its growth policy, Cegedim continued to develop its positions across the five continents. Results for 2005 are slightly above our initial forecasts. Sales rose by 15.4% to 501 million euros. Operating profit rose to 60.9 million euros, slightly above our objective of 60 million euros. Consolidated net profit grew to 37.9 million euros, at a particularly satisfying 7.6% of sales. For the first time since its creation, sales outside France exceeded one third of total sales in 2005. 2006 will see an increase in this international growth with a particularly good performance in the United States of America. In order to achieve its ambitions, Cegedim is continuing its research and development in all areas of business activity. Our American Target Suite solution is particularly adapted to the growing biotechnology market. The acquisition of the British company Compufile and the merger of our CAM and THALES businesses have allowed us to strengthen our European positions and to create a world-wide specialist in the field of Sales Force Effectiveness for the pharmaceutical industry. We have anticipated changes in the healthcare environment such as the reorganization of mutual healthcare companies, the internationalization of demand for health insurance management systems, Personal Medical File (DMP) in France, Barbuziau experimentation, a new 15% tranche of repayments amongst others. Group history Founded in 1969 by Jean-Claude Labrune, Cegedim began as a management and documentation center for centralizing data gathered from European medical publications. Focus rapidly shifted to data collection and processing activities for the sales and marketing departments of pharmaceutical firms. Revenue development by division The CRM and strategic data sector has seen revenue double since 2000 and this sector now accounts for 46% of the Group s activities. Through sustained internal and external growth the Group now covers more than 60 countries with an even wider range of solutions and services. Cegedim started to computerize healthcare professionals in France by providing doctors with practice management systems. The Group s offers were then extended to general practitioners in the UK in 1999 and to French pharmacists in 2001. These activities expanded further with the acquisition of companies producing software for doctors in the Belgian market (2003) and for pharmacists in the UK market (2004). The Healthcare insurance services sector originally provided automated payment and information exchanges solutions for third-party payers. Since 2000 the offering comprises software packages and services for healthcare insurers, extended again in 2003 and 2004. CRM and strategic data Medicines are prescribed by doctors who are not direct purchasers of goods produced by the pharmaceutical industry. TEAMS is the European pharmaceutical industry s most-used software and service platform in the fields of management, information and sales force effectiveness. The ONEKEY physician database is regarded as the benchmark database by the European pharmaceutical industry as well as by healthcare organizations such as specialist journals and insurance companies. Procedures for updating and clearing databases have been certified ISO 9002 since 1998. Cegedim s service offering is specifically geared to the pharmaceutical industry and highly differentiated from competitors offerings, which are essentially limited to software sales, the development of niche software or similar services offered over a smaller geographical area. In fact, Cegedim s full-service outsourcing platform features all the benefits of combining powerful technology with vast service resources. This global offering presents numerous advantages in terms of cost, performance levels and project maintenance. TVF France and International subsidiaries Benefiting from a market share of some 80% in France with ONEKEY and TEAMS, the Cegedim Group has maintained its strategy of international expansion ever since the 1990s. 2005 allowed Cegedim to prove the pertinence of its range with the high levels of user uptake of its latest solution, TEAMS version 7. Developed specifically to respond to organizational problems experienced by large sales forces, it has allowed Cegedim to win new major clients in numerous countries. In a very competitive market, Cegedim s market share has again increased and more than 71,000 users are now equipped with its solutions. Cegedim bought 100% of Target Software in the United States in 2005 within context of its international expansion policy. This is a new and decisive step for the future and is in line with Cegedim s ambition to become a global player in SFA (Sales Force Automation) and CRM tools for healthcare industries. Target Software has become the leading growth player for SFA and CRM tools in the North American market and equips nearly all the most successful CSOs (Contracted Sales Organizations medical visit service providers) in the United States. Everyone recognizes the value of its new technology based on MICROSOFT tools. Cegedim has also acquired the Egyptian company Trends Technology. Trends Technology markets an ETMS (Electronic Territory Management System) solution, which is available on PC and PDA and has equipped more than 1,000 medical reps in Egypt and Middle Eastern countries since 1989. ONEKEY ONEKEY, already firmly established in Europe, is consolidating development in key Latin America countries (Mexico, Brazil and Colombia) in order to provide clients with local or regional solutions. Promotional impact studies and ROI: measuring the impact Thales : Number of studies of promotional operations on the real prescription of doctors, analysis and optimization of the media mix, planning of commercial strategies and monitoring targets. Economic and epidemiological studies, a reflection of what happens in «real life»; frequently used by pharmaceutical companies to defend their positions in front of healthcare authorities, these studies are increasingly validated upfront by healthcare authorities. Sales statistics for pharmaceutical products Cegedim SA, Sales statistics department The Sales statistics department manages the French pharmaceutical products database on behalf of GERS, France's pharmaceutical industry association. The database is compiled from statistics based on industry-wide product codes. Sales statistics are processed by region and sub-region and based on data provided by pharmaceutical firms and wholesale distributors. Since 1999, these statistics have been available online on a weekly basis. The most recent geographical segmentation was established in 1998 (746 geographical units broken down into 4,612 sub-units comprising 3 to 8 pharmacies). As the new segmentation system is much more evenly distributed in terms of business volumes, it allows pharmaceutical firms to develop true micromarketing strategies. France is one of the few countries in which the pharmaceutical industry has joined forces to produce its own statistics and the system has become a benchmark for both industry and public health authorities. France is also one of the few countries that does not use statistics produced by IMS. Cegers Cegers, a subsidiary owned 50% by Cegedim SA and 50% by GERS, offers pharmaceutical firms and industry service providers with customized studies based on sales data from a range of different sources (GERS, IMS, Nielsen, IRI, internal data and others). Cegers also provides target management (calculation and monitoring of targets, rankings, bonus calculation) for pharmaceutical companies. The customized studies are transmitted to clients on a weekly or monthly basis via various media: Click-Pharma: software that provides companyspecific customized data sheets and charts in standard pre-formatted reports. Click-Pocket: palm or pocket PC software, identical to ClickPharma. TEAMS Vision: EIS (Executive Information System) integrated into the TEAMS package. Infopharm UK / InfoSanté Romania Through its subsidiaries Infopharm UK and InfoSanté in Romania, the Cegedim Group provides sales statistics on pharmaceutical products, significantly differentiated from those offered by competing companies. Relying on Cegedim s leading market position in pharmacists software in the UK, Infopharm UK is now positioned to offer drug manufacturers an entire range of wholesale distributors sales statistics as well as a full range of sales statistics based on information collected at the pharmacy. New quantitative and qualitative studies have been deployed and perfected. InfoSanté Romania is now the market leader in regional and national sales data and provides a full range of products and services on the pharmacies and hospitals segments. Prescription analysis Icomed Icomed measures physicians preferences in drugs and treatments through up to two individually addressed questionnaires per year. More than half of all French doctors in 19 branches of medicine inform Icomed of their prescribing habits each year. This nominative data is particularly useful in defining doctor and product profiles as well as for conducting more generalized studies. Icomed Belgium began operating in 1999 and conducts specific, on-demand European-wide studies by specialty. Medimed The German company Medimed GmbH s mission is the large-scale electronic collection of nominative prescription data acquired from participating doctors. 17

Santestat The Santestat database is compiled from data collected in pharmacies, and initial statistical results are provided through GERS, the French pharmaceutical industry association. The reforms undertaken by the National Health Service have resulted in different levels of inter-operability between healthcare professionals, which are progressively met by In Practice Systems software, duly adapted for General Practitioners. Obvious synergies are also developing with software for pharmacies, which are also involved in the British reforms. The Cegedim Group has continued to extend its influence in Europe, again in March 2006 with a significant investment made in Millennium, the leading provider of medical software in Italy (more than 11,000 workstations). Intranet and healthcare portal Santesurf Santesurf is France s secured IT portal exclusively for professionals in the healthcare sector. Physicians can use the portal to transmit electronic healthcare files to primary health insurance providers regardless of whether they are equipped with Cegedim systems. Doctors also benefit from specialized services such as electronic mailboxes and Internet access. Santesurf is the only free and secure French intranet for healthcare professionals (doctors, pharmacists). 31,000 doctors use Santesurf.com every day and 9,000 use the electronic healthcare file transmission service. Santesurf is France s leading private pooling service with a market share of nearly 17%. Santesurf, a private operator, has become the benchmark information exchange platform for healthcare professionals and medical reps. Professional pharmaceutical database Banque Claude Bernard RESIP company RESIP (Recherches et Etudes en Systèmes Informatiques Professionnels) provides healthcare professionals with a scientific database to assist in prescribing and issuing drugs, the Banque Claude Bernard (BCB), the only electronic database to compete with Vidal. The BCB is integrated into pharmacy management software marketed by the Alliadis network (Alliance- Plus software) and by the Data Conseil network (Premium software), with more than 8,000 subscribing pharmacies. This database is also included in software for doctors: 10,000 practices are currently supplied. In the future the database will be implemented on an increasing number of physician workstations owned by the Cegedim Group in France and will also be distributed by other medical software suppliers. As the major tool of its kind on the web market, the BCB is designed for integration into healthcare gateways and sites. The BCB s technology makes it easy for hospitals to integrate the database into their Intranet systems for rapid consultation, and it also allows for interface with management software through specialized APIs (Application Program Interface). Currently over 150 hospitals have deployed the BCB on their Intranet systems. For the first time in 2006, hospitals will use the BCB integrated into the prescription or dispensation software. Rosenwald Rosenwald, which has specialized in the publication of healthcare professional directories for more than one hundred years, joined the Cegedim Group in April 2005. Rosenwald markets three historic directories, the doctors directory (which includes a geographic list of doctors by specialty), the pharmacists directory (listing pharmacists) and the private hospital s directory (which provides useful information on more than 7,800 private hospitals). Paper copies of these directories are available or they may be consulted online at Rosenwald.com. In 2006, Rosenwald has confirmed its role as the provider of promotional tools dedicated to the healthcare professionals, with the acquisition of Mail Group, the French leader in medical «bus-mailings» (allowing each advertiser to share the costs of their mailing operations). Scientific, medical and promotional information MedExact MedExact works in synergy with all Cegedim Group companies which are involved in promotion excluding medical reps. The «ScreenPub» service concerns doctors equipped with Cegedim medical software interconnected to the Cegedim server. It allows the exchange of information and in particular the downloading and circulation of advertising campaigns directly onto screens. Since 2002, the «MedExact medical promotional department» has placed relations with scientific companies and the creation of medical-scientific communications at the heart of its business. It uses its large network of experts and electronic communications (via its therapeutic information internet site medexact.fr and via e-mail) to transmit medical 22
information to more than 65,000 general practitioners and specialists. MedExact also provides companies in the pharmaceutical sector with solutions for creating and formulating interactive messages to announce product launches, strengthen market positioning, promote brands and enhance public image. With its panel of 7,900 pharmacies computerized by Alliadis, «Pharmexact» offers the pharmaceutical sector all studies related to medical products or OTC and provides promotional loyalty tools and information communication tools for pharmacists. With its Internet-based panel of 600 representative pharmacies, PharmExact carries out ad-hoc studies into the prescription and issuing of medical products. These surveys allow information on medical prescriptions, the attitude of the pharmacy and can even collect the opinion of the patient. RNP RNP (Réseau National de Promotion) is the undisputed French benchmark for POS (Point of Sale) advertising in the pharmaceutical and para-pharmaceutical sectors. RNP promoters and merchandisers provide pharmaceutical firms with privileged access to 20,000 pharmacies in France on a three-weekly basis. Services include: Window dressing from standard to event-specific. Implementing in-store promotional materials (shelving, counters and displays). Conducting surveys. Personnel are equipped with PDAs which allow them to provide follow-up of the results of their work in real time, including digital photos. Pharmaceutical companies can access follow-up of their promotional activities via the RNP Internet site. 23
Healthcare insurance services Drawing most of its abilities from the production of professional software and the processing of complex information, the Cegedim Group offers (through its «Healthcare insurance services» sector), a large range of services dedicated to the main health insurance players. These players are at the interface with all healthcare professionals thanks to the Group s healthcare flow management systems, which are adapted to the increasing computerization requirements of the market. 24
IT for insurers Soltim-Proval Soltim-Proval, the Cegedim Group s software package and service center for the personal insurance sector, has a nationwide staff of 414. Leaders in the French market, Soltim-Proval s solutions cover 25 million people in France insured under the public and private health programs, providence programs and retirement programs, which generate 150 million EDI and direct payment exchanges per year. Soltim-Proval provides products for all market operators including insurance companies, providence funds and agents. In 2005 Soltim-Proval launched a new global healthcare flow management service based on additional high value-added services with Centre de Services accreditation through GIE SESAM-Vitale and acceptance of the first DREs (Electronic requests for reimbursement). Several significant projects, creating long-term client relationships are evidence of the commercial success of the services provided: implementation of a new information system for the Union Mutualiste Retraite in accordance with deadlines and agreements, the putting into production of a global applicative solution in ASP mode in partnership with Cegedim Logiciels Médicaux in order to manage Mutuelles de Provence treatment centers, the start-up of the Moroccan Social Security Offices information system (which will manage the health insurance program for private sector employees and civil servants), and the creation of a local «Cegedim Morocco» company. Soltim-Proval has developed in an environment facing ongoing restructuring with an inexorable concentration of insurers, which contributes to increasing outsourcing requirements. These challenges require a global approach to the market which has been perfectly integrated by Soltim-Proval, with its solutions ranging from the supply of information systems, all EDI tools (flows, DREs and others) to management outsourcing (third party payers, account management and others). Healthcare flows CETIP Tiers-Payant Santé-Pharma As the exclusive technical provider for the Santé- Pharma Association since 1991, CETIP is the French healthcare market leader in managing direct billing and payment flow. CETIP has processed more than 70 million billing and payment transactions in 2005, 99% of which were processed via remote transmission. The company manages nationwide direct payment by third-party payers for the accounts of 10 million beneficiaries, over 30,000 healthcare professionals and 200 health insurance companies. As a sign of its durability and experience, in 2006 CETIP will celebrate its 30th anniversary, its 15-year partnership with Santé-Pharma and its 10-year as a member of the Cegedim Group. Electronic data interchange Cegedim EDI For 15 years, Cegedim EDI has computerized all supply chain documents (order forms, dispatch notes, invoices and others). Using the Edipharm system, mainly between wholesale distributors and pharmaceutical firms, its activities rapidly spread to medical analysis laboratories and veterinary medicine purchasing centers and laboratories. A proven and well-positioned architecture, new Internet technologies, using XML and the development of new faster EDI protocols for the web have allowed Cegedim EDI to diversify into transport, mass distribution and administrative services with tax and social security on-line declaration services. In 2005, Cegedim EDI was an undisputed player in the computerization of invoices with more than 17 million flows processed and the launch of new «Global Invoice Services» tax-compliant computerization platform, which controls all functional, technical and legal aspects of invoice computerization, their storage and reproduction. In 2006, Cegedim EDI with the Edipharm system, will create and offer to convey pharmaceutical products traceability information. Hospit@lis Hospit@lis provides a gateway to optimize comprehensive supply management of medicines, medical devices and laboratory reagents between healthcare establishments and their suppliers. Hospit@lis service covers all exchanges from invitations to tender to orders and their associated logistical information and invoices. Furthermore, Hospit@lis places an exhaustive medicines database (BCB Banque Claude Bernard) at the disposal of healthcare practitioners working at the hospital, through its Internet gateway. The «Hospi-marchés» module allows all public organizations to computerize their invitations to tender, to receive and process the responses of suppliers securely and in accordance with Article 56 of the Public Markets Code. Hospit@lis improves the traceability of exchanges by centralizing all the information regarding the signing of orders and their monitoring on its Internet gateway. The purchase and integration of the APSYS-NET gateway in 2005 has strengthened the Hospit@lis service in terms of the number of healthcare establishments as well as medical device providers connected to its gateway. In order to expand, Hospit@lis has also formed strategic partnerships with other market players such as GHX Europe, for whom it processes part of the orders for medical devices. Hospit@lis is now present in more than 300 major healthcare establishments, including 17 University hospitals, and transmitted more than 240,000 orders in 2005. ASPOne.fr ASPOne.fr is a gateway that allows businesses, accounting firms and certified tax preparers to file returns and forms online. A unique, fully securitized solution, ASPOne.fr enables electronic transmission of all tax returns, tax forms, VAT forms and other government forms. Users benefit from standardized monitoring, a single interface and a single intermediary for all types of returns and forms. For subscribers, the gateway takes charge of all technical and regulatory developments and is constantly enhanced by new services to give the needs of declarants the best response. Thus, the recent opening of an on-line VAT capture service called WEB- TVA allows companies to meet the new on-line declaration legal obligations imposed by the 2006 Finances Act. ASPOne.fr is marketed either directly in the form of an annual subscription or under the client s brand (e.g.: as Crédit Lyonnais TéléTransEDI gateway). 26
Today more than 1,800 clients in France (representing more than 50,000 companies and 750 accounting firms) have placed their trust in the ASPOne.fr gateway, and made Cegedim the benchmark company for computerized exchanges outside the healthcare sector. The electronic transmission of treatment forms is a service provided in addition to the software and databases supplied by the Group. This service offers a permanent solution to facilitate day-to-day contacts with healthcare professionals. Déclaratis Déclaratis is the Cegedim subsidiary responsible for developing the partnership with the Sage group in order to develop computerized exchanges of the publisher s client database (500,000 accounts). The Sage DirectDeclaration tax and social security online declarations service uses the computerized exchanges platform operated by Cegedim within the framework of this partnership. The solutions implemented are distinguished by the very strong integration in Sage management software and their great ease of deployment. Electronic transmission of treatment forms Qualitrans-Télépharma As a Technical Pooling Organization, Qualitrans- Télépharma is responsible for the secure electronic transmission of treatment forms between healthcare professionals (pharmacists, doctors, biologists, radiologists and others) and paying organizations by integrating the various SESAM-Vitale system norms. Qualitrans-Télépharma allows the real time management and specific monitoring of dispatch notes (FSE, DRE and others) via the secure Santesurf Intranet: acknowledgments of receipt, rejected invoices, journal of payments by batch and others. It also offers access to more than 6,000 organizations paying for public and private schemes in France and in Overseas Departments and Territories. Qualitrans-Télépharma managed more than 65 million flows in 2005, 20% more than in 2004. This expansion should continue in 2006 with the deployment of the service to new categories of healthcare professionals and the launch of new high value-added services. 27
