EE Small Business Compliance and Procedures GC23 and Network Proof Compliance In order to be GC23 compliant and network compliant, it is essential that you take a full set of relevant proofs from your customer at the point of sale. The following table details the number and type of proof that you must take from your customer depending on their customer type. Proof of Business Current UK bank or building society statement (dated on, or up to no more than, 3 months prior to the date of connection), credit card (please ensure the middle numbers are obscured), or cheque book in the business name. Current utility bill (if not used as Proof of Address) or phone bill (fixed line or mobile) in business name (dated on, or up to no more than, 3 months prior to the date of connection). Certificate of incorporation. Change of name certificate. Inland Revenue ID registration card. Leasing/Rental Agreement in business name. VAT registration certificate. As an alternative to the above, new consumers have the option of providing a credit or debit card as a single proof of both ID and Address. A 2 transaction will then be taken and refunded to check the validity of the card details against the customer s name and application address. Mainline Compliance An official purchase order or a formal request on the company s letterhead should be taken at point of sale for all limited companies, charities, public sector and incorporated friendly societies. Faxes or photocopies are not acceptable. The PO should include the following: The trading address of the company and registered address (if they differ). All phone numbers quoted on the purchase order must be validated on 118500 (BT) / 118000 (Orange). The company must be telephoned for verification. The company registration number. The purchase order must be dated on, or up to no more than, 3 months prior to the date of connection. The number and type of handsets/ SIMs ordered, the tariff connected to and the duration of the contract. Must be signed by a director of the company or an authorised signatory. The printed name and position of the signatory. The purchase order should be a one page document. Mainline reserves the right to conduct a security call to the end customer as it deems necessary. Revenue Share is payable from the month stated in each commission table for as long as the customer remains on the tariff or until the customer upgrades or disconnects, whichever is earliest. Revenue Share - Mobilie Broadband Connections Revenue Share is calculated as a % of Billed Revenue (Billed Revenue = Tariff MRC & Airtime overspend excluding one off charges & VAT). Revenue Share is payable as long as the customer remains on the tariff up to contract tenure. Revenue Share is payable up to month 18 in the case of 30 day rolling contracts. New Connection Clawbacks (including Bundles) If a customer is disconnected for any reason (including fraud and non-payment) or deactivates any service within 360 days from the date of connection, EE will clawback all elements of commission, including any advances, as detailed below: Less than 120 days - 100% clawback 121 days to 180 days - 75% clawback 181 days to 360 days - 50% clawback Upgrade Connection Clawback If a customer is disconnected for any reason (including fraud and non-payment) within 120 days of renewal or upgrade, EE will clawback all elements of commission. Reconnections No commission will be repaid if a customer is subsequently reconnected to the network. Tariff Migration Clawback If, within 120 days of connection, a customer migrates to a price plan with a lower commission rate than the price plan the customer originally connected to, EE will claw back the commission differential between the tariffs. SIM Only Connections and Upgrades There is currently no commission clawback on SIM Only connections but the handset bonus will not be payable. Returns Surcharges There are currently no surcharges on returned handsets for disconnections on EE Small Business. Business Proofs If a dealer is unable to provide acceptable proofs to EE on request, EE has the right to clawback all commission and impose a 40 charge per connection. Queries Claims in respect of queried commission payments will be considered up to a maximum of 12 months from date of connection. Mainline Payment Terms The payment of commission to dealers is always subject to Mainline s standard terms and conditions. Proofs and Security Calls Multiple Connections (for the same customer) and Single Connections (New and Upgrades) For any talkplan (or multiple talkplans) where the talkplan bonus + advance has a value of 500 or more (ex. VAT), acceptable proofs are required to be supplied by 12 noon on the Tuesday of the week that payment is due to be made. Security calls may be conducted as Mainline deems necessary. If the proofs are unacceptable, commission will be held for a minimum of 120 days from the date of connection. 20+ Deals (New and Upgrades) Acceptable proofs will need to be supplied for all 20+ deals (even if previously upgraded with the same dealer). A security call to the end customer will be conducted for all 20+ deals (unless previously upgraded by the same dealer) either prior to the release of the handsets or before the payment is made. If proofs are unacceptable, the commission will be held for 120 days from the date of connection. Staggered Payment Mainline s staggered payment terms are detailed below: 50% released after 14 days from the date of connection 50% released after 3 month from the date of connection These payment terms apply to the following: Where the lead talkplan commission and advance is 5000 or more (ex. VAT) Multiple connections (for the same customer) where the total talkplan commission and advance is 5000 or more (ex. VAT) Connections in the dealer s own name where the lead talkplan commission and advances, or multiple single talkplan commissions and advances, total 500 or more (ex. VAT). Please note that the final 50% payment will be released after 2 months instead of 3 months. When a connection in a dealer s own name has a talkplan and advance of less than 500 (ex. EE Corporate Compliance and Procedures GC23 and Network Proof Compliance In order to be GC23 compliant and network compliant, it is essential that you take a full set of relevant proofs from your customer at the point of sale. The following table details the number and type of proof that you must take from your customer depending on their customer type. New Connection Clawbacks (including Bundles) If a customer is disconnected for any reason (including fraud and non-payment) or deactivates any service within 360 days from the date of connection, EE will clawback all elements of commission, including any advances, as detailed below: Less than 120 days - 100% clawback 121 days to 180 days - 75% clawback 181 days to 360 days - 50% clawback Customer Type Small Business (Sole Trader/Partnership) Limited Companies Proof of Signature Proof of Address Business Proof Yes Yes Yes Purchase Order Required Upgrade Connection Clawback If a customer is disconnected for any reason (including fraud and non-payment) within 120 days of renewal or upgrade, EE will clawback all elements of commission. Full UK or Northern Ireland Driving License paper and photocard (no duplicates). Credit or debit card please ensure the middle eight numbers are obscured. Proof of Address Utility Bill (reminders are not acceptable and must be dated within 3 months of the connection). Full UK driving license paper and photocard (if not used for Proof of Signature). Bank, credit card or Post Office Account Statement (must show current activity, not just interest or charges and be dated within 3 months of the connection). Major selected high street store card statements (to be dated within 3 months of the connection). Proof of Business Business cheque book. Business bank account statement for the past month. Business utility bill for one quarter (to be dated within 3 months of the connection). Business credit card statements for the past 3 months (to be dated within 3 months of the connection). As an alternative to the above, new consumers have the option of providing a credit or debit card as a single proof of both Signature and Address. A 2 transaction will then be taken and refunded to check the validity of the card details against the customer s name and application address. Mainline Compliance An official purchase order or a formal request on the company s letterhead should be taken at point of sale for all limited companies, charities, public sector and incorporated friendly societies (faxes or photocopies are not acceptable). The PO should include the following: The trading address of the company and registered address (if they differ). All phone numbers quoted on the purchase order must be validated on 118500 (BT) / 118000 (Orange). The company must be telephoned for verification. The company registration number. The purchase order must be dated on, or up to no more than, 3 months prior to the date of connection. The number and type of handsets/ SIMs ordered, the tariff connected to and the duration of the contract. Must be signed by a director of the company or an authorised signatory. The printed name and position of the signatory. The purchase order should be a one page document. Mainline reserves the right to conduct a security call to the end customer as it deems necessary. The compliance summaries detailed above are guides only. Please ensure that you have read the full requirements for EE Corporate customer proofs which are available at www.mainline.uk.com/eecorporateproofs Commission and Clawback Rules Revenue Share Revenue Share is calculated as a % of Billed Revenue (Billed Revenue = Tariff Access Fee & Airtime overspend excluding one off charges & VAT). Revenue Share is payable from the month stated in each commission table for as long as the customer remains on the tariff or until the customer upgrades or disconnects, whichever is earliest. Tariff Migration Clawback If, within 120 days of connection, a customer migrates to a price plan with a lower commission rate than the price plan the customer originally connected to, EE will claw back the commission differential between the tariffs. SIM Only Connections and Upgrades There is currently no commission clawback on SIM Only connections but the handset bonus will not be payable. Returns Surcharges There are currently no surcharges on returned handsets for disconnections on EE Corporate. Business Proofs If a dealer is unable to provide acceptable proofs to EE on request, EE has the right to clawback all commission and impose a 40 charge per connection. Queries Claims in respect of queried commission payments will be considered up to a maximum of 12 months from date of connection. Mainline Payment Terms The payment of commission to dealers is always subject to Mainline s standard terms and conditions. Proofs and Security Calls Multiple Connections (for the same customer) and Single Connections (New and Upgrades) For any talkplan (or multiple talkplans) where the talkplan bonus + advance has a value of 500 or more (ex. VAT), acceptable proofs are required to be supplied by 12 noon on the Tuesday of the week that payment is due to be made. Security calls may be conducted as Mainline deems necessary. If the proofs are unacceptable, commission will be held for a minimum of 120 days from the date of connection. 20+ Deals (New and Upgrades) Acceptable proofs will need to be supplied for all 20+ deals (even if previously upgraded with the same dealer). A security call to the end customer will be conducted for all 20+ deals (unless previously upgraded by the same dealer) either prior to the release of the handsets or before the payment is made. If proofs are unacceptable, the commission will be held for 120 days from the date of connection. Staggered Payment Mainline s staggered payment terms are detailed below: 50% released after 14 days from the date of connection 50% released after 3 month from the date of connection These payment terms apply to the following: Where the lead talkplan commission and advance is 5000 or more (ex. VAT) Multiple connections (for the same customer) where the total talkplan commission and advance is 5000 or more (ex. VAT) Connections in the dealer s own name where the lead talkplan commission and advances, or multiple single talkplan commissions and advances, total 500 or more (ex. VAT). Please note that the final 50% payment will be released after 2 months instead of 3 months. When a connection in a dealer s own name has a talkplan and advance of less than 500 (ex. Orange Compliance and Procedures GC23 and Network Proof Compliance In order to be GC23 compliant and network compliant, it is essential that you take a full set of relevant proofs from your customer at the point of sale. The following table details the number and type of proof that you must take from your customer depending on their customer type. Customer Type Proof of Signature Passport. Major selected high street store cards. Firearms Certificate. Full UK or Northern Ireland Driving License paper and photocard (no duplicates). Credit or debit card please ensure the middle eight numbers are obscured. Proof of Address Utility Bill (reminders are not acceptable and must be dated within 3 months of the connection). Full UK driving license paper and photocard (if not used for Proof of Signature). Bank, credit card or Post Office Account Statement (must show current activity, not just interest or charges and be dated within 3 months of the connection). Major selected high street store card statements (to be dated within 3 months of the connection). Proof of Business Business cheque book. Business bank account statement for the past month. Business utility bill for one quarter (to be dated within 3 months of the connection). Business credit card statements for the past 3 months (to be dated within 3 months of the connection). As an alternative to the above, new consumers have the option of providing a credit or debit card as a single proof of both Signature and Address. A 2 transaction will then be taken and refunded to check the validity of the card details against the customer s name and application address. Mainline Compliance Proof of Signature An official purchase order or a formal request on the company s letterhead should be taken at point of sale for all limited companies, charities, public sector and incorporated friendly societies (faxes or photocopies are not acceptable). The PO should include the following: The trading address of the company and registered address (if they differ). All phone numbers quoted on the purchase order must be validated on 118500 (BT) / 118000 (Orange). The company must be telephoned for verification. The company registration number. The purchase order must be dated on, or up to no more than, 3 months prior to the date of connection. The number and type of handsets/ SIMs ordered, the tariff connected to and the duration of the contract. Must be signed by a director of the company or an authorised signatory. The printed name and position of the signatory. The purchase order should be a one page document. Mainline reserves the right to conduct a security call to the end customer as it deems necessary. The compliance summaries detailed above are guides only. Revenue Share is payable for as long as the customer remains on the tariff or until the customer upgrades or disconnects, whichever is earliest. New Connection and Upgrade Clawback The standard clawback rules from Orange are very clear. If a customer is disconnected for any reason, including fraud and non-payment, or deactivates any service within 120 days, all of the upfront commission and advance will be clawed back. Orange reserves the right to clawback in full or part any commission paid for the duration of the customer s contract. Fraud In the event of a fraud disconnection, 100% of the upfront commission and advance will be clawed back. On the production of acceptable proofs, 50% of the upfront commission and advance will be repaid. Bad Debt If a disconnection occurs as a result of bad debt within 120 days of the connection, 100% of any outstanding Advances will be clawed back along with 50% of the upfront commission. If any customer bills subsequently remain unpaid, the revenue share related to these bills will also be clawed back. Gateway Devices 100% of any commission, Advances and Revenue Share will be clawed back for any upgrades or connections (including NHO) working through Gateway Devices (Multi SIM Systems) as opposed to a mobile phone handset. SIM Only SIM Only connections will currently receive no clawback of commission but no handset bonus will be payable. Queries Claims in respect of queried commission payments will be considered up to a maximum of 12 months from date of connection. Mainline Payment Terms The payment of commission to dealers is always subject to Mainline s standard terms and conditions. Proofs and Security Calls Multiple Connections (for the same customer) and Single Connections (New and Upgrades) For any talkplan (or multiple talkplans) where the talkplan bonus + advance has a value of 500 or more (ex. VAT), acceptable proofs are required to be supplied by 12 noon on the Tuesday of the week that payment is due to be made. Security calls may be conducted as Mainline deems necessary. If the proofs are unacceptable, commission will be held for a minimum of 120 days from the date of connection. 20+ Deals (New and Upgrades) Acceptable proofs will need to be supplied for all 20+ deals (even if previously upgraded with the same dealer). A security call to the end customer will be conducted for all 20+ deals (unless previously upgraded by the same dealer) either prior to the release of the handsets or before the payment is made. If proofs are unacceptable, the commission will be held for 120 days from the date of connection. Staggered Payment Mainline s staggered payment terms are detailed below: 50% released after 14 days from the date of connection 50% released after 3 month from the date of connection These payment terms apply to the following: Where the lead talkplan commission and advance is 5000 or more (ex. VAT) Multiple connections (for the same customer) where the total talkplan commission and advance is 5000 or more (ex. VAT) Connections in the dealer s own name where the lead talkplan commission and advances, or multiple single talkplan commissions and advances, total 500 or more (ex. VAT). Please note that the final 50% payment will be released after 2 months instead of 3 months. When a connection in a dealer s own name has a talkplan and advance of less than 500 (ex. VAT), the commission will only be held for 14 days from the date of connection. Return Surcharges - 14 Day Money Back Policy on New Pay Monthly Connections Return surcharges for new pay monthly connections are worked out using the connection level for the previous month versus the quantity of disconnections that have been made in calculating month. This provides a disconnection percentage which is used to calculate the surcharge. The disconnection percentages and charges are detailed below. T-Mobile Compliance and Procedures GC23 and Network Proof Compliance In order to be GC23 compliant and network compliant, it is essential that you take a full set of relevant proofs from your customer at the point of sale. The following table details the number and type of proof that you must take from your customer depending on their customer type. Current utility bill (if not used as Proof of Address) or phone bill (fixed line or mobile) in business name (dated on, or up to no more than, 3 months prior to the date of connection). Certificate of incorporation. Change of name certificate. Inland Revenue ID registration card. Leasing/Rental Agreement in business name. VAT registration certificate. As an alternative to the above, new consumers have the option of providing a credit or debit card as a single proof of both ID and Address. A 2 transaction will then be taken and refunded to check the validity of the card details against the customer s name and application address. Mainline Compliance An official purchase order or a formal request on the company s letterhead should be taken at point of sale for all limited companies, charities, public sector and incorporated friendly societies. Faxes or photocopies are not acceptable. The PO should include the following: The trading address of the company and registered address (if they differ). All phone numbers quoted on the purchase order must be validated on 118500 (BT) / 118000 (Orange). The company must be telephoned for verification. The company registration number. The purchase order must be dated on, or up to no more than, 3 months prior to the date of connection. The number and type of handsets/ SIMs ordered, the tariff connected to and the duration of the contract. Must be signed by a director of the company or an authorised signatory. The printed name and position of the signatory. The purchase order should be a one page document. Mainline reserves the right to conduct a security call to the end customer as it deems necessary. Business 1 Plan - Commission Talkplan Commission is only payable on the host customer telephone number. Several minute bundles can be added but commission will only be payable on the first minute bundle added to the account. Commission only payable when Business 1-plan price plan and User SOC (Product Code) connected at the same time Boosters - Commission Customers can buy more than one allowance If the customer cancels their subscription to one or more of the 1 month rolling boosters during the first 2 months following the end of the month of the subscription, the commission paid will be clawed back in full. This clawback also applies when the customer moves from 1 booster to another within the first 90 days. Clawbacks - New Connections and Upgrades If a customer is disconnected for any reason, including fraud and non-payment, or deactivates any service within 120 days, all of the upfront commission and advance will be clawed back. T-Mobile reserves the right to clawback all elements of the commission that has been paid. Reconnections No commission will be repaid if a customer is subsequently reconnected to the network. SIM Only The connection bonus will be reduced by 40 if a SIM Only connection is made without the provision of kit from Mainline or if it is made with unapproved generic kit. If the connection is made with approved generic kit, the connection bonus will only be reduced by 10. Returns Surcharges There are currently no returns surcharges on T-Mobile. Business Proofs If a dealer is unable to provide acceptable proofs to EE on request, EE has the right to clawback all commission and impose a 40 charge per connection. Queries Claims in respect of queried commission payments will be considered up to a maximum of 12 months from date of connection. Mainline Payment Terms The payment of commission to dealers is always subject to Mainline s standard terms and conditions. Proofs and Security Calls Multiple Connections (for the same customer) and Single Connections (New and Upgrades) For any talkplan (or multiple talkplans) where the talkplan bonus + advance has a value of 500 or more (ex. VAT), acceptable proofs are required to be supplied by 12 noon on the Tuesday of the week that payment is due to be made. Security calls may be conducted as Mainline deems necessary. If the proofs are unacceptable, commission will be held for a minimum of 120 days from the date of connection. 20+ Deals (New and Upgrades) Acceptable proofs will need to be supplied for all 20+ deals (even if previously upgraded with the same dealer). A security call to the end customer will be conducted for all 20+ deals (unless previously upgraded by the same dealer) either prior to the release of the handsets or before the payment is made. If proofs are unacceptable, the commission will be held for 120 days from the date of connection. Staggered Payment Mainline s staggered payment terms are detailed below: 50% released after 14 days from the date of connection 50% released after 3 month from the date of connection These payment terms apply to the following: Where the lead talkplan commission and advance is 5000 or more (ex. VAT) Multiple connections (for the same customer) where the total talkplan commission and advance is 5000 or more (ex. VAT) Connections in the dealer s own name where the lead talkplan commission and advances, or multiple single talkplan commissions and advances, total 500 or more (ex. VAT). Please note that the final 50% payment will be released after 2 months instead of 3 months. When a connection in a dealer s own name has a talkplan and advance of less than 500 (ex. VAT), the commission will only be held for 14 days from the date of connection.

Discount Authorisation Process Guidelines Discount Authorisation Process Guidelines from Mainline The Discount Authorisation (DA) process is essentially the same across all of the 3 networks. A DA can be submitted to the network via Mainline for any of the following: Air Time Credits (ATCs) - to reduce your customer s monthly bill. Additional Commission Early Upgrade - prior to the standard network terms. (Corporate customers only) You can submit a DA for a combination of the options listed above or as individual DAs. For example, you can submit a DA for Air Time Credits and Additional Commission or just Air Time Credits. The criteria that is applicable to each of the networks has been outlined in the tables below. Please note that a DA cannot be submitted to request an extension to the tenure in lieu of migration fees for Orange and T-Mobile migrations to EE. DA Submissions When your form has been completed and you have included all of the relevant data, you need to email your template form to discauth@mainline.uk.com DA Decision You will receive an email from Mainline s Discount Authorisation team detailing the network s decision, what has been approved, and the components of the deal. You will also be issued with a DA reference code. The DA is approved for the specified number of connections, talkplans and bundles on the template as well as the length of tenure that has been stated. The DA is valid for 6 months from the date that Mainline s Discount Authorisation team send the email to you. It is essential that you quote the DA reference code at the point of connection as the DA cannot be applied retrospectively. Failure to connect any of the elements may result in the DA becoming void. If any of the elements of the DA change prior to connection, an amendment must be requested via email to the Discount Authorisation team inbox at discauth@mainline.uk.com Please note, connections with a DA can only be processed by email and must be emailed to bps.connections@ee.co.uk EE Small Business Sharer Plan Commission - New and Upgrades In order to receive commission on the shared data, calls and text elements of the EE Small Business sharer plans (3-49 users), you must submit an EE SB Bundle Claim form via the discauth@mainline.uk.com inbox.
