All website (not eblas\) content updates, per Phase, provided weekly and/or monthly (!;chedule to be determined). These updates include adding new content (per Phase) and/or changing and updating content on the site-this does not include new designs (over and above the two phases) or new programming. S3,OOO annual fee Provisions and Conditions Not to Exceed Estimate: This is a "not to exceed" estimate for all work performed unless such work is an author's correction or change order. Author's Corrections/Change Orders: CLM Design Advertising Interactive (jjereinafter referred to as Designer) will establish "approval milestones" after which College ofthe Desert Foundation (hereinafter referred to as Clien\) will be charged author's corrections. Author's corrections are changes in direction or requirements after sign off and/or approval. These milestones, established with the Client, include very clearly defined steps such as: sign off of site map; sign off of selected design proposal; sign off offirst test pages; and so on. Payment Schedule: Creative Services/Programming Fees will be due and payable as follows: Website Phase 1 and Phase 2: Fifty percent (50%) or Seven Thousand Dollars ($7,000.00) is due to begin the project. A further Five Thousand Dollars ($5,000.00) will be due at the launch of Phase 1. The balance of Two Thousand Dollars ($2,000.00) will be due and payable at the launch of Phase 2. Hosting, Maintenance, Eblasts: Three Thousand Dollars ($3,000.00) due and payable on September 1, 2011. Creative Services Fee Phase 1: Fifty percent (50%) or Nine Thousand Dollars ($9,000.00) is due to begin the project. The balance of Nine Thousand Dollars ($9,000.00) will be due and payable at launch. Creative Services Fee Phase 2: Fifty percent (50%) or Six Thousand Dollars ($6,000.00) is due to begin Phase 2; the balance will be due upon launch of Phase 2. Cancellation of Project: If the Client curtails the project before it is completed, Designer will invoice the Client for the work completed through the date of termination and return any monies due to the Client from the down payment, should this apply. Copyright Notice: Copyright notice for the Website shall appear in the name of the Client unless specified to.the contrary. Other copyright notices, such as for photography, video, illustration, and music, shall be included as required in the relevant releases. produced including, but not limited to, the website, website tools, logos, all creative produced by designer on behalf of Client. Designer retains the right to make portfolio use ofthe items or parts thereof after the launch of, the website. Authorship credit in the name of Designer shall appear on the Website. Responsibilities and Confidentiality: Designer agrees that any assets supplied by Client, whether for use in the creative/branding elements or in relation to the business purposes for their development, shall be treated as confidential and neither disclosed to third parties nor used in anyway other than for the development of said items. At the completion of work, Designer shall return to Client the assets supplied by Client. Releases: The Client warrants that it has the right to enter into an Agreement and that Client owns or has obtained appropriate Website usage and Print rights for any assets supplied by the Client to Designer. The Client shall indemnify and hold harmless Designer and its subcontractors against any and all claims, lawsuits, costs, and expenses, including reasonable attorney's fees, arising in connection with the project.
