1 Pay-Per-Click/Google Adwords Services 1. Development of PPC Campaign and Optimisation Services. SIMPLE ID agrees to create, install, manage, develop and employ custom PPC Advertising tactics according to the terms listed below. 2. Services Provided. PPC Campaign and Optimisation services are intended to provide client with preferential positioning in selected paid search engine inclusion and report results on an ongoing and timely basis. Some of the tactics Simple id will utilise as part of it s service offering are as follows: Individual ads monitored and poor performers replaced with new ad copy Keyword performance analysed and poor performing keywords eliminated Keyword opportunities identified based on ad and keyword performance Ad groups created or modified based on ad and keyword performance Ad and keyword bids modified to maximise high quality traffic Recommendations made to improve landing page performance Competitor campaigns reviewed to identify keywords, ad and landing pages opportunities Monthly statistics and account changes report sent Client understands that Simple id may not execute all of these tactics and will use its best judgement which tactics to utilise. 3. Delivery Dates SIMPLE ID will use reasonable diligence in the development of the PPC Campaign and Strategy and endeavour to deliver to client all deliverables on a monthly basis. Client acknowledges, however, that this delivery deadline is an estimate, and are not required delivery dates. SIMPLE ID will retain all documents, source code, keyword lists and other assets employed or created for client during the execution of this agreement. Client will receive only the output formats of SIMPLE ID s work where applicable. The output is to be used only within the scope of the project as outlined in list above. Client shall retain all of its intellectual property rights in any text, images or other components it owns and delivers to SIMPLE ID for use in the PPC Campaign and Strategy rendered under this Agreement. 4. PPC Keyword Selection Services. SIMPLE ID will manage a list of keywords and phrases relevant to client s desired search terms based upon Research conducted by SIMPLE ID. Competitive analysis of keyword terms currently in market use. Other client-provided analytics and metrics for particular terms or phrases.

2 5. PPC Campaign Components, Implementation, Ongoing Research and Reporting Services. Advertising Copy. SIMPLE ID shall write advertising copy that is designed to drive high quality traffic to client web site(s) based upon the various keywords identified and selected in section 3.1. Click-through rates shall be tracked and copywriting shall be adjusted based on these reports. Campaign Budgeting. SIMPLE ID and client shall agree upon an initial budget for all PPC efforts. Campaign Creation and Implementation. SIMPLE ID shall set up independent PPC accounts in client name with all agreed-upon PPC Advertising Networks and subject to the agreed-upon budgets. SIMPLE ID shall create various campaigns with varying advertising copy, keywords and demographic targeting based on the SIMPLE ID s research. Campaigns may differ in copywriting and keyword usage based upon the individual PPC advertiser. SIMPLE ID may create special Web Pages ( landing pages ) to which all click-through actions. Creative services rendered under this Agreement may be subject to separate Web Design and Development fees and terms and conditions. Monitoring and Reporting. SIMPLE ID shall monitor and manage client s PPC campaign and monitor CPC (cost per click) rates. Bids shall may be adjusted in order to maximise high quality traffic. Non-performing keywords may be removed from the PPC campaign based on the results of this reporting. Reports shall be provided to client on a monthly basis. Call Tracking. Call tracking may also be provided. Where this service is applicable, the Client agrees to the call recording service and acknowledges that calls from the Campaign may be recorded. Google Display Network Advertising and Remarketing 1. Development of Display Network Campaign. SIMPLE ID agrees to create, install, manage, develop and employ custom Display Marketing Network tactics so your ads can appear across a large collection of websites, mobile apps, and video content on the Google Display Network. Some of the tactics Simple id may utilise as part of it s service offering are as follows: We may use a keyword list for your ads to show over the display network

3 We may have your ads appear over specific handpicked websites, mobile apps, or videos. We may have your ads show up over multiple Display Network pages about a specific topic. We may have your ads show to specific audiences on Display Network sites so we can reach people of a certain age group or gender. We may use remarketing to reach people who have previously visited your site, and show them relevant ads across the web or when they search on Google. Client understands that Simple id may not execute all of these tactics and will use its best judgement which tactics to utilise. 2. Digital Network Campaign is intended to have relevant ads automatically matched to websites and other placements like mobile phone apps, when your keywords are related to the sites content. You can also choose to target specific sites, pages about specific topics, demographic groups or remarket to previous users who have clicked on your website. 4. Digital Network Keyword Selection Services. SIMPLE ID will manage a list of keywords and phrases relevant to client s desired search terms based upon Research conducted by SIMPLE ID. Competitive analysis of keyword terms currently in market use. Other client-provided analytics and metrics for particular terms or phrases. 5. Digital Marketing Campaign Components, Implementation, Ongoing Research and Reporting Services. Advertising Copy. SIMPLE ID shall write and/or design an advertising copy that is designed to

4 drive high quality traffic to client web site(s) based upon the various keywords identified and selected. Copywriting shall be adjusted based on analysis on performance. Campaign Budgeting. SIMPLE ID and client shall agree upon an initial budget for all Display Marketing efforts. SIMPLE ID may create special Web Pages ( landing pages ) to which all click-through actions. Creative services rendered under this Agreement may be subject to separate Web Design and Development fees and terms and conditions. Monitoring and Reporting. SIMPLE ID shall monitor and manage client s Digital Network campaign Call Tracking. Call tracking may also be provided. Where this service is applicable, the Client agrees to the call recording service and acknowledges that calls from the Campaign may be recorded. SEO (Search Engine Marketing) 1. Simple id s SEO services are intended to serve two main purposes: 1) to provide the Client with increased exposure in search engines, and 2) to drive targeted online traffic to the site. 2. Simple id s SEO Services will include (but are not limited to): Researching keywords and phrases to select appropriate, relevant search terms. Obtaining back links from other related websites and directories in order to generate link popularity and traffic. Editing and/or optimisation of text for various html tags, metadata, page titles, and page text as necessary. Analysis and recommendations on optimal website structure, navigation, code, etc. for best SEO purposes. Recommend, as required, additional web pages or content for the purpose of catching keyword/phrase searches. Create traffic and ranking reports for Client s website and any associated pages showing rankings in the major search engines. 3. For the purposes of receiving professional SEO services, Client agrees to provide the following: Administrative/backend access to the website for analysis of content and structure.

5 Permission to make changes for the purpose of optimisation, and to communicate directly with any third parties, e.g., your web designer, if necessary. Unlimited access to existing website traffic statistics for analysis and tracking purposes. A Client address for the purposes of requesting links. Authorisation to use client pictures, logos, trademarks, web site images, pamphlets, content, etc., for any use as deemed necessary by Simple id for search engine optimisation purposes. 4. Client must acknowledge the following with respect to SEO services: All fees are non-refundable. All fees, services, documents, recommendations, and reports are confidential. Simple id has no control over the policies of search engines with respect to the type of sites and/or content that they accept now or in the future. The Client s website may be excluded from any directory or search engine at any time at the sole discretion of the search engine or directory. Due to the competitiveness of some keywords/phrases, ongoing changes in search engine ranking algorithms, and other competitive factors, Simple id does not guarantee #1 positions or consistent top 10 positions for any particular keyword, phrase, or search term. Some search directories offer expedited listing services for a fee. If the Client wishes to engage in said expedited listing services (e.g., paid directories), the Client is responsible for all paid for inclusion or expedited service fees. Linking to bad neighbourhoods or getting links from link farms can seriously damage all SEO efforts. Simple id does not assume liability for the Client s choice to link to or obtain a link from any particular website without prior consultation. 5. Simple id is not responsible for changes made to the website by other parties that adversely affect the search engine rankings of the Client s website. 6. The Client guarantees any elements of text, graphics, photos, designs, trademarks, or other artwork provided to Simple id for inclusion on the website above are owned by the Client, or that the Client has received permission from the rightful owner(s) to use each of the elements, and will hold harmless, protect, and defend Simple id and its subcontractors from any liability or suit arising from the use of such elements. 7. Simple id is not responsible for the Client overwriting SEO work to the Client s site. (e.g., Client/webmaster uploading over work already provided/optimised). The Client will be charged an additional fee for re-constructing content, based on the hourly rate of $150 per hour. Notwithstanding any other provision of this Agreement, Simple id s obligation to provide free SEO services shall cease in the event the Client s conduct overwrites the SEO services provided. For example, if the client s webmaster uploads content without consulting Simple id, then Simple id s obligation to provide SEO services for free shall terminate.
