3 Executive Summary Overview: Symphony at Eagle s Landing is developing an upscale retirement community in Eagles Landing, an affluent suburb of Atlanta. Symphony at Eagle s Landing believes that timing is right to leverage the current demand with the Company s knowledge, skills and the experience of its management team and strategic partners. Additionally, the Company has access to capital along with a strategic alliance with Emory Healthcare (Georgia s largest hospital provider) to ensure the project operates at a profit. Project Description: The project entails construction of a 189-unit Continuing Care Retirement Community with three primary buildings totaling approximately 244,000 square feet. 141 of the units will be targeted for Independent Living (IL) luxury 1 and 2 bedroom apartments. The balance of the units will be divided between Assisted Living (AL) and Memory Care (MC) units. The overall objective of Symphony at Eagles Landing is to create an environment and choices that enable older adults to experience fully actualized, creative and satisfying aging. With that overall interest in mind, Symphony at Eagles Landing will provide swimming, wellness and exercise rooms, common areas for social gatherings, cafes, business centers, wood-working shop, craft room, and more, along with a range of educational programs that promote proper medical care, wellness and nutrition.

4 Project Location: Symphony at Eagles Landing will be nestled on 50 wooded acres strategically located less than a 1/2 mile from the entrance to Eagles Landing Country Club (a 27-hole private course and subdivision that was named 2011 Course of the Year by the Georgia Golf Course Owners Association). Eagles Landing Country Club subdivision is a 3,000 acre master-planned, gated community that offers five different neighborhoods with over 2,000 homes ranging in cost from $200,000 to $3,000,000. Symphony is a short 30 minute drive south on I-75 from downtown Atlanta. Symphony is also less than 1/4 mile from the largest hospital in the region, and a short 20 minutes from the world s busiest airport - Atlanta Hartsfield Jackson International. The 50 acre site is fully entitled and has I-75 visibility. Symphony at Eagles Landing will be located in the heart of Henry County, Georgia at the intersection of the most heavily trafficked interchange in the County, Eagles Landing Parkway. Henry County is in Atlanta, GA Metropolitan Statistical Area and has been listed as one of the top ten fastest growing counties in the U.S. for the past 8 years. Most recently, the Atlanta Regional Commission has stated that Henry County is projected to be the fastest growing county in the Atlanta Region over the next 20 years and is expected to add in excess of 250,000 new residents, almost doubling its current population. Metro Atlanta is comprised of 28 counties and is home to more than 5.3 million people and home to 145,000 companies, including 12 Fortune 500 companies that call Atlanta their headquarters.

Collectively the team has managed over 140 properties successfully from around the United States. The Architects and Designer: About THW Design Since 1957 THW has demonstrated a wide range of design expertise with commissions that span twenty two states and five foreign countries. Today, THW is considered among the nation's top senior living design firms bringing a unique hospitality and community based focus. The leadership team at THW has a vast amount of experience. Over 50 years of extensive experience in the design of airport, hospitality, corporate, wellness center, and senior living projects to involvement in strategic planning for THW projects that improve the lives of seniors. CEO Emeritus Bill Witte is also the Creator of Vital Life, a revolutionary wellness program offered to Senior Living Communities across the globe. Internationally, the THW footprint is highly recognized in China where a number of key multi-million dollar developments have been designed, including a 5-Star Hotel Conversion to a CRCC (Continuing Care Retirement Center) Senior Living Community in Qingdao, China. Also, the Beijing Olympic Park, providing services for the over 800 acre Chaoyang Eco Park and the 140 Guestroom 5-Star Hotel in Liuli China to name a few.

6 The General Contractor: Since its inception in 1990, New South Construction Company has grown into one of Georgia s most respected construction firms. For many years, New South Construction has performed construction services for several notable client s including; Delta Air Lines, The Coca-Cola Company, Turner Field, Druid Hills Golf Club, Wesleyan School, Emory University and General Mills to name a few. New South has been on Atlanta Business Chronicles Top 25 General Contractors and Top 25 Interior Contractors for the past 14 years and is listed in ENR s Top 400 Contractors in the nation. The company has also been a past recipient of the Top 20 Places to Work in Atlanta. New South has continued to experience growth with revenues above $180 million. New South has numerous construction projects in multi-family housing including Pitney Bowes-Aberdeen Conference Center in Peachtree City, Georgia, Senior Connections, an operations facility with a 4,000 sf Kitchen that produces 5,000 meals during each 8 hour shift, and Wesley Woods, a senior assisted living facility which renovated 8,000 square feet and included adding on 23 new skils nursing rooms, 6 new assisted living rooms as well as a club house with restaurant. 7 The Medical Team: Emory Healthcare System The Emory Healthcare system encompasses The Emory Clinic; Emory University Hospital; Emory University Hospital Midtown, Emory s Midtown Atlanta Hospital; Emory University Orthopedics and Spine Hospital in Tucker, Georgia; Emory-Adventist Hospital at Smyrna; Emory Children s Center; Wesley Woods Center; Saint Joseph s Hospital; and Emory Johns Creek Hospital. Emory physicians will maintain an office inside Symphony at Eagle s Landing that will provide preventative medical and wellness consultation to not only Symphony residents but also open to all seniors in Henry County that are over the age of 60.

8 The Ownership Team: The Management team of Symphony at Eagles Landing is comprised of highly experienced and qualified management members that as a group have completed in excess of $4 Billion in transactional volume including hundreds of millions in real estate development and construction projects. Bruce Nicely has over 18 years experience in real estate development having completed projects in land development, residential and commercial construction projects in Georgia, Florida and South Carolina. His projects include a 800-acre Master Planned Community; multiple free standing single tenant ground up construction projects and numerous large tract land purchases. Prior to his development career, Bruce founded and led a successful restaurant chain with locations in multiple states, which had over 570 employees and generated sales in excess of $90 million. Dan Fort has been focusing primarily in investment banking, financial advisory consulting, and investing. His financial advisory consulting services are provided through Walnut Creek Capital Advisors, LLC which he founded in Prior to founding Walnut Creek Capital Advisors, Dan spent over 30 years in corporate finance with Ernst & Young. While Dan represented the small, middle-market companies, some of the transaction counterparties were large, multi-national companies like Philip Morris, Bank of America, Citigroup, J. P. Morgan Chase, Wells Fargo (formerly Wachovia), Smith & Nephew, The Home Depot, and Safeco Insurance. Ricky Harp has over 30 years of development experience, having completed hundreds of millions in commercial, residential and institutional developments throughout Georgia. His projects include Fischers Crossing, Sawgrass Landing, Atlanta Youth Academy, work on Georgia Tech s Bobby Dodd Stadium, Turner Broadcasting, CDC Yerkes Primate Center and Woodward Academy, among others. James King has completed projects in a wide range of heavy civil related construction over the past 29 years. James served as President and CEO of DeKalb Pipeline Company which, under his direction was recognized as one of Metro Atlanta s site development leaders. James has served in several high ranking positions with industry associations including the National Utilities Contractors Association and the Georgia Utility Contractors Association.
