4 Company Size and Scope Uniguest has more systems deployed with every major hospitality brand than any other provider in the industry. The company has exclusive relationships with Hilton Worldwide, Marriott International and Choice Hotels International, among others, and manages more than 12,000 publicuse computers and devices, information kiosks and digital signs for 7,000 clients in 29 countries. By 2015, Uniguest expects its systems to be deployed in every Hilton-branded property, giving it representation in nearly half of the U.S. full-service segment. 4

6 Uniguest s History Uniguest enjoys a 27-year track record as a strategic partner with the hospitality industry. The company was established in 1986 as U.S. Hospitality, marketing advertising-based, in-room guest directories. In 2005 the company introduced free public-access personal computers in hotels. U.S. Hospitality acquired Uniguest in 2009 and adopted the name for the combined corporate entity. In 2010 the company acquired pay-per-use contracts from Showcase Technology and was awarded the single-source contract for the Hilton Hotels & Resorts brand worldwide. Depth of Organization Uniguest is led by an experienced management team with a track record of success across key business segments: hospitality, franchising, technology and marketing. 7 Leadership John Bearden, Chief Executive Officer John Bearden joined Uniguest in 2010 as Chief Operating Officer and was promoted to Chief Executive Officer in Prior to Uniguest, John was President and Chief Executive Officer of Chicago-based GMAC Home Services, the fourth-largest real estate services company in the world. Under his leadership, the company experienced tremendous growth and was also recognized by JD Power and Associates as Best in the World in Customer Service Excellence for two consecutive years. From Bearden was Chairman of the Board of E-Commissions, a finance company based in Austin, Texas. Prior to that, he was principal shareholder, President and Chief Executive Officer of Coldwell Banker Real Estate of Canada. Under his leadership, the company was named one of Canada s top privately owned national small businesses. He received a bachelor of arts degree from Vanderbilt University, Nashville, Tenn. Mark Oldham, Partner & Chairman Mark Oldham, Uniguest Partner & Chairman, founded U.S. Hospitality Corporation in The company subsequently acquired Uniguest in 2009 and adopted its name. Under his leadership, U.S. Hospitality became the largest publisher of hotel guest directories in the country, serving more than 2,000 hotels in the United States, Canada, and the Caribbean, and received honors including the Inc. 500 award. He has been instrumental in growing Uniguest s technology and print businesses. Earlier in his career, Oldham was involved with entrepreneurial projects including Nashville Wine Distributors Inc., Marathon Computer Corp. and CityAmerica.com. 8 Leadership Paul Payette, Executive Vice President, Business Development Paul Payette, Executive Vice President, Business Development, is an award-winning business development and marketing executive with extensive experience generating exceptional P&L results through sales and marketing, business development, revenue generation, negotiating deals and developing lucrative and innovative brand-building strategic alliances for Choice Hotels International, Discovery Communications and Blackboard. He personally has negotiated more than $100 million in new business contracts. Prior to joining Uniguest in 2013, he was Chief Innovation & Partnerships Officer for R66T Digital Media/OnSite Concierge, where he navigated and negotiated complex business opportunities by building relationships with new and prospective clients. He also oversaw the development of company initiatives and led the company s business development, marketing and partnerships team. From 2001 to 2009 he served Choice Hotels International as Senior Director of Business Development. Prior to that he was Director of Business Development for Blackboard Inc., Washington, and Acting Vice President of Home Video & Music for Discovery Communications, Silver Spring, Md. Payette received a bachelor of arts degree from the University of Maryland, College Park, studied business at Harvard Business School, Boston, and is a U.S. Air Force veteran. Joe Moore, Chief Technology Officer Always striving to be the technological leader and working on opportunities for the future, Joe Moore is grounded in nearly 20 years of technology industry experience including pioneering work in computer graphics for the industrial and motion picture industries. As Uniguest s Chief Technology Officer, he designs and develops initiatives to ensure the company maintains its position at the leading edge. Moore joined Uniguest in 2010 as Vice President of Advertising, Marketing & Communications and was promoted to Chief Technology Officer in Prior to joining Uniguest, Moore was Chief Technology Officer for Blast Panel, a digital signage company; President of 12south Inc., an online advertising firm; Vice President of Marketing for MercurySports; Creative Director for Edgenet Inc. and Manager of Advertising, Marketing & Promotions for Word Entertainment, all in Nashville. 9 Leadership David Reynolds, Executive Vice President, Sales & Marketing During his 27-year career, David Reynolds, Executive Vice President, Sales & Marketing, has directed high-performance sales functions within large multinational corporations and emerging, high-growth companies. He joined Uniguest in 2010 when it acquired Showcase Technology Inc. In his current role, he is responsible for implementing an aggressive business growth plan for Uniguest s Technology division. Reynolds was president of Showcase Technology from 2003 to 2010 at a time when the company was the leading provider of secure, centrally managed, complimentary-use and pay-for-use computer systems, printers, copiers and fax machines to the hospitality, airport and university marketplaces. Reynolds was responsible for day-to-day sales, operations and overall business and staff management. Among his accomplishments at Showcase Technology, he grew the company s automated business centers by 900 percent, successfully established master service contracts with industry-leading, multinational brands including Marriott International, Hilton Worldwide, Konica-Minolta and The UPS Store and launched the Showcase brand and services to Canada, where the company s sales doubled every year. Prior to joining Showcase Technology, which he also served as Vice President of Sales & Marketing from 2000 to 2003, Reynolds was Director of Corporate Sales for Targus Inc. in Anaheim, Calif., from 1995 to 2000 and Director of Corporate Sales for MicroAge Computers Inc. in Los Angeles, which he also served as account manager. He received a bachelor of arts degree in communication from St. Norbert College, Green Bay, Wis. Steve Keisling, Executive Vice President, New Business & New Product Development Steve Keisling was named Executive Vice President, New Business & New Product Development in December 2012 after serving the company in various roles since 2009 including Chief Operating Officer when the company was acquired by U.S. Hospitality, which he joined in 2007 and served as Director of Business Development and Production Director. Keisling is responsible for establishing cross-vertical vendor relationships to grow new initiatives directly related to technology and printing opportunities. His other responsibilities include launching strategic partner relationships with hardware, software and representation companies. He was instrumental in launching Uniguest s strategic partner relationships with Apple, Dell, Docomo, ACS and ACSL; expanding overseas operations to 65 countries and, in the process, directing rollout strategies, management and supply-chain logistics; launching Uniguest s mobile services division; and launching other critical internal services. Earlier in his career, Keisling was Production Director for U.S. Hospitality, Nashville, and oversaw the merger with Uniguest. He also was Vice President of Performance Business Forms, Nashville; Production Director for Lennox International/Contractors Success Group, Dallas; and senior director of client services for International Service Leadership, Nashville. He received a bachelor of arts degree from Western Kentucky University, Bowling Green. 9

10 Leadership Devin Cundall, Vice President, Mobile Technology Devin Cundall was promoted to Vice President, Mobile Technology, in 2013 after serving Uniguest as Corporate Projects Manager. He is responsible for planning and directing the implementation of Uniguest s mobile device technologies and building a pipeline of mobile opportunities. Earlier in his career, he was a Board of Trustee for New Hope Academy, Franklin, Tenn.; Founder and President of Brothers Pizza Company, Franklin; Interim Business Administrator for Christ Community Church, Franklin; and Chief Information Officer for Realtracs Solutions, Brentwood, Tenn. He earned a bachelor of science degree in finance and marketing from the University of Tennessee, Knoxville. Harry Ganter, Vice President, Technical and International Sales Harry Ganter, an eight-year Uniguest veteran, was promoted to Vice President, Technical & International Sales in 2013 after holding a Technology Services & Vendor Management role while helping fulfill a global products and services program with Hilton Worldwide. He led successful onsite technology pilots in the United Kingdom, Scotland, Netherlands, Philippines and China and leads the company s continued growth into other international regions. He is responsible for the budgeting, design, and management of more than 20 trade shows and conferences annually including exhibiting in all major hospitality brand conferences, some in excess of 10,000 attendees. Earlier in his career, he was a call center manager and Informatics staff member for the U.S. Department of Veterans Affairs. He is a graduate of Middle Georgia Technical College, Warner Robins, Ga., and holds several industryrecognized certifications. 10
