2 HMS / Decision Toolbox proposed recruitment partnership 1/15/09 p2 STRATEGY Health Management Systems (HMS) wishes to engage with the ideal partner to help satisfy ongoing and variable recruitment needs efficiently, cost effectively, and in a timely manner. Although enterprise wide RPO is an option, Decision Toolbox proposes a more flexible approach in which expert, dedicated sourcing and screening support is available to the current team of HMS recruiters on an as needed basis. Under this model, HMS would retain the tribal knowledge and internal client relationships that have been forged by the existing team, while gaining the support of a highly scalable team of accomplished, US based recruiters with a stellar track record. The proposed model features: Stair step solutions that effectively allow you to choose what level of service you want and when you want it, on a job specific basis. A systematic plug and play process, that integrates seamlessly with existing HMS recruitment staff and provides mentoring to less experienced HMS recruiters. Enterprise wide use of Decision Toolbox s advanced ATS and screening technology (Recruiting Machine ) for all positions, whether outsourced to DT or handled internally. Periodic business reviews to discuss outcome statistics as well as evaluate future challenges and opportunities. Client Management and Concierge Services, as needed. Complete OFCCP/EEO compliance and tracking of all recruitment performance statistics The following proposal is for a flexible Recruitment Process Outsourcing ( RPO ) program that focuses on HMS s full time/regular recruitment needs, including executive search and high volume hiring demand from RFP and contract fulfillment. We are basing the pricing and strategy on a minimum hiring target of 200 positions per year over the next 2 years (although no minimums are required). DT PROJECT TEAM The Decision Toolbox Team is structured to function as an extension of your in house team and resources. DT will supplement your recruiting function with a deeply experienced team of professionals, including: Professional Recruiters and Sourcers, each with years of recruiting and sourcing experience, including recruiters with diversity and AIRS certification An experienced team of professional writers and media specialists, specializing in planning and executing recruitment marketing campaigns for clients A Quality Assurance team Industry specialists and Subject Matter experts Onboarding mentors, as desired

3 HMS / Decision Toolbox proposed recruitment partnership 1/15/09 p3 PROPOSED FLEXIBLE RPO SERVICE OFFERING For any given position, HMS has three a la carte options to choose from: 1. Recruit for positions using existing HMS Recruiters. Free, unlimited usage of DT Recruiting Machine technology 2. DT provides HMS Recruiters with Qualified, Available and Interested (QAI s) candidates. HMS Recruiters perform backend Account Management activities. Both parties leverage DT Recruiting Machine technology. 3. DT provides full service recruitment, from defining the opportunity through closing the offer. In this case you can see the real time status and progress of the search in Recruiting Machine, in addition to the DT recruiter proactively keeping you in the loop to the degree you want to be. Option 2 will likely be your choice for most positions. However, some positions you may choose to handle on your own, or select Full Service MAGNET recruitment when desired. For example, you may decide that executive level positions, high volume contract fulfillment, and/or certain internal clients are best serviced with MAGNET. It is your choice. Option 1: HMS Recruiters retain all activities for a given position Price: No Charge from DT HMS can use Recruiting Machine as your enterprise wide ATS at no additional charge, whether or not DT is involved in the recruitment for any given position. We recommend that all requisitions are entered into Recruiting Machine as a starting point. From there, you can either work a given position internally, outsource just sourcing/screening, or outsource full service recruitment to DT. In either case, you now have one platform on which all recruitment activity and results are managed and tracked on a real time basis. Also, Recruiting Machine can be made to interface with other ATS and HRIS applications, should that become relevant in the future. Option 2: Candidate Sourcing and Screening Price: $3,000 service charge per opening With our advanced Recruiting Machine as the backbone, our seasoned team applies effective marketing techniques, skilled use of the internet, referral cultivation, and prompt, thorough follow up action to provide you with candidates who have been determined to be qualified, available and interested (referred to as QAIs). Under this option we handle all aspects of the front end recruitment process for the earlier of 30 days or 5 QAIs per requisition, whichever comes first. HMS can hire as many of the candidates sourced, screened and presented by DT as you wish within a 90 day window of presentation. This systematic process includes the following: Strategy. We guide you through the "specs" call, in which we brainstorm on why the position is the ideal opportunity for the right candidate. From that we prepare the JobInfo Writeup to market the position and screen candidate prospects and develop the marketing and screening

4 HMS / Decision Toolbox proposed recruitment partnership 1/15/09 p4 tools, serving as a true extension of HSM s HR team, both in look and feel to your clients (the hiring managers) and to candidate prospects. Sourcing/Candidate Development. Up to 30 days of sourcing is included in each Magnet search, with fine tuning along the way if necessary based on your feedback. The sourcing campaign comprises 4 prongs: 1. The existing DT candidate database 2. Proactive internet sourcing: Basic and Advanced Internet Searching techniques (X Ray, Flip, Peelback, Harvesting, PeerSearching, Powersearching for People/Resumes) Extensive Internet Mining of Social Networks, Viral Networks, New Groups which may include but not limited to blogs, newsgroups, listserv, web logs. Access and information collected from informational online databases such as ZoomInfo, Network Hunter, Ryze, Passado, Ecademy, Jigsaw, Spoke and others. Involved activity in Online Social Networking such as Zigg, Facebook, MySpace, Twitter, Association Web Blogs/Groups, LinkedIn, RecruiterEarth.com and more. Automated searching tools that allow us to continue our name generation through Spiders, Robots and proprietary tools Mining resume databases (Monster, CareerBuilder, Hotjobs and dozens of specialty/niche databases as appropriate) 3. Referral cultivation 4. Job Board postings, utilizing our professionally written ad copy: Monster, CareerBuilder, Craigslist, and Dice (for technical positions) are always included in the price, along with other relevant job boards at DT s discretion. Additional job boards may be specifically requested by HMS and are invoiced separately. Screening & Presentation. All prospects from all sources are captured in Recruiting Machine, DT's user friendly web portal. They are automatically thanked for their interest and informed of what to expect. Recruiting Machine's automated ranking engine puts them in order of qualification, so your designated DT Recruitment Partner can get to the strongest prospects first. Those who are most promising are thoroughly phone screened, and only the most viable prospects are forwarded to you. Video clips are captured and included when appropriate and feasible. We typically achieve a hire for every 3 5 prospects presented. Tracking and Reporting. We log all actions and feedback for your reference online, and provide you with 24/7 access to monitor real time project status and candidate data. Option 3: Full Service Magnet Level Recruiting Price: $3,500 service charge per opening (in advance) plus contingency bonus (see chart below) With this option, you receive the Decision Toolbox full life cycle recruitment process. The MAGNET search process includes everything described in Candidate Sourcing and Generation above, plus the following: Up to 90 days of interview scheduling and facilitation of feedback exchange are included, as needed. Applicant video capabilities that allow applicants to submit video clips and hiring managers to conduct video interviews.

5 HMS / Decision Toolbox proposed recruitment partnership 1/15/09 p5 Once we are down to finalists, upon authorization from HMS, DT performs reference checks, coordinates background checks and drug screens and assists with offer negotiation to the degree requested by HMS. When the project is completed, DT notifies all applicant prospects, to close the loop courteously. 6 Month Candidate Guarantee: If a hired individual leaves or is terminated within the first 6 months of employment, Decision Toolbox will conduct a search for a replacement candidate at the reduced fee of $2,000, due upon the re launch of the search, provided all invoices have been paid within the agreed upon stated terms. On MAGNET searches, the Contingency Bonus is earned by DT only when an individual hired was sourced and presented by DT. The contingency bonus is payable upon the hired individual's 30th day of employment, according to the following schedule: Hired starting salary: <60K 60 79K 80 99K K K 140K Contingency bonus: $500 $1,000 $2,000 $3,000 $4,000 $5,000 TECHNOLOGY Recruiting Machine Although Applicant Tracking system has become the accepted name, Recruiting Machine is really much more of a Recruiting Process Management system. Through an extremely userfriendly and simple interface, designated HMS and DT contacts will drive projects and know the exact disposition of every job and applicant at any point in time. Specific items tracked include: Candidates sourced, screened and forwarded by HMS Candidates sourced, screened and forwarded by DT Candidates scheduled for interviews by HMS Candidates interviewed by HMS, with interview results Candidates with pending background checks, skills testing and/or reference checks The status of background checks, skills testing and reference checks Candidates flagged for offers The generation of offers and the status of offers extended i.e. accepted, declined EEO/OFCCP data Key performance indicators and ratios such as days open, candidates presented :: interview, interviews :: hire, etc. Additionally: All candidate data can be exported to external systems if desired by HMS. DT prepares quarterly summary reports that are shared with HMS whereby all key performance objectives are obtained and analyzed. DT will train designated HMS stakeholders in the use of Recruiting Machine. Recruiter training typically takes 4 6 hours. The hiring manager interface requires no training. ONBOARDING DT provides a supplemental service for successful transitioning of key prospects for their initial six months in their new role with your company. This service, conducted with our partners at

6 HMS / Decision Toolbox proposed recruitment partnership 1/15/09 p6 EQmentor, provides 24/7 online mentoring and community collaboration (EQVillage) that gives key prospects a forum to learn how to best be effective in their new role in a new organization a key to successful retention of new talent. EQmentor will provide a world class custommatched mentor, full pre and post assessments, goal setting, private virtual learning room, and access to EQVillage. DT's COMMITMENTS DT will work each position with the same level of urgency, tenacity and care that you would want from your internal staff. Your project is handled by seasoned professional recruiters who will keep you well informed at all times and work with you proactively to overcome any obstacles that may arise. DT shall comply with all applicable laws, rules and regulations in connection with the performance of its services under this Agreement, including all laws, rules and regulations regarding the use, disclosure and safeguarding of personal information of applicants; consumer credit reporting, reference and background checks; and drug screening. All written and oral communications on HMS s behalf will serve as positive PR for your company.

7 HMS / Decision Toolbox proposed recruitment partnership 1/15/09 p7 PRICING AND TERMS LAUNCHING FEE One time fee; covers training, tool development, and Recruiting Machine implementation...$7,500 CANDIDATE SOURCING AND GENERATION Candidate Sourcing and Generation Charge (per position upfront charge)...$3,000 OR FULL SERVICE MAGNET LEVEL RECRUITING Per Position Magnet Charge (per position upfront charge)...$3,500 Per Position Magnet Contingency Bonus (Earned upon hire)... See schedule below * *The contingency bonus is payable upon the hired individual's 30th day of employment, according to the following schedule: Hired starting salary: <60K 60 79K 80 99K K K 140K Contingency bonus: $500 $1,000 $2,000 $3,000 $4,000 $5,000 FREE SEARCHES AND SERVICES Decision Toolbox will provide one free Magnet Level search during the course of this contract. For the first 6 months of this contract, Decision Toolbox will provide one free Candidate Sourcing and Generation search for every 10 positions booked, regardless of service level. Decision Toolbox will provide one free 3 hour Advanced Sourcing course for the HMS recruitment team. SYSTEM IMPLEMENTATION (Recruiting Machine ) Monthly license fee...included in RPO Software Customizations requested by HMS...$175/hour Training...$100/hour ADDITIONAL CONTINGENT PRICING TERMS Supplemental Sourcing: If a position's requirements change substantially or continued sourcing is requested by client after 30 days, a supplemental sourcing fee of $1,200 may be required. Repeat or Supplemental Hires: On MAGNET full service searches (option 3 on the contract), the first hire on a given position incurs the contingency bonus outlined on the contract. If HMS hires more than one candidate sourced, screened and presented by DT to HMS on a MAGNET full service search, there is a $1,500 fee for each subsequent hire. Note that the 6 month guarantee applies only to the first hire on a MAGNET search. On Candidate Sourcing and Generation, HMS can hire as many of the candidates sourced, screened and presented by DT as desired within a 90 day window of presentation. There is a $1,500 fee to hire a candidate who was sourced, screened and presented by DT to HMS more than 90 days prior.

8 HMS / Decision Toolbox proposed recruitment partnership 1/15/09 p8 TERM This agreement is effective for two years, commencing on and can be renewed for future 90 day periods by mutual written agreement of both parties, up until, Either party may terminate the agreement with 90 days written notice, however, termination of this agreement does not rescind the obligation of either party to continue to provide any service obligations outstanding at the time of the termination and/or to fulfill any obligations for monies due on such services.
