1 Dear Valued Clients, It gives me great pleasure to announce that on 28 May 2015, we celebrated the 4 th anniversary of RHTLaw Taylor Wessing LLP. What began four years ago as a vision has now become a remarkable story, as we are now among the Big 3 international law firms in Asia and the Top 10 local law firms in Singapore with leading expertise in Banking and Finance, Intellectual Property and Technology, Capital Markets, Litigation and Dispute Resolution, Real Estate and Corporate transactions. We have carefully grown a team of talented practitioners and built a strong and trusted full services law firm. During these four years, we have worked to become a unique law firm; one that offers streamlined, efficient and global solutions to our clients in an increasingly interconnected world. 3 Significant Deals I am happy to report that the firm is seeing promising growth in our practice areas of Banking & Finance, Capital Markets, Corporate, Intellectual Property & Technology, Litigation & Dispute Resolution and Real Estate. Throughout the course of 2014, we have greatly improved our position with clients and have demonstrated ability to execute our business development strategies and continuously cross-sell our products and services in the legal space. Clients have entrusted us with more complex work and referred our services to others. Here are some of the significant deals that we have worked on for the past year. > > Acted as Singapore counsel to New Hope Singapore Pte Ltd ( Borrower ) in the US$100 million syndicated term loan facility arranged and advanced by a syndicate of banks comprising Australia and New Zealand Banking Group Limited, Bank of China Limited, Singapore Branch, Cooperative Centrale Raiffeisen-Boerenleenbank B.A. (trading as Rabobank International), Singapore Branch, and DBS Bank Ltd. The purpose of the facility is for general working capital and capital expenditure (including investments and equity acquisition outside of the PRC) > > Advised Xyec Holdings Co., Ltd. ( Xyec ) in a partial offer made by Mamezou Holdings Co., Ltd. ( Mamezou ) under Rule 16 of the Singapore Code on Takeovers and Mergers. The partial offer involved complex cross-border issues in respect of Japanese law and requirements of the Singapore Code on Take-overs and Mergers, and successfully closed in March 2015 > > Advised Ramba Energy Limited in their recent placements of a total of 77 million new ordinary shares for an aggregate consideration of S$21.24 million > > Currently advising a leading global operator of early childhood services and childcare centres in several acquisitions in Singapore > > Currently advising an Asian multi-national corporation in the acquisition of a specialised Indonesian manufacturing facility > > Currently advising PropertyGuru Pte Ltd on their online contracts, terms and conditions of use, privacy policy, data protection policy, partnership agreements and joint venture agreements > > Acted for a subsidiary of a Singapore public listed company (Client) in connection with arbitration proceedings initiated by the Company against another Singapore company and its wholly owned subsidiary in Timor Leste. The company s initial claim in arbitration was for an aggregate sum of $9,803,835.68, of which a sum of $3,168, was received prior to the issue of this arbitration award. Our Client has recently successfully been awarded a sum of $6,635, in an Arbitration Award against the respondent company in respect of its claims. The award sum does not include interest and costs associated with the award which are yet to be decided by the arbitrator > > Advised United Engineers Limited ( UEL ) in its sale and purchase agreement with Overseas-Chinese Banking Corporation Limited ( OCBC ), pursuant to which the transaction for OCBC s wholly own subsidiary to purchase 100% issued share capital and shareholder s loans of UEL s special purpose vehicles UE Orchard Pte Ltd and UE Somerset Pte Ltd ( SPVs ) for an aggregate cash consideration of approximately S$196,000 and S$353 million respectively was completed on 30 September The SPVs are the developers of the redevelopment project on the former Specialists Centre and Hotel Phoenix site located at 277 Orchard Road and which is now known as orchardgateway

5 Planned IPO COMPLIANCE SOLUTIONS COMPLIANCE SOLUTIONS COMPLIANCE SOLUTIONS FIDUCIARY TAX As the result of the remarkable achievements of the past four years, we announced the decision to list RHT Holdings on the SGX Catalist Index in RHT Holdings is the holding company for six market-leading professional services companies, namely RHT Compliance Solutions, RHT Corporate Advisory, RHT Capital, RHT i-assets Advisory, RHT Management Services and RHT Academy. Collectively, the company has expertise in business management, compliance, communications and relations, continuing sponsor, corporate secretarial advisory, governance and risk, human capital and professional seminars. RHT Holdings now comprises more than 100 professionals with backgrounds in law, management consulting, finance and accounting, professional services, marketing and communications, and human resources, We believe that this listing will be instrumental in enabling our group to grow and achieve even more in the future especially in building the foundation to attract, retain and reward our talented crew. 6 RHT Subhas Anandan Bursary and Scholarship Awards This is an initiative our late Mr Subhas would have been proud of and we honour his charitable ways by giving back to our people. The Bursary is open to the children of staff at RHTLaw Taylor Wessing and the RHT Group of Companies. A scholarship is also available for our Associates and staff who are attending tertiary education or any qualification relevant to their field of work. RHT Rajan Menon Foundation We believe that it is not all about the pursuit of making money and we make it our commitment to give back to society. Named after our founding partner and Senior Partner, Rajan Menon, we launched the RHT Rajan Menon Foundation which acts as a vehicle through which the firm and the RHT Group of Companies contribute to its charitable endeavours. The RHT Rajan Menon Foundation was created to contribute to our local communities through programmes aimed at environmental, educational and socio-economic improvement throughout Singapore and the region. Recently, the inaugural RHT Rajan Menon Foundation Charity Golf 2015 raised over S$114,500 for the Straits Times School Pocket Money Fund and WWF Singapore. Future Charitable Endeavours We also have plans for future charitable endeavours in the coming months to further showcase our commitment to Singapore. We have several year-long commnunity engagement programmes in line with SG50 to show our appreciation to our fellow Singaporeans. 7 Growing from Strength to Strength Whilst we acknowledge our accomplishments over the past four years, we are by no means satisfied in stopping here and plan to do much more in the future. We will continue in our regional endeavours, as we are actively pursuing relationships throughout ASEAN and North Asia, including potential JV and M&A opportunities in the region. Additionally, we will further develop our capabilities in the legal and professional services for the benefit of our clients, and continue to offer holistic and effective strategies for their businesses, both locally and internationally.
