2 Nudo Sushi Box Concept & Unique customer experience, Nudo Sushi Box is an innovative concept that brings fresh, healthy food from the fastpaced, busy lifestyle of the Far East into the UK. With more and more people looking for alternatives to the many burger, chicken, pizza and sandwiches fast food outlets, we decided to bring something new and healthy to the Grab & Go market. A new concept of fresh and healthy sushi was our focus. The idea of Nudo Sushi Box was born out of a simple question: You can buy sandwiches, burgers and even pizza to go, why not sushi? Our goal was to change the perception of sushi from one of being a rare treat to a more regular and affordable luxury. In our inaugural year in the North East, we were very successful in fulfilling that aim, establishing ourselves as a staple favourite in the area. We believe that our success is based upon our three selling points: Experience Quality Accessibility. Health conscious individuals find sushi provides a nutritious meal without consuming excessive amounts of fat, cholesterol, sodium and calories. Compared with a typical sandwich from a high street take away, sushi has less than half the calories and less than 20% of the fat. With a Nudo Sushi Box francihse you can offer this healthy alternative to customers in your town. A strong contemporary brand image creates a welcoming atmosphere for diners and repeat custom is very high. 2

4 Company History Nudo Sushi Box was inspired by our experience at Nudo Noodle House. Since opening in 2009, Nudo Noodle House has specialised in the preparation of noodles and other traditional comfort foods, including sushi. With a strong background in the wholesale of exotic foods for over 20 years we can source quality produce at competitive prices for leading wholesalers, restaurants, takeaways and food distributors. Having a passion about different types of foods from all over the world, we have a strong record in identifying products and spotting consumer trends that will succeed in the UK market for our customers. We have a reputation for supplying the highest quality fresh produce and renowned brands from around the world. This experience and buying power has allowed us to source quality and affordable goods for our own use at Nudo Sushi House, and more latterly at Nudo Sushi Box. As a part of the UK s diverse food culture, and as the popularity of sushi has soared of late, we felt that the next logical step for us was to introduce a unique and easy to order sushi menu onto the high street. It can sometimes be hard to find good quality sushi on the go. Our aim is to make sushi a regular, healthy treat as opposed to an occasional luxury. To achieve this, we offer distinctive, unique and beautifully prepared foods at affordable prices. Our first retail outlet opened in March 2013 on Northumberland Street, Newcastle Upon Tyne, a busy shopping area and thoroughfare. We had immediate and sustained success in this shop, and had excellent feedback from our customers. On the back of this we quickly opened a second retail outlet in Jesmond, Newcastle in September 2013, in an area with lots of student accommodation. Following both of these successes we ventured out of Newcastle and tested the market in Sunderland, opening another at The Bridges Shopping Centre in April With all these highly successful openings we decided to expand further in the North East, with an outlet at Newcastle Monument, and also to expand outwards to Durham and now Manchester. By early 2014 we had a concept which was working well, had many repeat customers and had been tested in several locations, with differing sizes and layouts. We had completed 3 full shop fits, and understood what worked best. We had operated through all the seasons of the year, and understood the seasonal peaks and troughs of turnover. The time was right to accelerate the expansion of the business, and it was decided to offer the concept out to franchisees, who could join the Brand, and open Nudo Sushi Box outlets in their own towns and cities Attractive packaging and clear pricing and presentation. 6 Nudo sushi Box products Nudo Sushi Box offers competitive prices whilst maintaining the very finest quality and freshly prepared sushi options. Our menu consists of a wide variety of sushi choices: from Nigiri, Maki, FUtomaki, Temaki and Onigiri made in our own unique, signature styles, to freshly prepared Sashimi, made from quality-sourced salmon, tuna and even swordfish. Similarly, in addition to our range of sushi options we also offer unique soup and noodle options (hot alternatives), various Small Eats and a wide selection of green teas, as well as Eastern snacks and fruit juices. Many people have an idea that sushi is raw fish. In fact this is a misconception as many sushi can be different types of cooked meat. Sashimi is the one usually referred to raw fish. The colourful and unique packaging, coordinated throughout the products, makes a good experience a memorable one! 6

7 All products are delivered to the store daily (or even twice daily if required) from our central kitchen. Therefore a franchisee does not have to prepare anything on site. It is our responsibility to run the kitchens and deliver the products to the retail outlets. Typically our kitchens will prepare products for between 3 and 10 outlets, and will be strategically placed around the UK to service an increasing network of Nudo Sushi Box outlets.

Our retail outlets are optimised to offer a fast and convenient take away service together with the most comfortable dine-in experience, all the while maintaining an elegant, attractive and eye-catching aesthetic, guaranteed to turn heads on the high street. This, combined with our unique food offerings, makes Nudo Sushi Box stand out amongst UK fast food and quick service restaurants. Quality creative shopfits inside and out create a welcoming atmosphere for diners and repeat custom is very high. 8

10 The Franchise Package The franchise fee for one Nudo Sushi Box outlet is 40,000 + VAT For this fee our turnkey package includes: Comprehensive initial training for you, the franchisee, on business operations, sales and marketing and staff management. Over the 10 day training we will cover classroom and practical course, and give you the information that you need to start your Nudo Sushi Box business Initial training for your shop manager. Help with site selection and lease negotiations Nudo Sushi Box architect to design and spec the retail outlet layout and design 2 x EPOS systems (till) hardware and software CCTV system Staff uniforms Stationery pack Point of sale marketing materials Your first days stock to the value of 2000 Up to an additional 10 days field support in the first year of operations On-going support and guidance on the operation and management of your business Also included within this initial fee is the license to use the Nudo Sushi Box Brand and Trademark Additional investment will be required to cover the following costs: Deposit on retail premises estimate 22,500 Property agent fees estimate 4,500 Legal fees for the lease estimate 500 Shop fit out, fixtures & Fittings, Decoration etc estimate 150,000 Legal and professional fees estimate 2,000 Please note, the above estimated working capital requirement of 179,500 will vary, depending upon the size and state of the premises. Management Services Fees are a fixed flat fee of 1000 per month. In addition, a marketing levy of 2% of turnover is charged. This is kept in a separate marketing fund, and will be used to promote the Nudo Sushi Box Brand locally, regionally or nationally. Nudo Sushi Box will continue to offer on-going training and support for the franchisees and their retail outlets with up to 4 field visits per year covering such aspects as business planning assistance, operational support, and any other area of the business in which you need help. 12 Potential Earnings and return on invement The Nudo Sushi Box franchise offers the potential for high earnings, with six figure EBITDA projections from Year 2 onwards. This however will vary from outlet to outlet, so rather than set out theoretical projections of potential turnover and profit levels, we prefer to relate to actual track record, in line with best franchising practice. As you pursue your interest in becoming a Nudo Sushi Box franchisee, and long before you commit, we will make available to you in confidence, further detailed financial information based on up to date trading performance, to assist with your business plan. 13 Franchisee Role and Responsibilities Nudo Sushi Box wants to build a network of dedicated franchisees to run their own Nudo Sushi Box outlets in their own towns and cities. We are looking for self-motivated individuals with the desire to run their own successful business, and with a desire to open multiple sites. Experience of retailing, and or food retailing would be beneficial although not essential, as well as good customer service, management and communication skills. You will receive full training and have continuous support from our fully qualified head office team. Franchisees will be responsible for the overall management of their outlets, and will employ a manager and a team of staff to run the day to day operations. With our ongoing support, franchisees must invest the time, passion and energy into developing their business. You will be required to follow the proven Nudo Sushi Box model. Our experience has demonstrated that providing fresh products, together with excellent customer service should ensure that your customers keep coming back, thus maintaining levels of turnover and profits.

Do franchisees have to prepare any of the products themselves? No, all the products are prepared by our own trained chef s in our central kitchens. We concentrate on keeping the products consistent for you whilst the outlet you run will be purely retail. The only product you would have to prepare on site is the soup base for the soup noodles followed by heating it up in the microwave. How often can your central kitchen deliver products to my shop? Typically orders are made and delivered once per day, everyday, although it is possible in most cases to have a second delivery on the same day if required. Do you make a mark up on the products you supply to the franchisees? Yes. However, because we buy in bulk, and because our kitchens supply multiple shops, we are able to get good discounts from our suppliers and have good economies of scale. The price that the franchisee pays for the products is therefore a fair price, and allows for good margins to be made by the franchisee s business. Can I speak to existing franchisees? Yes once you have thoroughly investigated our franchise, and we believe you are a suitable candidate to be a franchisee, you may speak to any of our franchisees. If take the Nudo Sushi Box franchise it is my own business? Yes, absolutely. Even though we will ask you to operate in a way very similar to the way we do things (because we have proven that to be the best way for you to be just as successful as us) it is your business. You serve your own customers, own the business and make the profit for yourself. 18

The more franchisees that we have covering the UK, the easier it is for us to develop and grow our business together and benefit from better deals with suppliers. If I buy a franchise I am guaranteed success? No. We will give you everything required to help you to be successful but it is your business and it will only be successful if you manage it well, work hard at it, commit yourself to it and get the results for yourself. How can I tell that you have been ethically put together? We have only used the best services to put our franchise together in the most ethical way. The professionals, advisors and consultants that we have used to create the franchise are all members of their own professional associations and, where applicable, are affiliated to the British Franchise Association as suppliers. How do I know that you will support me in the future? We are only as successful as our franchisees, so we have to continue to support you in the future if we are to be profitable and have the good reputation that allows us to keep growing. What is the recruitment process? After you have expressed an interest, we will have an initial meeting. During this meeting we will describe the business to you, show you financial and performance information, answer all of your questions and talk you through the recruitment process. You may make as many notes as you like in that meeting after signing a confidentiality agreement. If you decide to proceed further, we will then ask you into a more formal meeting. We will give you our franchise agreement to take away and statistics to assist you with the preparation of your business plan, together with a business plan template, so that you can review them with your own advisor, solicitor, accountant etc. Once you are sure that you want to go ahead, we will ask you to sign a letter of intent and to pay a 10,000 + VAT deposit. We will then ask you to sign our franchise agreement and pay the balance of your joining fees. Then we ll help you to start to look for suitable premises and book you in for training so that you can get started as soon as possible.
