1 General Product Description and Purpose WadeFX SEO Services Proposal WadeFX is a partner centric, white label SEO provider whose core competency is servicing the SMB market place (local and hyper local business-$1,500-$5000 monthly spends). Our business model is to enable SMB aggregators to provide a full service, best practices, and turnkey SEO solution to their client base. Our product offering can include some or all of the following based on partner needs: Marketing tools/support and collaboration On-site sales training Continuing sales training and support Account management (AM) training Continuing AM training and support SEO fulfillment Our proprietary technology platform gives us a competitive advantage because it enables us to provide customized, full service SEO solutions based on the following tenants. Our off page content and external link building includes, but is not limited to, the following: Keyword and competitive link building Blogs Articles Social bookmarking Directory submissions Business citations and maps optimization Guest blog posts Onsite optimizations Onsite blogging/inbound marketing Unnatural link removal Please see Exhibit A on pages 8-10 for a comprehensive list of our complete on and off-page SEO fulfillment PRODUCT LIFE Within our strategic partner channel, the partner determines the lengths of the contracts they feel are best suited for their client base. We have determined, though, that having multiple contract options increases sales. We recommend having 3, 6 and 12 month options and using set up fees to leverage a longer contract length while having a commission structure incentivizing longer contracts. In addition, we can provide account management training, which will allow you to maximize renewals and retention. Training will be covered in detail in a coming section. PRODUCT/PACKAGES VARIATION WadeFX defines full service product or package variation not so much by the deliverables within each but by the time spent fulfilling on each. For instance, Package A for $200 monthly might have deliverables A-M divided out over 5 hours of fulfillment. Package B for $320 monthly might have deliverables A-P divided out over 8 hours of fulfillment. As such we will work with you to design 3-4 custom packages that are most relevant to your client base and sales approach. The price points and deliverables can be fully tailored to suit your sales and customer styles. 2

3 Please see Exhibit B on page for an overview of our baseline SEO Packages 3 As WadeFX s core offering is designed to serve local businesses, which make up the majority of your client base, we have a great deal of flexibility in designing custom packages to accommodate their specific needs. In addition, we can provide pricing tools to aid sales for more competitive campaigns or regional and national customers. This pricing tool can be calibrated to produce recommendations based on market, category and or keywords. This pricing tool can also be used effectively to determine campaigns for local customers as well, depending on how you intend to sell. We developed our pricing tool based on the needs of an outof-us market yellow page company; therefore it is designed specifically for your business base. WadeFX also offers A La Carte portions of our fulfillment. For example, for hyper local we can do Maps Optimization packages as a stand-alone piece. We can also set up an A La Carte content menu to provide content for your client s websites. A La Carte Maps would be a fulfillment package of 3-5 hours a month while the content menu would be a price per piece offering based on hours or word count. PRODUCT CAPABILITIES WadeFX prides itself on being a very nimble organization with the ability to flex and change at speed with the evolving needs of our partners and to keep pace with the general landscape. Even once engaged with a partner we can quickly adapt and customize all aspects of our offering including: Sales approach Pricing tool/proposals Packages Integration Fulfillment parameters/seo roadmap Please see Exhibit D on pages for a sample of case studies. From a core SEO philosophy we value unique content and link building. Blogs and articles are a major component of what we do. All of our content is unique and high quality. Much of our content is done in house. What is not done in house is provided by our crowd source, Writers Domain. Writers Domain is made up of independent writing contractors in the US. Before writers are accepted, they must submit several samples to ensure their writing abilities. Every piece submitted is 3

4 reviewed and QA d in house prior to publication. Each submission is graded on a 1-5 star basis. They are compensated based on the quality of the piece. 1 and 2 star pieces are rejected and not paid for. We can scale quality, unique articles and blogs to whatever degree you need. All our SEO and link building practices are white hat and conform to Google best practices standards. With specific regard to external link building we do the following: Blogs and Articles All content is unique and checked for quality and relevance and submitted throughout a network of relevant blog sites. Commenting and link posting (link building) - Our system crawls search engine results pages looking for relevant locations, which accept user-generated content. We post relevant comments and links on these sites in order to build authority and presence. In addition, our system identifies websites with high rankings and determines where they are building links, so we can benefit from these relevant sites. Website Directory Submissions Submissions to the top business directories with your keyword supported and categories defined. Keyword Link Building Build links directly related to relevant vertical keywords. This provides credibility and trust for your business in your market. Social Bookmarking We post links and client websites with relevant descriptions on social sites. SE s regularly crawl these pages looking for fresh content. Directory Submissions We submit to over 2000 regulated/authenticated (no bots allowed) directory sites, to create links pointing to the website to generate volume. Business Profiles Citations We submit business profiles to over 30 profile sites to create citations, which build congruency across the web that SE s see as authoritative. Guest Blog Posts We research a topic related to the client s offering and create unique/valuable content. Blog owners are contacted and approve of our guest post on their blog. Onsite Blogging/Inbound Marketing We write blog posts that are posted on the client s corporate blog. Unnatural Link Removal We work within a client s Google Webmaster Tools to evaluate bad links and then request removal of those links. If removal does not happen then we utilize the disavow tool. This also includes work on manual penalties and re-inclusion requests. 4 4

FINANCIAL Program set up fees There are no program set up fees attached to this program. Platform maintenance fees There are no platform maintenance fees. Program maintenance fees Should at any time during the term of partnership you choose to utilize direct to client, white labeled account management support, the wholesale rate for fulfillment would increase to $24 per hour for the client channel we are providing AM services for. Program minimums There are no program minimums. Per unit fees There are no per unit fees for SEO fulfillment. There are the following fees: Wholesale billable hours All fees remain constant year 2 and beyond Change Fees There are no change fees Data/API Reporting Fees All integration and reporting is included in the wholesale fulfillment fee In addition to the above financial components: We confirm the ability create and launch off-page only SEO programs We confirm the ability to create local programs with varying contract lengths We confirm the ability to provide detailed monthly billing information by manual report or through the API 5

6 6 PRODUCTION, REPORTING AND DATA Overview: WadeFX s Launch Pad is our technology platform that provides easy access to all data and reporting. The Launch Pad is a UI (user interface) built on top of an API layer. Access for reporting, data retrieval and data entry is available through the API or via the UI. Online order forms: We can provide online order forms with the specific data fields you require through the API or UI. See Exhibit D on pages to view a screen shot of the online order entry form We can store and retrieve all data and supporting files from the order forms in the Launch Pad. On Exhibit D on pages please find the following: Screen shots of the online reporting dashboard which includes: Analytics, website analysis, actions, and keyword rankings tabs. This dashboard can be white labeled and somewhat customized. Each client can have one click log in access if the partner wishes. See Exhibit E on page 99 to find the following: Sample PDF reports: If the partner does not wish to grant dashboard access, we can provide monthly PDF reports containing the information that would be found on the dashboard. These reports are white labeled and can be sent to the partner or directly to the client. Reporting Requirements TO ADVERTISERS We can comply and provide general reporting requirements for both scenarios outlined with in this proposal. TO YOU Daily data upload Although we can do this and post to your dashboard, most of the information you are requesting is exposed through the API and can be pulled at your convenience. Online Dashboard The dashboard parameters that you are requesting are available on the Launch Pad. 6
