STRATEGIC PARTICIPATIONS WASTE TO ENERGY THE ACTIVITY What is Renerwaste? Renerwaste is a producer of energy originating from Biogas from household waste. What does Renerwaste do? It combines the need of household waste disposal with the recovery of materials and energy, optimizing profitability. It promotes initiatives in the RES (Renewable Energy Sources) sector such as the development of depleted landfill sites and the conversion of aerobic composting plants into anaerobic plants. It identifies industrial partners that own authorized composting plants, proposing a conversion to a new industry and investing in the valorisation of renewable energy resources (production of energy, biogas, etc.) Shareholding structure THE CHAIN FROM WASTE TO BIOGAS A subholding to manage the valorisation of renewable energy resources by revamping aerobic composting systems 100% 39

The Mission It consists in creating an industrial enterprise starting from a favorable environmental context (differentiated waste collection increase), normative context (green certificates and feed-in tariff), financial context (difficulty in gaining access to credit for the small businesses), and technological context (Ladurner). The Strategy Research of authorized aerobic digestion plants on the National territory. Plant assets acquisition. These assets are identified through the creation of single Newco with the minority participation of charted members Aerobic technology conversion into anaerobic technology with a technological partner (Ladurner) in order to exploit the economical advantages resulting from the production of energy. Strategic targets To become the leading European producer for energetic valorisation of household waste To be a European player Renerwaste Leading European producer for valorisation of waste 40

ANAEROBIC DIGESTION ALBAIRATE PLANT, MILAN The plant is found in the municipality of Albairate (Milan) on an area of 40,000 sq.m. within the Milan-South Agricultural Park. The plant produces biogas for generating electricity and highquality compost for agriculture as an open-field fertilizer, using a manufacturing processes that can be identified in two main phases: anaerobic and aerobic. The technology adopted is wet in mesophilia (temp. 37 C). TECHNICAL DATA FOOD WASTE: 60,000 tonnes/year GREEN WASTE: approx. 7,600 tonnes/year DAYS FOR DIGESTION: 23 DAYS FOR COMPOSTING: 67 TOTAL MATURATION TIME: 90 days ELECTRICITY PRODUCED: 2 MW THERMAL ENERGY PRODUCED: 2 MW ELECTRICAL ENERGY CAPABILITY: approx. 600 apartments THERMAL ENERGY CAPABILITY: approx. 320 apartments QUALITY COMPOST: approx. 15,000 tonnes/year 43

Anaerobic phase To allow for anaerobic digestion, the system is equipped with a system of pre-treatment of OFMSW (Organic Fraction of Municipal Solid Wastes) that allows extraneous items such as packaging (bags etc.) and aggregates (sands etc.) to be eliminated, and to prepare - with grinding and addition of recirculation water - the crude suspension to send to the digesters for the anaerobic biological phase to generate biogas that is stored in a gasholder to be sent on to the cogeneration engines to produce electricity, which is fed into the grid, net of internal consumption of the entire plant. The aerobic phase After being separated from the water by centrifuges, the material from anaerobic digestion is mixed with structuring material (greenery and twigs) and treated, in a first phase, in the Ladurner biocells. Thanks to the intensive fermentation in bio-cell, with temperature, humidity, oxygen demand and air flow continuously monitored and controlled by computer systems, a material is obtained that is in arranged in piles in maturing bays, where it is periodically turned and humified before final screening to become a finished product (compost or composted fertilizer) for use in open field agriculture. 46 Use of the RDF produced in Fusina in the Enel Thermal Power Station in Fusina In 1998, while designing a system for the treatment of household waste dry fraction capable of producing a fuel with a high heat power, the first problem to solve was the use of the RDF produced without altering the tricky environmental balance of Venice. The idea was to optimize the functioning of the plants in the industrial area of Porto Marghera, developing an industrial system aiming at the maximum exploitation of the existing thermal cycles. The advantages of this choice immediately showed up. First of all no further waste-toenergy plants were to be build for the treatment of the RDF produced. Then, the quantity of fossil fuels used in the already existing thermal centrals was reduced, the emissions to atmosphere resulting from the combustion processes were reduced as well. Moreover it was possible to benefit from the financial contribution provided by the laws in force. Integrated facilities of Fusina Quality RDF 46

Thus the choice was made to install a plant system producing quality RDF, that, by involving Enel Produzione, could be used in the Palladio of Fusina thermal power station in a process of co-combustion with carbon. Thus in 1998 a Program Agreement was signed between the competent territorial bodies (Region of Veneto, Province of Venice, Municipality of Venice) and the cycles managers (Ecoprogetto Venezia and Enel) in order to regulate the assignment and energy optimization of the produced RDF. The operating activity was preceded by a rigorous program of productive experimentation (in order to state the optimal percentage of RDF to use in the thermal groups) and environmental experimentation (that was carried out by Arpav) in order to detect the effects of the gaseous emissions in the atmosphere during the combustion phases. At the end of this experimentation process it was proved that: the quantity of employable RDF was about the 5% of the carbon that fuels the Palladio central in the co-combustion process the effects on the emissions from RDF use were negligible. At present the experimental phase ended and led to the integrated environmental authorization signed by the Ministry Mrs. Stefania Prestigiacomo on the 25th of November 2008 after the conference of services that took place in Rome on the 23rd of September This authorization, after the control and stabilization phases, allows to exploit 18 tons/h of RDF in the Enel plant, considering the limitation on the waters discharge during the summer. We are considering, in collaboration with Enel, the possibility of overcoming this limitation potentially reaching an exploitation of more than tons/year with a carbon saving of tons and a CO 2 reduction of tons/year. Integrated facilities of Fusina Synergy with ENEL 47

STRATEGIC AGRO-ENERGY PARTICIPATIONS The Activity It aims at joining the experience of Ladurner Ambiente in the production and management of the biogas plants and the experience of the farm contractors in a specific area. The plants are in fact placed close to catchment areas conveniently identified, in order to guarantee the proximity of raw materials purchasing. How does Enerfarm work? It identifies farm contractors interested in building biogas production plants for the establishment of local joint-ventures, giving to the farm companies the possibility of entering the renewal energies business along with an industrial partner, i.e. the Ladurner group, acting as guarantor for the right technical working of the plant. Enerfarm deals with the production and management of the biogas plant, also taking care of the full clearance and authorization process, of the bank financing and of the electrical energy and green certificates selling. These are very complex activities requiring a specific and specialist know how. How do these joint ventures work? The joint venture is controlled by Enerfarm and it is a Ltd (Srl) for any enterprise: the partners are Enerfarm and the local farm company. It is managed by a board of directors with 2 members where the president is appointed by the farm partner and the chief executive by Enerfarm. THE CHAIN FROM AGRICULTURAL BIOMASS TO BIOGAS A subholding for the management of the production of agroenergy. 48

Ladurner Ambiente, through its subsidiary company Ladurner Spa (p.l.c) fabricates the plant, also providing the management and full-service maintenance service. The farm company, representing the farmers, rents out the cultivated land to the special purpose company or supplies the biogas production system with the complete biomass. The industrial partner and the farm one subdivide their tasks. Enerfarm deals with authorizations, financing, production, management and maintenance of the plant, while the agricultural partners manage the relationship with the local farm companies, with the contracting firms attend the biomass purchasing: to each its own job. Although the bearer of the authorization is anyhow the joint venture. The dimensions of the plants The standard size is adopted in terms of megawat electrical (MWe) namely 1 MW, able to generate 7 million kwh of electricity per year. ENERFARM Shareholding structure 49% 51% Alps Finance The synergies between industrial partners and agricultural partners 49

ENERFARM The Mission The added-value for the farmers-partners consists in the proposed model of partnership, that put together the various entrepreneurial experiences of the partners: the industrial one of Ladurner Ambiente and the agricultural one, reducing the entrepreneurial risk for the joint venture. Furthermore Enerfarm offers a stable and guaranteed income for the farm and a standard technology reliability. Production targets 7 MW installed by 2012 and become Italy s largest producer of electricity from biogas. The leading producer of biogas Energy in partnership with an electricity sector operator Strategic targets The search of another industrial partner, preferably an operator in the electric field, to support the industrial development especially with regard to the know-how in the electric energy and green certification selling, in order to limit the risks of the electric market. Thus an operator capable of managing at best and with experience the produced energy. 50
