The decline in revenues was driven by an 8% year-n-year and a 3% sequential decline in services prvided (RGUs). In additin, the Cmpany estimates that reductins in mbile terminatin rates (MTRs) during 2013 cntributed 26% f the year-n-year revenue decline and 15% sequentially. Ging frward, the Cmpany expects mre limited impact n revenues between the cmpared perids frm the MTR reductins as the last drp in MTR rates tk place in July RGU decline cntinued t be cncentrated in the B2C (Residential) sub-segment and particularly in fixed vice services, while the MTR declines mainly impacted revenues in the B2B segment. Adjusted EBITDA was PLN 379.8m fr the nine-mnth perid 2014, dwn by 11% versus the first nine mnths f In Q Adjusted EBITDA was PLN 120.3m, dwn by 4% versus Q Adjusted EBITDA margin was 29.9% fr the nine mnths f 2014 and 29.1% in Q versus 29.9% fr the nine mnths f 2013 and 29.6% in Q Higher Adjusted EBITDA margin year-n-year is due t the lwer revenues being cncentrated in lw margin RGU categries such as ff-net services, lwer acquisitin cst n lwer grss additins and falling MTR rates. The sequential decrease in Adjusted EBITDA margin reflects mainly the impact f higher cst f advertising and prmtin and higher cst f gds sld n larger n-net sales vlumes. Strategy 2020 update. On Nvember 4, 2014 Netia s Supervisry Bard acknwledged the Strategy 2020 directins presented by the Cmpany s Management Bard. The strategic directins fcus n stabilizing financial perfrmance f Netia Grup in the residential custmers segment (B2C) thrugh increased penetratin f bundled services in wn netwrk, including netwrks upgraded t the NGA standard, and taking advantage f an pprtunity t change the revenue trend alng with transfrmatin f the prduct prtfli and cmpetences in the business custmers segment (B2B) while perfrming separatin f the netwrk assets (see sectin Other Highlights ). Distributin plicy. The distributin plicy f Netia Grup remains unchanged. Netia Lite savings prgram. In parallel t wrking n Netia s updated strategy, new CEO Adam Sawicki rlled ut the Netia Lite shrt- t mid-term savings prgram in Q Fcusing n savings frm reducing senir management layers, simplifying the rganizatin, cutting ffice space and limiting discretinary spending, Netia Lite is targeting PLN 50m f full year incremental savings during 2015 versus the Q cst base with significant savings already being delivered during H Netia maintains its full year 2014 guidance prjecting revenue at PLN 1,675m, Adjusted EBITDA at PLN 505m and Adjusted EBIT at PLN 75m. Adjusted OpFCF is expected at PLN 290m and adjusted capital investments are expected at PLN 215m. The abve guidance excludes the impact f ne-ff integratin csts and ne-ff integratin capital investments. Refinancing f credit facility. On Nvember 3, 2014 Netia executed a lan agreement with mbank SA and Bank Gspdarki Żywnściwej SA fr a three-year term facility ttaling up t PLN 300m aimed at repaying the receivables under the earlier credit agreement signed n September 29, 2011 (see sectin Other Highlights ). Settlement agreement with Orange Plska. On Nvember 5, 2014 Netia and Orange Plska signed a settlement agreement under which bth parties agreed t immediately withdraw all claims and lawsuits and terminate all legal prceedings. Under the agreement, Orange Plska paid Netia n the day f signing the settlement agreement the amunt f PLN 145m net f VAT, which will be recrded as Other Incme and will increase Netia Grup s net result fr Q (see sectin Other Highlights ). 2

3 1.2 OPERATIONAL Ttal services (RGUs) were 2,361,457 at September 30, 2014 as cmpared t 2,560,019 at September 30, 2013 and 2,423,693 at June 30, 2014, with the year-n-year and quarterly decreases driven by the fall in fixed vice services and generally intense cmpetitin n a telecmmunicatins market. In Q Netia recrded 3,529 n-net RGU and 58,707 ff-net RGU discnnectins as cmpared t 7,923 n-net RGUs added and 61,693 ff-net RGUs discnnected in Q As in recent quarters, RGU grwth remains cncentrated in B2B and in TV and n-net bradband services within B2C. Management estimates that n-net discnnectins in Q were f a ne-ff nature and were assciated with an investment prject cnducted by Dialg in With the launch f services ver the frmer Aster cable TV infrastructure and imprving tractin frm varius peratinal imprvements, Management is cnfident that Q will see imprved RGU perfrmance. Netia s bradband services base was 806,237 at September 30, 2014, declining by 6% frm 854,165 at September 30, 2013 and by 2% frm 826,345 at June 30, Netia estimates that its ttal fixed bradband market share was apprximately 11.8% versus 12.8% at September 30, Netia recrded a net decrease f 20,072 bradband custmers during Q versus a net decrease f 11,068 bradband custmers during Q Slw market grwth and tugher price cmpetitin, including cable peratrs ffering multiplay bundles, is reflected in the perfrmance. Management is fcusing n its wn netwrk and bundled services rather than regulated access r ttal services sld in rder t defend grss margins. The wn infrastructure-based bradband services (excluding WiMAX Internet) recrded a net decrease f 1,262 during Q versus a net increase f 3,263 in Q2 2014, which was assciated with an investment prject cnducted by Dialg in Of the ttal bradband custmers served at September 30, 2014, 50% received service ver Netia s wn access infrastructure as cmpared t 47% at September 30,

4 Netia launched cmmercial services ver its HFC infrastructure in Warsaw and Kraków during August 2014 and expects the new market t cntribute significantly t the rate f n-net RGU grwth. The ttal reach f the frmer Aster s HFC netwrk ver which Netia may ffer its services includes apprximately 314k husehlds in Warsaw and apprximately 106k husehlds in Kraków. The ttal sales ptential is expected t be put int peratin by the end f Nvember During August 2014 the sales prcess was cnducted ver the netwrk cvering 175k husehlds in Warsaw and 40k husehlds in Kraków while in September 2014 the sales reach was 220k and 50k husehlds in bth cities, respectively. Management views results f the first mnths f sales ver the HFC netwrk as very prmising. As at September 30, 2014, the HFC netwrk base included 1,822 bradband services and 2,295 TV services (including Multirm). As at Nvember 3, ,098 cntracts fr bradband Internet services and 6,378 cntracts fr TV services were signed. Netia s fixed vice services. Netia estimates that its ttal fixed vice market share was apprximately 18.8% in Q versus 19.0% in Q Due t cmpetitive market cnditins and fcus n higher-value services, Netia is cncentrating n defending vice revenues and margins thrugh retentin activities as ppsed t subscriber numbers. Netia s vice subscriber base was 1,372,417 at September 30, 2014 as cmpared t 1,519,265 at September 30, 2013 and 1,414,812 at June 30, In ttal, Netia recrded a net decrease f 42,395 vice subscribers during Q versus 36,005 in Q The Cmpany expects the number f fixed vice services t cntinue t decline, mainly in cnnectin with clients churning frm traditinal direct vice and WLR services. Of the ttal vice custmers served at September 30, 2014, 47% received service ver Netia s wn access infrastructure as cmpared t 42% at September 30, Netia s mbile services at September 30, 2014 were 21,092 fr mbile bradband and 27,735 fr mbile vice as cmpared t, respectively, 28,063 and 47,168 services at September 30, 2013 and 21,541and 32,129 services at June 30, Netia is nt actively prmting mbile services, but maintains its ffering t prvide cmpetitive services t thse custmers lking fr a cnvergent ffering. NGA netwrk expansin. During Q Netia cntinued t expand its NGA standard netwrk, which allws fr prviding, amng thers, high speed bradband and 3play services including IPTV and streaming TV services adding 9,000 hmes passed. As f September 30, 2014, Netia cvered in ttal 1,314,000 husehlds with its NGA netwrks, including apprximately 897,000 hmes passed with VDSL cpper netwrks, apprximately 167,000 hmes passed with passive ptical netwrks (PON) and apprximately 250,000 hmes passed with the fast Ethernet netwrks and fiber t the building (FTTB). This represents sequential increases by apprximately 2,500 hmes passed with FTTB, and 6,500 hmes passed with PON. The previusly adpted target fr expanding NGA cverage ver VDSL cpper netwrks has been achieved and currently Netia des nt plan any significant additinal investments in this area. Netia splits its peratins int B2B and B2C Business Units (N 2 Prject). In January 2014 Netia annunced a rerganizatin f its peratins int tw distinct Business Units: Business t Business (B2B) and Business t Cnsumers (B2C), with a view t best supprt the needs f its business and residential custmers and the Cmpany s key strategic bjectives. The rerganizatin went live frm the beginning f Q Effective Octber 1, 2014, Mr. Cezary Chałupa was appinted as General Manager fr the Business Custmers Market, with respnsibility fr the B2B Unit. Earlier, effective February 3, 2014, Mr. Tmasz Szpa was appinted as General Manager fr the Residential Custmers Market respnsible fr the B2C Unit. 4

5 2 Operatinal review 2.1 BROADBAND, TV & MOBILE SERVICES TV and cntent services. Netia ffers its custmers TV services branded as Telewizja Osbista (Persnal Televisin). The ffering includes a prprietary set-tp bx the Netia Player, which prvides access t paid digital TV cntent prvided ver IP based prtcls in multicast and unicast, quick and easy access t ppular internet services r persnal multimedia ver the TV screen as well as vide-n-demand (VOD) cntent libraries such as Ipla, Kinplex, TVN Player and HBO GO. In Nvember 2013 Netia intrduced an innvative ffering f its TV services knwn as GigaFreedm, which allws a custmer t tailr freely his/her wn Persnal Televisin frm mre than a dzen thematic ptins available and ver 170 channels, including 56 HD channels. During the first mnth, a custmer has access t all TV packages at the minimum mnthly fee f PLN 35. Thereafter, a custmer may chse TV packages meeting his/her interest within freely tailred mnthly fee plans ranging between PLN 35 and PLN 160. This TV ffering is unified in terms f available packages and channels acrss the varius TV transmissin technlgies deplyed by Netia. In April 2014 Netia intrduced new service ffering GigaFreedm II, which, amng thers, allws a custmer t subscribe fr bundled bradband and TV services fr a shrter subscriptin perid f 12 mnths. In August 2014 Netia launched cmmercially its services ver the frmer Aster cable peratr s HFC netwrk, which reaches apprximately half f all husehlds in Warsaw and a significant part f husehlds in Kraków. Under the new ffering GigaKablówka (the GigaCable ) Netia ffers, amng thers, Internet access speeds f 20 Mb/s, 100 Mb/s r 300 Mb/s in a bundle with its Telewizja Osbista ( Persnal TV ) TV service fr a mnthly fee f PLN 39.90, PLN r PLN 59.90, respectively. In Q the Cmpany recrded 1,262 net discnnectins n its wn bradband netwrks (excluding WiMAX Internet) versus 3,263 additins in Q2 2014, which was assciated with an investment prject cnducted by Dialg in Bradband ARPU was PLN 56 in Q as cmpared t PLN 56 in bth Q and Q Bradband SAC was PLN 186 as cmpared t PLN 187 in Q and PLN 180 in Q Lcal Ethernet netwrk peratrs. As f September 30, 2014, Netia s Ethernet netwrks prvided bradband access t a ttal f 105,917 mstly residential custmers as cmpared t 107,419 custmers at June 30, 2014 and 111,718 custmers at September 30, 2013, with apprximately 621,000 hmes passed. Netia is currently fcused n upgrading Ethernet netwrks already acquired and therefre will likely acquire new netwrks at a much slwer pace than seen in the past, if at all. There were n additins f Ethernet netwrks cmpleted in 2014 year-t-date. NGA netwrk develpment. As at September 30, 2014, Netia cvered in ttal 1,314,000 husehlds with its NGA netwrks, including 167,000 PON HPs, 897,000 VDSL HPs and 250,000 Ethernet FTTB HPs. During Q Netia expanded its NGA cverage by apprximately 9,000 HPs (being 2,500] FTTB HPs and 6,500 PON HPs). Mrever, at September 30, 2014 Netia cvered a further 172,000 TV ready HPs within its netwrk cverage based n ADSL2+ technlgy. Cmbined with NGA ready HPs, all f which can deliver TV services, Netia had 1,486,000 TV ready HPs in its prprietary netwrk cverage. Once all upgrade prjects are cmpleted, inclusive f the recent acquisitin f cable netwrks frm UPC Plska, Netia expects t cver in ttal apprximately 1,715,000 NGA HPs which can be reached with 3play service bundles (TV + fixed NGA bradband + fixed vice). Furthermre, Netia has intrduced smth streaming technlgy, which expands the availability f its 3play bundle ffer nt netwrks where line speeds are t slw t supprt IPTV (extra + 240k n-net HPs) and, ptentially in the future, t hmes where Netia des nt prvide the bradband cnnectin. Management is presently fcusing n ptimizing sales, prvisining and maintenance prcesses arund TV services in additin t cnstant develpment f the cntent ffering and service functinalities in the curse f Mbile services. 7 2.2 VOICE Own netwrk, WLR & LLU Vice lines ttalled 1,372,417 at September 30, 2014 as cmpared t 1,519,265 at September 30, 2013 and 1,414,812 at June 30, In Q Netia recrded a net decrease f 42,395 vice lines versus 36,005 vice lines in Q and 31,547 vice lines in Q The Cmpany expects the number f fixed vice lines t cntinue t decline, mainly due t clients churning frm traditinal direct vice and WLR services. Netia is steadily grwing its base f relatively lw cst VIP custmers, principally in the business segments. Over time, the Cmpany expects t gradually reduce its reliance n traditinal switched telephny, thereby reducing its cst base. During Q the custmer base f traditinal direct vice services decreased by 10,041 while the number f VIP custmers grew in the same perid by 4,650. 8 2.3 OTHER Headcunt was 1,851 at September 30, 2014, cmpared t 2,012 at September 30, 2013 and 1,933 at June 30, Active headcunt was 1,707 at September 30, 2014 versus 1,930 at September 30, 2013 and 1,788 at June 30, During Q certain jb psitins were identified fr reductin during the curse f 2014 in cnnectin with the split f Netia s peratins int B2B/B2C Business Units. A further rund f headcunt reductins began in July 2014 as part f a further efficiency prgram called Netia Lite. Prvisins ttaling PLN 12.5m fr headcunt reductins under bth prjects were bked in the year-t-date 2014 results. On Nvember 5, 2014 Netia Grup cmpanies and Orange Plska SA signed f an ut-f-curt settlement agreement based n which the parties waived claims and undertk t take actins aimed at discntinuatin f the relevant curt prceedings (the Settlement ). As a result f mutual cncessins, the parties decided t settle their mutual claims by way f Orange Plska SA paying Netia PLN 145m net f VAT. On Nvember 3, 2014 Netia executed a lan agreement with mbank SA (the facility agent) and Bank Gspdarki Żywnściwej SA whereunder the lenders agreed t extend t Netia a term facility maturing in three years with a ttal f up t PLN 300m.
