1 BBA 4326, Procurement and Contract Management Course Syllabus Course Description Procurement and Contract Management includes an investigation of contracts as a means for individuals and businesses to sell and otherwise transfer property, services, and other rights. Students will examine the actions companies utilize to build successful partnerships, manage expectations, and build trust between organizations. Topics also covered are the contract management process, roles and responsibilities of team members, contracts and legal issues, e-procurement, and contracting methods. Course Textbook Garrett, G. A. Evaluate the contract management process. 3. Compare United States contract law to contracting concepts and principles used globally. 4. Relate contract pricing arrangement options to business objectives. 5. Evaluate common misconceptions regarding global contract management. 6. Analyze project management practices that meet or exceed customer expectations for value and results. 7. Explain tools organizations use to improve buying and selling performance. 8. Justify the need for an enterprise contract management process. 9. Assess the fundamentals of managing federal government subcontracts. 10. Examine the role of the Uniform Commercial Code. Credits Upon completion of this course, the students will earn three (3) hours of college credit. Course Structure 1. Study Guide: Each unit contains a Study Guide that provides students with the learning outcomes, unit lesson, required reading assignments, and supplemental resources. 2. Learning Outcomes: Each unit contains Learning Outcomes that specify the measurable skills and knowledge students should gain upon completion of the unit. 3. Unit Lesson: Each unit contains a Unit Lesson, which discusses lesson material. 4. Reading Assignments: Each unit contains Reading Assignments from one or more chapters from the textbook. 5. Suggested Reading: Suggested Readings are listed in each unit s study guide. Students are encouraged to read the resources listed if the opportunity arises, but they will not be tested on their knowledge of the Suggested Readings. 6. Learning Activities (Non-Graded): These non-graded Learning Activities are provided to aid students in their course of study. 7. Unit Assessments: This course contains seven Unit Assessments, one to be completed at the end of Units I-IV and VI-VIII. Assessments are composed of multiple-choice questions and/or written-response questions. BBA 4326, Procurement and Contract Management 1

2 8. Unit Assignments: Students are required to submit for grading Unit Assignments in Units I-VII. Specific information and instructions regarding these assignments are provided below. Grading rubrics are included with each assignment. Specific information about accessing these rubrics is provided below. 9. Unit Assignments Unit I Scholarly Activity Every business has to procure the goods and services it needs to operate, but not every procurement transaction is efficient and successful. Perhaps some aspect of the buyer s need was not communicated to the seller, or perhaps the seller did not honor its commitments in accepting the order. For this assignment, search the CSU Online Library and the Internet for examples of procurement failures in a business. In a three-page paper, briefly summarize the components of a successful partnership. Then, describe the details of the three procurement failures, discuss why each procurement attempt failed, and evaluate what should have been done to make each procurement attempt successful. Also, identify whether the procurement failures resulted between traditional supply chain practices or integrated supply chain approaches. The steps to achieving a successful procurement are set out in Figure 2-2 The Successful Partnership Pyramid on page 14 of your course textbook. Be sure to identify the level(s) that were not accomplished and that contributed to the failed procurement attempt. Unit II Scholarly Activity Make-or-buy decisions, outsourcing, and offshoring are all concepts involving many of the same considerations. Should a company that needs a specific item or service for the products it produces make the item or provide the service internally, BBA 4326, Procurement and Contract Management 2

3 or should the company acquire the item or service from outside of the company? What factors are relevant to this decision? For this assignment, search the CSU Online Library and the Internet for an example of a company that has made a makeor-buy decision. Provide an example of a company that has made this kind of decision. What considerations were involved in the decision made by this company? In a two-page paper, identify the company and describe the details of the decision, including the factors that were considered during the preaward, award, and postaward phases of the contract management process. Be sure to briefly explain each of the steps in the process. The make-or-buy decision is the initial decision a business makes in the contract management process. It determines whether there will be a contract management process at all since the business deciding to make what it needs will not have to enter into a contract with a buyer and seller. Unit III Scholarly Activity Issues with the common law of contracts gave rise to the need for the Uniform Commercial Code (UCC), which has now been adopted, at least in part, by every state in the United States. Identify two issues with the common law of contracts that have been addressed by the UCC, and explain what changes to the common law of contracts were made by the UCC to address those issues. Did the changes made by the UCC resolve the issues? For this assignment, search the CSU Online Library and the Internet for two examples of issues with the common law of contracts addressed by the UCC. This scholarly activity is not intended to ask about business affected by the UCC; rather, it asks you to talk about provisions of the UCC that were intended to address issues already existing in common law. You may limit the scope of the question to issues regarding the formation of contracts. In a two-page paper, describe the details of those issues and how the UCC addressed the issues. Unit IV Essay There are a variety of risks and uncertainties rising during the procurement process. Many of those risks can be identified during the preaward phase and addressed in the contract pricing agreement. Identify two risks or uncertainties that can arise during the procurement process, and describe the strategies used to address those risks or uncertainties in the contract pricing document. For this assignment, search the CSU Online Library and the Internet for two examples of risks or uncertainties that can arise during the procurement process. In a two-page paper, describe the details of those two risks or uncertainties and the strategies used to address those risks or uncertainties in the contract pricing agreement. Unit V Essay Whether formally or informally, there are a variety of steps buyers and sellers must complete during the preaward phase of the procurement process to prepare for the later phases of the procurement process. How do these preparations contribute to successes during the award and postaward phases of the procurement process? For this assignment, search the CSU Online Library and the Internet for two examples of steps sellers or buyers must accomplish during the preaward phase that can affect the success of the award or postaward phases of the procurement BBA 4326, Procurement and Contract Management 3

4 process. Identify two steps sellers or buyers must accomplish during the preaward phase affecting the success of the award or postaward phases of the procurement process. In a minimum two-page paper, describe the details of those two steps and how they affect the award or postaward phases of the procurement process. Unit VI Essay Chapter 12 of the textbook details the phases that AT&T followed to add value to its contract management process. Some companies have used a similar process to add value to their contract management processes and other companies have taken different approaches to adding value to their contract management processes with varying degrees of success. For this assignment, search the CSU Online Library and the Internet for two examples of companies that have tried to add value to their contract management processes. In a three-page paper, describe the details of the approaches those companies have taken to add value to their contract management processes and evaluate the successes of those two companies in adding value to their contract management processes, considering both the value added to the companies and the value added to their customers experiences. You must support your responses to the required statements above with facts from a minimum of three sources. Use correct Unit VII Assignment The first four levels of the contract management maturity model (CMMM) for buyers bear different names than the first four levels of the CMMM for sellers, but the last two levels of the CMMM for buyers and sellers bear the same names. Does this mean that buyers and sellers do different things in the first four levels of the CMMM and do the same thing in the last two levels of the CMMM? Is it accurate to say the activities of buyers and sellers at each level of the CMMM are actually different but complementary? With each level of the CMMM, do the actions of buyers determine the actions of sellers? In a two-page paper, select two levels of the CMMM, and describe what actions buyers should take in each of those levels and what actions sellers should take in those levels. Additionally, determine whether buyers and sellers are acting in concert in those levels (doing things that are related) or acting independently of each other in those levels. Using the CSU Online Library and the Internet, you must support your answers to the required statements above with facts from a minimum of three sources. Use correct APA formatting when writing your paper, including in-text citations and references. APA Guidelines The application of the APA writing style shall be practical, functional, and appropriate to each academic level, with the primary purpose being the documentation (citation) of sources. CSU requires that students use APA style for certain papers and projects. Students should always carefully read and follow assignment directions and review the associated grading rubric when available. Students can find CSU s Citation Guide by clicking here. This document includes examples and sample papers and provides information on how to contact the CSU Success Center. Grading Rubrics This course utilizes analytic grading rubrics as tools for your professor in assigning grades for all learning activities. Each rubric serves as a guide that communicates the expectations of the learning activity and describes the criteria for each BBA 4326, Procurement and Contract Management 4

5 level of achievement. In addition, a rubric is a reference tool that lists evaluation criteria and can help you organize your efforts to meet the requirements of that learning activity. It is imperative for you to familiarize yourself with these rubrics because these are the primary tools your professor uses for assessing learning activities. Rubric categories include: (1) Assessment (Written Response) and (2) Assignment. However, it is possible that not all of the listed rubric types will be used in a single course (e.g., some courses may not have Assessments). The Assessment (Written Response) rubric can be found embedded in a link within the directions for each Unit Assessment. However, these rubrics will only be used when written-response questions appear within the Assessment. Each Assignment type (e.g., article critique, case study, research paper) will have its own rubric. The Assignment rubrics are built into Blackboard, allowing students to review them prior to beginning the Assignment and again once the Assignment has been scored. This rubric can be accessed via the Assignment link located within the unit where it is to be submitted. Students may also access the rubric through the course menu by selecting Tools and then My Grades. Again, it is vitally important for you to become familiar with these rubrics because their application to your Assessments and Assignments is the method by which your instructor assigns all grades.
