Attention: Michele LaNoue, CEO Dear Michele: Re: Offer to Sell Certain Assets of Hydroxyl Systems Inc. ("Hydroxyl") I write further to the recent discussions between ourselves and our various representatives. With this letter, I am presenting you with Hydroxyl's offer to sell to Headworks Inc. ("Headworks"), or its nominee, certain Property of Hydroxyl, as hereafter defined, and to assign to Headworks, or its nominee, the InI Purchaser Order, also as hereafter defined, on the terms and conditions set out in this letter. Property to be Sold or Assigned The Property to be sold will consist ofthe following: A. All items currently listed on the Inventory Schedule of Hydroxyl attached as Schedule "A" to this letter; and B. Any statutory or common law rights of Hydroxyl in any jurisdiction, including the registration or application for registration of such rights, provided under: (i) (ii) (iii) (iv) (v) patent law; copyright law; trade-mark law, including trade names; design patent or industrial design law; and any other statutory provision or common law principle which may provide a right in either:

July 22, 2009 (1) ideas, formulae, algorithms, concepts, inventions or know-how generally, including confidential information or trade secret law; or (2) the expression of such ideas, formulae, algorithms, concepts, inventions or know-how. Without restricting the generality of the foregoing, the Property specifically includes any and all right, title and interest in registered patents Nos. 2,337,975 and 6,811,705, pending patents No and No. 2007/ , trademarks CLEANSEA, ACTIVECELL, ActiveCell, IFAS, ACTNEFLOAT, HYDROXYL, Hydroxyl and Hydroxyl Water Results, the extrusion dies for manufacturing the ActiveCell biofilm carriers and/or the exclusive right to use thereof, the MediaPro Process Design Tool, the Aeration Grid Sizing Program, Standardized Component Drawings and Visio Stencil and Tools. Those certain Purchase Orders listed in the attached Schedule "B". Vesting Order As you are aware, Hydroxyl has sought protection from its creditors pursuant to the Companies Creditors Arrangement Act (the "CCAA''), in British, Columbia Supreme Court (the "Court") proceeding No. S (the "CCAA Proceedings"). Because of this, Hydroxyl is unable to sell Headworks the Property or assign the IDI Purchase Order without the consent of the Court. Hydroxyl will use its reasonable best efforts to obtain an order from the Court on or before Monday, July 27,2009, or so soon thereafter as the matter can be heard, approving the sale ofthe Property and the assignment of the IDI Purchase Order, and vesting the Property in Headworks or its nominee (the "Vesting Order"). The Vesting Order will be in form and content satisfactory to Headworks' counsel in Vancouver and to Hydroxyl's secured lenders, including RBC. Obligations of Headworks In consideration for the sale to it of the Property, and the assignment to it of the IDI Purchase Order, Headworks will: 1. Pay Alternivest II Fund L.P. ("BDC") the sum of $90,000, or such other cash consideration as BDC may require for the release of its security over the Property and its consent to the Vesting Order;,, consideration as RBC may require for the release of its security over the Property and its consent to the Vesting Order;

4 [Hydroxyl Letterhead] 4 Page 3 Headworks Inc. July 22, Headworks shall be free to negotiate the terms acceptable to BDC and RBc as Headworks sees fit; 4. Offer employment to the Hydroxyl employees listed on Schedule "C", and accept responsibility for all salary and benefits for those employees from and after July 21, 2009, including all accrued vacation pay due and owing to those employees; 5. Use its reasonable best efforts to negotiate satisfactory contracts with each of the current customers of Hydroxyl to complete each such customer's projects in a professional manner, thereby reducing or eliminating the potential threat to Hydroxyl of a law suit for non-performance damages by those customers; 6. Payor renegotiate agreements with such of Hydroxyl's suppliers directly as may be necessary to ensure the transition of the business, including specifically the suppliers listed in Schedule "D", each of whom has supplied materials to STX Finland Cruise Oy ("STX"), but only to the extent that those suppliers are required to be paid in connection with the STX contract. 7. Provide Hydroxyl with such assistance (at no cost to Headworksjas Hydroxyl may reasonably request in order to allow Hydroxyl to maintain its interest in the ferry maintenance business, for the purpose of maintaining and preserving Hydroxyl's tax losses (the "Tax Losses"). 8. Use its reasonable best efforts to negotiate a new lease with Hydroxyl's existing landlord in Victoria on terms satisfactory to Headworks, and use its reasonable best efforts to obtain a complete release of Hydroxyl's obligations under the current lease for any post-filing amounts which may be due and owing to the landlord, at no cost to Headworks; 9. Use its reasonable best efforts to negotiate with Dell computer for the purchase of Hydroxyl's computer hardware or an assignment of Hydroxyl's existing lease on terms satisfactory to Headworks. Obligations of Hydroxyl In addition to selling Headworks the Property and assigning the illi Purchase Order, Hydroxyl 1. Cause the License and Distribution Agreement between Hydroxyl and illi dated August 3, 2005, and the License and Product Supply Agreement

July 22, 2009 Interim Use License between Hydroxyl and Aquapoint Inc. dated August 26, 2005 (collectively, the "Distribution Agreements") to be terminated or, if the parties will not agree to termination, apply to the Court for an Order to that effect in the CCAA Proceedings; 2. Grant Headworks an interim license to use the Property pending the Vesting Order (see below); 3. Release any Hydroxyl employees taking up employment with Headworks of any and all claims against such employees existing to the time oftransfer; 4. Release Headworks and related parties from any and all claims existing to the date ofthis letter; and 5. Assist Headworks in obtaining positive references from former and existing customers for the purpose of obtaining contracts to finalize projects begun by Hydroxyl. Until the Vesting Order is obtained, Hydroxyl hereby grants a License (the "Interim Use License") to Headworks and its employees for the interim use of the Property. The Interim Use License will be effective as ofthe date ofthis letter. During the term ofthe Interim Use License, Headworks and its employees may only use the Property in a manner that is consistent with this letter agreement. If, for any reason, the Vesting Order is not obtained on or before July 30, 2009, or such later date as the parties may agree, through no fault of Hydroxyl acting reasonably, or is subsequently set aside, the Property will revert to Hydroxyl and the Interim Use License will automatically terminate. On termination of the Interim Use License, (a) Headworks will return all tangible property, including computers, plans, drawings, software and the like, without limitation, to Hydroxyl, (b) Headworks and the former Hydroxyl employees listed in Schedule "C" will maintain any confidential information obtained pursuant to the Interim Use License in confidence and not use the Property for any purpose, including engaging. in any activity competitive with Hydroxyl's business, and (c) the release of Hydroxyl's employees as set out above will no longer apply. Miscellaneous The offer presented in this letter will remain open for acceptance until 6:00 p.m, PST on Wednesday, July 22, Upon acceptance of the terms of this letter, Hydroxyl will not negotiate with any other party or parties in relation to the same or substantially the same assets
