1 This exhibit provides the distinction between the Executive Program Manager (EPM) and the Project Support Systems (PMSS) roles and responsibilities. Gain the buy-in of United Airlines project team to cooperate in all efforts to complete the ITRP Engage and collaborate with airlines and airport stakeholders to minimize disruption of operations and services throughout the duration of the ITRP. Develop and recommend program execution plan complete with program level scope, schedule, budget and level of quality expected. Draft the scopes of work to be incorporated in requests for qualifications/proposals for all design and construction packages forward of notice to proceed (NTP). Develop and recommend the organization structure as an integrated team to manage the ITRP. Thoroughly vet and recommend each and every manager to join the ITRP team. ITRP. Support Program Level activities and lead the project level stakeholder engagement activities. Support the EPM as requested to gain the buy-in of United Airlines project team to cooperate in all efforts to complete the ITRP. Support Program or Project Level activities and lead project level stakeholder coordination for continuity of Airport operations throughout the ITRP. Support the development of the program execution plan with supporting project level scope, schedule, budget and level of quality expected. Support the development of scopes of work to be included in design and construction packages forward of notice to proceed dates as requested by the EPM. Support the development of the organization structure as requested by the EPM. Complete the design and construction of the ITRP PMO Building to accommodate the ITRP management team. Develop and recommend strategy for M/WBE participation in all contracting opportunities. Support the completion of design and construction of the ITRP PMO Building as may be requested by the EPM. Support the achievement of M/WBE participation in all contracting opportunities. 3 GENERAL SCOPE (continued) Presentation and Briefings Meetings Additional Duties SPECIFIC SCOPE Prepare and/or provide presentations or briefings to City officials, City Council, airlines, other City departments, industry groups or other constituents that may be required in support of the HAS. Lead Program level consultations, meetings, presentations, related remote site visits and other duties as may be assigned. Perform any additional duties as directed by HAS for overall success of the ITRP. Support the preparation, and deliver, presentations and briefings as may be requested. Lead Project level consultations, meetings, presentations, related remote site visits and other duties as may be assigned. Perform any additional duties as directed by the EPM for the overall success of the ITRP. Program Initiation Phase Program Scope Successfully manage the ITRP by providing effective leadership, oversight, strategic evaluation and direction to achieve successful execution as measured by completion on time, within scope, within budget and with the anticipated level of quality. Validate the program scope and identify gaps and overlaps. Support the development and validation of Program Scope. Provide effective management of ITRP projects to ensure successful completion as measured by completion on time, within scope, within budget and with the anticipated level of quality. Work Breakdown Structure (WBS) Organizational Structure Roles and Responsibilities Develop and maintain the primary breakdown of work into a comprehensive and consistent structure for the program. Develop and recommend the organization structure, processes, and roles and responsibilities of the various entities for the successful implementation of the ITRP for approval by HAS. Define and develop the roles and responsibilities for all members of the ITRP. Support in the maintenance of the WBS. Develop project level detail of the WBS. Support in the development and maintenance of the project level Organization Structure. Support the development of project level roles and responsibilities. Page 3 of 11

Develop the framework for the Program Procedures including the coordination of functional roles and responsibilities. Establish ITRP communications and media protocols as approved by HAS. Develop and implement ITRP program controls processes and systems to ensure overall success of the ITRP as measured by completion on time, within scope, within budget and delivering the quality levels anticipated. Develop strategy for utilizing effective technology in all aspects of the ITRP program management to meet highest customer satisfaction, achieve cost efficiencies and achieve best practices. Support HAS by establishing ITRP design and construction sustainability protocols and practices. Facilitate program level recurring meetings and engagement with both internal and external ITRP stakeholders, managing and coordinating input and make program recommendations to HAS as appropriate. Provide leadership and manage the establishment of a training and development program for the ITRP processes, systems, procedures and projects. Develop specific project goals and objectives, and assist in developing relevant benchmarking data. Draft all ITRP Procedures for project level governance and management for approval by the EPM. Develop and submit for approval change management and impact mitigation strategies throughout the life of the ITRP. This includes, but is not limited to scope, cost, schedule control, and cost reduction initiatives. Establish protocols for Configuration. partnering. Develop all project reports in accordance with program requirements. Procurement Phase Develop Procurement plans and strategies, and review ITRP Procurement documents. Procurement Plans Develop the program procurement strategy to achieve program objectives. Coordinate with HAS Supply Chain to develop the procurement plan. Respond to diversity issues and recommend corrective actions. Review and analyze design progress reports and incorporate into project level status reports. Develop recovery plans as necessary. Construction Phase Construction Safety Quality Control Manage construction assignments for every construction project, holding to approved scope, budget, schedule and quality. Approve project level safety recommendations and corrective actions. Establish the program level framework for Construction Quality Control Achieve on budget, on scope, on schedule and quality standards of all construction assignments at the project level. Review safety programs and procedures developed by the various contractors. Review safety reports and practices of the contractors. Respond to safety issues and recommend corrective actions. Review the Quality Control programs and procedures developed by the various contractors. Page 8 of 11

Permitting Coordinate at a program level with authorizing agencies regarding required ITRP permitting. Monitor application and receipt of permits as submitted by the PMSS to ensure support of project and Program milestones. Logistics and Phasing Construction Diversity Compliance, Monitoring and Progress Claims Develop overall Program Site Logistics and Phasing Strategy. Approve Logistics and Phasing Develop the Construction guidelines, policy and procedures. Review project level diversity Review construction progress and approve recovery plans. Review the claims resolutions Develop all relevant procedures required to provide Quality Assurance for the ITRP at the individual project level. Review all project permitting efforts and documentation developed by the various contractors for compliance and completeness. Establish tracking program to monitor permit application and receipt processes for each individual project to ensure timeliness of permitting to support project milestones. Implement the Logistics and Phasing Strategy. Review and recommend all project Logistics and Phasing plans and documents developed by the various contractors. Collaborate with all appropriate stakeholders and services providers to minimize impacts to operations. Implement the Construction guidelines, policy and procedures for the ITRP. Review construction diversity plans for all ITRP projects / contracts in accordance with Diversity Policy and Procedures. Perform diversity compliance, monitoring and reporting. Respond to diversity issues and recommend corrective actions. Review and analyze construction progress reports and incorporate into project level status reports. Requesting recovery plans as necessary. Lead the Claims process for all ITRP projects and make recommendations on the resolution of claims. Page 9 of 11

Ensure independent third party commissioning plans are developed and executed prior to requesting a Certificate of Occupancy (COO). Working with the HAS Operations, Readiness, Activation and Transition (ORAT) Team, identify, schedule and support ORAT activities in the integrated program schedules. Transition Review all ITRP project transition Develop and recommend Planning plans and Transition Plans for all ITRP Operational Readiness, Activation and Transition (ORAT) Component Testing and System Commissioning Operations and Maintenance (O&M) Manuals and Training Certificate of Occupancy Review all ORAT Review and establish Component Testing and System Commissioning guidelines for the ITRP. Review delivery schedules for Operations and Maintenance (O&M) Manuals and Training for the ITRP, ensuring receipt of all deliverables prior to scheduled ORAT activities. Review all Certificate of Occupancy recommendations; collaborate with appropriate internal and external stakeholders to achieve consent to gain occupancy. projects.
