1 TOWN OF YOUNTVILLE MINUTES OF TOWN COUNCIL MEETING JUNE 5, CALL TO ORDER; CONVENE REGULAR TOWN COUNCIL MEETING 6:00 P.M. Mayor Dunbar convened the Regular meeting at 6:00 p.m. 2. ROLL CALL Mayor and Town Council Present: Mayor John F. Dunbar; Vice Mayor Lewis G. Chilton; Councilmember Margie Mohler, Councilmember; Councilmember Richard Hall; and Councilmember Marita Dorenbecher Town Staff Present: Steve Rogers, Town Manager; Arnold Alvarez-Glasman, Town Attorney; Michelle Dahme, Town Clerk; Bob Tiernan, Planning/Building Director; Graham Wadsworth, Public Works Director/Town Engineer; Kathleen Bradbury, Finance Director; Samantha Holland-Wagner, Parks & Recreation Director and Sandra Smith, Associate Planner 3. PLEDGE OF ALLEGIANCE Lieutenant Keith Behlmer led the pledge of allegiance. 4. CLOSED SESSION REPORT No Report 5. ADOPTION OF THE AGENDA ACTION: A Motion by Councilmember Hall; Seconded by Councilmember Dorenbecher to Adopt the Agenda was unanimously approved. 6. PUBLIC COMMENT ON MATTERS NOT LISTED ON THE AGENDA (Five-minute limitation per speaker) Lieutenant Behlmer thanked the Town Council for the past four years of service and introduced his successor, Doug Wilkinson, Sergeant Napa County Sheriff s Department. Sergeant Wilkinson, Napa County Sheriff s Department, introduced himself and appreciates the opportunity to work in Yountville. 7. CONSENT CALENDAR A. Request Approval to Cancel Regular Town Council Meeting of July 3, Recommendation: Approve. B. YOUNTVILLE EMPLOYEE AND MID-MANAGEMENT ASSOCIATIONS Adopt Resolution Number Approving a Memorandum of Understanding with the Town of Yountville and the Yountville Employees Association and the Mid- Management and Professional Unit Association for the period July 1, 2012 to June 30, 2015.

GENERAL MUNICIPAL ELECTION NOVEMBER 6, 2012 Adopt Resolution Number Calling for the Holding of a General Municipal Election to be held on Tuesday, November 6, 2012, for the election of two Council Members and requesting the Board of Supervisors of the County of Napa to consolidate and render specified services to the Town relating to the conduct of the 2012 Statewide General Municipal Election. D. COUNTYWIDE BICYCLE PLAN (NAPA COUNTY TRANSPORTATION & PLANNING AGENCY) Adopt Resolution Number Approving the Town of Yountville component of the Napa Countywide Bicycle Plan prepared by the Napa County Transportation Planning Agency (NCTPA). (CONTINUED FROM FEBRUARY 7, 2012) E. APPROVAL OF MINUTES March 20, 2012 April 3, 2012 (Special Meeting) April 3, 2012 April 17, 2012 (Special Meeting) Recommendation: Approve. ACTION: A Motion by Councilmember Hall; Seconded by Councilmember Dorenbecher to Approve the Consent Calendar was unanimously approved. 8. PRESENTATIONS A. Presentation of Proclamation to Margaret Ingalls Herald Mayor Dunbar presented Certificate of Special Recognition to Karla Reyff and Betty Jake on behalf of Margaret Ingalls Herald. 9. PUBLIC HEARINGS A. HOTEL YOUNTVILLE/HOPPER CREEK APARTMENTS MASTER DEVELOPMENT PLAN AMENDMENT AND DEVELOPMENT AGREEMENT AMENDMENT 6414 WASHINGTON STREET APN Consideration of Master Development Plan Amendment, including Use Permit Amendment, and Development Plan Amendment to allow a portion of the Hopper Creek Apartments Farmhouse to be used for office space by Hotel Yountville. Recommendation: Receive Staff Report and Provide Direction to Staff. Sandra Smith, Associate Planner, presented staff report. Public Hearing Held The following individuals spoke on the item: Steve DaVino, General Manager, Hotel Yountville and Donna Heine.

3 June 5, 2012 Page 3 ACTION: A Motion by Councilmember Dorenbecher; Seconded by Mayor Dunbar to direct staff to prepare a resolution for Council consideration in support of applicant request for modifications to Master Development Plan Amendment, including Use Permit Amendment, and Development Plan Amendment to allow a portion of the Hopper Creek Apartments Farmhouse to be used for office space by Hotel Yountville was approved by the following roll call vote: Ayes: Dorenbecher, Dunbar and Chilton Noes: Hall and Mohler Absent: None Abstain: None 10. ADMINISTRATIVE/REGULAR ITEMS A. TOWNWIDE ANNUAL CLEAN-UP DAY Consider Adoption of Resolution Number Providing Direction to the Yountville Town Council Representative serving on the Upper Valley Waste Management Authority Board related to the 2012 Rate Structure including an annual fee to fund Upper Valley Disposal s cost to provide an Annual Clean-Up Day Event in Yountville. Steve Rogers, Town Manager, presented staff report. NAPA COUNTY DRAFT SUBREGION REGIONAL HOUSING NEEDS ALLOCATION (RHNA) METHODOLOGY Consider minute order action endorsing the Draft Regional Housing Needs Allocation (RHNA) Methodology. Recommendation: Approve Minute Order Action. Bob Tiernan, Planning Director, presented staff report. Public Comment None ACTION: A Motion by Vice Mayor Chilton; Seconded by Councilmember Hall to approve Minute Order Action endorsing the Napa County Draft Subregion Regional Housing Needs Allocation (RHNA) Methodology was unanimously approved.

COUNCIL MEMBER MEETING REPORTS AND COMMENTS Agendas and Minutes related to Council Members Meeting Attendance are maintained separately by the various meeting bodies. A. Napa County Flood Control & Water Conservation District (Dunbar/Chilton) Mayor Dunbar reported on District Meeting. B. Napa County Transportation & Planning Agency (NCTPA) (Dunbar, Chilton, Mohler, Dorenbecher) Mayor Dunbar and Councilmember Mohler report on Agency Meeting. C. Upper Valley Waste Management Authority (Mohler) Councilmember Mohler reported on Authority Meeting. D. Other Reports and Comments Councilmember Hall reported on the Napa County Youth and Gang Violence Commission Meeting. Vice Mayor Chilton reported on Local Agency Formation Commission (LAFCO) of Napa County Meeting. Councilmember Dorenbecher commented the Napa County Watershed Information Center and Conservancy (WICC) meeting was cancelled and advised they will meet jointly with the Napa County Flood Control & Water Conservation District. Mayor Dunbar commented on the following: Yountville Elementary School - Attended and shared in the ribbon cutting ceremony with the Principal and Superintendent Sweeney for the 5 th grade promotion. Napa County Arts Group Status The Board of Supervisors is expected to vote on the new composition of the Napa County Arts group at their June 26, 2012 meeting and will then start accepting applications. Auction Napa Valley - Although not in attendance, expressed thanks on behalf of Auction Napa Valley to organizers and volunteers that make the event happen every year with fundraising benefits going to so many good organizations throughout Napa County. Adopt Final Budget and Set Budget Policies for Fiscal Year 2012/2013 Vice Mayor Chilton requested a future agenda item be scheduled regarding the potential for a mandatory trash service subscription including a report on what other jurisdictions are requiring. 14.
