THE ADONIS HISTORY Adonis AS is a software house that has operated in the maritime market for more than 25 years. The company was formed in 1988 by the Kviteberg and the Gjerde families. We are thus one of the oldest software companies in the industry, still with the same name and the same major shareholders. Laying brick on brick, being faithful to our business idea and our customers, we have grown from a handful of employees to 33, including daughter companies in several countries. Our main office is on the west coast of Norway, south of Bergen. Most of our software development is carried out in Kerch on the Crimea and in Kharkiv, Ukraine, where we have our development and test units as well as support and service teams. In addition we have a company in Miami, FL, USA and representation in Manila, the Philippines. We have a substantial portfolio of international customers, several of them market leaders within their niche and many of which have been following us from the early years. We are a very specialized company with high competence and deep understanding of the many complex subjects within maritime personnel management and payroll. Our whole organization focus solely on the development of our core products. For a customer or a buyer of this kind of system, this may represent a big advantage, as we are not a small left hand department in a large software house, rather a dedicated vendor committed to the main products of our portfolio, as illustrated below. FINANCIAL STATUS Adonis has a solid financial status, with an equity capital rate around 60%. Year by year we are rated AA or AAA by Biznode/Dun & Bradstreet. For years, Adonis has been prioritizing development and customer satisfaction over short-term increased sales. This resulted in a long period with modest turnover and high development costs. Now we are experiencing increasing demand for our products quarter by quarter, more efficiency during the implementation projects and less after-sales guarantee work. For 2014 we reached a record-high turnover. We expect the same development to continue in the years to come. OWNERSHIP Adonis AS is dominated by active ownership of management, still with the Kviteberg family as major owners and filling some vital roles in the company. We have a policy to invite key employees as co-owners through Adonis Solutions AS, a share-holding company for employees of Adonis AS. Outside investors hold around 25% of the shares. This business model, with active owners and involvement of key employees has proven to be very successful for us. Customers are repeatedly expressing their appreciation for the fact that we are able to keep our workforce, build-up high competence over years and remain faithful to them and to our very businesscritical products over time. Adonis is acknowledged in the industry as a substantial and long-term, reliable partner with a solid financial basis. Our strategy is to expand on the path we are, in a stable and controlled manner, by organic growth. The company has never been involved in any merge processes. Adonis ORGANISATION Adonis is running a cost-efficient management organization out of Norway, with 9 employees. We have our development and test department in Kerch, Crimea and our Service Desk who manage support, customer requests and documentation in Kharkiv in the Ukraine. In the US we have a daughter company in Miami. We have a consultancy unit in Manila, the Philippines. We have standardized our internal processes on tools like Microsoft Office 2013, Sharepoint, Eschange Server and Lync, using ConnectWise as our CRM and ticketing system. THE ADONIS SOLUTION Since the start, our focus have been on developing efficient tools for maritime Human Resource management. As a vendor for a global industry, we have taken a global approach to our development. This does not only mean to serve customers running business around the world. The challenge for maritime companies are vessels to integrate their crew-related activities onboard the vessels with the head and department offices through reliable IT systems. Even if the satellite communication technology has improved largely over the years, it is still a fact that it takes seconds to send signals with the speed of the light from a vessel to a shore-side server. Special challenges arise for vessels going to areas where satellite communication is bad or not existing, or when the connection goes down for technical reasons. Our solution is combining a web-based approach to the global challenges, in combination with replicating databases when this is necessary, utilizing our own asyncrone builtin Adonis Replicator. We have competence built-up during many years within the two leading SQL databases on the market: Oracle and MS-SQL Server. Our customers value our ability to deliver the application solutions that they need using the products they already have in their environment. The Adonis Hub, containing the core, central database of all crew information, can reside either at the customer own network, or at Adonis ASP Park. Since 2007 we have been offering our solution in the cloud, utilizing Citrix as the client access gateway for users world-wide. OUR PRODUCTS AND SERVICES Through a customer-oriented development process, we have developed and brought to market a number of modules which cover the core business of any Crewing Department, from web-based recruitment through Crew Management, Planning, Scheduling and Payroll to a Web Portal for capture of work and rest hours, overtime and a number of Crew Self-Management services. The system architecture of our solution is highly configurable and contains modules for efficient personnel management for maritime/offshore crew as well as the office-based staff. One of the strong features in Adonis is the possibility for system administrators to define their SQL statements in crew list views and Analytical queries and save them as selectable items for the end users. Adonis comes with a modular structure that suits small companies and large, global enterprises alike. As the organization grows and its needs increase, new modules can be incorporated using the Lego principle, taking full advantage of the existing system data. Adonis realizes that Human Resource Systems contain very sensitive and critical information. It can be very damaging to an organization to have information inappropriately disclosed. At the same time common business practice has moved recruiting processes to the Internet. By partitioning the database components such that non-sensitive information is available to the web applications and applicant data is then replicated into the highly secure central applications, we increase the security level of the process. Industry best practices for data security are applied to all business processes. In connection with our products, we offer a wide range of related services, such as software development and maintenance, implementation support and consultancy, internal/external training, data conversion, development of interfaces to external systems, and report design.
