KERALA STATE INDUSTRIAL DEVELOPMENT CORPORATION LTD NOTICE INVITING BIDS FROM QUALIFYING CONSULTANTS FOR PREPARATION OF DETAILED PROJECT REPORT (DPR) ON THE LIFE SCIENCES PARK, THIRUVANANTHAPURAM Introduction: Kerala State Industrial Development Corporation (KSIDC) is the pivotal agency of the Government of Kerala for developing and promoting industrial and infrastructure projects in the State. Besides attracting domestic and foreign investments to the industrial and infrastructure sectors in Kerala, KSIDC plays an important role in stimulating, financing and facilitating the development of medium and large scale industries in the State. On behalf of Government of Kerala, KSIDC is establishing a state-of-the-art Life Sciences Park at Thiruvananthapuram, the capital city of the State. This Park has been conceived as a geographic cluster of industries and R&D institutions in the fields of Biotechnology, Biomedical Devices, Pharmaceuticals and other domains of Life Sciences. The first phase of the project is envisaged to be established in 75 acres of land located near Kazhakkoottam, one of the fast emerging industrial townships in Thiruvananthapuram. It is envisaged to develop the project with private partnership. Present Status of the Project: 40 acres of land has already been taken possession for the project, by KSIDC. Steps for acquisition of the remaining extent of land are in a very advanced stage. The name of the proposed Life Sciences Park has been finalised as BIO 360, which symbolises three sixty degrees of innovation, as the tagline of its logo highlights. One of the most reputed firms of architects based in Thiruvananthapuram has been awarded the work of developing the master plan for BIO 360. Based on a proposal submitted by KSIDC, the Department of Biotechnology (DBT) has sanctioned financial support for a Biotech Incubation Centre within BIO 360. Possibilities of establishing a Biomedical Research Park within BIO 360 (envisaging partnership of one of the national-level R&D institutions, and funding support from Government of India) is being explored by KSIDC. KSIDC is in discussion with a few companies which have evinced preliminary interest in setting up their manufacturing/research infrastructure within BIO 360. 1
The Proposal Inviting Bids for DPR: KSIDC invites the offers in two bid system in sealed envelopes from eligible consultants for rendering engineering, design & consultancy services for preparation of DPR for different infrastructural development works (in approximately 75 acres of land) for BIO 360. As per preliminary estimates, the cost of the project is likely to be in the range of Rs.300 Crores. The consultants are expected to work in consultation and coordination with the Architects appointed for master planning of BIO 360. Criteria for Eligibility: The technically and financially sound Consultants/Firms/Parties who fulfil the following requirements are eligible to participate: A. Technical: 1. Should have done at least two similar works (preparation of DPR for industry/sectorspecific Industrial Parks/ Industrial Estates/SEZs on PPP Model, spread over an area of a minimum 75 acres), in the past five years; 2. Should have prepared DPR for at least one industrial park in PPP mode in IT/Biotechnology/Life Sciences Sector, spread over at least 25 acres of land, in the past five years (which can also be one among the two sector specific industrial parks mentioned above); and, 3. The Consultant/Firm/Party should have a well developed network of offices and professionals in India (at least in four metro-cities). B. Financial: 1. The average annual turnover (relating to Indian operations of the Consultant/ Firm/Party during the past three financial years ending 31 st March 2013 should be a minimum of Rs. 10 Crores towards consultancy fees; 2. The Consultant/Firm/Party should be financially sound to take up large value projects, with proven track record, and should have positive net worth as on 31 st March 2013; 3. The Consultant/Firm/Party should not have incurred losses during the past three financial years, ending 31 st March 2013 2
Scope of the Work: The Scope of the Work encompasses: I. Detailed conception of infrastructure development works for BIO 360 in an area of approximately 75 acres identified for the project based on: Detailed market studies and identification of prospective segments of industries and specific companies/players in such industries (falling within the larger domain of life sciences/biotechnology) which BIO 360 should target/focus on; Interaction with the stakeholders of the project; Identification of critical infrastructure requirements and enabling ecosystem for triggering and accelerating investments in manufacturing, R&D, services and other areas in the life sciences sector, in BIO 360 ; Studies and evaluation of the nature of infrastructure established for similar ventures within and outside India; Infrastructure requirements for the specific projects being considered by KSIDC, to be set up within BIO 360 (Biotech Incubation Centre and Biomedical Devices Hub); Consideration of zoning and other requirements within the proposed Life Sciences Park; and, Other relevant aspects. II. Detailed design of the infrastructure including, but not limited to, internal roads, buildings, power supply system, water supply system, conferencing facilities, business centre, plugin and play facilities for prospective occupants (manufacturing, R&D, services etc. companies), land parcel to be earmarked for Greenfield ventures etc. This work has to be done based on the master plan and architectural perspectives to be developed by the Architects appointed by KSIDC. (Technical inputs for developing the master plan shall be provided to the Architects by the DPR consultants); III. Detailed cost estimates and financial structuring of the project. The DPR consultants are expected to configure the project on a viable financial model, and to develop an optimum financial structure; IV. Detailed financial feasibility analysis of the project, involving projections of profitability statement, balance sheet, cash flow, and working out of financial feasibility indicators including, but not limited to, IRR, Return on Investment and Pay Back Period; V. Detailed Social Cost- Benefit Analysis of the Project and working out ERR; and, VI. Suggestion of the most appropriate PPP model for BIO 360, development of evaluation criteria, proposing the prequalification conditions & preparation of bid documents for the selection of the private partner for the project. 3
The deliverables: The deliverables and funding pattern (on accomplishment of the deliverables) of the consultancy fee shall be as follows: Inception report detailing, inter alia, confirmed work plan, details of the professionals carrying out the study etc. (three copies); Daft market survey & stakeholder-consultation report (three copies); Draft DPR (three copies), which will also include the final market survey & stakeholder consultation report; and, Final DPR (five copies). Payment Schedule Consultancy fee will be released during different milestones in the study, as detailed below: Sl. Brief detail and write up on the consultant / consultancy firm. ii. Details of the two (or more) similar works undertaken and completed. iii. Details of the clients, document / letter from client w.r.t successful completion of work. iv. Audited balance sheet / other documents for the last 3 years. v. Bio Data / details of the team members undertaking the DPR preparation. b) The second envelope to be super scribed as Financial Bid quoting fee for the entire work pertaining to the preparation of the DPR as per Performa - B. No other terms and conditions or information shall be furnished in the financial bid other than the fee. 4
c) These two envelopes, enclosed in an outer envelope, to be super scribed as offer for selection of Consultant for the preparation of DPR on the Life Sciences Park, Thiruvananthapuram have to be submitted within time limits as prescribed in this document. Selection Procedure: Interested Consultants/Firms/Parties fulfilling the eligibility criteria will be required to make a presentation, when called for, at KSIDC, Thiruvananthapuram before a Selection Committee for evaluation of the technical bid. The financial bid of those who qualify based on marks obtained as per the evaluation criteria will only be opened. Representative of the consultants may remain present during the opening of the financial bids, if they desire. Bid Evaluation Method & Criteria: Evaluation of the bids will be done on total marks out of 100. The evaluation would be on the basis of combined score derived out of the technical score (75% weightage) and the financial score (25% weightage). Hence, the combined score (CS) would be arrived as under: CS = TS* (0.75) + FS* (0.25) The Technical Bids received from the bidders would be shortlisted based on the prequalification criteria, and the bidders so shortlisted will be invited for a presentation before the Selection Committee, on various aspects including the approach & methodology for the study, understanding of the scope of the work, professional team handling the assignment etc. The CEC will rank the shortlisted bidders by assigning marks based on the presentation (maximum marks: 100). The evaluation criteria shall be as follows: 1. Experience of the bidder in projects relevant to the study: 25 marks 2. Conceptual clarity and understanding of the assignment: 25 marks 3. Approach to the study, methodology & work plan: 25 marks 4. Composition of the study team and professional background and experience of the team members: 25 marks Financial bids of only those scoring more than 75% marks will be opened. In the evaluation of the Financial Bids, the lowest financial proposal (Fm) will be given a financial score (FS) of 100 marks. The financial scores of others shall be computed as follows: 5
FS = 100*Fm/F; (F = Amount quoted as per financial bid) On the basis of combined score, the bids will be ranked and the applicant scoring the highest CS would be invited for negotiations. In case of refusal by successful bidder or his inability to accept the offer or the successful bidder not responding within specified time, the bid next in rank will be invited for negotiations. The Selection Committee s decision in all matters pertaining to the evaluation process would be final. Timeframe for Work Completion: The work will have to be completed by the selected Consultant/Firm/Party in a time span of three months from Date of Acceptance (DoA) of the work. DoA has been defined as seven days from the date of the Letter of Award (LoA) of the work. The timeframe for work completion is given below: Sl. No Milestone Timeframe ( No. of months from DoA) 1. Disputes and Settlement: Courts in Thiruvananthapuram shall have jurisdiction over any dispute that may arise in connection with the work. Both the parties (KSIDC and the consultant/party/firm selected for the work) shall strive to settle the dispute amicably through discussions, before approaching the court for settlement. Others The KSIDC s decision in the selection process is final and KSIDC will neither entertain any correspondence in this regard nor will be bound to furnish any explanation. KSIDC reserves the right to accept/select (or reject) any offer or all the offers without assigning any reason. The financial bid to be submitted by the Consultant shall include all charges / fees expenses, taxes etc payable by the consultant to their team members / other professionals / specialized agencies required by them, if any. The Service tax payable as per applicable rates will be payable as extra and may be shown separately. The bid shall include all expenses, including travel, boarding, out of pocket expenses, taxes & duties etc pertaining to the team members / other professionals / specialized agencies engaged by the Consultant. 7
