Transition Timeline This list highlights some important dates to help ensure that you are prepared for the conversion. Debit Card r November 1 On or before Nov. 1 you will receive your new Pinnacle MasterCard Debit Card. r November 1 November 15 Activate your Pinnacle debit card and establish your PIN. You may begin using it on Nov. 16. Continue to use your Magna debit card through Nov. 15. Online Banking r November 13 November 15 There will be a limit of $2,500 total for debit card purchases and $500 for ATM withdrawals over this weekend from 6 p.m. CT Friday through midnight Sunday. If you are thinking about making any large purchases, please plan accordingly. r November 16 Your Magna Bank debit card will stop working. Now is the time to update any payments you have tied to your Magna debit card with your new Pinnacle card number. r November 6 On or before Nov. 6, you will receive a secure postcard with your temporary password for Pinnacle s online banking. Bill payment users should log in to Magna s online banking system and pay any paperless bills you receive through the system (ebills). Your ebills will no longer be available in Magna s bill pay services after Nov. 7. If you have not received a bill, you may need to contact the biller for your current balance. r November 8 Bill payment users should review payees for additions or deletions. Your payee names, account numbers and addresses will be added to Pinnacle s BillPay services. However, any payees added, edited or deleted after Nov. 8 will not be reflected in Pinnacle s system instructions. r November 10 Mobile deposits through the Magna mobile app will not be available after Tuesday, Nov. 10. r November 13 Magna s online banking will be unavailable starting at 5 p.m. on Friday, Nov. 13. BillPay clients should schedule bill payments to occur prior to Nov. 13. Any bill payments scheduled to be paid after Nov. 13 will not be paid and will need to be re-established in Pinnacle s system after Nov. 16. This includes both one-time payments and those that automatically recur on a set frequency. We will convert your payees, so it should be easy to schedule these payments on Nov. 16. If you use accounting software like Quicken or QuickBooks, go to www.pnfp.com/intuit for an FAQ on how to download your transactions, remove your connection to Magna Bank and re-establish your connection on Pinnacle s system. 2

Transition Timeline Online Banking r November 16 Online banking available at 10 a.m. 1. Log in to Pinnacle s Online Banking at www.pnfp.com. 2. Enter your Magna username and the temporary password you received in the mail. If you do not have your password, contact our Client Service Center at (800) 264-3613. 3. Create a new password. 4. Select security questions. From time to time, you may be asked to verify your identity by answering a challenge question you selected. 5. Accept the user agreement. Once you log in you may want to: Check your recurring transfers Check your BillPay payees and re-establish any scheduled bill payments or ebills Download the Pinnacle Financial Partners Mobile Banking iphone, ipad or Android apps Establish your connection to your accounting software BUSINESSES: Review wire transfer templates and re-establish wires BUSINESSES: Log in to other cash management services. If you use services like remote deposit, ACH or lockbox, you will receive information directly about these services and how to access your accounts. 3

Your New Accounts Personal Deposit Accounts For us, client service means offering simple, straightforward account options. It also means answering the phone when you call, replacing your debit card instantly and waiving other banks ATM fees. Please refer to the enclosed letter for information on how your specific accounts will be impacted by the transition. Once you review the account descriptions below, it may be that one of our other accounts is of interest to you. Just let us know and we can help you find an account that s best for your specific needs. Your New Accounts Personal Deposit Accounts Savings Your interest rate is not changing at this time. Pinnacle s savings and money market accounts include unlimited deposits and free transfers from your Pinnacle checking account. You re limited to six third party savings-account withdrawals or transfers per month by federal regulation. There is a $5 fee for more than six transactions. However, this limit and fee does not apply to withdrawals or transfers made in person at an office or ATM. The only difference for you will be your account service fee and options to avoid the fee. Vision Savings The $2 monthly service fee is waived with a $500 average daily balance. Outlook Money Market The $5 monthly service fee is waived with a $2,500 average daily balance, $15,000 average combined monthly deposit account balances (business and personal accounts) or $150,000 in Pinnacle Asset Management accounts. Zenith Money Market The $10 monthly service fee is waived with a $10,000 average daily balance, $25,000 average combined monthly deposit account balances (business and personal accounts) or $250,000 in Pinnacle Asset Management accounts. Certificates of Deposit If you currently have a CD or IRA account, the terms and rates will remain the same until maturity. Your New Accounts Loan Accounts Loans The rates and terms for your Magna loan are not changing. If you have established automatic payments, they will continue to occur. Clients will receive a monthly billing statement on all loan accounts with Pinnacle. This will include your new account number. You can remit your payment going forward using the return envelope to: Pinnacle Financial Partners, P.O. Box 292487, Nashville, TN 37229. Pinnacle also provides several ways to pay your loan electronically, including automatic debit, online banking and loan payments through our website. If you are a mortgage client who currently uses My Mortgage Online or pays by phone you can continue to do so. Please contact our Client Service Center at (800) 264-3613 to discuss options. If you are looking for additional financing, Pinnacle offers a wide range of options for small and large businesses as well as individuals. Lending products are much the same no matter which financial institution you choose. The difference, then, lies in the experience and expertise of the people. We ll work through a variety of factors with you the reason for the loan, existing resources, your desired repayment period and monthly payment threshold to customize a loan that fits your needs. No 1-800-LOAN calls. Decisions are made locally by someone who knows the market. Once you log in to online banking (instructions on page 15), you will see several tabs along the top of the online banking system that will help you navigate our site. Snapshot Tab. View account balances and last five transactions. Use the action menu to review account history, detail and statements. Or get quick access to transfers, payment and contact info. Accounts Tab. See all of your accounts, history and statements. Use the Actions menu to make transfers, sign up for estatements or view history. We will bring over 60 days of history on your account and build a full 24 months going forward. You can research transactions and produce reports based on criteria such as check number, date or amount. Transfers Tab. Set up a one-time transfer or have it happen every week it s up to you. PFM Tab. Our Personal Financial Manager (PFM) tools allow you to track all of your accounts savings, checking, mortgage, investments and even those outside of Pinnacle in one place to see your full financial picture. Set goals, track your budget and see what it will take to pay down debt. Payments Tab. Not only can you pay virtually any business or individual with our free online BillPay services but you can also view history, set up auto payments and receive email reminders when a bill is due. We also offer same-day or overnight payment capabilities for a nominal fee. Notify Me Alerts Tab. Track your account balances and transactions with a variety of email alerts. Need to know if your balance is low, when a large check has cleared or if your pay has been deposited? We ll send you an email or text. Cash Management Tab. Business clients and designated employees use the cash management area of online banking to set authorities and abilities for users within the online banking product. You can initiate outgoing wire transfers and access other treasury management services with our single sign-on capabilities. User Services Tab. Our new hours are: Monday Thursday 8:30 a.m. 4 p.m. Lobby 8:30 a.m. 5 p.m. Drive Thru Saturday 9 a.m. 12 p.m. Drive Thru Friday 8:30 a.m. 5 p.m. Lobby 8:30 a.m. 6 p.m. Drive Thru Will my branch s phone number change? No. Will any offices be closed? No. Does Pinnacle have a client service call center? You can reach our Client Service Center at (901) 259-5400 or toll free at (800) 264-3613. Does Pinnacle have an automated number? You can reach our self-service, automated line at (866) 755-5428. Your Account Will my account number change? The vast majority of account numbers will not change. However, there were a small number of duplicate account numbers between Magna and Pinnacle. Those clients have already received information about the transition. Will my routing number change? Effective Nov. 16, 2015, the new routing number is 064008637. Will I continue to receive my ACH deposits and direct deposits? Yes. The Magna routing number will continue to work for a period of time. However, it is recommended that you update any electronic transactions (direct deposit, automatic bill payments, etc.) with the new routing number shortly after Nov. 16. 12

Will ACH debits and drafts continue to post to my account? Yes. Any automatic debits tied to your account will continue to occur. However, if you establish a new draft after Nov. 16, please use the new routing number. Any drafts tied to your debit card number will need to be updated (see below). May I continue to use my Magna Bank checks? You can continue to use your current supply. If you use a third-partycheck vendor, please update your routing number when you place a new order. Will my automatic transfers between accounts remain the same? Yes. Will my statement cycle date change? No. However, during the transition, you will receive two statements. One will show your transactions and balances the last day as Magna Bank and the second will show the remainder of the cycle as Pinnacle including your interest paid, if applicable. Will I continue to receive an estatement on my account? If you are currently signed up to receive an estatement, we will continue sending you one through Pinnacle s online banking. If my savings account is automatically linked to my checking account to prevent it from overdrawing, will this feature remain in place? Yes. In addition, Pinnacle provides overdraft transfers between accounts at no charge to you. How will transactions post to my checking account? Your transactions may not be processed in the order in which they occurred. In the normal course of business, deposits are posted to your account first. Payments against your account are processed by category in the following order: rejected items from previous day, teller cashed items at Pinnacle offices, ATM withdrawals, debit card transactions, in-person withdrawals, checks and Automated Clearing House (ACH) items. Items within each category will be paid smallest to largest, with the exception of checks, which are paid in sequential check number order. We reserve the right to change the order of payment without notice to you if we suspect fraud or possible illegal activity affecting your account. Deposits and payments not made on a business day, or made after our offices are closed on a business day, will be processed the next business day as if they occurred that next business day. They will be processed collectively with all other deposits and payments to be processed that next business day in the order set out in the previous paragraph. 13

Frequently Asked Questions Will my interest rate on my checking and savings account change? Not at this time. We are converting all accounts at their current rate. If I have accounts at both Magna Bank and Pinnacle, will they be insured separately by the FDIC? If you have accounts with both Magna and Pinnacle, or Magna and Chattanooga-based CapitalMark Bank & Trust, your current deposits will continue to be insured separately until March 2016. This grace period gives you time to restructure your accounts, if necessary. CDs are separately insured until the earliest maturity date after March 1, 2016. CDs that mature before March and are renewed for the same term and dollar amount are insured separately until the first maturity date after the grace period. If a CD matures during the grace period and is renewed on any other term, it will be separately insured only until the end of the grace period. Debit Cards and ATMs Will my debit card PIN change? Yes. You will receive instructions on how to set a new PIN number along with your card. Are there daily limits on my debit card? For the protection of your account, you have a daily limit of $2,500 at the point of sale and $500 at an ATM. There may be times when you need to make a purchase higher than the standard limits. If so, just call our Client Service Center at (800) 264-3613. May I access all of my accounts through my debit card? You can access a primary checking account and a savings account using your debit card. Will I have to pay ATM fees if I use a non-pinnacle ATM? No. In fact, while we prefer you use a Pinnacle ATM when you can, we will refund the fee the other bank charges you for using their ATM. What should I do if my debit card is lost or stolen? Please contact our Client Service Center at (800) 264-3613 or call your local office immediately to report your card lost or stolen. You can get a new card printed in any Pinnacle office. Will I be able to make deposits at ATMs? Effective Oct. 30, 2015, we will no longer accept deposits at the ATM. For your convenience, Pinnacle offers mobile check deposit through our mobile apps and night depository services at numerous office locations. What should I do if I have automatic payments linked to my debit card? You will need to update the card information tied to the payment once you activate your Pinnacle debit card. Where can I find the Guide to Benefits? You can find the MasterCard Guide to Benefits on our website at www.pnfp.com/mastercard. Does Pinnacle offer Apple Pay? Pinnacle s consumer credit and debit cards are both available for use with Apple Pay. Does Pinnacle offer debit card rewards? Pinnacle does not offer a debit rewards program. As of Friday, Nov. 13, you will stop earning new points. You will have until Dec. 31, 2015, to cash in any rewards points you have accumulated. Please visit www.pnfp.com/debitrewards for more information. Online Banking and Bill Payment How do I log in to Pinnacle s online banking? Online banking clients will automatically be enrolled in Pinnacle s online banking system with your current username. You will receive a temporary password in the mail prior to Nov. 16. Simply visit www.pnfp.com to enter your username and temporary password on the homepage and click Log In. You will then be prompted to confirm your email address, create a new password and security questions and acknowledge the online banking agreement. What if I don t remember my username or can t find my temporary password? Please call our Client Service Center at (800) 264-3613. Will my recurring transfers continue to occur? Yes. Can I transfer from one account to many in Pinnacle s online banking? We are currently developing this feature and hope to have it available shortly after you begin using our online banking system. 15

Frequently Asked Questions Can I continue to make external transfers to non-pinnacle accounts? Yes. However, Pinnacle has a transaction limit of $500 per transfer. When I log into online banking on Nov. 16, will I see my recent transaction history? When you log in to Pinnacle s online banking, you will see 60 days of transaction history. I currently use Online Bill Payment. Will my payees transfer to Pinnacle? For your convenience, your payee names, account numbers and addresses will be converted. However, you will need to re-establish any previously scheduled payments in the new online banking product. How will my Online Bill Payments be processed during the transition? Any bill payments scheduled to occur after Nov. 13 will not be paid and will need to be re-established in Pinnacle s online banking. I currently use estatements. Will my prior statements be available? No. We recommend you download your statements prior to Nov. 13. You will build 24 months of statements in Pinnacle s online banking going forward. If I use Quicken or QuickBooks will my current information still be available after the transition? In order to retain your current information, you will need to download it before Friday, Nov. 13 at 5 p.m. You will need to deactivate your Magna account in the Quicken software. On Monday, Nov. 16, you will need to set up your Pinnacle account in the software. Instructions can be found at www.pnfp.com/intuit. Will my alerts in online banking convert? No. We offer similar alerts (balance alerts, spending alerts, etc.) that you can set up under the User Services tab. There are some differences. For example, Pinnacle does not offer alerts on your debit card within online banking. Clients who currently use debit alerts should see our CardValet app at www.pnfp.com/cardvalet. I use People Pay. Will it continue to be available? Pinnacle uses a similar service called PopMoney that can be found under the Payments tab of online banking. We will not be able to access your People Pay history or payees. 16

Mobile Banking I currently use Magna Bank s personal mobile app. Will I need to download Pinnacle s app after the transition? Yes. For instructions on how to download our Android, iphone or ipad apps, please visit www.pnfp.com/enroll. Does Pinnacle offer a business mobile app? Yes. For instructions on how to download our Android, iphone or ipad apps, please visit www.pnfp.com/biz-enroll. Will I still have access to a mobile optimized site? Yes. Please visit www.pnfp.com/enroll for instructions. I currently use Magna Bank text message banking. Will I need to sign up again? Yes. Please visit www.pnfp.com/enroll for instructions. I currently use mobile deposit. Will I still have access? Yes. We will activate mobile deposit so that once you download our app, you will have access. Business Banking Can ACH origination files, federal tax payments or state tax payments have an effective date past Nov. 13? Yes. We will convert any scheduled transactions. If I currently use cash management services (lockbox, remote deposit capture, ACH, positive pay), when will I receive information? We will be working with treasury management clients directly to ensure you are ready for the transition over the next several weeks. Frequently Asked Questions For Certificates of Deposit (CDs) and Individual Retirement Accounts (IRAs) Will my CD and IRA continue to earn the same interest rate until the maturity date? Yes. Pinnacle will honor all rates and terms for existing CD/IRA accounts. What about my rate bump or triple option feature on my CD? We will honor any special terms on your CD until renewal. How do I renew my CD or IRA? Fourteen days prior to your maturity date, you will get a notice. If you do nothing, it will automatically renew for the same term and currently available rate. If you would like to make changes, simply call or come into an office. Will I receive a renewal notice on my CD? Yes. You will receive a renewal notice 14 days prior to maturity. Will I receive a statement on my IRA? Yes. You will receive an IRA annual statement every January and a renewal notice 14 days prior to maturity. Does Pinnacle offer an IRA Money Market? No. We will convert Magna s IRA Money Market accounts to an IRA CD but allow clients access to their funds. 18

Loans Will the terms of my Magna Bank loan change? No. Pinnacle will honor all rates, terms and conditions on existing loans. Will my loan account number change? Yes. Your loan account numbers will change. You will see your new number on your first billing statement. Should I continue to use my Magna Bank HELOC or line of credit checks? No. You will receive checks with your new account number. Please destroy your Magna checks. If I have a home mortgage with Magna, should I continue to use my coupon book? Yes. Nothing is changing for you. You can continue to make payments as you always have. If I receive a monthly loan statement, how do I make loan payments? If your payment is automatically drafted from your account there is no change for you your payments will continue to occur. There are several options for loan payments, and you can choose whatever method works best for you. Online payments If you have a Pinnacle deposit account, you can pay your loan through our online banking system. If not, we have a system to make one-time payments.
