S.p.A. has always been a private company, with an inter-regional scope, specializing in the production and direct sale - also through the operating unit Centro Latte Rapallo - Latte Tigullio, subsidiary Centrale del Latte di Vicenza S.p.A. - of which the Group holds a 40% stake - of dairy products, such as fresh milk, long-life (UHT) milk, yogurt, and fermented milk with probiotic ferments. In addition to its core-business, the Company has recently developed other businesses of interest with a high potential in other sectors, like the fresh salad range which it produces and sells directly. A wide range of fresh products Owing to its strong dynamic nature and propensity for diversification, Centrale del Latte di Torino & C. S.p.A. through carefully selected sub-suppliers is producing and selling, under its own brands, other packed products, all of them belonging to the fresh produce segment, such as eggs, cheeses, pasta, and desserts. S.p.A. stands out for its strong local roots, since almost all its sales are made in the regions of Piedmont, Liguria, and Veneto, where it is the market leader for fresh and long-life (UHT) milk. Production is carried out in four production units equipped with leading-edge technology for product processing, packaging, and storage. They are located in Turin, Rapallo (GE), Vicenza and Casteggio (PV).

2 Figures as of Dec. 31, 2012 With a total of approximately 260 employees and yearly production and sales of approximately 165 million liters of milk, as of 31st December 2012, Centrale Latte di Torino & C. S.p.A. posted consolidated net sales amounting to Euro 103.2 million, EBITDA of Euro 6.6 million, EBIT of Euro 418 thousand and a loss of Euro 1 million. CENTRALE DEL LATTE DI TORINO & C. 3 Widespread distribution network Growth and development The Group distributes its products through a widespread network of over 170 reefer vans, which every day supply about 1,600 points-of-sales of retail chains and over 6,000 retailers. After 60 years of business and uninterrupted success, faced by a very mature market situation, Centrale del Latte di Torino & C. S.p.A. has carried out development policies aimed at both internal growth - through an ever expanding product range, ongoing upgrading of production plants, and the strengthening of its market position and penetration - as well as external growth, through acquisitions. Listing STAR In order to provide the required financial support to its growth and development process, in November 2000, the Company decided to go public and list on the Telematic Market of the Italian Stock Exchange (Mercato Telematico della Borsa Italiana S.p.A.). On the 2nd April 2001, Centrale del Latte di Torino & C. S.p.A. was approved for listing on the STAR segment of Borsa Italiana S.p.A.

Distribution, Products, and Brands Not only milk: eggs, cheeses, salads, pasta, and vegetables Genoese Pesto Fresh milk leader In the past few years, the business of Centrale del Latte di Torino & C. S.p.A. - historically focused on fresh and long-life (UHT) milk - has been strongly diversified with regard to the fresh/extra-fresh produce segment. By the end of 2003, Centrale del Latte di Torino & C. S.p.A. extended its product offering with the production and sale of fresh vegetables - e.g. spinaches, chards, salads, etc. - as well as fresh-made pasta with a particular focus on typical regional products. In July 2005, the Group, through Centro Latte Rapallo, entered the market of Fresh ready-made pasta sauces by launching Pesto Genovese. With fresh milk sales accounting for 44% (2012) of its total sales, Centrale del Latte di Torino is the market leader in Piedmont and Valle d Aosta, with a market share of 28.9% in the fresh milk sector; it is second in Liguria with a share of 19% and second in the province of Vicenza, with a share of 25.2%*. Also on a domestic level, Centrale del Latte di Torino & C. S.p.A. ranks among the market leaders, after the two main sector players. Milk Brands Centrale del Latte di Torino & C. produces a wide range of different products in the milk market sold under different brands, depending on the reference market: Tapporosso, Tigullio, Alta Quota Frascheri and Centrale del Latte di Vicenza for fresh milk; Piemonte, Tigullio, Latte Vicenza and Alta Quota for long-life (UHT) milk. *Source: IRI I (Iper + Super)

5 Fresh milk is produced in various product types, namely Alta Qualità (high quality), full cream, semi-skimmed milk, and skim milk; long-life (UHT) milk is available in full cream milk, semi skimmed milk, semi-skimmed low lactose Highly digestable milk, and skim milk versions; high pasteurization temperature (ESL) milk is available in semi-skimmed low lactose Highly digestable and organic whole milk. More than 70 products Flora Plus In addition to milk, Centrale del Latte di Torino & C. S.p.A. produces and sells 70 different products, including yogurt, cheeses, fresh-made pasta, eggs, salads, desserts and vegetables. A few years ago (in 2005), to the benefit of the cool chain, Centrale del Latte di Torino & C. S.p.A. entered the fermented milk sector with the Flora Plus label products. Produced in the Vicenza factory, Flora Plus is also sold in the Piemonte and Liguria regions. In 2007-2008, Centrale del Latte di Torino & C. S.p.A. invested major resources to innovate its core business product lines, thus stressing its original market focus. These investments were mostly made on packaging, to better meet consumer demand (Elopak Diamond curve packaging for fresh milk in 1000 ml carton boxes, reclosable metal cap for 750 ml glass bottles, Square TetraPak for UHT milk in 1000 ml carton boxes). They are all quite strategic today in order to cope with significant market changes.

6 Extended Shelf Life milk Interregional distribution In February 2009, the Turin plant Highly Digestable low lactose content milk line - where until then UHT milk has almost exclusively been rolled out for all Group companies - introduced a new line for the production of a new product with features that are much closer to fresh milk: e.g. ESL (Extended Shelf Life) Highly Digestable high pasturization temperature milk. In September 2011 the ESL milk line was extended to include full cream and semi-skimmed versions. All of these products are sold in a blue barrier PET bottle and must be kept in the fridge. Present with our own plants in Piedmont, Liguria,Veneto, and Lombardy, our distribution network is mostly concentrated in these geographic areas. In Piedmont, our products are delivered every day to approximately 4.250 points-of-sale of retail chains and to traditional shops with a network of about 100 reefer vans. Products are distributed directly in the city and province of Turin, in the province of Biella and also in the province of Vercelli, while for the provinces of Asti and Cuneo and for the Pinerolo area, distribution is outsourced to external distributors. As to Liguria, distribution in the province of Genoa and La Spezia to retail chains as well as to traditional shops, is appointed to a direct network of around 45 self-employed distributors with over 55 reefer vans, who deliver the products every day to more than 2000 client outlets. In Veneto, distribution is mostly concentrated in Vicenza and its province, and in the neighboring provinces of Padua and Verona. These areas are served on a daily basis through a direct network with 25 reefer vans, which, every day, deliver our products to one thousand points-of-sale of retail chains and associated distribution, traditional shops, as well as to some local catering businesses, municipalities, and hospitals. CLT is top in Italky in the launch of the 1.5 l size Centrale del Latte di Torino & C. S.p.A. was the first in Italy in October 2009, (initially in Piedmont, with the Tapporosso brand, a few months later in Liguria with the Latte Tigullio brand and finally, from May 2011, also in Veneto with the Centrale del Latte di Vicenza brand) to launch a new 1.5 litre fresh milk pack, for both high quality and semi-skimmed milk. This initiative confirms the company s focus on product innovation through the launching of new products that better meet the changing needs of modern households. The new 1.5 litre pack is indeed positioned as a "service" product for numerous families or for those that drink a lot of fresh milk.

7 With a view, once again, to guaranteeing an innovative product offer, in 2013 Centrale del Latte di Torino & C. S.p.A. Group entered the organic food sector, a continually expanding, highadded-value segment, with full-fat BIO ESL milk, sold in 1 litre bottles. In addition, with the aim of gaining a foothold in new niche markets in the segment of specific ethnic products, in the early months of 2013 Centrale del Latte di Torino & C. S.p.A. Group launched traditional Arab-style fermented milk. In keeping with its strategy of attention towards markets other than milk, Centrale del Latte di Torino & C. has introduced a soya drink, in order to respond to the needs of consumers with an intolerance to cow s milk or an allergy to milk proteins, as well as vegetarians and vegans. This soya drink benefits from CLT s technological knowledge in the field of UHT products, and contains 100% Italian soya, as well as 20% calcium and vitamins beneficial toi the nervous system (B2) and the immune system (D2), and to reduce tiredness (B12). Another new product launched by CLT is the Defilé yoghurt, a range of fruit yogurts that are 30% lower in sugar than the average of top-selling yogurts. Defilé maintains all the creamy texture of the traditional range, with the genuine flavour of the fruit enhanced by the lower sugar content. For the professional channel, Centrale del Latte di Torino & C. S.p.A. has introduced special 5 litre and 10 litre packs of cream and UHT milk, with innovative packaging: a stand-up aluminium-coated pack with a handle and top to keep the product fresh once opened.

8 CENTRALE DEL LATTE DI TORINO & C. Economic-financial Results Centrale del Latte di Torino & C. S.p.A. has been working for about 60 years in the production of milk and dairy products, and fresh produce in Piedmont, Liguria, Valle d Aosta, and Veneto, enjoying a leading position in these regions in the sale of fresh and long-life milk. Consolidated net sales Net financial position Investments in 2 new plants At the end of 2012, the Group recorded net consolidated revenue of Euro 103.2 million, with Ebitda standing at Euro 6.6 million and a net loss of Euro 1 million. At the end of 2012, The Group s net financial position was negative to the tune of Euro 25.3 million. In line with the industrial plan, Centrale del Latte di Torino & C. S.p.A. created two new production plants, one located in Vicenza andhe other in Casteggio (PV), aimed at increasing our core-business of milk and dairy products, as well as production in the new sectors of packaged fresh vegetables.

9 Vicenza On 21st June 2008, the new plant in Vicenza was opened, where the activities previously carried out in the sites of Vicenza (old site) and Valdagno, and Carmagnola have been pooled. The new plant, for which the Centrale del Latte di Torino & C. S.p.A. Group has invested around Euro 30 million, has an annual production capacity of approximately 52 million liters, with possibility for expansion. The most advanced production site in Italy The new production site, judged as the most advanced and high-technology industrial facility in the dairy industry in Italy, is equipped with cutting edge technology for the processing and packaging of milk and dairy products. It features 10 production lines, highly innovative analysis and control systems, and an efficient supply chain management system. Salads & Fruits Salads & Fruits Division of CLT S.p.A With the aim of strengthening its offer in the new fresh and extra-fresh produce market segments, in 2005 Centrale del Latte di Torino & C. S.p.A. acquired a 25% stake in Salads & Fruits - a company with head offices and plant based in Casteggio (PV) producing salads and ready-to-eat vegetables and fresh packaged fruits. In the years since then, Centrale del Latte di Torino & C. S.pA., with a capital increase and the progressive acquisition of the other minority equity interests, has obtained 100% control of this company. With a view to streamlining the group s organization and management, Salads & Fruits has been recently merged with Centrale del Latte di Torino & C. S.p.A. Today, the modern production plant in Casteggio, which was completed in 2007 with a Euro 5 million investment, is producing over 60 different varieties of salads and ready-to-cook vegetables for all the Group s companies as well as for private labels. Salads & Fruits can now deliver packaged produce to the various customers and outlet markets with a lead time of only 24 hours from receipt of raw materials.

Main Evolution Stages Founded in 1950 1964: Long-life milk enters the market The company s industrial activities began in April 1950, when a group of private industry operators (still shareholders today) and the Municipality of Turin set up Centrale del Latte di Torino (Central Dairy), with a view to complying with the requirements for a quality milk supply in terms of hygiene, rationalizing production, and meeting the local population s demand for milk. In the mid '60s, some production changes were taking place in this industry, with the introduction of long-life (UHT) milk. For this product in particular, the Central Dairy of Turin was among the first in Italy to adopt the new Tetrapack pack, thus replacing the classic milk glass bottle. Up until 1974, under an agreement with the Municipality, the company continued to operate in the city area under monopoly. With the subsequent market liberalization, it then extended its influence also to the Province of Turin, as well as to other provinces, such as Vercelli, Cuneo, Asti, Alessandria, Biella, and Aosta. 1980: Demerger of industrial activities In 1980, to improve its business performance, it demerged its industrial and sale business from the financial one, by establishing Centrale del Latte di Torino Gestione Industriale S.p.A. (today s Centrale del Latte di Torino & C. S.p.A.), and at the same time adding new products to milk, such as yogurt, cream, and soft white cheeses. In the following years until today, major economic investments were made in plant and equipment upgrading and revamping, breeding selection, as well as in product range control and development. 1991: Acquisition of 20% stake in Centro Latte Rapallo A new fresh milk production cluster: CLT & C. In line with its growth and differentiation policies on a local level, in 1991 Centrale acquired a 20% stake in Centro Latte Rapallo S.p.A., a milk and dairy company based in the Province of Genoa, producing and selling milk and dairy products in Genoa and in the eastern Riviera. In April 1999, a strategic decision was made to become a major player in milk, dairy and fresh produce, by pursuing both internal and external growth: Centrale del Latte di Torino & C. was thus established, through partially free and partially paid-in capital increase, and cross- shareholding integration with Centro Latte Rapallo, through the acquisition of the remaining 79.98 % shares and with new shareholders. In July of the same year, the Meeting of Shareholders approved the company s listing on the Italian Stock Exchange.

11 2000: Going public 2001: Acquisition of 40% stake in Frascheri S.p.A On the 3rd November 2000, Centrale del Latte di Torino was listed on the Telematic Market of Borsa Italiana S.p.A and on 2nd April 2001 it was approved for listing on the STAR segment of the Italian Stock Exchange. In December of the same year, Centrale del Latte di Torino & C. bought 40% shares in Frascheri S.p.A., a company producing and selling milk and dairy products with a plant based in Bardineto, in the Province of Savona. The operation involved the sale of part of the Frascheri family s equity investment, and at the same time, an increase in share capital reserved for Centrale del Latte di Torino & C. S.p.A. and aimed at important investments to be made for the reorganisation of corporate logistics. 2002: Acquisition of Centrale del Latte di Vicenza In April 2002, the acquisition syndicate led by Centrale del Latte di Torino & C. S.p.A., Centrale del Latte di Brescia S.p.A., and Granarolo S.p.A., bought the local dairy central from the Municipality of Vicenza. The operation - amounting to Euro 23.75 million - was conducted with the setting up of a newco - CLAV Industria S.p.A. - owned by Granarolo S.p.A. (with an 18% stake) and CLAV Finanziaria (82%), equally owned by Centrale del Latte di Torino and Centrale del Latte di Brescia. 82% stake in Centrale del Latte di Vicenza In June 2002, Centrale del Latte di Torino acquired from Centrale del Latte di Brescia a 50% stake in CLAV Finanziaria S.p.A.. With this operation, Centrale del Latte di Torino strengthened its presence in Centrale del Latte di Vicenza, acquiring the majority stake (82%) in CLAV Industria, while Granarolo maintained its original 18% stake. Following oher capital increases, by the end of 2008, Centrale del Latte di Torino s shareholding in Centrale del Latte di Vicenza amounted to 91.73%, while Granarolo S.p.A. remained a minority shareholder. 2007: Majority stake and new plant of Salads & Fruits In July 2007, Centrale del Latte di Torino raised its stake in Salads & Fruits S.r.l from 25% to 83.7%., with a view to strengthening its position in a market with increasing importance for the Group. Also, during the same period, the construction of the new plant of Salads & Fruits in Casteggio (PV) was completed, and production of fresh ready-to-eat salads began.

12 2008 In June 2008, CLT Group opened the new plant of Centrale del Latte di Vicenza, so far the most modern one in the milk-dairy industry in Italy. In July 2008, following another capital increase, CLT increased its stake in Salads & Fruits from 83.7% to 94.92%. In December 2008, CLT acquired a 100% stake in Salads & Fruits. 2009 2010: full control of CLV 2013 In July 2009, the Subsidiary Salads & Fruits was merged with Centrale del Latte di Torino &C. S.p.A., thus becoming a Division of the Holding company. In June 2010, CLT acquired full control of Centrale del Latte di Vicenza, through the acquisition of a 8.2% minority stake previously held by Granarolo. Starting from 1 April 2013, the merger by incorporation of Centro Latte Rapallo S.p.A. into Centrale del Latte di Torino & C. S.p.A. became effective. The financial reasons for the operation are linked to a plan to streamline organisation, with the twin aim of allowing the Parent Company to directly carry out the activities conducted by Centro Latte Rapallo S.p.A., and of increasing efficiency and cutting decision-making and operating costs thanks to a leaner Group structure.

13 In November 2013, Centrale del Latte di Torino & C. S.p.A. sold its 40% equity investment in Frascheri S.p.A.. Centrale del Latte di Torino acquired the equity investment in 2001, and after 10 years of collaboration, the companies have made a joint decision to carry out this operation in order to allow both to grasp new opportunities for growth.
