13 SMART Notebook End User Licencing Agreement Notebook Customers installing Notebook 2014, will sign up to a new EULA - Enables four installations from each license key - Four installations can only be split between one classroom or home use as required - If more installations are required, further licenses can be purchased. Installation of NB 11.4 (or previous versions ) - Install and use Notebook on a reasonable number of computing devices as per current terms and conditions. This would apply to installs of NB11.4 (or previous versions) pre / post April 2014 and includes home use too

16 SMART Notebook Site License Sales & Information In order to qualify as a Site, customers must meet the following criteria: - The entire school / district must be using SMART Notebook software on 100% of all teaching classrooms using interactive display (SMART or Non SMART) or non-interactive display hardware. - If the school has less than 100% penetration, customers can purchase SMART Notebook Classroom licences to reach the 100% required level. - Once achieving Site compatibility, customers become eligible to purchase Notebook Advantage Site licences (explained later) which convert school to a formal Site which provides additional benefits: - Including unlimited installations Perfect for scenarios where multiple installs are required (above 4 limit) including home usage. Key questions: How many classrooms require a license to reach 100% penetration / How many installations required (i.e. if need significantly above 4 per licence)?

23 SMART Notebook Advantage Classroom Key Points / Sales Model Commences in April Customers will have to be eligible or purchase a subscription as required. Eligible Users - Customer is eligible for SMART Notebook Advantage Classroom if they have: - Purchased SMART interactive display hardware within last 1 year period (i.e. April April ) - Purchased a SMART Notebook Collaborative License (and potentially Advantage) and subscription period hasn t expired. Purchasing SMART Notebook Advantage Classroom As follows: - 34 SRP for 1 year - 96 SRP for 4 years - 62 SRP for 2 years SRP for 5 years - 75 SRP for 3 years

24 SMART Notebook Advantage Site Key Points / Sales Model Commences in April Customers have to be eligible to purchase an Advantage Site license subscription. Eligible Users - Customer are only eligible to purchase for SMART Notebook Advantage Site if they: - Are using SMART Notebook Collaborative Learning software in 100% of classrooms where interactive display products are installed (SMART or third party) - Purchase additional Notebook classroom licences to reach site penetration (100%) level if required. Purchasing SMART Notebook Advantage Site As follows: - 16 SRP for 1 year - 28 SRP for 2 years - 36 SRP for 3 years - 44 SRP for 4 years - 45 SRP for 5 years Note: A site licence is only available for the total number of classrooms in an educational establishment containing interactive or non-interactive display hardware products

25 SMART Notebook Advantage How to purchase? Available to purchase as follows: - When purchasing a SMART Notebook Classroom License (two license keys provided: NB Classroom License and Advantage license) - Retrospectively up to 3 years after Advantage period expires on SMART Notebook Collaborative Learning Software - It must be stated whether you require an initial or extended Advantage license (explained on next page) - Advantage period commences when previous period ends. - After 3 years you have to purchase a new SMART Notebook Classroom license if wish to purchase Advantage beyond this time

Please state if you require an initial or extended - Advantage Classroom or Advantage Site license Initial: Customers whom purchased SMART Interactive display hardware before April (Note: They never required any form of Advantage period for their Notebook software) Extended: People to have already received an Advantage period and now wish to extend further Scenario s - Customers whom purchased SMART Interactive display hardware on or after April (They received 1 year s Advantage free) - Customers whom purchased a SMART Notebook Collaborative or Classroom License (This came with an Advantage period already)
