2 SPEAKER & EXHIBITOR AGREEMENT This agreement is made and entered into by and between SAREIA, LLC, hereinafter referred to as TEXAS EXPO and, hereinafter referred to as SPONSOR. INTRODUCTION Event: TEXAS REAL ESTATE INVESTORS EXPO Description of Event: Real Estate Investors Education Location: Omni Hotel at the Colonnade, San Antonio, Texas Date(s) and Time(s): Saturday, May 31, 2014, 8:00 am 6:00 pm 1. Said SPONSOR Company agrees to abide by the rules and regulations put forth by TEXAS EXPO below. 2. Exhibitor Booth set up: All Exhibitor spaces set up on Friday, May 30, 2014, starting at 3:00 pm (CST) and no later than 7:00 pm (CST). There will be NO SATURDAY MORNING SETUP allowed. If an exhibitor booth is not set up by the stated time, booth space will be forfeited and no refund will be given. 3. All Exhibitors, Sponsors and Speakers MUST attend a short MANDATORY orientation on Friday, May 30, 2014, 7:00 pm, Omni Hotel. Failure to attend this orientation will cause your Sponsorship and/or Exhibitor space to be revoked with no refunds issued. 4 TEXAS EXPO EXHIBITOR POLICIES & PROCEDURES SAREIA, LLC (hereafter TEXAS EXPO ) ASSIGNMENT OF SPACE: Assignment of other booth space will be on a first-paid, firstassigned basis, with priority given to Sponsors. Every effort will be made to accommodate requests for booth assignments (near or away from other companies) if the request is submitted when registering for the Expo. TEXAS EXPO reserves the right to make such changes to the floor plan of exhibit space as may be necessary in its discretion. Any consideration of special requests for placement must be made with the registration application. Requests submitted after registrations may not be accommodated. EXHIBIT FEES AND PAYMENT: Agreements will NOT be processed nor space assigned without the required signature and payment. All agreements must be accompanied by full payment, either via credit card authorization form or wire; instructions to follow. Receipt of payment does not obligate TEXAS EXPO to accept a contract as binding. EXHIBITS: Silver Exhibitors space at the Expo will be comprised of 6 vendor tables or as designated in advertising. All booths will include (1) 6 skirted table, and two (2) side chairs. Limit pop-up banners to 1, and 6 table covers. EXHIBITOR INSTALLATION AND DISMANTLING: Event Venue: Omni Hotel Colonnade 9821 Colonnade Blvd San Antonio, TX Booth Setup time: Friday, May 30, 2014, 3:00 pm - 7:00pm The Exhibitor will forfeit space not occupied with finished space by the close of the exhibitor installation period. This space may be reassigned or otherwise used by the Expo Manager with no credit or refund to the missing Exhibitor. Exhibitor Dis-mantle: Saturday, May, 31, 2014, 6:00 pm 9:00 pm. Dis-mantling of exhibit booths MAY NOT begin before the end of the Expo is finished at 6 pm, and all exhibits must be completely cleared by the close of the dis-mantle period. Exhibitors who do not abide by this policy are subject to cost of disassembly, packing and storage plus administrative fee. Violation of this provision will disqualify Exhibitor from returning to TEXAS EXPO. Exact times are subject to change upon written notice by TEXAS EXPO. USE OF SPACE: Any attempt to assign, share or sublet any space without written consent of TEXAS EXPO shall void Exhibitor s contract with no right of refund. All Exhibitors and displays must remain within the confines of their own exhibit space. Care must be taken that no display extends more than 8 above the floor, or obstructs the view/affects the display of other Exhibitors. Noise produced from electronics or the operation of any equipment or apparatus is not permitted. SPEAKING RULES: All speakers agree not to sell products and/or services in the breakout sessions, but can invite anyone to their exhibitor space to sell their services and products. CANCELLATION: Cancellation of exhibit booth space must be made at least 45 days prior to the event, and directed in writing to: SAREIA, LLC, 3201 Cherry Ridge St., Ste. C 300, San Antonio, Texas Refunds, less an administrative fee of $250 per booth, will be made at the discretion of TEXAS EXPO. In case of fire or any other causes beyond the control of TEXAS EXPO that prevent the show from taking place, this contract will not be binding. SHIPPING: The Decorator selected by TEXAS EXPO will provide an Exhibitor Kit to each Exhibitor. The kit will provide complete information with shipping instructions and forms for all services needed during the installation, show period, and removal of exhibit space. 5 exhibits or exhibit materials directly to the event venue, as shipments may not be accepted and could be lost entirely. Shipping instructions and fees will be included in the Exhibitor Kit. EXHIBITOR REGISTRATION: Participation in the Tradeshow for up to four (4) representatives is included with each exhibit space. FOOD & BEVERAGE POLICY: No outside food or beverage may be served from any exhibit space or anywhere in the trade show. LIABILITY: TEXAS EXPO will not be held responsible for the safety of Exhibitor s property from theft, fire, damages, accident or other causes. Exhibitor agrees to protect, save and hold TEXAS EXPO and all agents, contractors, and employees thereof (hereafter collectively called indemnities ) forever harmless for any damages or charges imposed for violations of any law or ordinance, whether occasioned by the negligence of the Exhibitor or those operating under the Exhibitor. Further, Exhibitor shall at all times protect, indemnify, save and hold harmless the indemnities against and from any and all losses, costs (including attorney s fees), damages, liability or expense arising from or out of or by reason of any accident of bodily injury or other occurrence to any person or persons, including the Exhibitor, its agents, employees and business invitees which arises from or out of or by reason of said Exhibitor s occupancy and use of the Tradeshow premises or a part thereof. SAFETY REGULATIONS: Exhibitors must adhere to all municipal and state laws, rules and regulations. No combustible decorations may be used at any time. All drapes, table coverings and other materials must comply with fire department regulations. Firearms are strictly forbidden. SECURITY: TEXAS EXPO is not responsible for any lost, damaged or stolen exhibit materials. Please take the necessary precautions each day for safeguarding your exhibit materials. TEXAS EXPO recommends removing valuable materials when not at your booth. OUTSIDE ACTIVITIES: The Exhibitor shall not foster or conduct outside activities that would take qualified attendees from official TEXAS EXPO functions and/or Tradeshow during scheduled hours. TEXAS EXPO must approve use of meeting facilities or TEXAS EXPO contracted hotels by Exhibitors or companies for sales or business meetings during TEXAS EXPO dates in advance. Hospitality suites shall not be open during TEXAS EXPO hours. Any violation by the Exhibitor of the Exhibitor Policies & Procedures herein may, in TEXAS EXPO sole determination, constitute a breach of the Agreement resulting in termination, forfeiture of any monies paid on account, and removal from the event. SHOW CANCELLATION: If TEXAS EXPO is cancelled due to circumstances beyond the control of TEXAS EXPO it shall not be held liable for any expenses incurred by the Exhibitor beyond the rental cost of the booth space. RAFFLE PRIZES: Each Exhibitor is encouraged to provide a raffle gift card with a minimum value of $100.00, for the Expo Raffle held at the final general session of the Expo to direct attention/publicity to exhibitor. SELECTION OF EXHIBITORS: Only firms and companies whose services and products are appropriately related to the purpose of THE TEXAS REAL ESTATE INVESTORS EXPO shall be permitted to exhibit. TEXAS EXPO reserves the right to decline or prohibit any exhibit which, in its sole judgment, is inappropriate; this reservation being all inclusive as to person, things, printed matter, products and conduct.
