8 Values Wind Power Suppliers: Our Procurement Policy All procurement within DONG Energy shall be conducted based on the general principles of Best Value, Competition, Fair treatment of potential suppliers, and Responsible Sourcing. Best Value Competition Professional procurement is conducted to ensure best value for DONG Energy. Value includes both price and risk considerations related to choice of technology, quality, timely supply, supply security, and commercial terms during the entire lifetime. Optimal terms and conditions are generally best achieved through competition. Competition promotes vendor efficiency and competitiveness whilst improving the effectiveness of DONG Energy expenditure. The number of suppliers needed to ensure competition will depend on the specific market situation. Fair Treatment Transparency, equal treatment, and non-discrimination in the tendering and contracting processes are the foundations of professional procurement. These foundations will secure professional supplier relations and are in the long term best interest of DONG Energy as with time they optimise the supplier base. Responsible Sourcing In its procurement activities, DONG Energy strives to act responsibly towards its employees, the local population, the environment, and the employees, the local population, the environment, and the markets in which we operate, and further strives to ensure Quality, Health, Safety, and Environment (QHSE) aspects in every step of the supply chain
9 EU Directive EU Directive for Procurement in Utility Companies Characterised as a utility company, DONG Energy is governed by the EU Directive for Procurement in Utility Companies (Directive 2004/17/EC of 31 March 2004). Specific exemptions, local legislation, and partner agreements apply to certain Business Units (BUs) and geographical locations (please refer to the Governance and Threshold overview for further information). Responsibilities While the BUs are responsible for initiating procurement action, the Procurement Disciplines* must be involved in all procurement activities in DONG Energy to ensure compliance with the above principles, as well as to realise potential synergies across the business. The requisitioning BUs are as budget owners responsible for initiating procurement, involving the Procurement Discipline at an early stage, defining the scope of work (including technical and QHSE requirements), technical evaluation of offers, and final approval of contracts. The Procurement Disciplines are responsible for performing commercial work, handling the commercial aspects of the procurement process, as well as the coordination of legal requirements (including relevant procurement directives and acceptable contractual terms and conditions), partner requirements, credit policies, insurance, etc. 9 *PROCUREMENT DISCIPLINES MEANS GROUP PROCUREMENT OR THE PROCUREMENT FUNCTIONS IN BUS/PROJECTS.
10 Selection of suppliers for competitive tendering Competition & Tendering For all major DONG Energy procurement a transparent process for selection of suppliers shall be used The various Business Units and geographical locations must observe relevant Directives, partner agreements, approved construction project strategy, and local legislation Unless lower thresholds are specified in the Directives/local legislation/partner agreements/approved construction project strategy, the following apply to all DONG Energy procurement: - Operational Purchase (up to DKK or amount otherwise agreed between the Procurement Disciplines and each BU), and Call-Offs under existing Frame Agreements are handled by appointed Operational Purchasers in the individual BUs or by Procurement Support according to the Procure2Pay Policy For procurement outside existing Framework Agreements above the operational procurement thresholds the Procurement Disciplines must be involved and should secure best value through competition or benchmarking of prices Unless other thresholds are specified in the Directives/local legislation/partner agreements/approved construction project strategy, a competitive tender shall be conducted if the total value will exceed defined DONG Energy thresholds The DONG Energy thresholds are aligned with the thresholds in the EU Directive for Procurement in Utility Companies. (For 2014 and 2015 the thresholds are DKK for procurement of goods and services, and DKK for construction works)
11 Selection of suppliers for competitive tendering Waivers of competitive tendering The possibility to waive competitive tendering is subject to the rules of applicable Directives, partner agreements, and local legislation Unless these restrict the use of waivers further, waivers of competitive bidding may be justified based on: - Operational time constraints (emergencies) - True sole sourcing (monopoly) - The long term interest of DONG Energy (e.g. in instances with substantial switching costs and transition risk) Recommendations for waivers of competitive bidding must be presented to the relevant BU authority as well as to the Procurement Discipline for approval
12 Global Qualification System Framework Achilles Databases Our databases In DONG Energy Wind Power we know that suppliers are a vital part of our success as market leader in the offshore wind business As such, we have chosen to introduce a global qualification system framework in cooperation with Achilles who operates the systems This system will make it easier do business with DONG Energy Wind Power as it enables us; - To streamline the way we engage with suppliers in different locations/projects - Improve our ability to qualify them and share that information across our Wind Power business Our aim is to reduce the cost, time and effort involved in doing business for both DONG Energy Wind Power and our suppliers Sellihca Connexio UVDB* All our global categories as well as local categories in Scandinavia Links in English and Danish All Local categories in Germany Links in English and German All categories in the United Kingdom and Ireland Links in English We currently use 3 qualification databases/systems: *Registration not required with UVDB; Taxi Services, Hotels, Cleaning Services & Catering Services

Barrow-based supplier Elevated Systems Technology (EST) Ltd has been chosen to carry out refurbishment at Barrow offshore windfarm Supplier choice originated from a search of the UVDB database The local company is installing new flooring in the offshore substation and the 30 turbines that make up the wind farm Work is currently underway and is due to be completed by the beginning of October 2015 The replacement flooring is being supplied by Firbergrate Composite Structure Lt, based in Stockton on Tees, while the vessel being used to transport both men and materials are based in Barrow-in-Furness, ensuring 100% UK content "DONG Energy is committed to investing in the UK and we always try to source materials from UK based companies whenever we can.
