4 Overview Why has Gestamp partnered with Achilles? Gestamp has partnered with Achilles to implement a streamlined, standardised, and above-all sustainable supplier pre-qualification system. The system is called the Supplier Risk Management (SRM) system. The SRM Supplier Risk Management system will enable Gestamp to create a single database of prequalified suppliers, contractors and service providers to support their risk management and sourcing activities, as well global project delivery and global operations This will serve to quality-assure suppliers against key compliance aspects in a consistent and objective way, and provide an essential means to evidence to customers of Gestamp that we operate a fully compliant supply chain. The SRM Supplier Risk Management system will be deployed across our global supply base and will form an integral part of our overall Purchasing Procedure. The on-boarding of suppliers into the SRM Supplier Risk Management system will be managed by Achilles, a recognised provider of global supply chain solutions with over 25 years experience in this field. Changes to Gestamp Purchasing Policy effective 11 th April 2016 All suppliers to Gestamp are now required to register both in the SRM Supplier Risk Management system (pre-qualification element) managed by Achilles, and in the Gestamp Supplier Portal (where all opportunities with Gestamp are managed) in order to be compliant with Gestamp Purchasing Policy. 5 The importance of complying with Gestamp Purchasing Policy Suppliers are now required to register in both the SRM Supplier Risk Management system and the Gestamp Supplier Portal in order to qualify to be included in any contract bidding process or to enter into a contractual relationship with Gestamp. Registering at the correct level based on Gestamp s pre-set registration criteria, will enable suppliers to: Remain compliant with Gestamp s procurement policy; Continue to be eligible for future contract awards; Strengthen business relationships with Gestamp group by gaining exposure to all Gestamp Divisions; Realise important efficiencies with one single point of entry for all company data relevant to the procurement process that can be accessed by buyers and other stakeholders across the Gestamp group using an efficient and secure online tool; Demonstrate critical compliance against a range of key criteria and increase chances of new contract awards; Ensure Gestamp group has the latest company information available to improve interactions with supplier organisations; For suppliers joining the Automotive Community, benefit from an excellent, low-cost business marketing tool and a gateway to new business opportunities with other members of the Automotive Community. How to complete the registration process for the SRM Supplier Risk Management system Achilles will send you instructions on how to commence the registration process via . This will come to you from system.admin@achilles.com simply follow the instructions provided. Having created login credentials to allow you access to the Achilles System, you will first be asked to complete a simple Application Form. This serves to determine which stages of the SRM Supplier Risk Management system registration process your company is required to complete. You will either have to complete Stage I or Stage II. Completion of the identified stage is a mandatory requirement. Simply follow the instructions provided, complete all the questions and upload the necessary documentation. o o Stage I: This entails the completion of a short online questionnaire that captures basic company information, including the products and services you current supply or are able to supply to Gestamp. This stage is free of charge (zero subscription fees). Stage II: You will be required to complete Stage II if your company is considered as critical in terms of the potential impact it could have on our supply chain. This collects the same information as Stage I plus detailed input related to key compliance aspects. This stage is subject to an annual membership subscription fee that is payable to Achilles due to the high level of data validation that is required. The fee is determined by the number of products and services you enter for your business /2016 Page 5 of 19

6 The Achilles system indicates which parts of the SRM Supplier Risk Management registration process suppliers are required to complete. This is shown via the display of the relevant subscriptions. Please ensure you select all the subscriptions displayed for your organisation.* If the system indicates that you are only required to do Stage I, you will be immediately directed to the Stage I questionnaire. If the system indicates that you are required to complete Stage II (registration in the Achilles Community) the following will apply: o o o As Stage II is subject to an annual membership subscription fee, the supplier will be asked to select either the pay now or pay later option. If the supplier selects pay now, they will be immediately directed to the Stage II (Community) questionnaire following receipt of payment. If the supplier selects pay later, they will be directed in the first instance to the Stage I questionnaire, and asked to complete the Stage II questionnaire following receipt of payment Complete the questionnaire(s) and submit this to Achilles for data validation Once it has passed the data validation process, it will be made available to Gestamp * All suppliers are required to select Stage I as this ensures it continues to be available in the event that a re-evaluation of your organisation (as part of the standard annual renewals process operated by Achilles) identifies you are no longer required to complete Stage II. 8 What is the Gestamp Supplier Portal? This is where all opportunities with Gestamp are managed and is the primary tool used to communicate with suppliers regarding upcoming bids; contract awards; as well as material rejections related to quality issues. How to apply for access to the Gestamp Supplier Portal Following completion of the registration process for the SRM Supplier Risk Management system, the supplier will be sent a confirmation from the Supplier Portal with details of the Company Code and User Code that will be required to access the Portal once authorisation has been given; If a supplier has already registered in the Gestamp Supplier Portal, no further action is required; If a supplier has not yet registered in the Gestamp Supplier Portal, they will be required to send the confirmation to their Gestamp contact to request access authorisation to the Supplier Portal; The Local Procurement Department will then initiate the access authorisation process with the Gestamp Vendor Department; Gestamp Vendor Department confirms supplier access to the Gestamp Supplier Portal via . This will include an access code for the supplier to set their password. Please note: if a supplier already has access to the Gestamp Supplier Portal, they are still required to complete the registration process for the SRM Supplier Risk Management system. If you already have access to the Supplier Portal, the data you entered in the SRM Supplier Risk Management system will be updated on the Portal. If your company has already completed the SRM registration process, but your authorisation to access the Gestamp Supplier Portal has not yet been approved, to check the status of your request contact suppliersarea@gestamp.com /2016 Page 8 of 19

9 About Achilles What is the Achilles Community model and how does it work? Achilles Community model is a proven supply chain management system that standardises and streamlines the way buyers and suppliers conduct business with each other. This in turn drives important efficiencies for all parties involved in the procurement process. Relevant and consistent data is gathered via an online, secure system, and carefully scrutinised via an impartial and rigorous evaluation and validation process. The data is then made available to all buying organisations within a particular Achilles Community. As a result, the buyer-supplier engagement process is a much leaner one suppliers only have to complete one pre-qualification questionnaire that can be accessed by all member buying organisations; buying organisations have one central point of entry to access all the information they need to support the decision-making process. Data is maintained at a minimum via the annual renewals process. Suppliers, however, can update their company information at any point in time. This ensures that buyers have access to real-time information at all times. The net result - the time, cost and risk associated with procurement activities is significantly reduced. What is the Achilles Automotive Community? The Achilles Automotive Community has been developed in partnership with Goodwood, a wellrecognised brand in the motoring world, and the current member buying organisations to ensure it fully meets the procurement and compliance needs of the global automotive sector. The Automotive Community enables buying organisations and suppliers to reduce risk in their supply chain through an impartial and rigorous validation of supplier data across a range of business criteria that has been identified by leading companies in the sector as critical to the automotive sourcing process. Key focus areas include Health, Safety & Environment (HSE); Material Compliance (Conflict Minerals; REACH/RoHS); Corporate Social Responsibility (CSR); legal and financial compliance. The Community is managed by Achilles on behalf of all participating buying organisations. There are currently 7 buying organisations in the Community, including Aston Martin Lagonda, Gestamp, Jaguar Land Rover, JCB, Nissan Group of Europe, Nissan US and Toyota Motor Europe. 10 Benefits of the Achilles model over the traditional model Without Achilles Narrow market overview buyers only get to see the suppliers they currently work with; they have no visibility of newly qualified suppliers or suppliers who work with other Plants, Business Units or Divisions; Suppliers are required to send the same information to multiple buyers as there is no central repository for this information results in duplication of effort and wastes time; Inefficient and time-consuming process for buyers and suppliers; Not based on current best practice for procurement. 11 Who is Achilles? Achilles is one of the world s largest service providers of global supply chain risk management solutions with more than 1,000 people working in 22 countries. Achilles works on behalf of over 860 buying organisations, from 11 industry sectors including automotive, to collect, validate and maintain essential data about more than 133,000 suppliers. This enables buying organisations to gain visibility of their suppliers capabilities and compliance before making important sourcing decisions. With an understanding of their supply chains, buying organisations can proactively identify and mitigate potential risks to protect people, planet and profit. For more information on Achilles visit What is Achilles role? It is Achilles task to support the on-boarding of its suppliers into the SRM Supplier Risk Management system. Their role is to assist suppliers with their registration from start to finish, providing support and guidance as required, and to work with them to ensure their data is maintained. Once a supplier has submitted their data, it is Achilles task as an impartial third party, to check and validate that data. Achilles will also flag up any data issues or inconsistencies directly with each supplier, and work with them to resolve these quickly and efficiently as part of the data validation process. As soon as a supplier s information has successfully passed the data validation process, it will be published by Achilles. Depending on which stage of the registration process a supplier has completed, it will be made available to Gestamp only, or to all buying organisations registered in the Automotive Community.. The Managed Service provided by Achilles to Gestamp requires Achilles Customer Support Teams to engage with suppliers on all matters related to the registration process. It is therefore of utmost importance that all suppliers work with Achilles to achieve registration and respond in a timely manner to any requests to ensure their customers requirements are met. Achilles Account Managers will be appointed to work closely with designated points of contacts within Gestamp to ensure supplier registration, and to manage and resolve any resultant escalations or supplier objections /2016 Page 11 of 19

12 Registration Requirements Current Suppliers to Gestamp In line with Gestamp purchasing policy, all existing suppliers will be required to register first in the SRM Supplier Risk Management system, prior to being given access authorisation to the Gestamp Supplier Portal, where all opportunities with Gestamp are managed. If an existing supplier has already been given authorisation access to the Gestamp Supplier Portal, they will be required to complete the registration process in the SRM Supplier Risk Management system in order to be compliant with Gestamp purchasing policy. Potential Suppliers to Gestamp Potential suppliers who have expressed an interest in pursuing business opportunities with Gestamp will be required to register in the SRM Supplier Risk Management system in the first instance. Once a supplier has registered, their information will be made available to Gestamp. If Gestamp is interested in working with the supplier, they will contact them accordingly. At this point, the supplier will be asked to register in the Gestamp Supplier Portal, where all opportunities are managed. Completing the registration process does not in any way guarantee any business with Gestamp. It also does not guarantee the supplier s inclusion in a current or future sourcing event. Furthermore, in the event that any business is awarded by Gestamp, no business activities will be initiated and/or concluded without the completion of the full registration process by the supplier in line with Gestamp s supplier acceptance criteria. Why do I need to be registered in both the SRM - Supplier Risk Management System and the Gestamp Supplier Portal? All suppliers to Gestamp are now required to register both in the SRM Supplier Risk Management system managed by Achilles, and in the Gestamp Supplier Portal (in order to be compliant with Gestamp Purchasing Policy. This is a pre-requisite for inclusion in any contract bidding process or to enter into a contractual relationship with Gestamp. Each one serves a different function: The SRM Supplier Risk Management system captures key compliance and risk information related to key business aspects, including certification, and provides a mechanism to pre-qualify a supplier. The Gestamp Supplier Portal on the other hand is where all opportunities with Gestamp are managed, including upcoming bids, contract awards and material rejections related to quality issues /2016 Page 12 of 19

13 Information gathered via the SRM Registration Process Stage I You will be required to provide basic company information, including the products and services supplied; annual gross revenue (turnover) as well as the number of employees. To view a full list of information that you will be asked to supply, refer to the relevant Checklist on the Achilles website. Stage II Stage II supports the further evaluation of your capabilities to supply. You will be required to provide all of the information captured in Stage I plus detailed input related to Health, Safety and Environment (HSE), quality, insurance, products and services, Corporate Social Responsibility (CSR), ownership, legal and financial information. This will include the uploading of relevant certification and other supporting information. To view a full list of information that you will be asked to supply, refer to the Automotive Community Registration Checklist on the Achilles website. Please refer to the Checklists in advance of completing the registration process as this will save you time and effort, and ensure you have all relevant information and documentation to hand. Timelines for completion of registration Suppliers are expected to complete the end-to-end registration process within 60 working days following receipt of the from Achilles with instructions on how to commence the registration process. Please note: current contract awards or any bidding process you are currently involved in will not be affected. Consequence of not registering Any supplier that fails to complete the registration process will be considered non-compliant with Gestamp s procurement policy and strategy. Gestamp Buyers have been instructed not to place Purchase Orders or award contracts to non-compliant suppliers, so any supplier not registering may miss out on future business opportunities. Furthermore, suppliers who do not meet the full registration requirements in line with Gestamp s supplier acceptance criteria, will not have their company information made available to all Divisions across Gestamp, and may, as a result, miss out on new opportunities with Gestamp /2016 Page 13 of 19

14 I have always worked with Gestamp; why do I now need to register with Achilles? It is Gestamp s intention, over time, to only work with suppliers who are registered on the SRM Supplier Risk Management system. We are increasingly under pressure from our direct customers to evidence the compliance of our supply chain against key criteria. Making sure we can protect ourselves from any potential risks within our production supply chain is essential to ensure a continued business relationship with our customers; it also serves to protect the sustainability of our business, and those of our suppliers. The new SRM - Supplier Risk Management system will help us to deliver against these requirements; and enhance your company s visibility to all Business Units across Gestamp, and thereby increase your chances of new opportunities with Gestamp. Furthermore, to support key regulatory targets, Gestamp has a requirement to capture accurate data about our supply base, particularly relating to aspects affecting the global automotive industry such as Conflict Minerals and Corporate Social Responsibility. The new system will enable us to fulfil this requirement. By using an independent, impartial third party to gather, validate and maintain critical supplier information, this will significantly reduce the current administrative burden; suppliers will only have to provide this information once into a central database that can be accessed by all of Gestamp s Business Units, Plants, Divisions and Corporate. Finally, any supplier who does not complete the registration process will be considered non-compliant with Gestamp s procurement policy and strategy. Gestamp Buyers have been instructed not to place Purchase Orders or award contracts to non-compliant suppliers. Any supplier that fails to register may, as a result, miss out on new opportunities with Gestamp. Do I still need to register even if I don t have a current contract with Gestamp? All suppliers who have a current contract with Gestamp will receive an invitation to register in the SRM Supplier Risk Management system. If you do not hold a current contract, registration is a voluntary decision. (See Registering as a Potential Supplier ) Do I need to register in the Gestamp Supplier Portal if I complete the SRM registration process? No, you will not have to register again as all the information you provide as part of the SRM Supplier Risk Management system will automatically be transferred to the Gestamp Supplier Portal /2016 Page 14 of 19

15 Supplier Information, Data Management and Confidentiality Who has access to my information? Who has access to your information will depend on which stage of the registration process you have completed. Stage I information will be made available to Gestamp only; Stage II information will be made available to Gestamp as well as all other buying organisations registered in the Automotive Community. Please note that your information will not be visible to other suppliers; likewise, you cannot search other suppliers company records. This is to protect confidentiality. Can I update my information? Suppliers can update their information at any time during the year. See What happens if I need to make any changes to my questionnaire? As part of the service provided by Achilles, suppliers will also receive automatic reminders when critical information such as certification is due to go out of date, to ensure that they have every opportunity to keep their profile up-to-date. Also an annual renewal process ensures suppliers update their information at least once a year. Payment and Subscriptions Are there any costs associated with registration? Stage I of the SRM Supplier Risk Management system is free of charge for all suppliers existing and new. These costs are borne entirely by Gestamp. Stage II of the SRM Supplier Risk Management system is subject to an annual subscription fee that is payable directly to Achilles as this entails membership of the Achilles Automotive Community. The fee is determined by the number of products and / or services the supplier enters for their organisation. The Achilles Automotive Community is based on a shared cost model this means that it is jointly funded by member buying organisations and suppliers through the annual payment of subscription fees. The subscription fee covers the costs of data validation. It is important to note that the subscription fees remain the same regardless of how many OEMs or buying organisations are in the Community, ultimately increasing the potential ROI for all parties in the Community. Furthermore, access to the Community (Stage II) online questionnaire will only be made available once the subscription payment has been received by Achilles /2016 Page 15 of 19

Stage II of the SRM Supplier Risk Management system entails registration in the Achilles Automotive Community. Due to the fact that the registration captures extensive information across a range of key compliance aspects, such Health, Safety & Environment, Corporate Social Responsibility (CSR), legal and financial information that has to be checked and validated by Achilles, this is subject to an annual subscription fee. The amount payable is determined by the number of products and services an organisation enters for their business. Stage II brings the added advantage that the information collected here is made available to all buyers from all of the registered buying organisations, thus providing a unique marketing tool for your business, and increasing your exposure to key decision makers in the world of procurement. What does the subscription fee cover and who is it payable to? The subscription fee is payable directly to Achilles. The fee covers: Validation of your company information by an independent third party; Automatic alerts to remind you when important certification is due to expire; 24/7 access to your data; Capability to update company information quickly and easily in a secure online environment; An efficient online process to submit information to your customers; Customer Support in multiple languages; The opportunity to demonstrate your capability to supply to all member buying organisations of the Automotive Community. When is the subscription fee determined and how can I pay? Suppliers will be initially required to complete an application process to determine the level of subscription fee they are required to pay. This will be determined according to the number of products and/or services that a supplier enters /2016 Page 16 of 19

17 Once this is determined, suppliers will be asked to pay the fee. The supplier will be given the option to Pay Now or Pay Later : Pay Now option includes online payment by credit or debit card. This method of payment gives the supplier immediate access to the questionnaire Pay Later option means suppliers can pay over the phone by credit or debit card or via Electronic Bank Transfer (i.e. the electronic exchange, transfer of money from one account to another based on an invoice) based on their own terms and conditions of payment. - Only when payment has been received by Achilles, can the link to the Automotive Community questionnaire be sent to the supplier. What currency can I pay in? You can pay in Euros ( ); American Dollars (USD$); and British Pounds (GBP ). The invoice generated will automatically be calculated in the currency you have selected. How long will my Stage I subscription be valid? This is valid for a year following publication of your information. How long will my Stage II subscription be valid? Your subscription will be valid for 12 months from the moment of payment. The expiry date for your subscription will be visible once you log into the system on your Dashboard. Achilles will also send you timely reminders to ensure you remain compliant in the Automotive Community. Technical Issues and Support Why do I have to have separate Usernames and Passwords for the SRM - Supplier Risk Management system and the Gestamp Supplier Portal? Because they are different systems hosted on different technology platforms, you will need to have two sets of login credentials. The Company Code is used to identify the VAT number of your organisation and to allocate your User Code. The latter is then used to identify which members of your organisation are authorised to receive notifications of upcoming tenders and contract awards, as well as to manage any quality issues related to material rejections within the Gestamp Supplier Portal. Once you have been given access authorisation to the Supplier Portal, a URL will be sent to you so that you can set up your own password for the Portal. What languages is the SRM - Supplier Risk Management system available in? The questionnaires will be available in English, French, German and European Spanish /2016 Page 17 of 19

18 What happens if I can t login? If you re having trouble logging in you can request a new password notification by contacting Achilles via automotive@achilles.com. How many users can have login details? The main contact registered will have administration rights for other users and can control who has access to the system within your company. There is no limit to the number of users you can have. How do I attach a document? To attach a document you will need to: Save the document to your current computer Click on Browse Select the document from your system for upload Supported document formats include:.jpg.jpeg.png.rtf.pdf What is a product / service code? A product / service code describes a category of products or services provided by a supplier. Product / service codes enable buyers to search for suppliers based on their specific sourcing requirements. A copy of the Automotive Product Code Guide will be made available to you when you commence the Registration Process. It can also be downloaded from the Achilles website. How many product codes do I need to enter? Suppliers are required as a minimum to register the product codes for the products and services they currently supply to the inviting customer. If a supplier is looking to exploit the full marketing potential of the Achilles Automotive Community, and wishes to promote the full breadth of their product portfolio and potential to supply, they may register as many product codes as they wish. What happens if I have registered incorrect products and/or services? If you feel that you have not listed all the products and services that you currently supply or would like to supply to your direct customers and/or the wider community, you can go back and add new products or services. Please note: addition of new product codes may affect your subscription fee, which is determined by the number of products and/or services enter for your business. If you would like to delete any products and services, you may also do this. In the event that this reduces your subscription fee, your subscription fee will be adjusted accordingly at point of renewal. Please note that Achilles cannot make a refund on current subscription fees. What happens if I need to make any changes to my questionnaire? Once your questionnaire has been submitted to Achilles for data validation, you cannot make any changes to your questionnaire until it has been checked and published by Achilles (other than as part of the data validation process where issues have been raised directly with you) /2016 Page 18 of 19

19 Once a questionnaire has been published, you can make changes at any point in time. If you make any changes to your questionnaire(s) you will need to save your changes and re-submit your questionnaire for data validation. To make changes Log into the Achilles System. How can I update my company profile on the SRM - Supplier Risk Management system? Any questions regarding the registration process should be submitted to:gestamp@achilles.com What happens if my questionnaire is rejected during the data validation process? If any issues or inconsistencies with the information you have provided in your questionnaire(s) are flagged up during the data validation process, you will receive an from Achilles listing the issues you need to address. It is important that you address these issues as soon as possible. Please be aware that until all issues have been successfully and satisfactorily resolved, your questionnaire cannot be published and will not be accessible by the relevant parties. What happens if the information I provided goes out of date? You will be informed by Achilles via an automatic alert system if data is due to expire. We recommend that you update this information as soon as possible to ensure that your direct customers (and potential customers) have access to your most up-to-date information and latest certification. I don t have all of the information being asked for; what do I do? You can only submit the questionnaire once all fields marked as required have been completed. If the information you do not have available is not required, then you can continue with the rest of the questionnaire. If you need to source the required information from elsewhere, you can save the details that you have completed and add the missing information at a later point in time. Remember, that until your information has been fully completed, submitted and has successfully passed the data validation process, it will not be made available to the relevant parties. Can I provide any pricing information on my company s products and services? No, you cannot provide any pricing information in your registration. You may be asked to provide detailed product & services pricing information by a member buying organisation if you are asked to submit an offer for a contract.
