1 Festival Date: Saturday, May 31, 2014 WINERY AGREEMENT Location: Sheraton Midwest City Hotel at the Reed Conference Center 5800 Will Rogers Road, Midwest City, OK Contact: Melanie Voice, Phone: , Fax: , Hours of Operation: 11:00am 8:00pm Set Up Time: Saturday 8:00am 11:00am (set up must be complete by 11am) Teardown: Saturday 8:00pm Booth Specs: Individual 10 x 10 Tent (2) 6 x 30 tables draped and skirted One standard identification sign if requested Electric is available at no cost; however all needs must be communicated to the festival office by May 2. Electrical needs conveyed during set up or the day of the festival will not be accommodated. Outdoor circuits and amps vary, please express your needs Vendors must provide their own extension cords and power strips Acceptable items plugged in include: cash register, lights, fans Anything that heats (coffee pots) or cools (refrigerators) needs prior approval from festival management Winery tents will be alongside the wine and beer garden that faces the main entertainment stage. In exchange for a zero booth rental charge, the FESTIVAL will sell 10 tasting tokens including a commemorative festival wine glass for $18. The VENDOR agrees to request and accept tokens for each tasting provided. For each token redeemed at the end of the festival, the winery will receive payment of $.25. Attendees will receive a wristband signifying they have been identified and are 21 years or older.

2 A refundable deposit of $150 is due at the signing of the Agreement. This deposit is only to reserve your space and is 100% refundable after the event date. Requirements: Oklahoma Sales Tax Permit, Oklahoma County Health Department Special Event License or Temporary Permit, Alcoholic Beverage Laws Enforcement Commission License, Comprehensive General Liability Insurance including Liquor Liability, Affidavit of Exemption Oklahoma Worker s Compensation. If available, please attach required documents with submission of the agreement and deposit payment to: Midwest City Convention & Visitors Bureau Melanie Voice 5800 Will Rogers Road Midwest City, OK Licenses/Permits: Oklahoma wines, raised, harvested and fermented in the State of Oklahoma may be sold in sealed containers and tasting samples may be dispensed to those wearing the proper wrist band. You are required by law to have a valid Oklahoma Sales Tax Permit to Collect Sales and Use Tax as defined under Oklahoma Statutes, Title 68 O.S et seq. Use Tax is found under Title 68 O.S et. seq. The permit must be prominently displayed at your booth and on file with The FESTIVAL by May 2, It is The VENDOR s responsibility to read and comply with the Oklahoma City-County Health Department regulations. Information can be found at The Oklahoma City-County Health Department requires pre-payment for the temporary permit at least seven days in advance of the festival. Pre-payment can be made here Upon arrival at the festival, your booth will be inspected and you will receive your temporary permit at that time. It is The VENDOR s responsibility to submit a copy of their Alcoholic Beverage Laws Enforcement Commission License to The FESTIVAL by May 2, Insurance: The VENDOR, its affiliated companies and subsidiaries, agrees to be responsible for, and to defend, hold harmless, and indemnify the Midwest City Municipal Authority, City of Midwest City, and Aimbridge Hospitality, LP, its parent, subsidiaries, limited liability and affiliated companies and their respective shareholders, officers, directors, employees, members, agents and assigns (the Indemnified Parties ), including reasonable attorney s fees, of liability whether by reason of injury (including death) to the person or property of another or otherwise arising in connection with this Agreement. The Obligations of VENDOR hereunder shall extend to claims alleging an Indemnified Party s sole negligence, willful misconduct or violation of law unless adjudicated as such by a court of common law. The VENDOR, shall provide a copy of its Comprehensive General Liability Insurance including Liquor Liability to THE FESTIVAL by May 2, 2014.

3 It is The VENDOR s responsibility to complete the Affidavit of Exemption Oklahoma Worker s Compensation form contained within this agreement and submit it to The FESTIVAL by May 2, Power/Utilities: Electrical requirements must be communicated with THE FESTIVAL well in advance of your arrival via an order form. Vendors are required to bring any power strips or extension cords needed to accommodate their order. No water hook ups are available, but water sources are available inside the Reed Conference Center to fill your containers. Security: THE FESTIVAL will provide uniformed law enforcement officers to be on patrol during the event open hours; however, this in no way implies responsibility on the part of THE FESTIVAL for lost/stolen items. Taster Wrist Bands: Wineries will receive two complimentary taster wristbands with 20 tasting tokens/tickets and two commemorative wine glasses. No person under 21 years of age may be given a wristband. Vendors needing additional wristbands may purchase them at the event site. Product Guidelines and Miscellaneous notes No peanuts in the shell or popcorn at your tables please. No apparel or packaged food products are to be sold by wineries unless the product bears your winery s logo. If selling food products the winery must also provide an Oklahoma Health Department permit. 10 lb bags of ice will be available for purchase through the Sheraton Midwest City Hotel at the Reed Conference Center beginning at 9:00am for $3 per bag. All raffles, drawings, and giveaways need to be approved in advance. It is recommended you bring pallets/tarps to place your wine/products that will be on the ground to prevent possible damage from wetness/rain. Under no circumstances may you sub-rent your booth space to another vendor.

5 AFFIDAVIT OF EXEMPTION OKLAHOMA WORKER S COMPENSATION As the owner of the business operating as, hereinafter the Entity, in seeking a license to promote the above business at the Made in Oklahoma Wine, Beer and Food Festival, do hereby swear and affirm that this business is exempt from any requirement to carry Worker s Compensation insurance under state law by the following reasons for exemption: I am a natural person and the business is a sole Oklahoma proprietorship. I am a general or limited partner in the above Oklahoma partnership. I am a member of a registered Oklahoma Limited Liability Corporation. I am an incorporator of a corporation of the above corporation, registered in the State of Oklahoma. I do also swear and affirm that the above Entity employs no more than five employees, all of whom are related by blood or marriage, including my spouse, if any. If the affidavit is executed under false pretenses, the Sheraton Midwest City Hotel at the Reed Conference Center and Midwest City Authority reserve the right to take every legal action available under criminal or civil action as available under Oklahoma law.
