1 DFW Bridal Shows, Inc. Exhibitor Contract By signing and/or submitting electronically below, I understand and agree to all of the below statements in the DFW Bridal Shows, Inc. Exhibitor Contract. I have read and understand the entire contract. I also understand that my participation in the show is voluntary and will only be granted when my contract and payment have been received. 2 1. Exhibitor Agreements: Exhibitors agree to set up an exhibit space between the hours of 8:30 am and 11:30 am on the day of the show. All construction and setup of displays must be done before 11:30 am on show day. Failure to complete set up by the assigned time may result in fees and/or penalties. It is in the best interest of all Exhibitors to have a fully booked show floor with all spaces professionally designed and decorated for our brides and their guests. No Shows will not be tolerated and will result in the Exhibitor being excluded from future events hosted by DFW Bridal Shows, Inc. Exhibitors must check in with show management at the Registration Table located by the loading dock before setting up their booth space. All registered exhibitors will be given an Exhibitor Badge at check in and are required to wear the badge during show hours whenever they are outside of their assigned booth space. This is done to protect our Exhibitors from non registered persons or businesses promoting, soliciting, and/or distributing business cards or other promotional items to our guests. The badge will also alert fellow Exhibitors as to your position as a business person and not a potential bride. Badges are required to be returned to the Registration Table at the end of the show. Exhibitors understand that no one is permitted on the Loading Dock outside the stated hours of the event move in. When unloading, pull into the dock area when there is space available. Unload your materials onto the dock and immediately move your vehicle. Then return to the Loading Dock, pick up your materials, and proceed to your exhibit space. Exhibitors must confine their activities to their contracted space. Exhibitors will not be permitted to use strolling entertainment nor to distribute samples, souvenirs, or literature except from their own exhibit space. Exhibitors may only display products and literature which pertain specifically to the contracted exhibitor. The distribution of souvenirs, brochures, flyers, business cards, etc. must be confined to the area for which the Exhibitor has contracted. All advertising materials brought in by the Exhibitor must be in good taste and presented in a professional manner. Exhibitors understand that they will not be allowed to share booth space with another Exhibitor unless given written permission from DFW Bridal Shows, Inc. Exhibitors are responsible for any and all sales/use tax or other direct charges or fees levied, assessed or charged by the US Government, as well as any state, county, city, or other taxing entity. Exhibitor is responsible to pay all sales tax on items sold at DFW Bridal Shows, Inc. Exhibitors that are serving food or beverages are responsible for obtaining the proper permits and following the all policies set out by the local County Health Department. Exhibitors requiring the use of electrical outlets are required to provide their own extension cords and/or power strips. Exhibitors are not permitted to use amplifying equipment which is considered objectionable. No balloon popping or other objectionable noises are permitted from your contracted space. Audio/Visual systems are allowed only if they are operated at levels that do not interfere with neighboring Exhibitors.

3 Exhibitors MAY NOT break down their display area before 5:00 pm on the day of the event unless expressly given permission by DFW Bridal Shows, Inc. If the Exhibitor has used tablecloths belonging to DFW Bridal Shows, Inc., they must be folded and returned to the Registration Table at the end of the show. The Exhibitor agrees to remove its display, promotional items, equipment, trash and all properties and to return the contracted space to the same condition as move in. Failure to do so will require the exhibitor to pay any additional cost of cleanup. Exhibitor agrees that this contract is binding when signed and received by DFW Bridal Shows, Inc. via electronic transmission, fax, , or postal mail. The contract cannot be cancelled and, once signed, the Exhibitor, Company, and/or signee is fully responsible for all charges as outlined within this agreement whether Exhibitor uses the contracted space or not. All payments and fees are due and payable in full within sixty (60) days of the show date, unless given express written permission by DFW Bridal Shows, Inc. Exhibitor understands that DFW Bridal Shows, Inc. does not guarantee a specific bride turnout or minimum number of leads resulting from guest attending the show. 2. Bridal Lead List: The mailing/e mail list of future brides and grooms (the "Lead List") is for the exclusive use of the Exhibitor and/or Individual/Company and solely for the promotion of its own products and services at the show as appropriate. The Lead List will ONLY contain the information of future brides who have pre registered for the show and who have voluntarily opted in to receive any discounts, coupons, promotional literature, and/or information from the show s exhibitors. Not every guest who attends a show will agree to share their mailing and/or e mail address, and DFW Bridal Shows, Inc. is not responsible for the number of future brides who agree to be included in the Lead List. DFW Bridal Shows, Inc. will make the Lead List available to Exhibitors within five (5) business days of the date of the show. The Lead List is for the Exhibitor's own use and in the Exhibitor's own business in connection with the bridal show. Neither the Lead List nor any of its contents may be made available to, or used by, any other person or entity. The Exhibitor may not sell, give, rent, lease, lend, modify, display, share, or otherwise permit the Lead List or any of its contents to be made available, in whole or in part, to anyone outside of the Exhibitor, whether or not for consideration. The Lead List may not be used in, or in connection with, any solicitation of the goods or services of any other person or entity. THE LEAD LIST MAY NOT BE USED TO PROMOTE ANY BRIDAL OR HONEYMOON SHOW, SEMINAR, WORKSHOP, OR ANY TYPE OF EVENT THAT PROMOTES THE GATHERING OF FUTURE BRIDES AND/OR FUTURE GROOMS. The Lead List cannot be used to promote any contest/promotion/give away that is in conjunction with, and/or names any other entity or person other than the person or entity signing this contract. The Exhibitor acknowledges that once the Lead List leaves the facility of DFW Bridal Shows, Inc. the Exhibitor is in the best position to assure compliance with these restrictions and therefore agrees (and assumes all related risks) to be fully and strictly responsible for any incident or use not permitted by this paragraph, whether or not inadvertent and whether caused by the acts or omissions of the Exhibitor or others. Unauthorized use of the Lead List information or any of its contents is a direct violation of the Unfair and Deceptive Trade Practices Act. By using this Lead List or any of its contents, you hereby acknowledge the protected copyright and agree to the terms of use. The Exhibitor agrees, and each individual signing this Agreement on behalf of Exhibitor, agrees to pay on demand DFW Bridal Shows Inc. the sum of Ten Thousand and NO/00 Dollars ($10,000.00) per incident or use, as liquidated damages, for

4 each incident or use of the Lead List that is contrary to any provision of this paragraph, together with the attorneys fees and other costs and expenses of enforcement incurred by DFW Bridal Shows, Inc. 3. Rights of DFW Bridal Shows, Inc.: DFW Bridal Shows, Inc. reserves the right, at its sole discretion, to accept or deny the applications of exhibitors that will be in the show. This decision will be made in the best interest of the show, other vendors, attendees of the show, and/or the Event Center. This includes the rights to reject or prohibit exhibits or Exhibitors which DFW Bridal Shows, Inc. finds offensive, disruptive or inappropriate to aforementioned parties. DFW Bridal Shows, Inc. also reserves the right to change the layout of the Show and/or relocate Exhibitors and exhibits. This may include cancelling, relocating or changing the date without any liability to DFW Bridal Shows, Inc. 4. Indemnification: The Exhibitor agrees to indemnify and hold harmless DFW Bridal Shows, Inc. and the facility, their respective officers, directors, agents, or representatives and employees, against all claims, losses, liability, damages (including legal fees and expenses), cost and charges of every kind resulting from its occupancy of the exhibit space and/or its surroundings. This includes, but is not limited to, loss resulting in the use of the equipment or devices furnished to or used by the Exhibitor or other persons in connection with the show. This hold harmless includes any loss with connection to personal injuries, death, property damages or any other damages sustained by the Exhibitor, the facility, sponsors, or attendees to the DFW Bridal Show and their respective directors, officers, against, representatives and employees or those for whom the Exhibitor is responsible in law. DFW Bridal Shows, Inc. is not responsible for any items lost or stolen from vendor booth spaces. 5. Cancellation and Termination: The Exhibitor shall have the right to cancel this agreement by notice in writing to be delivered to DFW Bridal Shows, Inc. no later than sixty (60) days before the date of the Show. All deposits and payments received by the DFW Bridal Shows, Inc. up to the date of notice of cancellation are non refundable. DFW Bridal Shows Inc. will make every effort to transfer any deposits and/or payments to a future show which is scheduled within six (6) calendar months of the cancelled show. No refunds will be made for any show cancelled by the Exhibitor. In the event that the Exhibitor does not notify DFW Bridal Shows of cancellation within sixty (60) days, or fails to make payments, or fails to appear on the day of the show (unless prior written arrangements are with the show management), DFW Bridal Shows, Inc. has the right to terminate and/or cancel this license agreement without notice and all rights of the Exhibitor will cease and terminate. In this event, the show management may utilize the rented space in any manner as DFW Bridal Shows, Inc. deems appropriate, including, but not limited to, licensing its use to another Exhibitor. All deposits at that moment will be considered as liquidated damages (not as a penalty) for breach of contract. No refunds will be made for any show cancelled by the Exhibitor or to which the Exhibitor fails to attend.

5 Failure to make payments as specified shall entitle management at its option to cancel this agreement without notice and the Exhibitor shall remain liable for any unpaid space rental(s). In the event of nonpayment, person signing below agrees to pay the full rate of their contracted space, excluding any and all discounts plus all reasonable attorney s fees in the event collection is necessary. 6. Cancellations beyond the control of DFW Bridal Shows, Inc.: In the event that the facility in which the show is to be held or is held is destroyed or becomes unavailable for occupancy, or DFW Bridal Shows is unable to permit the Vendor to occupy the facility or the space, or the Show is canceled or curtailed, for any reasons beyond the control of DFW Bridal Shows, Inc., including but not limited to, casualty, explosion, fire, lightning, flood, epidemic, earthquake or other Acts of God, acts of public enemies, riots or civil disturbances, strike, lockout, or boycott, DFW Bridal Shows, Inc. will not be responsible for any loss of business, loss of profits, consequential or special damages or expenses of whatever nature that the Exhibitor may suffer.
