4 2 The incorporation requirements and procedures Incorporation requirements Requirements & procedures Ø Company structure: u Minimum one shareholder and one director, corporate shareholder(s) and director(s) are acceptable Ø Share capital: u Can issue minimum 1 share with par value of HKD1,standard number of shares is 10,000 shares Ø Company secretary and registered address: u The company should maintain a registered address in Hong Kong and the company should appoint a Hong Kong resident or a corporate to act as company secretary Ø Account opening notice: u If only one director, at least one director/beneficiary owner is required to be present u If more than one directors, at least two directors/account operators must be present u For any other directors, beneficiary owners and bank account operators, who cannot attend the meeting should certify passport and address proof

Client should provide 3 intended names in order of preference l Incorporation materials: A copy of passport and residential address proof are required for company registration l Shares issued: Number/percentage of shares per shareholder l Documents for signing: Incorporation procedures can be handled via and courier without presence in HK l Incorporation time: 8 working days to get the Certificate of Incorporation and 10 working days to complete the whole procedure after receiving the signed documents from client l Optional banks: Client can choose HSBC and Hang Seng Bank in Hong Kong. Nanyang Commercial Bank in Shanghai l Requirements: Original passport Original residential address proof Business plan (B.String will provide the template) Business activity proof Foreign Account Tax Compliance Act (FATCA) declaration l Application time: Approximately to 10 working days Bank Account Opening
